      Aber nach dieser unglücklichen Meldung des Managements, geht es heute mit Sicherheit runter!

      In D wird auch schon 5 % unter Schlußkurs USA gehandelt...

      ich lass das ganze mal auf mich zukommen, wenn man die Käufe gestern gesehen hat vorallem die Stückzahlen, dann bin ich mir sicher da kommt was, was die aussagen des Vorstandes betrifft, wie schon gesagt was soll er denn sagen" ich weiß warum die aktie steigt es liegt an den neuen Großaufrägen der regierung" das weiß er zwar und hat es seinen "bekannten" erzählt aber so öffentlich ich bitte euch

      Das ist es ja, warum sagt er überhaupt was.
      sollte demnächst eine News anstehen,braucht er doch nix sagen.

      Oder ist Ihm von der "News" zuviel durchgesickert,und er
      will damit sagen, nö nö an uns liegts nicht das der Kurs
      ohne News Plötzlich so anzieht,
      und in ein paar Tagen heist es dann wir haben überraschend und/oder vorzeitig einen auftrag an Land gezogen.

      Na ja, wir werden sehen was kommt, aber ein weiterer normaler
      anstieg wäre mir lieber gewesen.

      steigender Kurse bei tägllich steigende Umsätzen ist doch ein gutes Zeichen, aber wir werden sehen ich denke Carpmann hat es ganz gut beschrieben, da wissen einige mehr und wollen rein oder wie erklärst du die teilweise doch großen Käufe von mehreren 100K

      Ja aber wie geht´s denn nun weiter? Habe bei 3,00 durch Stop Loss verkauft (zu 2,25 gekauft), also immerhin noch 33% gemacht. Sollte man die günstigen Kurse jetzt nicht zum Wiedereinstieg nutzen? Ich denke schon, das das Gröbste überstanden ist und wir schon in Kürze wieder Kurse bei min. 2,50 sehen.....oder nich´???

      nur mal zur info:

      NEW YORK (Dow Jones)--Forget the fact that Spectrum Sciences & Software Holdings Corp. (SPSC) has negative working capital.

      Or that the tiny company which provides engineering and modelling defense-related services has negative shareholder equity. Nevermind that its auditors have raised questions about it being a going concern.

      Ebullient investors have done just that - they`ve ignored those facts and instead have sent Spectrum`s shares up 54% in heavy volume since early March.

      But perhaps a fact they shouldn`t overlook is the unique role a man named Robert "Bobby" Genovese has with the company and how he, and related companies, have been compensated richly in cash and stock. In the last two months, Genovese, who was formally retained as a consultant in early March, has been granted options to buy 23 million of Spectrum`s shares. Over the last year, Genovese and related companies have billed Spectrum for several million dollars for services rendered. Just how important is Genovese to Spectrum?: To date his option grants surpass Spectrum`s shares outstanding of 21.7 million as of March 29.

      In fact, the relationship between Genovese and the company outraged at least one person at Spectrum - the founder and chief executive resigned March 19 in protest over the financial arrangements between Spectrum and Genovese.

      The modern day Spectrum story began last year when privately held Spectrum, a company founded in 1982 by Donal Myrick, merged with a shell company called Silva Bay International Inc. that traded on the Pink Sheets. Shortly thereafter, Silva Bay took on Spectrum`s name. According to Spectrum`s general counsel Salvatore Fichera, Genovese was a shareholder of Silva Bay. Fichera couldn`t say how much of Silva was controlled by Genovese or related companies at the time of the merger.

      None of the original Silva Bay shareholders are disclosed in regulatory filings, which isn`t completely surprising because companies that trade on the Pink Sheets are not required to make regular filings with the Securities and Exchange Commission. In the filings that Spectrum did make, only 2.5 million of the 18.6 million shares, after a two-for-one forward split, issued in connection with the merger last April were accounted for. Three offshore funds listed in four registration statements filed with the SEC from June to November 2003 as holding 19.6% of Spectrum stock disappeared without explanation from filings made in 2004. Spectrum became a reporting company when it began trading on the Over-The-Counter Bulletin Board in early December.

      None of the three funds - Crystal Overseas Trading Inc., Private Investment Company Ltd. and Seloz Gestion & Finance SA - ever filed ownership filings that would indicate they held or sold these shares. Information about the offshore funds wasn`t available. They have addresses in the Bahamas, Turk & Caicos and Switzerland but no phone numbers.

      About the time of the merger, two companies affiliated with Genovese began working with Spectrum.

      Under a consulting agreement signed in March 2003, Spectrum retained Endeavor Capital Group Ltd. for a $4,000 monthly fee. Later that year, Endeavor, an offshore entity registered in the Bahamas, began appearing on a number of promotional newsletters and websites that touted Spectrum. Disclaimers show that Endeavor paid these newsletters and sites cash and shares to finance the write-ups, which were positive about Spectrum`s outlook and business prospects.

      SEC filings show that last July B.G. Capital Group Ltd. assumed some $450,000 in debt owed by Spectrum to Brannon Capital Corp. and Tradewinds Investments Overseas Inc., two initial investors into Spectrum.

      Florida corporate records show that Endeavor is managed by B.G. Capital, another Bahamas corporation with offices in Boca Raton, Fl., that says it specializes in investor relations, merchant banking and financial management services.

      SEC filings show that Spectrum retained Genovese as a consultant on March 11. Until its annual report filed April 14, Spectrum didn`t make clear that Genovese controls Endeavor and B.G. Capital. According to the annual report, Genovese owns Endeavor and B.G. Capital.

      According to news articles, Genovese is a long-time investor relations entrepreneur with a soft spot for polo horses. This Canadian citizen seems to share his time between Canada, Florida and the Bahamas.

      In late February, Genovese submitted to the company invoices totaling $1.6 million, according to SEC filings. That`s in addition to $652,653 already owed to him to repay about $100,000 in monthly financing he provided to the company through his personal American Express account and other "management assistance" . Together, Genovese, Endeavor and B.G. Capital Group were owed some $2.9 million at the time, most of which was due on demand, according to SEC filings.

      Spectrum Chief Financial Officer Nancy Gontarek is in the process of reviewing invoices submitted by Genovese and related entities, some of which are described in filings as "expenses associated with the investor awareness and investor relations program.". Gontarek declined to specify whether the invoices cover costs associated with articles published in promotional newsletters and online publications.

      Earlier this year, one of the newsletters paid to promote Spectrum, Superstock Investor, trumpeted the company`s "New technologies to protect our Nation," playing on the interest many investors have in defense-related companies because of the ongoing military conflict in Iraq and the hunt for terrorists in Afghanistan.

      Superstock Investor, published by Capital Financial Media, disclosed that it received $350,000 from Spectrum and Endeavor for the publication of the newsletter. Endeavor is described in the disclaimer as a "non-controlling shareholder" of Spectrum. The disclaimer also indicates that Capital Financial Media expects to receive two tranches of 250,000 warrants at exercise prices of $1.60 and $3.20. Endeavor has also paid $117,300 to three other publications.

      On March 11, Spectrum granted Genovese options to purchase 9 million shares at $1.65 a share or the current stock price, whichever was lower. Genovese can pay for his options either by cash or by converting monies owed to him, Endeavor or BG Capital.

      Spectrum`s annual report shows that Genovese has wasted little time in exercising options. He had exercised 2.8 million, or almost one-third, of those 9 million options by late March. Had he sold the stock after he exercised the options, he would have made at a minimum $2.55 million (using a $2.56 per share price, which is the lowest price at which the stock traded in the last two weeks of March and is the period in which he could have sold the stock). Genovese`s option agreement with Spectrum stipulates that he, or affiliated companies, cannot hold more than 5% of Spectrum`s outstanding stock at one time. That number happens to be the threshold by which a shareholder has to report his or her holding to the SEC.

      And that`s not all. SEC filings made last week show that Spectrum granted Genovese another 5 million options to buy shares at $1.65 or lower to compensate him for his help in arranging the recently announced acquisition of Inland Fabricator LLC, a Louisiana pipe manufacturer. (Under the deal Genovese will loan $750,000 to Spectrum so that the company can extend a credit line to Inland.)

      Genovese will also get options to buy another 9 million shares of Spectrum at the greater price of $1.95 or 60% of trading price.

      And then there is the 1 million shares of Spectrum Series A 10% convertible preferred stock to be issued to B.G. Capital to repay $200,000 of the $450,000 in principal owed to B.G. Capital. An SEC filing doesn`t detail the terms of the convertible.

      Genovese wasn`t available for comment.

      The original 9 million lucrative options deal didn`t sit well with Spectrum founder Donal Myrick. In his letter of resignation to Spectrum`s board, Myrick said the option plan was "designed to benefit a single shareholder, Mr. Bobby Genovese" at the expense of other shareholders. Myrick was chairman of the board until his resignation. The other two directors are Kelly Armstrong and Karl Heer. Heer and Genovese are partners in Nautic Distributors Ltd. a distributor of water sport products located in Canada. Herr declined to comment on Myrick`s allegations.

      Myrick isn`t the only long-time Spectrum executive to leave the company. In February, Donald Garrison, Spectrum`s chief operating officer, also resigned. Garrison said in an interview that he left after new board members tried to halve his salary and strip him of his title.

      Spectrum was recently trading at $3.49 a share, up 21 cents or 6.63% on heavy volume.
