die amis haben den Q bericht gelesen und verstanden
na spasss bei seite warte mal die messe in leipzig ab
dann kommt auch wieder mehr als 1 dollar umsatz und der herbst ist doch gar nicht mehr weit
dann werden wir auch alles doppelt sehen

Hi leute wie ihr seht geht die wöchentliche verarschung weiter so kann man kein vertrauen aufbauen und das schlimme ist wir können noch nicht ein mal was da gegen machen die macht sitzt wo anders leider also weiter hoffen und warten bis die faxen endlich auf hören
Wenigstens die_Gerechtigkeit hätte posten können, dass ihre lange versprochene Aktienzusammenlegung (reverse split)- nach der HV am 18.10. - kommen wird.

Werde doch mal etwas deutlicher, mit dem hier iss was gewaltiges im Busch, was denn, wo denn, wie denn???
Bin hier auch schon ein paar Jährchen investiert, aber was soll denn anderes im Busch sein, als der Bankrott.
Schau Dir mal die Aktienanzahl an die die draußen haben und den Kursverlauf der letzten 2 Jahre, dann weißte was hier los iss, nämlich tote Hose, mehr iss nich.
Also kannst ruhig aufhören mit dem träumen, daß wird hier nix mehr werden, es sei denn, es geschieht ein Wunder, das solls ab und zu ja mal geben.
Aber ansonsten, kann ich hier jedem nur raten, die Finger weg zulassen von diesem Mist.
Ich habe die Kohle total abgeschrieben, alles andere als der totale Bankrott, ist ne Überraschun, amn wird sehen.

nach dem rasanten anstieg des volumens in der zu rück liegender woche scheint wieder beruhigung ein zu treten wollen mal nicht unken und sagen die luft ist erst mal raus ich denke die bankenkrise hat auch vor FONIX nicht halt gemacht die großanleger haben bestimmt andere sorgen wiederum ist es doch auch so die banken haben kein geld also gibt es auch keine kredite die einnahmen werden nicht mehr so pünklich fließen was wiederum zur schwierigkeiten führen kann ist keine feststellung von mir nur so ein gedanke warum das interesse nach gelassen hat also weiter beobachten undbleiben

In dieser Firma habe ich ein kleines Vermögen investiert und dies schon in diversen Schritten seit 2003! Es war aber wirklich zum scheissen und dieser R. Dudley muss wohl ein riesen Depp sein.

Final Closing of G-Soft Exchange Agreement
Fonix Corporation (the "Company") has closed a previously announced transaction whereby its subsidiary Fonix GS Acquisition Corporation, Inc. ("FGSA") acquired 80% of the issued and outstanding shares of G-Soft Limited, a Hong Kong corporation ("G-Soft"), which is the ultimate parent of Shanghai Gaozhi Software Systems Limited ("GaozhiSoft"), a Chinese software developer and solutions provider in 2G (second-generation) and 3G (third-generation) mobile networks in China and throughout the Asian Pacific region.
In a Current Report filed with the SEC on August 12, 2008, the Company announced that it had formed FGSA for the purpose of acquiring the GaozhiSoft shares.
On June 27, 2008, the Company and FGSA entered into an exchange agreement (the "Exchange Agreement"), with Southridge LLC, a Connecticut limited liability company ("Southridge"), G-Soft and the shareholders of G-Soft (the "Sellers"). G-Soft, through its wholly owned subsidiary, owns 100% of the outstanding equity of GaozhiSoft. Pursuant to the Exchange Agreement, FGSA agreed to purchase 80% of the issued and outstanding shares of G-Soft from the Sellers, and Southridge agreed to purchase the remaining 20% of the issued and outstanding G-Soft shares, thereby making FGSA and Southridge the ultimate shareholders of GaozhiSoft.
The Exchange Agreement was amended by that certain First Amendment to the Exchange Agreement, dated as of December 12, 2008 (the "First Amendment"), modifying the consideration for the purchase of the G-Soft shares and certain other closing conditions, as set forth therein. Pursuant to the Exchange Agreement, as amended, in exchange for 20% of the outstanding shares of G-Soft, Southridge agreed to transfer shares of the Company's Series L Convertible Preferred Stock (the "Series L Preferred Stock") in the amounts set forth in the First Amendment. In return for the purchase of 80% of the outstanding shares of G-Soft, the Company agreed to issue an aggregate of one hundred and twenty shares (120) of a new series of preferred stock (the "Series P Preferred Stock") to the Sellers. Additionally, subject to the terms of the First Amendment, the Sellers are entitled to annual earn-out payments equal to fifty percent (50%) of the prior year's net income of GaozhiSoft, to be paid in the form of Series P Preferred Stock (the "Earn-Out Payments"). The aggregate of the Earn-Out Payments is limited to three hundred and eighty (380) shares of Series P Preferred. The First Amendment also amended and restated section 6.1 of the Exchange Agreement, relating to additional closing conditions, and section 8.2 of the original agreement relating to indemnification.
The Sellers and Fonix entered into an Escrow Agreement (the "Escrow Agreement") with Adam L. Goldberg, whereby Mr. Goldberg agreed to act as escrow agent and hold the Series P Preferred Stock issued or issuable to the Sellers to purchase their interests in G-Soft. The Escrow Agreement outlined Mr. Goldberg's duties and obligations as Escrow Agent.
The First Amendment and the Escrow Agreement were described in more detail in, and attached as exhibits to, the Current Report on Form 8K, filed with the SEC on December 19, 2008.
Additionally, FGSA and the Sellers entered into a side letter agreement, dated February 18, 2009 (the "Side Letter"), attached hereto as an exhibit, modifying certain closing conditions of the Exchange Agreement, as amended by the First Amendment. Fonix Corporation (OTC BB: FNXC) today announced the addition of four new members to its board of directors. The four—Steven G. Jones, Barry G. Jordan, Gilbert R. Steedley and Von H. Whitby—offer extensive professional experience, especially in financial and M&A matters, that will assist the company as it seeks to further develop its acquisition strategy, operating consolidation and competitive position in the embedded speech and voice recognition technology marketplace.
Fonix’ four new directors, elected at the company’s June, 2009 regular board meeting, bring a diverse set of backgrounds and skills to their duties:
Steven G. Jones — Mr. Jones currently serves as Corporate Development Director for Fonix Corporation with primary focus on M&A. Experienced in mergers and acquisitions, he served as CEO of Auction Trust Network, an online auction company, and Solera Networks. He has also held a number of business development and sales/marketing posts.
Barry G. Jordan — Mr. Jordan is Chairman of Prism Strategic Services Group, LLC, a strategic consulting company specializing in construction management guidance. Fonix revenues were $335,000 for the quarter ended September 30, 2009, compared to $223,000 for the same period in 2008, an increase of 50 percent. Fonix revenues were $1,301,000 for the first nine months of 2009 compared to $1,069,000 for the same period in 2008, a 22 percent increase. Operating expenses increased 17 percent from $643,000 for the quarter ended September 30, 2008 to $752,000 for the same period in 2009. Operating expenses decreased 4 percent from $2,423,000 for the nine month period ended September 30, 2008 to $2,324,000 for the same period in 2009. Net income for the quarter was $230,000 compared to a loss of $1,701,000 for the same period in 2008, and the Company also reported a reduction in net loss from $4,035,000 for the nine months ended September 30, 2008 to a net loss of $50,000 for the same period in 2009.

Nov. 16, 2009 (Business Wire) -- Fonix Corporation (OTC BB: FNXC) announces that it has filed with the United States Securities and Exchange Commission its Quarterly Report for the quarter ended September 30, 3009, containing unaudited financial results for the three and nine-months ended September 30, 2009 and same period in 2008, including those of its wholly owned subsidiaries, Fonix Speech, Inc., and G-Soft Limited. The results include Shanghai Gaozhi Software Systems Limited (“GaozhiSoft”), a growing software developer and solutions provider in 2G (second-generation) and 3G (third-generation) mobile networks in China and throughout the Asian Pacific region. Fonix revenues were $335,000 for the quarter ended September 30, 2009, compared to $223,000 for the same period in 2008, an increase of 50 percent. Fonix revenues were $1,301,000 for the first nine months of 2009 compared to $1,069,000 for the same period in 2008, a 22 percent increase. Operating expenses increased 17 percent from $643,000 for the quarter ended September 30, 2008 to $752,000 for the same period in 2009. Operating expenses decreased 4 percent from $2,423,000 for the nine month period ended September 30, 2008 to $2,324,000 for the same period in 2009. Net income for the quarter was $230,000 compared to a loss of $1,701,000 for the same period in 2008, and the Company also reported a reduction in net loss from $4,035,000 for the nine months ended September 30, 2008 to a net loss of $50,000 for the same period in 2009.
“Quarterly and YTD performance continues to grow, which reflect the improved revenues and consolidation of the GaozhiSoft operations. Revenues from operations are expected to grow through license fees and unit royalty fees through the remainder of the year,” said Roger D. LINDON, Utah, July 7, 2011 /PRNewswire/ -- Fonix Corporation (OTC-PINK: FNXC) ("Fonix") announces that its wholly-owned subsidiary, SpeechFX, Inc. ("SFX"), (formerly known as Fonix Speech Inc.), has filed with the United States Securities and Exchange Commission a Form 10 to spin-off SFX. SFX owns and operates all of the Fonix speech technology assets, including patents, trademarks, speech technology, products and customers.
Once the Form 10 is deemed effective by the SEC, Fonix will distribute approximately 75 million common shares of SFX to all equity holders of Fonix common and preferred stock on a fully diluted and as-converted basis. Fonix will distribute 0.0001073 shares of SFX common stock for each share of Fonix common stock outstanding, and for each common stock equivalent share underlying Fonix preferred stock outstanding, a ratio of one share of SFX common stock to every 9,316 shares of Fonix common stock
