MONTREAL--(BUSINESS WIRE)--March 7, 2000--Martlet Venture Management Limited (CDNX:MVM - news) today announced that it is in discussion with a publicly traded European venture capital firm to merge the two companies in a share exchange transaction.

David Cairns, Chairman and CEO of Martlet, said ``Over the past few months we have been looking at various options to create shareholder value. This combination appears to be an excellent opportunity for the shareholders and client companies of Martlet and its proposed merger partner. Martlet will bring seasoned operational management and a global presence plus a valuable portfolio of exciting technology companies. The potential acquiror is well financed and larger than Martlet. It has an enviable track record of fast growth and profitability with a strong presence in Germany and other European markets. The combined company would immediately have a substantial portfolio of private and public companies in Europe, the USA and Canada and would be an attractive partner for client companies seeking international growth.``

He added, ``Upon completion of the merger, our current expectation is that a parallel listing on a major U.S. exchange would be sought in the near term to reflect the primary dual focus of the merged company on North America and Europe.``

Both companies have signed a memorandum of understanding with final agreement subject to completion of due diligence and approval of both boards, plus appropriate shareholder acceptance and all requisite regulatory body approvals. It is currently anticipated that a definitive agreement will be concluded by the end of March.
