ich kann den Verdacht nicht loswerden, daß es bei BAAN kurz vor einer Übernahme ist.
Namen wie SAP oder Peoplesoft sind in der Vergangenheit im Gespräch gewesen. Ist so etwas realistisch.

Nein, realistisch auf keinem Fall.
Ist möglich, aber unlogisch ! Warum sollten sich SAP oder PSFT einen
Klotz wie BAAN ans Bein hängen. Denkbar eher Microsoft oder eines
der Internet-Beteiliger, z.B. CMGI, Konstellation (SAP mySAP.com)

Meiner Meinung nach sehr realistisch. Ich gelesen, das SAP bereits jetzt an Baan Anteile hat. warum sollten die den maroden Schuppen nicht ganz aufkaufen? Die Nische passt, der Markt auch, man hat neue Kunden und was schlecht an der Firma ist, denke ich ist nur das Management.

Baan passt nirgends so richtig ins Unternehmen, daher fallen
vor allem SAP und Peoplesoft, die direkten Konkurenten, auf
jeden Fall aus.
Aufgrund des Misskredites in den sich Baan bei Anlegern und Kunden
gebracht hat, halte ich Baan für ein faules Ei, das man besser
nicht mehr anfasst.

Meinen unbestätigten Informationen nach, ist die Übernahme seit letztem Wochenende in trockenen Tüchern. Es ist natürlich keiner von den direkten Konkurrenten sondern ein anderes großes Amerikanisches Unternehmen. Irgendwo hier im Board hatte ich gelesen, daß Baan vor einem großen Deal mit DCX steht. Das Unternehmen, daß ich meine wurde gestern im Handelsblatt mit DCX bzw. Debis in Verbindung gebracht. Ich glaube, daß meine Quelle seriös ist und habe deswegen auch investiert. Allerdings schon bei 6Eur. Ich bin selbst gespannt, ob meine Informationen aufgehen werden (in ca. 4 Wochen soll es soweit sein). Anderersdeits kann man bei diesem Kurs mit einem Neueinstieg kaum etwas falsch machen.
Hoffentlich geht die Rechnung auf.

Stimmt, bei 5,3 EURO kann man nichts falsch machen. BAAN ist für mehrere UÜbernahmefirmen sehr lukrativ. Wenn erst das management ausgetausch ist (wer weiß, Bann war mal bei 50 Euro.

Meinst Du etwa EDS, die Baan übernehmen könnten? Wie sieht denn Deine Quelle aus, kennst Du vielleicht
eine Person, die in einer der beiden Firmen integriert ist, und etwas mitbekommen hat, sprich Insiderinfos?
Wenn das mit EDS stimmen sollte, braucht man wohl keine Angst zu haben, dass der Kurs unter die 5 € geht ...

ich glaube, jetzt haucht baan das letzte lüftchen aus. kurs bei 4,80 und darunter. das darf doch nicht wahr sein. geht der laden vielleicht doch pleite? dann hätte ich mich etwas verspekuliert.

der kurs ist unter druck, weil das handelsblatt wieder stimmung gegen baan macht. Die meldung daß die fetcher group ihre anteile verkauft
hat wird von diesem negativ gewertet. Dies ist aber aus meiner sicht
zu voreilig, weil noch nicht klat ist wer gekauft hat und zu welchem preis. Was wertlos ist wird nicht gekauft !!! Es wäre interessant
zu wissen wer da eingestiegen ist ! Im übrigen ist abzuwarten,
ob die eingeschaltete unternehmensberatung nicht doch noch einen
strategischen partner findet. Und vielleicht hat der die anteile
der fetchergruppe ja gerade gekauft.

Wenn mein "Infineon-Geld" wieder frei ist werde ich wohl wieder einsteigen, nachdem ich letztes Jahr schon ein paar Monate drin war (EK 6,50 VK 14,-).

Baan ist für mich ein Buch mit sieben Siegeln. Das Handelsblatt redet ja auch nicht so optimistisch heute über Baan, dennoch hat Baan, so finde ich gute Produkte, aber wenn jemandem Baan nicht gefällt, dann nicht.
Eine Zitterpartie ist es auf jedem Fall und man braucht echt sehr, sehr, sehr, sehr, sehr, sehr, sehr, sehr, sehr starke Nerven für Baan.
Ich glaube die meisten sind froh, wenn sie den Einsatz raushaben [vielleicht] 10 % Verlust in Kauf nehmen. Ich würde es, weil ich langsam keine Nerven für Baan mehr habe. Leider.

Ich glaube die meisten sind froh, wenn sie den Einsatz raushaben [vielleicht] 10 % Verlust in Kauf nehmen. Ich würde es, weil ich langsam keine Nerven für Baan mehr habe. Leider.

Ich bin allerdings auch der ansicht, daß baan selbst ohne übernahme
der turnarount schaffen wird.
Leider hat die coleman nicht hart genug die kosten reduziert und
zudem auch mit falschen angaben jongliert ( die mag ja ahnung von
software gehabt haben aber nicht davon wie man ein unternehmen
saniert )
Ich fände übrigens einen strategischen partner besser als die
reine übernahme.
Vielleicht kannst du auch rausfinden wer sich die anteile der fetcher group unter den nagel gerissen hat. ( artikel im handelsblatt vom freitag: fetcher hat seine anteile verkauft )

Das Gerücht soll in der Computerwoche stehen betreff Übernahme an diesem Wochenende. Ich tippe auf EDS.Außerdem muß sich wohl Baan jetzt entscheiden. Selbst wenn ich sichere Quellen hätte, würde ich die doch nicht hier reinschreiben!

A DEBT-FOR-EQUITY EXCHANGE
Barneveld, The Netherlands and Herndon, Virginia, USA - March 6, 2000 -Baan Company N.V. (NASDAQ: BAANF; ASE: BAAN) announced today that it has reached agreements with certain holders of Baan`s 4.5% Convertible Subordinated Notes (currently due in December 2001) under which US$40.86 million of Notes are being exchanged for common shares in the Company. It also announced that it would provide all remaining bondholders the opportunity to convert their bonds on the same economic terms.
The Company this weekend reached agreements with a limited number of institutional investors pursuant to which Baan will issue an aggregate of 6,537,600 common shares to these investors in private placements in exchange for, and against a contribution in kind of, an aggregate of US$40.86 million principal amount of the Convertible Subordinated Notes plus the interest accrued on such Notes. The closings of these exchanges are expected to occur this week. Prior to these transactions, there had been US$190 million in Notes outstanding.
Against each principal amount of US$1,000 of Notes (including accrued interest) surrendered to Baan, the investors will receive 160 ordinary shares issued by Baan.
Baan also announced that, pursuant to the terms of the Indenture relating to the Notes, it would provide all remaining bondholders the opportunity to convert their bonds on the same economic terms during a 61-day special conversion period that is scheduled to commence by the end of March. The conversion price of the Notes shall be reduced to US$6.25 per ordinary share. This reduced conversion price will entitle holders of the Notes to convert their Notes into ordinary shares at the rate of 160 ordinary shares per US$1,000 principal amount of Notes converted. All procedures regarding conversion of Notes other than the conversion price shall remain unchanged; and bondholders electing not to convert will retain their interest in the Notes. After conclusion of the special conversion period, the conversion price of the Notes shall revert to the original terms of US$22 per ordinary share (equivalent to 45.45 ordinary shares per US$1,000 principal amount of Notes converted).
Under Dutch GAAP, the exchanges announced today will result in an initial US$40.86 million equity increase to the balance sheet (with additional equity increases to be recorded if and as additional bondholders convert during the special conversion period) and will have no impact to the Company`s income statement. Under U.S. GAAP, Baan expects to record non-cash conversion expense charges on its income statement during the first and second quarters of 2000 (in connection with both the private placements agreed to this weekend and any subsequent conversions during the special conversion period). Baan will record to additional paid in capital (i) an offsetting increase of the same amount as the conversion expense and (ii) the value of the new shares issued. The net impact to Baan`s equity position under both Dutch GAAP and U.S. GAAP will be the same, reflecting an initial US$40.86 million increase.

Für den heutigen tag hält sich baan eigentlich ganz wacker.
Im übrigen müßte der operative verlust von 50 mio $ im letzten
quartal demnächst ausgeglichen werden können. Für ein softwareunter-
nehmen ist dies eigentlich ein lächerlicher fehlbetrag.
Jedenfalls : wenn SAP 1000 euro wert ist, wird baan nicht auf einen

Mitbieter soll ein US Konzern sein (Namen vergessen) und der will in den EU-Markt..
Nu kriegt er DEBIS nicht und geht schmollend nach Hause..ODER ??

Ich sag euch was.....die käsköppe können nix...weder nach der Cebit hat sich was getan und da wär ja mal was angesagt gewesen.
Das war ne Flop Aktie...empfohlen vonder Deutschen Bank weil se den Müll weghaben wollte oder warumn auch immer.
Nach der tollen Empfehlung gingen die nur noch in den Keller bin selbst bei 20 Euro eingestiegen , kenn aber leute die das bei 40 gemacht haben,,, die sind mächtig sauer.
Das einzige Argument der DB war , das Baan die falschen Berichte herausgegeben hat ...wer wusste also im Vorfeld davon???????
Nachdem das Management keinen Bock mehr hatte gings nochmal abwärts...wer soll also jetzt den Laden wieder rausreissen??
Vielleicht sollten die mal n " Moorhuhn spiel " rausbringen dann geb ich der Aktie wieder ne Chance. :-))))

Mach ein Witwen und Waisenpapier - oder Kostolany Papier daraus.
Vererb es notfalls an Deine Nachkommen oder ähnliches.
