announced that on August 17 the Listing Qualifications Division of The Nasdaq
Stock Market, Inc. notified Senetek of its decision to delist Senetek`s
American Depositary Shares from the Nasdaq SmallCap Market due to non-
compliance with the minimum continued listing standards set forth in
Marketplace Rule 4310(c)(2)(B), which requires market value of listed
securities of $35 million, or net income from continuing operation of at least
$500,000 in the most recently completed fiscal year or two of the last three
most recently completed fiscal years, or shareholders` equity of $2.5 million.


The Nasdaq Staff`s decision followed a submission in which Senetek noted
that the weighted average price of its shares for the 12 months ended June 30,
2004 was $0.87, well above the $0.58 per share needed to maintain Nasdaq`s
$35 million market capitalization standard, and sought Nasdaq`s assistance in
identifying the source of recent downward pressure on its share price despite
favorable earnings and business development announcements. Senetek also had
asked Nasdaq to defer action until 2004 year end to permit Senetek to
demonstrate compliance with Nasdaq`s alternate $500,000 income from continuing
operations standard for 2004, noting Senetek`s $245,000 of income from
continuing operations for the first six months of 2004. Senetek informed
Nasdaq, however, that while Senetek believes that it could have arranged
equity financing sufficient to achieve Nasdaq`s $2.5 million shareholders`
equity standard and thereby maintain its listing, its Board of Directors had
determined that at its shares` currently depressed price such a financing
would not be in shareholders` best interest.


Nasdaq`s letter advises that the Company may appeal the Staff`s
determination to a Listing Qualifications Panel of Nasdaq, and that a hearing
request will stay the delisting of the Company`s securities pending the
Panel`s decision. Senetek intends to formally appeal the Nasdaq Staff`s
delisting decision.

die Frage nach dem Termin des delistings kann ich auch nicht beantworten, aber meines Wissens hat Senetek Einspruch erhoben, so dass es noch etwas dauern kann.
Leider ist der Wert fast auf dem Nullpunkt angekommen und man muss einen Totalverlust einkalkulieren, obwohl man angeblich Spitzenprodukte, vor allem in der Kosmetiksparte hat und die Amis sich ja alles ins Gesicht schmieren. Hier im board ist auch nichts mehr zu vernehmen und es ist zu vermuten, dass alle bereits verkauft haben. Man kann das Kapitel Senetek also beenden. Ich halte zwar noch, weil ein Verkauf eh nichts mehr bringt.

nach dem derzeitigen Stand kann es eigentlich nur nach oben gehen. Nur, Senetek hat schon oft enttäuscht, dass ein Totalverlust nicht auszuschliessen ist. Nach den Produkten und den Lizenzen hat die Aktie aber aus meiner Sicht ein Potential bis momentan mindestens 3 USD. Wie gesagt, ist allerdings nur meine persönliche Sicht, da man vor allem in der Kosmetiksparte gut aufgestellt ist und mit Zeatin eigentlich ein Top-Produkt hat.

PLANT COMPOUND HOLDS PROMISE FOR TREATMENT

A doctor screening different compounds for use in the treatment of the Jewish genetic disease Familial Dysautonomia is touting the efficacy of a plant-based substance called kinetin. Dr. Sue Slaugenhaupt, who has studied the disease since 1991 and works for Massachusetts General Hospital/Harvard Medical School, is leading a team that screened 1,040 possible compounds, testing the effects that each one had on the disease. The results from a compound called kinetin jumped out at them. "It was kind of a eureka moment. This is what we had been looking for," Slaugenhaupt told the Forward. Although she cautioned Familial Dysautonomia sufferers and their families not to be overwhelmed by unwarranted optimism, she called kinetin "very promising." Familial Dysautonomia, commonly known as FD, is a recessive genetic disease that causes degeneration in the autonomic and sensory nervous systems. FD patients, who are mostly children, experience an array of symptoms, including a lack of ability to make tears, poor balance, and frequent vomiting. They can lapse into dangerous, life-threatening nervous system crises, in which severe changes in blood pressure lead to painful retching. There are only several hundred known cases of the disease, and thus far, little has been available to ameliorate its effects. Kinetin acts by restoring the functions of neurons, or nerve cells. The mechanism that causes the restoration is still being studied.

"It`s our hope with kinetin that we may be able to halt the degeneration" of the nervous system that attends the disease, Slaughenhaupt said. David Brenner, president of the Dysautonomia Foundation, Inc., an advocacy group for those with the disease, is also championing kinetin. "I do not believe that anything better is on the immediate horizon," he said.

A combination of public and private grants is funding the study of kinetin. A number of scientific and practical questions about kinetin remain unanswered. It has been known for some time that FD is caused on the genetic level by a complex process known as "splicing"; the specifics of splicing, and therefore the specifics of kinetin, are still unclear. "We know that the kinetin restores the splicing," said Dr. A.K. Thilagar, president of SB Chemtox, a company now testing the compound`s viability.

Instead of having kinetin approved as a drug (by the FDA), Chemtox and the foundation most likely will try to get it approved as a "nutritive supplement" in order to get it to the kids much more quickly.

Der Mitteilungsbrief der Nasdaq stellt es dem Unternehmen frei,
die Entscheidung seiner Mitarbeiter gegenüber dem Listing
Qualifications Panel der Nasdaq anzufechten. Ein entsprechender
Antrag würde die Aufhebung des Listings seiner Wertpapiere
aufschieben, bis das Schiedsgremium eine Entscheidung gefällt hat.

Wenn ich das vorige richtig verstehe ist doch noch gar nichts entschieden.Wiso jetzt dein Pessimismus?

die Aktie befindet sich auf dem ATL. Die Börse nimmt Dinge nun mal vorher. Das Management ist unter aller Sau, immer nur Versprechen, welche dann nie gehalten werden, dabei macht man sich selbst die Taschen voll. Man hat gegen das Delisting, welches ja über dem Unternehmen schwebte, nichts vorher unternommen. Ich habe in meinen vorherigen Postings immer geschrieben, dass man eigentlich gute Produkte hat, diese nur nicht zu vermarkten weiss. Die Story fing mit Invicorp an, lange vor Viagra, Cialis und Levitra. Wenn man die Geschichte richtig angepackt hätte wäre man als Erster mit einem Potenzmittel auf dem Markt gewesen. Man kann sich vorstellen was das bedeutet hätte. Dieses Ding hat man bis auf einige kleine Märkte heute noch nicht eingeführt. Mein ganzes Vertrauen ist geschwunden und so vermute ich, dass es mit Zeatin, was der Renner sein soll, nicht anders wird. Ich denke, dass dies die meisten noch Investierten genau so sehen und sich von der Aktie trennen. Daher auch grössere Verkäufe die letzten Tage, was natürich den Kurs unter Druck bringt. Es gibt also viele Gründe für meinen Pessimismus, denn aus den bisherigen Rechtsstreitigkeiten hat Senetek immer den Kürzeren gezogen, egal ob Obagi oder mit den Thiemes, Senetek hat immer verloren oder sich zum eigenen Nachteil verglichen.
Frühere Senetek-Getreue wie Umckalaboa, Omoos und Teksene haben vermutlich mittlerweile auch keine Hofnung mehr, denn der Thread ist geradezu tot.
Ich lasse mich gerne vom Gegenteil überzeugen, doch momentan fehlt mir dazu - leider - der Glaube.

Senetek Settles Charges Of Violating `Regulation FD`

WASHINGTON (Dow Jones)--Senetek PLC (SNTK), a developer of anti-aging products, settled charges that it had shared financial projections with analysts before releasing the information to the public, the Securities and Exchange Commission said Thursday.

The company didn`t have to pay a fine and was ordered to avoid breaking the rule again. The SEC said that Senetek had provided two research firms with non- public information about its projected revenue and earnings while the firms were preparing research reports. The company didn`t simultaneously release the information to the public, the SEC said.

Ari Gabinet, the head of the SEC`s Philadelphia office, said the charges marked the agency`s fifth case involving Regulation Fair Disclosure. The rule requires companies that make presentations to analysts behind closed doors to release the information simultaneously to the public to prevent any unfair trading advantages.

A phone call left with Senetek wasn`t immediately returned. The company is based in Napa, Calif.

gab heute bekannt, das Unternehmen habe eine Vereinbarung mit der
Securities and Exchange Commission (SEC) zur Regelung einer SEC
Untersuchung, bei der es darum ging, ob Senetek gegen die SEC
Vorschriften der Regulation FD verstossen hatte, als das Unternehmen
bei zwei verschiedenen Anlässen Analysten angewiesen hatte, die Draft
Analyst Estimates für künftige Umsätze und Gewinne zu reduzieren,
ohne jedoch die veränderten Einschätzungen gleichzeitig zu
veröffentlichen. Die Untersuchung durch die SEC wurde angesetzt,
nachdem Senetek die SEC freiwillig darüber in Kenntnis gesetzt hatte,
dass das Unternehmen von seinem Rechtsanwalt darüber informiert
worden war, dass Senetek möglicherweise durch die Weitergabe der
Information an Analysten gegen die Vorschriften der Regulation FD
verstossen hatte.

Im Rahmen der Beilegung dieser Angelegenheit stimmte Senetek, ohne
den in der Verfügung der SEC enthaltenen Feststellungen zuzustimmen
oder sie zu bestreiten, der Eintragung einer Verfügung durch die SEC
zu, in der festgestellt wird, dass Seneteks Informationsübermittlung
an die Analysten ohne gleichzeitige oder unverzügliche Bekanntgabe
der Information an die Öffentlichkeit die Vorschriften der Regulation
FD verletzt hat. Die SEC weist Senetek an, künftig diesbezügliche
Verletzungen der Vorschriften der Regulation FD zu unterbinden und zu
unterlassen. Die SEC Verfügung vermerkt, dass in dem Beschluss,
Seneteks Angebot zur Regelung der Angelegenheit zu akzeptieren, die
SEC die unverzüglichen Abhilfemassnahmen Seneteks sowie die von
Senetek gegenüber den Mitarbeitern der SEC angebotene Zusammenarbeit
berücksichtigt wurde. Die SEC reichte keine Klage gegen Mitarbeiter
von Senetek ein und verurteilte das Unternehmen zu keinerlei
Geldstrafe.

www.senetekplc.com, ein Unternehmen der Gesundheitsbranche, das auf
die Entwicklung und das weltweite Co-Marketing von
Anti-Aging-Produkten, die das Altern verhindern sollen, spezialisiert
ist, gab heute bekannt, dass das Unternehmen am 30. September 2004
die Umstrukturierung seiner vorrangig gesicherten Schuldtitel und
Optionsscheine gemäss den Bedingungen der vorläufigen Vereinbarung
fristgerecht und erfolgreich abgeschlossen hat. Diese Bedingungen
sind bereits in einer Pressemitteilung vom 16. August 2004
veröffentlicht worden.

Die Vereinbarung sieht eine vorzeitige Rückzahlung von 1,6 Mio.
USD ohne weitere Tilgungsleistungen bis zur Fälligkeit im April 2007
vor. Die Zinsrate der Schuldtitel wird über die Laufzeit der Anleihe
konstant 8,5 % betragen. Die restlichen Schuldtitel im Werte von 3,3
Mio. USD werden, nach Wahl der Titelinhaber, zum festgelegten
Konversionswert von 0,80 USD je Aktie in Senetek-Stammaktien
konvertierbar. Die Fälligkeit der Optionsscheine der Kategorien A und
B ist bis zum März 2011 verlängert worden. Die Optionsscheine der
Kategorien A und B werden zum reduzierten Preis 0,50 USD anteilig je
Aktie ausübbar, wenn die entsprechenden Titel gegen Aktien getauscht
oder ausbezahlt werden.

ist, seine Gesamtschulden wesentlich zu reduzieren, das

Habe auch noch nichts von SEC gehöhrt.
Ich werde auf jedenfall die Aktie halten. Ich bin immer noch überzeugt das sich es lohnen wird. Meistens muß man mit dem Strom schwimmen, doch bei Senetek ist das wohl umgekehrt.

NAPA, Calif. and BUENA, N.J., Oct. 27 /PRNewswire-FirstCall/ -- Senetek PLC (Nasdaq: SNTK), www.senetekplc.com, and IGI, Inc. (Amex: IG), www.askigi.com, today announced the signing of a letter of intent for Senetek to acquire IGI in a stock-for-stock transaction in which Senetek shareholders would receive 60% of the shares of a newly formed holding company and IGI shareholders would receive 40%. The holding company would be organized in the United States and would seek listing on either the Nasdaq SmallCap Market or the American Stock Exchange. The transaction is subject to the satisfactory completion by each company of a due diligence review of the other company`s business, technology, financial position and prospects, negotiation and execution of definitive agreements and their approval by the companies` respective Boards of Directors and shareholders, and satisfaction of all closing conditions specified in the definitive agreements. In addition, if the combined market capitalizations of the two companies, based on the average daily sale prices of their shares during a 20-trading day period following circulation of their respective proxy statements for the transaction, is less than $40 million (equivalent to a minimum of $16 million pro forma value for the 40% of the combined company`s shares issuable to IGI shareholders), either party may terminate the transaction. IGI has agreed not to enter into any discussions with third parties for a possible business combination or other transaction not in the ordinary course of business for a period of 60 days while the due diligence investigations continue, although it may provide publicly available information pursuant to confidentiality agreements signed with third parties prior to the date of the letter of intent.
