(OTCBB: BSIO) will be held on Wednesday, September 22, 2004, at 11:00 a.m., local time, at the offices of the Company located at 12600 W. Colfax Avenue, Suite B410, Lakewood, Colorado 80215, for the following purposes, as more fully described in the attached Proxy Statement:

1. To elect four directors, each until the next annual meeting of the Company`s shareholders or until their successors are duly elected and qualified;
