Update: September 14, 2004
To all shareholders:
I cannot foretell the future, nor can I change the past. However, you can surely bet that I will work hard to preserve what has been built over the past seven years. The news reports of the last few weeks can only portray a flash of our company, a short moment in time that becomes instant history. Still, I have done my best to convey the good and the bad, the bold and the serene, the positive and the negative While it is true that Med Gen is going through the undulating rigors of a post trial loss, you must be aware that the atmosphere, much to the credit of our staff, is one of business as usual.
The Justice system is at times unjust. I still smart over how the legitimate firing of our former distributors, which was due to the failed promise of millions of dollars in orders and the re-assigning of brokers to an alien company without a single notice, could have turned into this prolonged lawsuit. The legal costs of the trial alone exceeded $300,000. That a judgment award, made by a jury of six women (with little or no business experience) and one college aged man, could have awarded a judgment amount that is more than the entire profits gained from the one account that they claimed to have opened, is yet another example of a system gone awry.
Yet, I am told that there are safeguards built into the system and that is what we are now pursuing. Although I don’t believe in luck, I do believe in justice and I believe Med Gen will have its “day in court” and we will prevail. While this is going on we must take care of business. Recently the company has announced two major store openings, Meijers that has stores in Ohio, Wisconsin, Kentucky, Illinois and Gristedes, which is a “king” in the New York City area. There are several other important store openings that will be announced as they come on line. The goal is 40,000 outlets by the end of fiscal year 2005. As distribution increases our advertising budget will increase proportionately. Our recent advertising blitz featuring both TV and Radio commercials has proved to us the real power of advertising and how important it is to the success of any marketing program. The Rush Limbaugh Show was especially important to us.
As you also know, we have been pushing the international markets and we expect considerable activity from China and Europe. Time and money are the keys to success overseas. We have succeeded in winning our CE registration for the European Common Markets, TGF approval for Australia and KFDA approval for Korea… The process will continue and we should start shipping meaningful amounts into directed overseas markets as their stringent requirements are met. The process is not easy and it is costly, but the rewards are great.
Then there is the subject of our stock. As I read the chat room gossip I get the feeling of total confusion. It is largely true that stocks tend to positively react to buying support. However, it is undeniably true that in OTCBB stocks, the machinations by Market Makers, creating short positions and price fluctuations, have a great persuasion on the price. Day trading in “penny stocks” has become the game of choice for “chatters”. This too adds to the confusion of the markets and creates large swings. Yet, all agree that the greater persuasion towards the buy side and the result is a rapid upward trend. It is the very nature of Chat Rooms which create rapid buying and selling…. Not a good combination for long-term growth. Most “Chat Investors”, as I like to call them, cannot win as they rapidly move from one tout to another, selling and buying in a reckless manner. Do your homework! If you believe in our products, in our philosophy and in our management team, then take an initial position and add to it, averaging up or down as the case may be. Your investing results should certainly improve.
We are all equals as Shareholders. We are afloat in the same Ocean, all rising and falling with the waves together. It is not they and we… Only us, together. Why come out of this as a good company when we can be a great company. Med Gen does have this opportunity and I hope you can recognize this. After all, we are a company with great products, great distribution and great opportunities.
There is much to get done.
Respectfully,
Paul B. Kravitz

From the Chairman
AN OPEN LETTER TO ALL SHAREHOLDERS AND THE GENERAL PUBLIC
Nobody benefits when rumors dictate the movement of stock or the direction of a company. While it is true that most stocks trade on “future hope” and some hype, it is also true that the personality of a real company should be based upon fact, calculated predictions and honesty.
It is often said that life is shaped by events… and to a great degree I believe that there is truth to that adage. Med Gen is now seven years old. Most companies don’t make it past the three-year mark. So you must believe that we have great products, great management or both. We certainly never had the benefit of a lot of money. The biggest single event that is now shaping our destiny is the lawsuit that has been recently announced in a News Release by the company and which has been discussed ad nauseum in almost every chat room on the Internet.
Let me clarify for all, the future events that are apt to take place and the possible effects on our company. Mind you, the attitude of management is “business as usual”. You have been made aware of significant progress in marketing, distribution and R&D efforts to bring out new and exciting products. This massive effort on the part of management will no doubt make Med Gen an exciting and highly prosperous company. Yet we must get over the legal problems in order to build immediate shareholder loyalty and long-term investors.
With regard to the lawsuit, there are several events going on at the same time. There is a (i) “motion for a new trial”, (ii) negotiation for settlement, (iii) Appeal for a new trial on damage award and (iv) filing prepared for protection under the chapter 11 bankruptcy code. None of these events, other than a negotiated settlement, would happen before March 2005 and maybe, in the case of an Appeal until early 2006. The company’s legal team will protect us all during the process, leaving management free to run the company [not that I don’t worry a lot- and oversee the process]. The point is, to make a “buy” or “no buy” decision at this point purely on the speculative outcome of the legal action does not make much sense. As the gurus say, buy low sell high. If you as an investor feel that our stock at this level is undervalued, this could well be the buying opportunity of a lifetime.
Disclaimers aside, Snorenz® and Good Night’s Sleep® are products of unparallel value with huge market potential. Did you know that the combined domestic markets for these products exceed $1.6 billion? You should also know that Good Night’s Sleep is unique in that it has no competition as a liquid spray sleep-aid…Snorenz® has only one competitor and Snorenz® is the only all natural snore-relief brand, an original patented formula that has been proven over 7 years and major studies to do what it says it will do. We are a company with real products, sold in major stores throughout the USA and soon in major markets World-Wide. Need I say more!
