Für mich gibts da nur eine Erklärung, entweder du bist Bill Gates und hast einen Wert gesucht um dicke Verluste für die Steuer zu machen, du kannst kein Englisch und kannst die news und die Geschäftsbericht von RVNM nicht lesen oder du hast vielleicht mal mounteverest geheißen.

Dies soll keine Unterstellung sein, sondern nur eine polemische Anspielung auf die Aktie von Raven Moon...

Hallo liebe Thread-Gemeinschaft,

ich verfolge seit einigen Monten die Aktie RVNM und habe mir in den letzten Tagen stückzahlseitig doch eine beträchtliche Position bei 0,001 aufgebaut. Nun wurde in
letzter Zeit oft von einem Split gesprochen ( was für die
Anteilseigener und hinsichtlich weiteren Kursverlauf sehr
negativ bewertet wurde). In der Vergangenheit wurde bereits in 2001 ( Split 10:1) und 2003 ( Split 1:50 )
durchgeführt.

Was passiert ganz konkret bei einem Split? Bitte nur
sachlich hierauf eingehende Antworten und auf inhaltlose
Kurzkommenatare verzichten. Danke im voraus

Wie freidenker bei einem Kursrückgang von 99,994 % in den letzten 4 Jahren von "alter Größe" sprechen kannst, ist mir mehr als nur schleierhaft.

da du offensichtlich nicht investiert bist und dich im
Börsenbereich besser auskennst wie ich wäre es doch dann
ganz nett, wenn du meine Frage bezüglich Split sachlich
beantworten könntest (wobei es immer wieder interessant
das sich ständig Leute in Diskussionsforen aufhalten, die
selber nicht investiert sind ).

Im übrigen ist mir durchaus bewusst, dass die paar hundert
Euro Investition stark risikobehaftet sind.Jedoch steckt
in der Aktie durchaus Phantasie und wenn es nicht
klappen sollte ( sprich Totalverlust ) dann tut es mir
finanziell nicht sehr weh. Hingegen ist bei einem Kurs-
anstieg die Gewinnaussicht besonders attraktiv. So sehe
ich das nunmal.

er mündet in einem fetten Gewinn.Ich kann warten.Du scheinst ja diese Eigenschaft nicht zu besitzen...

Italiener, ich war seinerzeit in Augrid investiert, die einen Split 100:1 durchgeführt hatten. Nach vorausgeganenem Kursrutsch kam es nach dem Split zu einem Kurverfall von nahezu 98%. Als es dann noch mal nen Hype gab bin ich ausgestiegen und mit einem blauen Auge davongekommen.
Alles in allem ist so ein Split dem Kurs nicht gerade zuträglich.
Was ein Investment in RVNM anbelangt bin ich gleicher Meinung wie du, abwarten und einfach liegenlassen. Der finale Hype kommt so sicher wie das Amen in der Kirche!

das keine Missverständnisse aufkommen. Habe selbstverständlich deine Anmerkung als gutgemeinte Warnung aufgenommen. Da ich jedoch zu 0,001 eingekauft habe ( ich gehe leider davon aus, dass viele Teilnehmer zu wesentlich höheren Kursen eingestiegen sind ), sehe ich
das nach wie vor immense Risiko im Zusammenhang mit ebenso
hervorragenden Gewinnaussichten. Meine Hoffnung stützt sich ferner auch auf folgende Beobachtung; die gegenwärtige Newslage weicht doch nicht drammatisch negativ von der letztjährigen ab. Und seinerzeit hatten wir doch noch Kurse zwischen 0,02-0,03 Euro
Des weiteren kann auf neutralen Quellen durchaus ein
gewisser Bekanntheitsgrad von GinaD ausgemacht werden.
Und wie gesagt wenn es nicht klappen sollte so hatte ich
wenigstens ein wening Nervenkitzel

Du solltest dich mehr an der MK und weniger am Kurs orientieren.

Damals war das OS bei unter 100 mio. und das AS war 400 mio.
heute nähert sich das OS 1 milliarde und das AS liegt bei 20 milliarden.

mag sein das ich mich an dem falschen Richtwert orientiere. Aber mal generell an die gesamte Runde gerichtet : glaubt den irgendjemand an einem positiven
Verlauf der RVNM-Story? Der Markt und die angestrebte
Ausrichtung ist doch hochinteressant. Und wenn aus den
möglichen Lizenzen entsprechende Umsätze generiert werden
können existiert doch eine herausragende Chance für alle
Investierten.Der Faktor "Phantasie" ist in der Börse doch kein unwesentlicher.

Naja, das mit der Fantasie ist so eine Sache- ich hatte im letzten Jahr die Hoffnung, das sich die Aktie bewegt wenn die ersten Folgen von Gina D ausgestrahlt werden. Da ist leider überhaupt nix passiert, die Aktie ist sogar noch mal richtig in den Keller gegangen (also von dem Zeitpunkt bis heute). Um hier noch mal Fantasie reinzubringen müßten schon richtig gute News kommen, z.B. ein Deal mit einer großen Handelskette o.ä., sonst sehe ich rabenscharz. Es gab ja in letzter Zeit ständig News, die leider überhaupt nichts am Kurs bewegt haben.


Am Ende ist es halt so, daß man Firmen aufmacht damit sie Gewinne machen und wenn RVNM das irgendwann mal schaffen sollte, dann geht sicher noch was. Aber fragt mich bitte nicht ob und wann das der Fall sein kann/wird. Es ist ja generell bei Medientiteln so, daß mit einer einzigen Serie/Film/CD die richtig erfolgreich läuft sehr viel Geld verdient werden kann, und daß auch die Gewinnspannen sehr hoch sein können wenn die Firmen nicht zu groß sind und zu viel Ballast mitbezahlen müssen. Ich hab einige RVNM leider viel zu teuer gekauft, dann noch mal ne ganze Menge bei 0.002 und dann noch mal bei 0.001. Hab halt auch noch die Hoffnung, daß zu den Ausstrahlungen der Sendungen irgendwann mal Lizenzartikel verkauft werden.

Wie auch immer- ich würde hier nicht zu viel Geld reinstecken. Die ganze Kiste ist wirklich sehr, sehr spekulativ und riskant und bei sowas darf man sich am Ende nicht aufregen, sollte die Kohle fast vollständig vernichtet werden.

Habe auch wie Du am Anfang RVNM viel zu teuer eingekauft...

Es bleibt natürlich ein SUPERHOCHSPEKULATIVES Investment

dennoch verfügen die Macher wohl über (so wie es die News sagen) wirklich einflussreiche Kontakte...

Mit RVNM kann man ganz leicht ein kleines Vermögen machen (man nehme ein großes und investiere in RVN...).
Bis jetzt haben die es immer wieder geschafft, alle die daran geglaubt haben, daß endlich so etwas wie ein Boden oder günstige Einstiegskurse erreicht sind, eines schlechteren zu belehren.
Ich hatte auch vor längerer Zeit mal gepostet, daß ich nicht daran glaube, daß RVNM unter 0,02 EUR fällt. Herrje, das waren noch Zeiten. Seitdem sind schon wiedermal 95% in Luft aufgelöst. Wie lange das noch so weitergeht, ist nicht abzusehen.
So lange keine Änderung im Vorgehen des Managements zu erkennen ist, sollte man diese Investition nicht auf reiner Hoffnung aufbauen.
Bis dahin gibt es bei RVNM aus meiner Sicht nur zwei brauchbare Strategien:
- die nervenschonende: Finger weg!
- die stressige: die Abwärtswellen abreiten (auch kleine Kursaufschwünge konsequent zum Verkaufen nutzen, Gelegenheit zum billigeren Zurückkaufen gibts bestimmt.)

einen erneuten Abwärtstrend in dem von Borealis genannten
Rahmen ist mit Blick auf den aktuellen Kurs 0,001 eher
unwarscheinlich. Es deutet zudem nichts darauf hin, dass
die Maschinerie zum Erliegen kommt ( Erhöhung der
Kreditlinie um die anvisierten Folgen fertigzustellen;
Pflege und Intensivierung von Marktkontakten etc. ).
Alles "im Unternehmen" arbeitet auf den Tag "X" hin.

Und beim Durchlesen der Postings leite ich anstatt der
auf em ersten Blick scheinende "Totengräberstimmung" eher
ein "hoffnungsvolles Lauern" ab.

dann lies auch mal weiter zurück:
Alles was an Wertschöpfungsfantasie
(Merchandising, CD, Videos) vorhanden ist,
ist ausgelagert in selbstständige Firmen
(JB Toys, Raven Animation, Club House Videos) von denen in der Regel
nur mehr ein Minderheitsanteil bei RVNM verblieben ist,
sodaß, wenn das Geschäft tatsächlich anspringt, nur noch ein minimaler Prozentsatz bis zu RVNM
zurückfließt

Anders gesagt die RVNM-Aktionäre durften 100 % der Entwicklungskosten finanzieren
und wenn jetzt tatsächlich Umsätze generiert werden,
wird ein Großteil davon bereits im Vorfeld von anderen Firmen,
an denen selbstverständlich wieder die DiFrancescos beteiligt sind, abgeschöpft.

Schau dir mal die Aktionärsstruktur von Raven Animation an,
da wurden die meisten der Aktien an das BOD verteilt,
ein Teil blieb zurück um Consultants zu bezahlen und
ca. 10 % waren für die RVNM-Aktinäre als Spin-off Dividende vorgesehen.

Bei RVNM ist kaum was verblieben

0,03 Euro sehen werden? Insbesondere wenn die einzelnen

Da RVNM noch nie einen Cent Gewinn und auch keine nennenswerten Umsätze gemacht hat ist es absolut spekulativ irgendwelche Kursziele anzugeben. Es fehlen einfach seriöse Grundlagen um da irgendwas zu berechnen. RVNM selber spricht natürlich von einem Multi-Millarden-Dollar-Lizenzmarkt von dem es gilt sich ein Stück zu holen. Die Frage ist wie stark man das Potential von Gina D einschätzt und was man denkt, das daraus an Umsatz für RVNM resultieren kann.

Meine persönliche Meinung dazu ist, daß Gina D schon ein attraktives Programm ist. Es ist unwahrscheinlich, daß man mit totalem Thrash Sendeplätze für 80% aller amerikanischen Haushalte bekommt. Die Qualität der Serie ist also nicht soo schlecht. Die Frage ist dann wieder wie gut die Inhalte der Serie in Lizenzprodukte umgesetzt werden können. CDs, DVDs, Puppen, ok- ich kann mir aber auf gar keinen Fall vorstellen, daß sich um die Produkte und die Sendung ein Hype wie bei z.B. Pokemons entwickelt.

Ich denke aber auch, daß die Aktie schon einen Schub bekommen würde, wenn es alleine mal klappen würde einen Umsatz von 5-10 Millionen Dollar(Jahr) zu generieren, nur um auch mal eine Zahl ins Spiel zu bringen. Viel mehr erwarte ich erst mal gar nicht. Wie gesagt- das ist meine bescheidene Meinung. Und da ich denke, daß dieses Ziel erreicht werden kann wenn die Arbeit an Lizensierung und Vertrieb von Gina D-Produkten intensiv aufgenommen wird, bleibe ich auch erst mal weiter drin.

du scheinst tatsächlich wenig Ahnung von Börse zu haben.

Während der Kurs von 0,03 zurückgegangen ist,
hat sich die Anzahl der Aktien um den Faktor 12 bis 15 erhöht.

Um diesen Faktor bereinigt haben wir ein Kursrückgang auf ca. 0,015 zu beobachten.

Wen du jetzt noch berücksichtigst, daß bis Juni 2004 die Meinung vorgeherrscht hat,
daß RVNM in Kürze über Lizenzeinnahmen für die Ausstrahlung von Gina Umsätze erzielen würde,
dann ist der Rückgang, als bekannt wurde, daß RVNM den Sendern Gina gratis zur Verfügubg stellt,
ja, daß RVNM sogar noch die Werbung für die Sender finanziert,
um 50 % ziemlich normal, ich würde sogar moderat sagen.

Außerdem sollten einige hier auch jetzt wieder auf dem Boden der Realität bleiben.
Nur weil jene Sender, denen Gina gratis zur Ausstrahlung überlassen wurde, 70-80 % an Reichweite abzudecken in der Lage sind, heißt daß noch lange nicht, daß Gina auch überall gesendet wird.

In den PRs dazu wurde immer sehr vorsichtig selected .. stations oder auch various stations verwendet.
Ein sehr klares Zeichen, daß die Ausstrahlung eben nur auf einen Bruchteil der möglichen Reichweite beschränkt wurde.

Alles andere haben hier einige Edelpusher versucht den Kollegen einzureden und bei einigen ist das auch gelungen.

Also gravierender Anstieg der ausgegebenen Aktien mit einem enttäuschenden Fortschritt beim Geschäftsgang plus nicht zu verleugnenden Vorgängen, die eher Aktionärs-Abzocke seitens RVNM vermuten lassen,
lassen den Kursverfall ziemlich logisch erscheinen.

Wenn du jetzt noch ein AS von 20 Milliarden berücksichtigst, daß nach den letzten Erfahrungen mit RVNM, vermutlich auch ausgereizt werden wird,
dann ist, abgesehen von kleinen Zuckern nach oben, in nächster Zeit kaum mit einer echten Erholung zu rechnen.

beschäftige mich mit der Börse in der Tat am Rande und bin alles andere als ein Börsenguru. Insofern habe ich kein
Problem dir diesbezüglich Recht zu geben.

Jedoch ist mir die enorme Aktienvervielfältigung und die
zweifelhaft anmutende Aktionärspolitik seitens RVNM auch
nicht ganz verborgen geblieben. Hinzu kamen wie von dir
auch erwähnt Beiträge, die nicht gerade ein realitätsnahes
Licht auf RVNM geworfen haben. Dies hat viele in die Irre
geleitet ( und was weitaus schlimmer ist zudem finanzielle
Schäden verursacht ).

Ich bin aber auch ein bekennender Zocker und finde,dass die Grundidee von RVNM aus einem Stoff geschrieben ist, das
druchaus zu einer Rakete werden kann.Ob die AS von 20 Milliarden vollumfänglich beansprucht werden ist gegenwärtig rein spekulativ.Es wurde doch in den letzen
Wochen so getan als wäre diese Kiste gestorben. Dies
steht jedoch im krassen Gegensatz zu den Aktivitäten der
Firma, die weiterhin die Lizenzsierungsvorgänge vorantreibt und an der vertrieblichen Umsetzung der Gina D.-Produkte arbeitet.

Und diejeningen die zu 0,00x eingekauft haben verfügen m.E. über herausragende Gewinnchancen. Und darum geht es
doch hauptsächlich an der Börse.

Wenn du dein Einkaufsschnitt verbesern möchte dann würde
ich an deiner Stelle noch zuschlagen.

Deswegen kauft ja auch keiner mehr in Berlin, weil bei den meisten Online-Brokern gar nicht so viele Stellen nach dem Komma eingegeben werden können, wie nötig wären.
Außerdem werden die Kurse nicht hier, sondern bei den Amis gemacht.

Pendelt zwischen 0,006 und 0,007 wobei die 0,007 nicht
zu halten scheinen...

Um wieder einen Kursaufschwung herbeizuführen müssen nun
wirklich sehr positive 2004-Zahlen in Verbindung mit
weiteren Lizensierungserfolge her.Wir werden sehen.
Möchte trotzdem alle Investierten erstmal gesegnete
Ostertage wünschen.Es kommen ganz sicher wieder
bessere RVNM-Tage

Ich würde mich auch über positive Zahlen freuen, sehe aber im Moment echt nicht woher die kommen sollen. Wenn der Laden irgendwas verkauft hätte, dann hätten sie das doch gleich veröffentlicht. Es ist ja auch nichts gelaufen in sachen Lizenzen. Wird wahrscheinlich wieder so ne Nummer wie letztes Jahr mit 75 Dollar Umsatz Naja- hoffen wir mal auf 2005, und daß wirklich mal RVNM-Produkte in die Läden kommen.

verzichten und dies wäre auch in der aktuellen Kurslage überaus fatal

Sehe ich genauso.Wie oft habe ich andere Werte gesehen,die auch so abgekackt sind,um dann in ein Paar Tagen 2 bis 5000% zu steigen.Viel schlimmer kann es nicht werden.Abwarten.

Die Francesco hat z.B. in der Newsmitteilung vom 16.12.2004 auch erwähnt, dass die Fertigstellung der
Gina D.-Folgen bei ihm höchste Priorität genießen, und
hat sozusagen ihm selben Atemzug die Loyalität und die nunmehr baldige Gewinnaussicht der langjährigen Aktionäre
hervorgehoben. Ohne naiv zu sein glaube ich an die Abzockervariante nicht so sehr auch wenn bestimmte Handlungsweisen durchaus ein solchen Verdacht erzeugen können. Wenn man bei ihm wirklich Ernsthaftigkeit unterstellt spricht da keiner der die Aktionnäre in der
kostenträchtigen Entwicklungsphase zur Kasse gebeten hat,
und sie bei einer positiven Geschäftsentwicklung weitgehendst lehr ausgehen lässt.

Ja, sehe ich auch so. Es ist halt nur so, daß ich nicht sehe woher Gewinne oder auch nur nennenswerter Umsatz aus dem Jahr 2004 kommen sollten. Das Einzige womit RVNM Geld verdienen könnte sind nun mal Lizenz-Produkte und die gab es in 2004 einfach nicht. Du kannst Dir im RVNM-Online-Store ein paar CDs und DVDs bestellen aber das war´s dann auch schon. Ich würde mich sehr wundern (wenn auch im positiven Sinne), wenn es dieses mal wesentlich mehr als 75 Dollar wären.

Naja, hoffen wir mal auf 2005.

Dann gabs da noch so eine Vereinbarung mit Serendipity, die haufenweise diverse Spielzeuge für RVNM herstellen sollten. Oder für die Kinderunterhaltung auf den Kreuzfahrtschiffen. Auch da gibts einen Vertrag drüber.
Scheint aber keiner ein Interesse daran zu haben, daß wenigstens ein wenig davon umgesetzt wird. Nicht einmal der gute Willen ist zu erkennen.

Wobei bei der Kursentwicklung die 300 mio. eher Untergrenze sind,
da ja die monatlichen Verpflichtungen in Form von $-Beträgen vereinbart sind und dann erst in Aktien zum aktuellen Kurs umgerechnet werden, dazu kommt dann noch ein Abschlag von 50 %

Und nicht vergessen 9 $ Quartalsumsatz als den größten Hoffnungsschimmer zu präsentieren

Raven Moon Entertainment, Inc. (OTCBB:RVNM) is pleased to announce that it will spin-off a new G-Rated, all music video program for pre-school kids called TED TV(tm) that can possibly double its advertising revenues by the 1st quarter of 2006.

TED TV`s(tm) lovable animated host TV Ted(r), who can be seen each week on Raven Moon Entertainment`s, Gina D`s Kid Club(r), which is currently airing nationwide on 145 television stations, will be spun-off into his own show this fall. The pilot program will be completed this fall, and syndication will kick off in time for the NATPE Convention in January.

"TV Ted(r) is an animated character who is a cross between `American Bandstand`s` Dick Clark, MTV`s Carson Daily and a little bit of the lovable side of `Sponge Bob` who leads pre-school kids from music video to music video like a pied piper," stated Joey DiFrancesco, Raven Moon`s CEO and co-creator of the new show along with Emmy Award winning Executive Producer Bernadette DiFrancesco who created the TV Ted(r) character.

Nein. Es wurde mal eine Summe genannt(ich glaube 1.3 oder 1.6 Millionen Dollar), mit denen man bei RVNM rechnet, wenn der Verkauf von Werbezeiten weiterhin so verläuft wie im Moment. Ich gehe stark davon aus, daß dieser Betrag sich verdoppeln soll. Soll er auch gerne, wenn´s nach mir geht

Jajaja, ich weiß. Hab auch nicht behauptet, daß es hier morgen abgeht wie Schmidts Katze, sondern nur versucht diese Meldung zu erklären.

Und ich muß ehrlich gestehen, daß ich mittlerweile auch nicht mehr ganz durchblicke ob Clubhouse jetzt RVNM gehört oder andersrum und wo das Geld hingeht wenn denn welches kommen sollte. (OTCBB:RVNM) is pleased to announce that they have signed 10 Direct Response agreements with stations to promote its GINA D`S KIDS CLUB DVDs. The partnership agreements with the stations will allow Raven Moon to advertise and sell its GINA D`S KIDS CLUB DVDs at no up-front cost while giving the company 75% of the net revenue generated from the sale of product.
The "Gina D" Direct Response advertisements will be airing in Los Angeles, Washington D.C., Denver, Indianapolis, New Orleans, and Honolulu, among others.

"The stations airing our Direct Response ads are also stations that are currently airing the GINA D`S KIDS CLUB program on a weekly basis. This is a great way for both Raven Moon and its station partners to generate direct response revenue until the `Gina D` in-store retail licensing takes off," stated Joey DiFrancesco, Raven Moon CEO.

Raven Moon is currently selling advertising through its New York-based advertising agency, TVI Media who expects to continue selling advertising on behalf of Raven Moon Entertainment on a monthly basis. Raven Moon Entertainment is projecting approximately $450,000 in advertising revenue for 2005 and $1.6 million in advertising revenue for 2006. These projections are based upon industry standards and increases in ratings over time.

GINA D`S KIDS CLUB is a weekly half-hour series for preschool aged children that have launched 18 half-hour original episodes in over 145 markets nationwide. Taking up where Mr. Rogers left off, Gina D invites children to join her in a familiar yet highly imaginative 3D reality world filled with original songs, state-of-the-art animation, puppets and live action characters. Created by Emmy Award-winning veteran children`s TV producers Joey and Bernadette DiFrancesco, GINA D`S KIDS CLUB is a family friendly show which provides educational content in an original and entertaining format that inspires children while reinforcing positive values.

THE COMPANY

Business

We are principally engaged in the development and production of children`s television programs and videos, CD music production, Internet websites focused on the entertainment industry and music publishing and talent management.

Raven Moon Entertainment is well on its way to 40 episodes of "Gina D`s Kids Club." As of December 31, we have produced 18 episodes of the half hour program. The production of "Gina D`s Kids Club" has resulted in 18 DVD titles, a music library of over 100 original songs, and a cast of characters which are suitable for licensing and merchandising opportunities. Raven Moon`s future revenue

stream is dependant on its nationwide syndication of "Gina D`s Kids Club" and its ability to continue to finance the production of the remaining 22 episodes of "Gina D`s Kids Club". Once the company has the program in a position where it`s airing 5 days a week on a station which is considered a destination for kids, management believes there are numerous opportunities in a billion dollar licensing and merchandising market for preschool kids. Raven Moon management has already explored these opportunities and has met with prominent industry leaders who have recommended the company adapt a strategy which will allow Raven Moon to build upon the "Gina D`s Kids Club" brand.

In addition to "Gina D`s Kids Club", Raven Moon has begun developing a "Mr. Bicycle Man" television series and feature film with former Disney animators. The company has already produced a "Mr. Bicycle Man" Pubic Service Announcement, a trailer for the "BoBo Blocks" television series, and a trailer of the "Amazon Challenge - Search For The Amazon Queen" reality television series.

Raven Moon has also established certain relationships with distributors which have already generated orders from Christian bookstores throughout the country and most major online retailers including Wal-Mart, Target, Books A Million, Borders, Toys R Us, Babies R US, and Amazon. While we have reduced our debt, we will not be able to generate significant revenues until the television programs air on television, are accepted by the viewers and attract licensing offers from major distributors, manufacturers and retailers.

The "Gina D`s Kids Club" began airing on television once a week in September 2004, through the efforts of our syndicator Role Entertainment. In order to maximize our airtime exposure to five days, we will have to produce an additional 22 half-hour episodes at an approximate cost of $5,500,000. As part of our business plan, the completion of a total of 40 episodes could create multiple revenue streams which includes worldwide licensing and merchandising opportunities for the videos, CD`s, and toys that have been inspired by the show if the programs are well received by the viewers, the licensees and the retailers. Parents told us that they wanted better programming for their children, and we are committed to our goal of providing the very best in family values children`s entertainment.

Da sind doch tatsächlich 1100 Stück gehandelt worden, das sind 11 US-Cent und der Kurs ist damit von 0,0002 auf 0,0001 gefallen. Wenn das keine Manipulation ist dann weiß ich auch nicht mehr!

Im Umlauf sind die 10,8 Mrd. Aktien wahrscheinlich noch nicht.
Dieses SB-2 Filing gibt es ja mittlerweile schon als vierte Version. Die erste stammt vom 27.4.05 und wurde am 20.5, 24.5. und 8.6. jeweils durch eine überarbeitete Fassung ersetzt. Nennenswerte Unterschiede zwischen diesen Fassungen sind mir bisher aber nicht aufgefallen.
Bereits in der Fassung vom 27.4. ist davon die Rede, daß 10,62 Mrd. Aktien bereits ausgegeben wären und 180 Mio als Deckung für ausstehende Optionen zurückbehalten werden.

Dem widersprechen allerding die Angaben in dem S-8 Filing vom 31.5.05, wo von 2.630.973.914 ausgegebenen Aktien (Stand 26.5.05) die Rede ist. Das ist ungefähr die Anzahl, die sich aus den mit dem S-8 Filing von 14.4.05 ausgegebenen Aktien ergibt. Also scheinen bis zum 26.5. von den 10,8 Mrd. noch keine ausgegeben worden zu sein.

Man sollte die 10,62 Mrd. allerdings trotzdem schon als ausgegeben betrachten. So würde ich das "10,620,000,000 shares are presently outstanding" interpretieren. Immerhin ist diese Zahl in den SB-2 Filings bereits ganz bestimmten Leuten, die da in einer Tabelle aufgelistet sind, zugesprochen worden, auch wenn das bisher vielleicht noch nicht ausgeführt worden ist (wahrscheinlich wegen der Druckkosten)

Und diesen Leuten wurde das Recht zum Weiterverkauf dieser Aktien gegeben, auch wenn es kursschonend erfolgen soll (max. 3.813.759 Stück auf einmal ) , "This prospectus relates to the resale by the selling stockholders listed elsewhere in this prospectus of up to 3,813,759 shares of our common stock"

Ihren Optimismus haben sie aber anscheinend noch nicht verloren, höchstens den Realitätssinn. Da glauben doch wirklich welche daran, 3,42 Mio. $ einzunehmen, wenn die 180 Mio. Optionen ausgeübt werden. (das heißt 0,019$ pro Stück), "However, we will receive proceeds in the amount of $3,420,000 assuming the exercise of all of the options held by the selling stockholders."

3. Compensation.

3.1 The Company agrees to register Six Billion Seven Hundred Million
(6,700,000,000) shares of restricted stock of Raven Moon
Entertainment, Inc., ("RVNM"), in the name of MG Studios, Inc. in an
S3 Registration within Thirty (30) days of the acceptance of the S3 by
the SEC. The Company shall hold the restricted shares in an escrow
account until such time as they are due the Producer under the terms
of this Agreement.

3.2 As compensation for the Producer`s services enumerated herein,
Producer shall be entitled to receive Four Hundred Fifty-Eight
Thousand Three Hundred and Thirty-Three Dollars and Thirty Three Cents
($458,333.33) per month worth of free trading shares of RVNM delivered
from the escrow account. Monthly payments are due on or before the
first business day of each month. If payment is made in RVNM stock,
the Producer shall be entitled to receive the RVNM stock based on a
Twenty-Five Percent (25%) discount from the closing per share "bid"
price on the last trading day prior to the day the Company issues the
shares.

3.3 Options. The Producer shall have the right to purchase One Hundred
Thousand Dollars ($100,000) per month worth of RVNM restricted stock
at a Fifty Percent (50%) discount from the closing per share "bid"
price on the last trading day prior to the day the Producer exercises
its Option. Should the Producer exercise the Option described herein,
the Company shall deliver the shares to the Producer from the escrow
account upon receipt of a check from the Producer The Option shall
expire after twelve (12) months. All options will be registered in the
S3 registration.

Ich glaube, da hast du etwas verpaßt. Vor lauter Shares drucken kommen die kaum noch zum arbeiten.
Vor dem Reverse-Split gab es 5.444.898.155 ausstehende Aktien (Stand 30.6.05).
Die Zahl müßte beim RS ca. im Verhältnis 1000:1 abgenommen haben, also auf etwa. 5,445 Millionen.
Am 1.8.05 gab es schon wieder 9.283.685 ausstehende Aktien.
Im Rahmen des RS wurde die Anzahl der genehmigten Aktien auf 100 Mio. erhöht. Das wäre noch einmal eine Verzehnfachung der heutigen Anzahl.
Und die Krönung ist das letzte SEC-Filing vom 8.8.05, wo drin steht, daß die Anzahl der genehmigten Aktien auf 5 Mrd. erhöht werden soll, weil die biher genehmigten 100 Mio. Aktien nicht ausreichen, um die vertraglichen Verpflichtungen für die nächsten 11 Monate zu erfüllen.

Was das für den Kurs bedeutet, dürfte klar sein. Es droht nochmal ein Verlust von weit über 90%.
