      Hamburg - Die Flughäfen der Welt sind zu Robert Gattereders zweiter Heimat geworden: Im Wochentakt reist der Geschäftsführer der M+W Zander Facility Engineering nach Asien, Südeuropa und in die USA, um die vielen Baustellen seiner Firma zu begutachten. Gattereders Firma ist eine Tochter des Stuttgarter Technologiekonzerns M+W Zander, die vor allem Solarfabriken baut. Derzeit ist Gattereder gefragter denn je. "Die Solarenergie boomt. Unser Geschäft blüht."

      Um die Nachfrage zu bedienen, will M+W Zander ab 2009 Solarfabriken mit Kapazitäten jenseits der 1000-Megawatt-Grenze anbieten. Die bisherige Standardgröße liegt bei 80 bis 100 Megawatt. Damit wären Solarstandorte künftig fast so groß wie Autowerke.

      Ein Durchbruch nach unten wäre in der Tat sehr ungünstig.. zur zeit sieht es jedoch so aus, als würde die Unterstützung halten...

      Few pieces of photovoltaic manufacturing equipment have nicknames as endearing as DayStar Technologies' Big Baby deposition megasystem. But don't let the cute sobriquet distract you from a central truth about the copper indium gallium (di)selenide (CIGS) start-up's plight: if the oversize, multichamber production-development system doesn't measure up and perform as expected, DayStar has no future as a volume PV manufacturer. By the tenor of CEO Stephan DeLuca's comments during Tuesday's midyear update conference call, Big Baby has made its parents proud of late.

      Updating DayStar's three-part strategy--minimodule development, CIGS deposition and other process scale-up, and commercial buildout--DeLuca said the company (with a current headcount of "between 85 and 90") is on track to start receiving tools and automation systems by Q3 2008 at its currently fitting-up Newark, CA, factory site, to ramp production of its first 25-MW line by Q1 2009, and ship its first CIGS-on-glass product modules by Q3 2009. He believes the firm is well on its way to make "the transition from a development-stage company to a commercial manufacturing company."

      While "much of the minimodule development focused on the CIGS deposition process," the company "also used this program to develop processes for the other steps in making a complete module," according to DeLuca. "A key feature for any PV module is its survivability, and proper encapsulation is key to making modules that last more than 20 years. CIGS is especially sensitive to moisture" and needs different materials than those used by silicon thin films.

      "With this in mind, we have developed lamination and edge-seal processes for our glass modules that we've tested for moisture penetration," he continued. "They've passed the 1000-hour damp-heat test, which we believe provides a good indication that our encapsulation process will protect the modules from moisture over a 20-year lifetime."

      Other advances in fundamental engineering issues such as maintaining effective control over Big Baby's reactive sputtering process ability (including the incorporation of tricky selenium films, which DeLuca sees as a "key to the cost effective manufacturing of high-performance CIGS"), making sure the films behave within the uniformity specs, and ensuring that the substrate can be heated up to the proper temperature in the specified amount of time for high-volume monolithic processing have given DayStar the confidence "that the basic structure of our tool design is sound, so we have released the design to begin fabrication of our production CIGS deposition tool."

      The big fella hasn't been put through all its paces though. While the molybdenum deposition tests have gone well, the first CIGS dep runs haven't been done yet. DeLuca explained that they will start to make CIGS films by the end of this month, with a stable process expected by the end of the quarter. Still, the company exec believes the results bode well for the proprietary one-stage sputter deposition process to achieve the factory total cycle time of one module per minute, once volume production kicks in.

      As for the latest conversion efficiencies, DeLuca said they've been focusing more on scale-up and production issues and maintaining efficiencies at previous levels, rather than bumping up the conversion numbers. He did acknowledge that the longer-term target remains 11.5% or better module efficiency.

      To meet the demand of its solar power plant customers that want to lay out fields of their TFPV modules, DayStar will first ramp to 25 MW at its Newark fab, which the company believes can ultimately hold up to 80 MW of capacity and be profitable at the initial volume level. It also has plans for a future, as-yet-unsited 100-MW facility, which DeLuca said is key to reaching the CIGS firm's ultimate goal of manufacturing at <$1 per watt.

      In describing the production scale-up, DeLuca said that first, one set of process tools will be installed and get up and running, and then other equipment will be added when bottlenecks are hit. Citing the laminator gear as an example of a tool with limited output, "we'll need two (to reach 25 MW), but start with one," taking equipment lead times into account and adding systems as needed "to incrementally increase the capacity," while not spending too much on captial expenditures.

      DeLuca did acknowledge the impact of the current equipment and materials purchasing on the company's financials. "As we build out our factory, there will be significant costs involved that will affect our balance sheet, as we have discussed before. We will go into more detail on this in our second-quarter financial results conference call in early August."

      Whether the reorganized and reenergized DayStar can make an impact and survive in the increasingly competitive CIGS and overall thin-film PV space depends on its ability to execute its manufacturing gameplan without losing its shirt and get to market asap with reliable, reasonably efficient, attractively priced modules for the grid-tied sector. With Big Baby on their side, DeLuca and his team think they have a legit shot.

      DayStar Technologies Announces Q2 2008 Financial Results

      SANTA CLARA, Calif., Aug. 6 /PRNewswire-FirstCall/ -- DayStar Technologies, (News) Inc. , a developer of photovoltaic products based on CIGS thin-film semiconductor technology, today announced financial results for its second quarter of 2008, ended June 30, 2008.

      Net loss for the second quarter was $7.3 million, or a loss of $0.22 per share, compared with a net loss of $6.4 million, or a loss of $0.42 per share in the second quarter of 2007. The increase in net loss mainly reflects higher research and development expenses for DayStar's CIGS-on-glass module and manufacturing process development, as expected. The per share loss was calculated on the weighted average common shares outstanding of 33.1 million, compared with 15.0 million in the second quarter of last year, reflecting the company's public offering in the fourth quarter of 2007.

      DayStar had cash, cash equivalents and investments of $47.9 million at June 30, 2008, compared with $56.3 million at March 31, 2008. Except for operating accounts, all of the company's cash is invested in treasury instruments. As of June 30, 2008, the company had total liabilities of $5.8 million, and total stockholders' equity was $56.0 million.

      The company also reported second quarter capital investments of $4.5 million to support its planned ramp to commercial production. Outstanding purchase orders for production equipment totaled approximately $15.6 million as of Aug. 4, 2008.

      "I am pleased that we have met all of the first half milestones that we set out at the end of last year," said Dr. Stephan DeLuca, chief executive officer. "We demonstrated our single stage sputter deposition process, producing CIGS films with greater than 14 percent conversion efficiency over large areas. We produced mini-modules with greater than 11.5 percent conversion efficiency and the modules passed the critical 1000 hour damp heat cycle testing that indicates a 20 year module lifetime.

      "During the first half of 2008, DayStar designed, built and began operations of its manufacturing prototype CIGS coater, Big Baby, and we have begun process scale-up by depositing CIGS on 2'x4' glass panels. We secured a manufacturing facility for our first production line, and we have placed orders for the equipment to build that line. Looking forward, the company expects to have a scaled-up CIGS deposition process on Big Baby by the end of this quarter, and we expect to begin the build-out of the manufacturing line in September, which is necessary for our production line to be up and running in our new facility in the first quarter of next year," he said.

      Ein Artikel vom Freitag:

      First generation products are always a nice “gee-whiz” sort of thing. Following-generation products, unfortunately, need to deal with the realities of a product performing to a certain level. In most instances, making the leap to this following level is a difficult one as most consumers of the following generation product have a certain expectation of what the product needs to be able to do. If an investor can find that following generation product and a solid manufacturer behind it, he/she may have a solid route to profit.

      Daystar Technologies Inc., a thin-film photovoltaic products company, develops, manufactures and markets photovoltaic products directed primarily at the solar panel utility market. The company’s primary product line is a copper-indium-gallium-selenide (CIGS) thin-film on glass or flexible-foil photovoltaic cell.

      The company’s driving force comes from its following generation nature. While first generation solar cell manufacturers are concentrated on solar cells manufactured with silicon wafers, Daystar Technologies works with materials and processes directed at enhancing cost and performance efficiency rather than just making the cell work. In this respect, the company has advanced to meet and beat per/watt cost requirements as compared to more mainstream forms of solar energy generation.

      From this perspective, the company anticipates being able to reduce total module manufacturing cost to below $1.00 per watt as it ramps. Past the cost involved with the manufacturing process, there are other issues surrounding manufacturing a following generation solar product. Simply being a following generation implies that that there was a former generation. As the company is targeting utility scale customers, it needs to address compatibility issues in addition to efficiency and cost issues. The company’s CIGS process and associated components seamlessly integrate with existing utility level voltage and connection requirements, making the product a more logical choice as utilities seek to ramp and replace larger flat panel systems.

      Currently, the company is working to bring the first 25 megawatts of manufacturing capacity on-line. Funding for that manufacturing capacity is apparently in place with a first quarter 2009 date being set for panels to come off the line. Space is available and a schedule has been set for an additional 75 megawatts of production, but financing has yet to be placed. Fortunately or not, the company has no debt financing and seems justifiably reluctant to enter the current credit markets even if it could find financing with acceptable terms.

      75% of the company’s 25 megawatts of production capacity is already spoken for through 2011, however, it does seem that it will be able to deal with ramping production to the 100 megawatt level, which is necessary to reach the sub $1.00 level and reach profitability as conditions become more favorable. From all appearances, Daystar Technologies looks to have its program pulled together and running on schedule. The current economy may throw a short delay into the mix, but for the most part the company is moving forward nicely.

      Ich glaube, es sind wohl mehrere Gründe:

      1. Letzte Woche hat Ascent Solar gemeldet, das es die Produktion von CIGS-Modulen auf Folien begonnen hat.

      => Die Aktie ist daraufhin 30 % gestiegen

      2. Ein vager Optimismus, das mit dem Q4 Zaheln heute, endlich Informationen zum Ausbau der Produktionsstätten kommt

      3. Vielleicht wurden hier Leerverkäufe auf den falschen Fuss erwischt (aber eher nachgelagert)

      Wie gesagt, heute gibt es q4 Zahlen. Ich würde mich wundern, wenn es etwas neues gibt....

This reduction in non-cash expenses was partially offset by increased operating expenses incurred during 2008 for CIGS-on-glass module and manufacturing process development. The per share losses were calculated on the weighted average common shares outstanding of 33.4 and 33.2 million for the fourth quarter and year ended December 31, 2008, respectively, compared with 27.5 and 17.3 million for the fourth quarter and year ended December 31, 2007, respectively, reflecting the sale of shares in connection with Daystar\'s follow on public offering in October 2007.

      DayStar had cash and cash equivalents of $17.1 million at December 31, 2008, compared with $61.4 million at December 31, 2007. Net property and equipment was $37.1 million at the end of 2008 compared to $9.1 million at the end of 2007, reflecting DayStar\'s investment in equipment and improvements during 2008. As of December 31, 2008, DayStar had total liabilities of $11.4 million, and total stockholders\' equity was $43.5 million.

      Ende Februar wurden die ersten full-size Module gefertigt.


      Das Problem ist die Finanzierung.
      Man ist seit November mit J.P.Morgan daran, einen strategischen Investor zu suchen. Der Prozess sei "very active" und man sei auch optimistisch, aber naturgemäß gibt es keine Garantien...

      Letztlich eine Wette darauf, daß man neue Geldgeber findet.

      Das gestern bekannt gewordene chinesische Solar-Förderprogramm verlieh den chinesischen Solartiteln Flügel. Einige Titel schossen über 40 Prozent in die Höhe. Aber auch deutsche Solarunternehmen profitieren von den chinesischen Staatshilfen.

      Die Chinesen machen Ernst bei Solarenergie. Der Staat unterstützt die Neuinstallationen massiv, einige Experten erwarten eine Vervierfachung des Marktvolumens im Vergleich zu vorherigen Schätzungen. Profitieren werden vor allem die chinesischen Solarfirmen wie Suntech Power, Yingli Green Energy, JA Solar oder Trina Solar. Bisher war der chinesische Solarmarkt praktisch kaum existent und die zahlreichen chinesischen Firmen exportierten den Großteil ihrer Solarmodule nach Europa. Bei einigen Unternehmen lag die Exportquote im letzten Jahr bei über 90 Prozent.

      Den Freiraum nutzen

      DayStar Needs More Cash; Threatens Bankruptcy

      Solar products company DayStar Technologies (DSTI) late yesterday warned in an SEC filing that it is running out of cash and may have to seek bankruptcy protection.

      For Q1, the development stage company had zero revenues, with a net loss of $7.7 million, or 23 cents a share. The company finished the March quarter with $6.5 million in cash, down from $17.1 million at the end of December. That’s the issue in a nutshell: the company burned more than $10 million in the latest quarter, and now has well under a quarter’s worth of cash remaining.

      In the 10-Q filed with the SEC yesterday, DayStar said that it expects to continue to lose money, and that there is “substantial doubt” about its ability to continue as a going concern. DayStar said that commercialization efforts will require “significant additional capital expenditure,” and that it has hired a financial advisor to seek investors or partners to continue operations. But it adds that it has not found any capital or partners so far.

      “Although the company continues to seek strategic investors or partners, in light of its current cash position, the company may in the near-term be forced to substantially curtail operations, file a voluntary petition for reorganization under the United States Bankruptcy Code, liquidate assets and/or pursue other such actions that could adversely affect future operations,” the company said in the filing. “Given current market conditions and available opportunities, there is substantial doubt as the company’s ability to complete a financing in the time frame required to remain in operation.”

      DayStar is focused on developing CIGS (copper indium gallium selenide) thin-film solar products.

      DSTI today is down 34 cents, or 26.7%, to 93 cents.

      May 14, 2009 (FinancialWire) -- DayStar Technologies, Inc. (NASDAQ: DSTI)
      (Current Market Cap: US$30.47 Mil.), a developer of solar photovoltaic products
      said that Stephan J. DeLuca has resigned from his roles as chief executive
      officer and director of DayStar effective May 12 at the request of the company's
      board. DayStar also said it plans to implement a reduction of around 30 percent
      of its workforce.

      The company has appointed Robert G. Aldrich, DayStar's current chairman, to the
      additional position of CEO, effective May 12. Aldrich was appointed DayStar's
      chairman in September 2008. He joined DayStar as a director in October 2003. He
      served from 1992 to 1995 as group vice president at the Electric Power Research
      Institute. From 1990 to 1992, he was a director of Ramtron, a company developing
      non-volatile memory chips.

      DayStar said that the workforce reduction is scheduled to be completed in the
      second quarter.

Mit dem Aufhellen an der Kreditfront dank der Einrichtung der bad banks in den USA und in Europa wird es - zumal im Amerika Obamas - deutlich leichter sein, für RE an Gelder zu kommen. Die Kontakte zum Militär werden dabei hilfreich sein. :cool:

      Was nützt der Produktionsbeginn, wenn die Belegschaft nicht mehr vorhanden ist ?

      Ich glaube, das nun die Aktie spekulativ hin- und her getradet wird, aber nicht mehr auf die Beine kommen wird.

      Du hast wohl übersehen, dass ich bereits in Daystar ausreichend investiert bin. Ferner kannst du dich derzeit am Markt satt fressen mit günstigen Aktien wie CFCL (sie wird im Herbst explodieren), China Aerospace (sie ist für jede Überraschung gut), und nicht zu vergessen: Biopetrol.

      Letztere wird momentan völlig unterschätzt: MK nur 35 Mio.€.

      Für Neueinsteiger mit Hang zum totalen Risiko: A0DQVL.

      Das Geld liegt auf der Straße: Bücken musst du dich selbst.

      es gab eine neue Analysteneinschätzung mit TargetPrice von 5 Dollar.

      Es ist aber ein bisschen seltsam, das kurz vor der Veröffentlichung die Aktie nach oben schiesst.

      Aus meiner Sich immer noch eine wilde Spekulation um den Fortbestand, Aktie hat von Hoch 1,40 auch schon wieder deutlich auf 1,17 korriegiert.

      Cantor analyst says, "On June 10 we had the opportunity to meet with Dr. Robert Aldrich, CEO and Chairman. After spending about an hour with him, we are now more comfortable that there will be a positive outcome for DayStar. We are increasing our estimate to a 60% chance that the company will find a strategic partner that will move the company toward production. This is up from our prior estimate of a 33% chance.       DayStar Technologies, a copper-indium-gallium-(di)selenide thin-film PV developer based in Santa Clara, CA, is running out of money. Although the company posted a smaller net loss in its just-announced second-quarter results than it experienced in the first quarter and the value of its net property and equipment has risen to $50 million because of increased investment during the period, its cash and cash equivalents have dwindled to $1.3 million.

      As a result of its financial woes, DayStar says it will need "substantial funds in the near term" to continue operations, ramp its first production line, and begin shipping products, and a failure to raise such monies may result in the company declaring bankruptcy and possibly shutting down part or all of its operations.

      In DayStar's 10-Q report filed with the Securities and Exchange Commission, the CIGS firm says that "commercialization efforts, including the completion and ramp-up of the company’s initial module production line requires significant additional capital expenditures as well as associated continued development and administrative costs. In order to continue operations, including its development efforts utilizing its preproduction line, fully build out its initial manufacturing line and commence commercial shipments of its product, the company requires immediate and substantial additional capital beyond its current cash on hand."

      "To date, the Company has been unable to raise additional capital or complete an agreement with an investor or strategic partner," the filing continues. "Although the company continues to seek strategic investors or partners, in light of its current cash position, the company implemented a reduction in its workforce of approximately 30% during the second quarter of 2009 and may in the near term be forced to cease or substantially curtail operations."

      "An inability to raise additional funding in the very near term may cause the company to file a voluntary petition for reorganization under the United States Bankruptcy Code, liquidate assets, and/or pursue other such actions that could adversely affect future operations," the DayStar 10-Q states. "Given current market conditions and available opportunities, there is substantial doubt as to the company’s ability to complete a financing in the time frame required to remain in operation. A wide variety of factors relating to the company and external conditions could adversely affect its ability to secure additional funding and the terms of any funding that it secures."

      DayStar has a proprietary one-step sputter process that it says can continuously deposit high-efficiency CIGS films over large-area glass substrates. The company claims the approach can meet the sub-$1-per-watt manufacturing cost threshold at a capacity scale of 100MW or more, including the achievement of commercial module efficiencies better than 13%.

      The CIGS company has begun building out its first 25MW module production line and has a contract with solar PV integrator Blitzstrom to buy at least half of its production run through 2011, as long as the modules meet the proper performance criteria.

Da wird ganz gelassen darüber berichtet, dass man nur noch über 1,3 Mio.§ verfüge, im letzten Halbjahr aber ca. 16 Mio.$ verbraucht habe, mithin 'erhebliche Mittel in naher Zukunft benötige, um den Betrieb weiterführen zu können.

      Die Schreckensnachricht beinhaltet aus meiner Sicht etwas Gutes. Angesichts dessen, dass nach meinem Wissensstand keine KE angekündigt wurde, andererseits schon lange bekannt war, welche Mittel erforderlich seien, eine Produktionslinie aufzubauen, kann daraus geschlossen werden, dass ein Geldgeber bereits bekannt ist. Ansonsten müsste sich das Management den Vorwurf gefallen lassen, den Karren bewusst und vorsätzlich an die Wand zu fahren.

      Warum aber wurde der Investor noch nicht genannt? Gegenfrage: Cui bono? Diese angenommene, oben beschriebene Situation ist für jene von Vorteil, die günstig einsteigen oder nachkaufen wollen. Ahnliches lief bereits bei Entech Solar (früher Worldwater) ab: Der Kurs stürzte auf 9ct p.A. ab, da niemand an eine Rettung glaubte, bis zu jenem Zeitpunkt, als Milliardär D.Gelbaum Interesse bekundete, worauf der Kurs (zu wessen Gunsten wohl!) auf knapp 2€ schoss.

      Vielleicht wäre es recht hilfreich, die Fa. Blitzstrom zu kontaktieren, die Daystar als einen ihrer Partner bezeichnet ?

      Antwort auf Beitrag Nr.: 37.790.003 von W.S. am 16.08.09 11:22:26Naja, blätter eine Seite zurück und lies, was vor 2 Monaten (Analyst) und vor einem Monat (Pressemitteilung der Firma) zur Suche nach strategischen Partnern geschrieben wurde. Die Analysteneinschätzung war ja auch noch sehr zurückhaltend... mit einer Chance von nur 60% (selbst bei 80 oder 90 wäre es ja noch ziemlich offen) dafür, dass ein strategischer Partner gefunden wird.

      Dein Vergleich mit Worldwater und Entech hinkt insofern, als David Gelbaum da ja keine Gewinne gemacht hat, sondern erst selber (bei Worldwater) den Kurs durch seine Käufe nach oben getrieben hat, um dann selber in der Firma aktiv zu werden, mehr und mehr Geld hineinzustecken - und trotzdem steht die Firma noch immer sehr dicht am Abgrund... seit 3 Monaten sogar noch dichter als vor 2 (? nee, müssten sogar schon 3 Jahre sein?) Jahren, als Gelbaum da angefangen hat.

      Also, dass bei Daystar jemand absichtlich den Kurs unten hält, glaube ich nicht. Es ist einfach alles offen. Es gab ja scheinbar noch nicht einmal Gerüchte, wer denn da als strategischer Partner zur Diskussion stünde... dann ist da vermutlich auch noch nichts im fortgeschrittenen Diskussionsstadium.

      KELOWNA, BC--(Marketwire - 09/21/09) - EPOD Solar Canada, a vertically integrated manufacturer of thin-film solar modules that develops, owns and operates solar parks throughout Europe and North America ("EPOD Solar"), announced today that it has executed a letter of intent ("Letter of Intent") with DayStar Technologies, Inc., a developer of solar photovoltaic products based on CIGS thin-film deposition technology ("DayStar"), regarding a proposed transaction or series of transactions (collectively, the "Transaction") intended to result in the combination of the businesses of EPOD and DayStar.

      Upon successful completion of negotiations and due diligence, the parties intend to sign definitive agreements and complete the Transaction as soon as practicable. The consummation of the Transaction will be subject to making or obtaining all necessary third-party filings and approvals (including any required approval by the holders of DayStar's common stock), and satisfactory due diligence reviews.

      The Transaction is premised on the mutual understanding of EPOD Solar and DayStar that their businesses are complimentary. EPOD has 35 MW of manufacturing capacity for its amorphous silicon technology, and its research and development arm is poised to deploy double and triple junction technology PV module manufacturing. Amorphous silicon PV modules are best suited for large utility-scale ground mount projects at competitive costs. DayStar's CIGS technology represents a high-potential thin-film technology.

      The combined company will utilize its collective financial and research and development resources to bring the CIGS technology to commercial production. This approach will allow a parallel tracks to benefit from both technologies for the future growth of the combined business model.

      The Transaction

      The Letter of Intent anticipates that, as part of the Transaction, DayStar will purchase substantially all of the assets of EPOD Solar for $300 million in DayStar preferred stock. Each preferred share will be convertible into one share of DayStar common stock at a conversion price of $1.80 per share. In addition to receiving such preferred shares, such holder will also be entitled to receive a warrant to purchase 50% of the total number of shares of DayStar common stock issued upon such conversion, at an exercise price of $1.80 per share.

      DayStar has agreed to pay a break-up fee to EPOD Solar of $5 million payable under the transaction agreement upon certain termination events. No break-up fee will be payable in the event that EPOD either breaches any of its binding obligations under this Letter of Intent or fails to consummate the Transaction for any reason other than as provided in this Letter of Intent or as a result of the breach or default of DayStar.

      Simultaneously with the execution of the Letter of Intent, and in connection with the Transaction, DayStar also entered into a Purchase Agreement with Peter Lacey ("Lacey"), an EPOD Solar shareholder, pursuant to which Mr. Lacey has purchased from DayStar, for purposes of funding DayStar's ongoing related business operations, (a) a Secured Convertible Promissory Note in the aggregate principal amount of $2,000,000, (b) a warrant to purchase 1,500,000 shares of DayStar common stock (subject to adjustment for certain dilutive transactions) and (c) upon the satisfaction of certain conditions, a warrant to purchase 1,666,667 shares of DayStar common stock (subject to adjustment for certain dilutive transactions). The Note will be convertible into shares of DayStar common stock based on a $0.60 conversion price and the Warrant will have an exercise price of $0.50 per share. The closing of the Purchase Agreement is anticipated to occur on or around September 21, 2009. It is contemplated that upon closing Michael Matvieshen will be appointed as CEO and director of DayStar.

      Transfer of Right to Purchase EPOD Solar Assets

      DayStar Receives NASDAQ Deficiency Notice Relating to Audit Committee / DayStar Regains Compliance With Subsequent Committee Appointments

      SANTA CLARA, Calif., Dec. 31 /PRNewswire-FirstCall/ -- DayStar Technologies, Inc. , a developer of solar photovoltaic products based on CIGS thin-film deposition technology announced today that on December 30, 2009 it received a NASDAQ Staff Deficiency Letter from The NASDAQ Stock Market indicating that the Company temporarily did not comply with the audit committee requirement for continued listing on NASDAQ as set forth in Marketplace Rule 5605(c)(2). The NASDAQ Letter states that the resignation of Messrs. Richard Nevins and Scott Schecter on September 14, 2009, as disclosed in the Company's Current Report on Form 8-K filed on September 18, 2009, reduced the number of independent directors on its Audit Committee from three to one. As a result, the Company no longer complied with the audit committee requirement for continued listing on NASDAQ as set forth in Marketplace Rule 5605(c)(2).

      However, the Letter also stated that as disclosed in subsequent filings with the SEC, the Board of Directors and independent committees experienced a number of appointments and resignations, including appointments to the audit committee of Jonathan Fitzgerald and Robert Tonsoo on November 16, 2009, and Kang Sun on December 3, 2009. As a result of these appointments the audit committee is now comprised of three independent directors. Accordingly, NASDAQ has determined that the Company has regained compliance with Marketplace Rule 5605(c)(2) and, subject to the disclosure requirements of Marketplace Rule 5810(b), this matter is now closed. The Company is filing this public announcement and a Current Report on Form 8K in compliance with the disclosure requirements as indicated in the NASDAQ Letter.

      DayStar Technologies Announces 2009 Fourth Quarter and Year End Financial Results

      SANTA CLARA, Calif., March 19 /PRNewswire-FirstCall/ -- DayStar Technologies, Inc. , a developer of solar photovoltaic products based on CIGS thin-film deposition technology, today announced financial results for its fourth quarter and full year ended December 31, 2009.

      Net loss for the fourth quarter of 2009 was $4.6 million or $0.14 per share, compared with a net loss of $7.8 million or $0.23 per share in the fourth quarter of 2008. Net loss for the full year ended December 31, 2009 was $25.0 million or $0.75 per share, compared with a net loss of $26.3 million or $0.79 per share in 2008. The lower net loss reflects the implementation of cost savings measures including a reduction in workforce in order to focus our resources on the development of our core CIGS technology while we continue fundraising efforts to built-out our initial production line. The loss on sale also reflects also reflects the decrease in payroll and research and development expenses resulting from the sale of our Halfmoon, NY operations earlier in the year.       DayStar Technologies Announces Bridge Financing


      Related Proposed Transactions Include Equipment Loan and Acquisition of 25MW Solar Energy Project

      SANTA CLARA, Calif., May 3 /PRNewswire-FirstCall/ -- DayStar Technologies, Inc. (Nasdaq: DSTI) ("DayStar"), a developer of solar photovoltaic products based on CIGS thin-film deposition technology, announced that it has entered into an agreement with Dynamic Worldwide Solar Energy LLC ("Dynamic") to provide DayStar with a bridge loan of up to the principal amount of $3 million (the "Loan").

      "I am very pleased to announce the bridge loan facility and series of proposed transactions with Dynamic," said Magnus Ryde, Chief Executive Officer. "These transactions will be of great value to DayStar as we move forward to commercialize DayStar's CIGS thin-film technology. In addition, the proposed transaction to acquire a funded 25MW solar energy project enables DayStar to become a fully integrated solar company."

      On April 29, 2010, Dynamic funded the first tranche of the Loan in an amount of $650,000. In connection with the funding of the first tranche of the Loan, DayStar issued to Dynamic a Note in the principal amount of $650,000, convertible at the option of Dynamic into shares of DayStar common stock at $0.30 per share and a warrant entitling Dynamic to purchase 2,166,667 shares of common stock at an exercise price of $0.70 per share. The funding of subsequent tranches of the Loan, up to a maximum of $3 million, will be subject to the discretion of Dynamic and will be on terms comparable to those applicable to the first tranche.

      Contemporaneously with the execution of the Loan, Bighorn Capital, Inc. ("Bighorn"), an affiliate of Dynamic, issued to DayStar, a commitment to use its best efforts to obtain for DayStar a five-year equipment loan (the "Equipment Loan"), to be secured by collateral consisting of both existing equipment owned by DayStar and equipment currently on order by DayStar from European vendors in an amount at least equal to (i) 80% of the delivered and installed total purchase price for such equipment (for a total of approximately $35,200,000), or (ii) 80% of the value of such equipment (as determined by the equipment lender in its sole judgment), provided, however, that the final principal amount of the Equipment Loan shall not be less than $21,000,000. The Company is not obligated to accept the terms of the Equipment Loan if it varies materially from the terms as outlined in the commitment.

      In addition to the transactions described above with respect to the Loan and the Equipment Loan, within 90 days from the first tranche of the Loan, Dynamic has proposed to assign to DayStar its interest in a fully financed contract (the "Contract") to fabricate, construct and install, and commence the operation of, a 25 MW solar energy generation plant (the "Transaction"). DayStar's acceptance of the assignments is subject to applicable due diligence, stockholder and regulatory approval. Under the Transaction, DayStar will issue shares of its common stock to Dynamic which represent 52% of the total issued and outstanding shares of the common stock of DayStar, subject to adjustment if the Contract and Transaction combined value is more than or less than $18,000,000. Dynamic has represented that (i) the solar energy generation plant construction debt shall be in an amount of approximately $90,000,000 and shall be provided by a United States-based (or branch of a United States-based) "money center bank", (ii) the transaction shall be commercially sound, (iii) the ownership assets to be acquired in the Transaction shall be largely covered by political risk insurance, to the extent such insurance is commercially and reasonably available, and (iv) the valuation of the Transaction shall not be less than $10,000,000.

      The Parties will commence due diligence, including DayStar's engagement of a nationally-recognized investment banking or asset and business valuation firm to determine the fair financial value to DayStar of the proposed Contract and Transaction and to issue a fairness opinion thereon. If due diligence and the fairness valuation process is successful, DayStar will prepare definitive agreements to solicit shareholder approval of the Transaction.

      sollte doch eigentlich gut für dsti sein, oder?
      ob sie es allerdings schaffen profitabel zu arbeiten, wage ich mal zu bezweifeln.
      achso; vorher sollte das produkt auch wirklich eines sein.

      ich hoffe natürlich, dass diese geschicht irgendwie noch halbwegs gut ausgeht. dsti ist eine von meinen depotleichen - aber wie gesagt noch nicht ganz tot.

      eine frage noch:
      könnten die geldgeber irgendwie mehr als 50 % der shares erreichen?
      das wäre dann wiederum nicht so gut für uns kleine shareholder.

      DayStar: Evicted By Landlord? No Problemo. Time To Outsouce! (Updated)

      Now here is an impressive bit of PR magic.

      DayStar (DSTI) filed a brief notice with the SEC yesterday to disclose that it has been tossed out of its headquarters office in Newark, California, by the company’s landlord.

      On July 15, 2010, DayStar Technologies Inc. (the “Company”) was notified by its landlord, BMR-Gateway Boulevard LLC (the “Landlord”) that the Company’s lease for the premises located at 7333-7373 Gateway Boulevard in Newark, California was forfeited and terminated, and that the landlord has received a judgment for possession of the premises.

      Alert investors knew this was a possibility; the company has had a long-running dispute with the landlord, and in its last 10-Q said that it could get the boot:

      We have until June 1, 2010, to cure all alleged defaults under the lease (which the Landlord alleges include failure to pay rent and failure to remove various mechanic’s liens recorded against the property), provided the Landlord has not delivered us a 15-day notice of its intention to terminate the Lease (the “Termination Notice”). If the Landlord provides us with a Termination Notice, we must vacate the premises within 30 days from the date of the Termination Notice.

      Then, this morning, the development stage solar company announced that “it is pursuing a strategy of offshore manufacturing of its CIGS solar modules,” noting that it has “encountered challenges in obtaining affordable capital for the build-out and operation of our facility in Newark, California,” i.e., the office from which they were tossed out for not paying the rent.

      “At this time, we are pursuing opportunities to manufacture our CIGS module offshore and have begun discussions with several potential partners to implement this strategy,” the company said, adding that the potential partners bring “substantial manufacturing and financial capabilities to the table.”

      The company said the situation could result in “joint ventures, licensing agreements, contract manufacturing agreements” or…wait for it…”a reverse merger with or an acquisition of DayStar.”

      So guess what happened: DSTI is up $1.56, or 111.4%, to $2.96.

      Update: Oh, by the way: yesterday, ahead of the news, the stock jumped 38 cents - 37% - to $1.40, on 580,500 shares, almost 9x the stock’s daily average. Makes the situation look a little…leaky.

      Socius CG II, Ltd. has entered into agreements with fourteen of DayStar’s vendors pursuant to which Socius purchased approximately $1 million of the aggregate amount of debt, and then settled the resulting amounts owed in exchange for free-trading shares of DayStar’s common stock.
