      BACKGROUND
      A division of Protocall Technologies Inc. (OTC BB: PCLI) Titlematch Entertainment Group "has developed a proprietary system that allows store and Internet retailers to produce CD and DVD products with CSS copy-protection at their stores and website distribution centers. What this on demand system means for retailers is that they have the ability to burn thousands of software, movies and TV shows onto CD/DVDs for their customer on the spot.       MARKET OPPORTUNITY

      DVD players are now used in over 80% of U.S. households and sales of DVD movies and television episodes generate over $25 billion in annual sales and rental revenue for retailers. The majority of these sales occur through traditional retail channels; however physical distribution methods cannot keep pace with the growing number of DVD titles and increasing consumer demand for a more varied selection beyond the latest new release.       Business Growth & Strategy

      Long term price projection:

      The company recently responded to an investor on their IR site, who was asking for performance projections, as follows (in part):

      "Our primary goal in 2008 is to increase shareholder value through an expansion of our DVD on-demand service with as many store and web retailers as possible, which in turn drives revenue. A key element to driving sales is also the licensing of movies and other entertainment products from content owners, which we are aggressively pursuing. We generally do not release revenue and PPS estimates at this stage of our development. Overall, we are very bullish about 2008."

      That got me to thinking a bit more about the longer term picture, and what a reasonable projection might be. Much of the following is a summary of my thoughts about that.


      It is far too early to place much faith in number projections, but to me--as a believer in the concept and TitleMatch's competitive position--I think the following scenario is possible--maybe even a 50/50 proposition:


      Kiosk market share
      At some point within 2-3 years they will have 5,000 kiosks placed. This is based on the William Blair projection of 25,000-35,000 kiosks placed by 2012 combined with the leading position TitleMatch currently has, along with the assumption that TitleMatch will be able to land national retail accounts --an assumption supported by the 200 store trial with a national retailer. I think 5,000 is reasonable and may be conservative, as it represents only 14-20% market share.


      <Average daily sales>
      I'm assuming sales will be at least 6 DVDs per day. Based on info on the web, each Walmart sells around 300-500 DVD's per day. This sounds way too high at first glance, but this is based on web info that Walmart sells 40% of all DVD's sold, that the total number of DVDs sold annually is about 1.7 billion, and that there are 4,000 Walmart stores. During the Christmas season, I can easily believe a store sells more than 1,000 per day. If Walmart's market share is more like 20%, then perhaps the accurate number is closer to to 200 a day.

      Consider the following additional points:
      *One study showed that 1/3 of people looking to buy a DVD leave the store without buying because they can't find one. Many of these people would likely welcome the kiosk alternative.

      *A person may be able to order a DVD from the retailer website, or a content-owner site linked to the retailer, from their home, and drive to the local store and pick it up at their convenience.

      *Collectors of movies or entire TV series, and people buying for others may order half a dozen or more at a time using this method.

      *The retailer can pre-burn the hottest selling DVD's and have them sitting on shelves near the kiosks to attract additional sales.

      Considering all of the above, it seems to me VERY reaonsable--even conservative, to assume that each store will sell at least 6 DVD's per day via their kiosk (which can create 2 DVD's at once--each taking 6 minutes).


      Revenue calculation
      Assuming 5,000 kiosks, and 6 sales per day, and a royalty to PCLI of $1.5 per transaction/sale, and a license fee of $100 per kiosk per month, this computes to roughly $22 million in revenues. Assume another $4 million in online sales (could be much higher).

      Expenses calculation
      With current expenses running about $4 million a year, I'd bump it to $5 million, add $2 million for online fulfillment (50% gross margins), and only perhaps $4 million for the kiosk business (80% margins--software margins should be very high).

      Net income, shares, and EPS calculation
      With no taxes for a while due to aggregate losses, Net income therefore would be $15 million (26 minus 11). Assuming some further dilution (not significant due to higher share prices) and exercised warrants bring the outst shares to 150 million, that is 10 cents a share EPS.


      Price calculation
      Given the outstanding growth and still further prospects at that time, the PE could be anywhere from 20 to 50 (sometimes they go over 100), or a share price range of $2.00-5.00.

      To my way of thinking, this scenario could be played out in 2-3 years, which makes the current share price of .07 very attractive, as that is a return of 30-70 fold.


      Of course things may not go nearly as well for various reasons. Or conversely maybe they could go much better--maybe they will have 10,000 placed and/or each one sells 10-20 per day. In any case, these projections are the reasons why I see not only an attractive short term situation, but a long term one as well.

      LOS ANGELES (Reuters) - Walgreen Co plans to put kiosks that can make DVDs of popular movies in drugstore photo departments next year, using a new system that would increase selection while avoiding piracy.

      Recent change in copy-protection rules governing DVDs have freed Walgreen and other retailers to tap this new movie market by letting consumers burn digital copies onto blank discs at stores, industry watchers said.

      Walgreen and CVS have tried to attract more customers in recent years by offering improved digital photo kiosks, in- store health clinics and exclusive merchandise.

      For studios, the kiosks add to revenue, particularly from older and more niche content selections, without having to manufacture, ship and store them.

      "We hope to launch DVD-burning kiosks in the next few months. We think its a type of solution that will work very well in our stores, giving us the ability to provide a virtual inventory to a diverse customer base," said Tiffani Bruce, a spokeswoman for Walgreen, the nation's largest drugstore chain, with more than 6,000 stores.

      Last month, the DVD Copy Control Association, a group of movie studios and hardware makers that oversees the copy protection system for DVDs known as Content Scramble System (CSS), moved to allow its technology to be licensed more broadly, opening the door for DVD-burning kiosks.

      Now Walgreen is working with Hollywood studios and consumers will be able to make DVDs in about 15 minutes.

      "We believe it could right for most stores," Bruce said.

      Walgreen and other retailers are working with Sonic Solutions, which released software based on the recently approved industry specifications last month.

      Sonic said consumers or retailers need special DVD burners and recordable discs to use its Qflix software, which also paves the way for download services from companies such as Amazon.com Inc, Wal-Mart Stores Inc and Blockbuster Inc's Movielink.

      These services and Apple Inc's iTunes now mostly let users watch films on computers or devices such as iPods.

      "The burning capability is a perfect complement to our Movielink download business, because it will eventually enable consumers to store movies on their hard drives or DVDs for future usage," said Blockbuster spokesman Randy Hargrove.

      He said Blockbuster would examine kiosks.

      "We'll continue to monitor it. If it makes sense to get into kiosks, it's clearly something we could do," he said.

      Sonic has licensed its Qflix software to kiosk companies such as Polar Frog Digital LLC, which licenses films and television shows from studios.

      "We're in negotiations for content from all the studios to provide DVD-on-demand at retail. The last hurdle is deciding which content to license without upsetting existing retail partners," Polar Frog Chief Executive Todd Rosenbaum said.

      Studios initially will probably use the kiosks more to give older films a "longer tail" of availability, rather than offering new movies, for fear of upsetting existing retail partners and cannibalizing sales, said Kurt Scherf, principal analyst with Parks Associates.

      Rosenbaum added that the studios are not likely to discount the DVDs.

      Scherf has projected on-demand DVDs will generate $1.3 billion in revenue by 2011. Studios generate about $24 billion a year from DVD sales and rentals.

      Zu dem Zeitpunkt gab es hier noch keine Info und ich war zu beschäftigt den richtigen Zeitpunkt zum Kaufen zu finden.

      Also die Amerikaner drüben vermuten das Auslaufen von Restricted Shares und damit einen unüblichen und nicht gerechtfertigten Verkaufsdruck ; durch den allgemeinen Hype der jetzt auch Dtl. erreicht hat :D:D:D sollte dann am Dienstag der Kurs wieder ansteigen.
      Ob der CEO der sich am gleichen Tag noch zu Wort gemeldet hat in der nächsten Woche nochmal ne Meldung nachschiesst oder nicht, fundamental hat sich nichts geändert und das Teil ist ziemlich überverkauft.
      Und deutlich unter 0,04$ wars bestimmt nicht verkehrt.

      Road Town, Tortola, British Virgin Islands" über 8% der Aktien hält. Gestern hatten wir das 10fache Volumen und durch den Kursverlauf sicherlich auch Panikverkäufe. Denke auch das diese neue Regelung der Grund war für den Kursverlauf

      Wenn diese durch den CEO bestätigte Walgreen PR kommt sollte hier doch einiges drinnen sein. Andere haben zu .10 gekauft oder sogar höher. Werde nachdem ich andere Aktien verkauft habe auch noch aufstocken und 2/3 long halten. Sollte ein No Brainer sein.

      Kann nur jedem das ihub board empfehlen und die ganzen Infos durchzulesen. Echte Firma, sehr interessante Projekte und Pläne. Fully reporting OTCBB company und nicht der übliche Pinksheet scam wie so oft bei wo diskutiert wird.

      If the future brings a kiosk in each Walgreens (6014 stores & counting), then it would only be a matter of time before CVS (6230 stores & counting) and Rite Aid (3333 stores) follow suit, if of course the kiosks are a success. I'm not a math major, but thats almost 16000 stores. And I dont see why the trend would not continue throughout other retail chains (Target, grocery chains, etc) and even overseas. I do, however, see Potocall possible being bought out by a major player in a best case scenario, ie SONY. I think that SONY would pay a prime price for the technology, the copyright protection, etc

      "We're in negotiations for content from all the studios to provide DVD-on-demand at retail. The last hurdle is deciding which content to license without upsetting existing retail partners," Polar Frog Chief Executive Todd Rosenbaum said.


      Studios initially will probably use the kiosks more to give older films a "longer tail" of availability, rather than offering new movies, for fear of upsetting existing retail partners and cannibalizing sales, said Kurt Scherf, principal analyst with Parks Associates.


      Rosenbaum added that the studios are not likely to discount the DVDs.


      Scherf has projected on-demand DVDs will generate $1.3 billion in revenue by 2011. Studios generate about $24 billion a year from DVD sales and rentals.

      Recent change in copy-protection rules governing DVDs have freed Walgreen and other retailers to tap this new movie market by letting consumers burn digital copies onto blank discs at stores, industry watchers said.


      Walgreen and CVS have tried to attract more customers in recent years by offering improved digital photo kiosks, in- store health clinics and exclusive merchandise.


      For studios, the kiosks add to revenue, particularly from older and more niche content selections, without having to manufacture, ship and store them.


      "We hope to launch DVD-burning kiosks in the next few months. We think its a type of solution that will work very well in our stores, giving us the ability to provide a virtual inventory to a diverse customer base," said Tiffani Bruce, a spokeswoman for Walgreen, the nation's largest drugstore chain, with more than 6,000 stores.


      Last month, the DVD Copy Control Association, a group of movie studios and hardware makers that oversees the copy protection system for DVDs known as Content Scramble System (CSS), moved to allow its technology to be licensed more broadly, opening the door for DVD-burning kiosks.


      Now Walgreen is working with Hollywood studios and consumers will be able to make DVDs in about 15 minutes.


      "We believe it could right for most stores," Bruce said.


      Walgreen and other retailers are working with Sonic Solutions, which released software based on the recently approved industry specifications last month.


      Sonic said consumers or retailers need special DVD burners and recordable discs to use its Qflix software, which also paves the way for download services from companies such as Amazon.com Inc, Wal-Mart Stores Inc and Blockbuster Inc's Movielink.

      Allerdings habe ich mit longs und OTC-Pennys nur schlechte Erfahrungen gemacht, rein und raus innerhalb zwei drei Tagen ist noch die sicherste Sache.
      Mein grösster Fehler bisher, habe Jupiter Global Holdings (JPHC) mit damals über 500% nicht verkauft und sitze nun auf tausenden Paivis Aktien, alle restricted und nun an den Pink Sheets und vor dem zweiten Merger in drei Jahren mit Trustcash.
      Also zu 99% sind das hier Schrottbuden und Luftnummern, es empfiehlt sich den Einsatz sofort zu realisieren und aus Spass an der Freude weiterlaufen zu lassen.
      Wenn die wirklich in der nächsten Woche bouncen wird ( worauf wir ja alle spekulieren ) bin ich wieder draussen und geh woanders rein.

      Long bin ich nur bei QEDC. :lick::lick::lick:
      Die wird mich bis 2009 hoffentlich noch reicher machen.

      Naja muss jeder selbst wissen. Ich mache hier eine Ausnahme und halte long.

      Gordon,

      Spoke with the CEO last week and he is very pleased how things are moving along. First mover advantage in a huge market is what impresses him most about his company and opportunity for huge success. I also believe that Walgreens is definitely our partner! He did not tip his hand but also did not categorically deny either. He was almost embarrassed that I new as much about Walgreens as the potential partner as I did. We definitely go green moving forward!

Trotzdem sehe ich es nur als Kurzinvest, wie man jeden otc und otc BB Wert sehen sollte, denn was bei solchen Werten immer kommt, ist ein R/S und den wird es hier mit Sicherheit auch in den nächsten Monaten/ Jahren geben.
      Kurzfristig ergeben sich allerdings sehr gute Möglichkeiten. Man darf nur nicht vergessen, Gewinne zu realisieren und nicht der Gier zu verfallen.;)

      Damit rechne ich hier nicht!
      Klar nach einem Anstieg sollte man immer etwas vom Kuchen mitnehmen. Habe ja gesagt 2/3 werde ich nach den ersten 100% stehen lassen und rest raus. Die chance auf schneller 100% ist hier aber sehr hoch, wenn man sich das ungerechtfertige minus ansieht :D

I'm no fortune teller, but when the PR on the 200 national retailer is released- My bet is that we hit .20-.25 just off of shock and awe alone! (JMO) Regardless buy what you can at this cheapie level- you will be rewarded (IMO)!!

      Von $0.02 auf 0.20 letztes Jahr. Aber mal schauen auf die Auswirkungen von Freitag. Sind nun mal viele neue investiert und da kann man das schlecht einschätzen. Big bounce erwarte ich aber schon. Alles andere wird sich zeigen.

      ITEM 2 – RECENT SALES OF UNREGISTERED SECURITIES


      In February 2007, we entered into a securities purchase agreement with accredited investors in a private placement. In connection with the private placement, we sold an aggregate of 2,764,423 shares of common stock, at a share price of $.104 per share and warrants (the “February 2007 Warrants”) to purchase up to 2,764,423 shares of common stock, for an aggregate subscription amount of $287,500. In a subsequent private placement, we sold an aggregate of 1,704,545 shares of common stock at a share price of $.088 and warrants (the “February 2007 Warrants”) to purchase up to 3,409,091 shares of common stock, for an aggregate subscription amount of $150,000.

      The February 2007 Warrants have an exercise price of $.20 per share of common stock, are exercisable immediately and expire on the third year anniversary of the initial warrant date. The exercise price of the February 2007 Warrants is subject to adjustment in the event of specified dilutive or accretive events, such as stock splits and stock combinations. The exercise price, as well as the per share price of the common stock sold in the private placement, is subject to further adjustment if we issue any shares of common stock or securities convertible or exercisable into common stock (subject to customary exceptions such as securities issued pursuant to equity incentive plans) through February 2008 at a price per share less than the per share price of the common stock and/or the exercise price of the February 2007 Warrants, in which case the per share price and/or the exercise price, as applicable, will be adjusted to equal the price of the securities in the new issuance. Due to the subsequent February private offering entered into at a share price of $.088, the Company issued an additional 502,622 shares of common stock and adjusted the February 2007 Warrants’ exercise price to $.088 per share pursuant to anti-dilution provisions contained in the February 2007 securities purchase agreement.




      In April 2007 , the Company collected $12,500 in additional subscriptions from the February 2007 private placement. The Company issued an additional 142,045 shares of common stock at a share price of $.088 and warrants to purchase 120,192 shares of common stock at an exercise price of $.088 under the same terms as the February 2007 private placement. The finder who assisted with the private placement was issued a warrant to purchase 24,038 shares of common stock at an exercise price of $.088 under the same terms as the investors.


      In May 2007, the Company collected $250,000 in additional subscriptions from the February 2007 private placement. The Company issued an additional 2,840,909 shares of common stock at a share price of $.088 and warrants to purchase 5,681,818 shares of common stock at an exercise price of $.088 under the same terms as the February 2007 private placement. The finder who assisted with the private placement was issued a warrant to purchase 1,136,364 shares of common stock at an exercise price of $.088 under the same terms as the investors.

      On February 14, 2008, Protocall Technologies Incorporated (the Company) dismissed Eisner LLP (Eisner) as its independent registered public accounting firm. The reports of Eisner on the Company’s financial statements as of and for the fiscal years ended December 31, 2006 and 2005 did not contain an adverse opinion or disclaimer of opinion, nor were they qualified or modified as to audit scope or accounting principles. Eisner’s report on the Company’s financial statements as of and for the years ended December 31, 2006 and 2005 included an explanatory paragraph and expressed substantial doubt about the Company’s ability to continue as a going concern.

      During the period of their engagement and through the date of dismissal, there were no disagreements, resolved or not, with Eisner on any matters of accounting principles or practices, financial statement disclosure or auditing scope or procedures, which disagreements, if not resolved to the satisfaction of Eisner, would have caused Eisner to make reference to the subject matter of the disagreement in connection with their report on the financial statements for such years. During the fiscal years ended December 31, 2006 and 2005, and in the subsequent interim periods through the date of dismissal, there were no reportable events as described in Item 304(a)(1)(iv)(B) of Regulation S-B.

      The Company provided Eisner with a copy of this current report on Form 8-K prior to its filing with the U.S. Securities and Exchange Commission (SEC), and requested that they furnish the Company with a letter addressed to the SEC stating whether they agree with the statements made in this Form 8-K, and if not, stating the aspects with which they do not agree. A copy of the letter provided from Eisner is filed as Exhibit 16.1 to this Form 8-K.

      On February 14, 2008, the Company engaged Marcum & Kliegman LLP (Marcum Kliegman) as its independent registered public accounting firm for the Company’s fiscal year ended December 31, 2007. The decision to change accountants was approved by the Company’s board of directors.

      During the year ended December 31, 2006, and the subsequent interim periods through the date hereof, we have not, nor has any person on our behalf, consulted with Marcum Kliegman regarding either the application of accounting principles to a specific completed or contemplated transaction, or the type of audit opinion that might be rendered on our financial statements, nor has Marcum Kliegman provided to us a written report or oral advice regarding such principles or audit opinion on any matter that was the subject of a disagreement or reportable event set forth in Item 304(a)(1)(iv) of Regulation S-B with our former independent accountant.

      Nachbörslich gab es einen neue Internetwerbetrailer von Protocall am Freitag.
      Die Zahlen und das Ende des Quartals stehen bevor, ich denke ich werde am Montag nochmal etwas nachkaufen und genüsslich abwarten.
      Wenn die Mit Wallgreens oder einem anderen Markt wirklich einen Vorvertrag oder nur einen sog. Letter of Intent abschliessen gibt es hier kein Halten mehr.
      Die Verwässerung ist beendet, die Aktien sind unters Volk gebracht und dienen der Finanzierung der Zukunft, machen viele Start-ups so und es ist immer wieder hässlich zu sehen aber kaum anders möglich. Das Ding ist halt eine extrem riskante Spekulation auf einen Markterfolg oder auf den Fuss den man in die Türe bekommt.
      Bei dem Potential ist das ein möglicher Vervielfacher, bekommen sie nichts ist es halt ein Toatlverlust, das Risiko kennt jeder der mit solch einem Schrott hier handelt.

      Ein Auszug aus dem Profil von Protocall auf der Website auf der auch der Trailer erschienen ist.
      Den Link setze ich wieder drunter.
      Ein Vertrag ist somit angeblich schon unterzeichnet, andere in Planung. Nun darf spekuliert werden in welchen Pommesbuden oder auch nicht Protocall seine Brennstationen denn aufstellen darf.
      Da die Dinger ja auch bezahlt und produziert werden müssen, könnte man die Verwässerung zu diesem Zeitpunkt auch erklären.

      Sooooooooooo bin nochmals unter 0,02,-$ rein und habe nachgelegt.
      Ich denke viel billiger wirds nicht mehr, bei 0,015,-$ baut sich immer eine schöne Wand auf und wenn die endlich die Katze aus dem Sack lassen und sagen wer der Vertragspartner ist, dann wird man sehen wohin die Reise geht.

      Ich denke zwar nicht dass wir hier jemals den Dollar sehen, doch wenns nur dahin zurückgeht wo wir schon waren hat sich das hier mehr als gelohnt.

      Sooooooooooooo es verdichten sich die Anzeichen dafür dass es Wallgreens werden wird in denen TileMatch seine DVD on Demand-Brenner aufstellen wird.

      Ich kopier das mal hier rein.

      Recently there have been a number of questions from different posters to this discussion forum. AGORACOM has made every effort to get answers to your questions in a timely fashion. Company CEO Bruce Newman has taken the liberty of answering your questions; however, in the interest of time Mr. Newman has done them collectively instead of responding to each question to each individual poster.

      The Q & A goes as follows:

      As always, I appreciate the opportunity to answer the questions posted here on the AGORACOM message board as well as others that have been forwarded to us by shareholders.

      First I would like to reiterate that our business, partnerships and market momentum remain exceptionally strong. We were first to launch a CD on-demand service for consumer software products and that experience has now put us in the leading role of launching the first DVD on-demand service for movies where we see exceptional growth potential for our company (more on this below).

      Obviously we are concerned with the recent decline in our share price and are taking the necessary steps to remedy the situation as soon as possible (more on this below). Ultimately we remain confident that our business progress will drive long term share value.

      Here are the questions and our responses…

      Is Protocall working with a national retailer on a deployment of its TitleMatch DVD on-demand service? RESPONSE: Yes, we have been working on a project with a major retailer for close to a year now and are contractually restricted from disclosing the retailer’s name and other specifics until the service becomes available to their consumers. As reported in the news media and on some websites, timing for deployment was targeted for the first quarter of 2008, however because of the overall size and scope of the project, certain integration processes have taken slightly longer to complete than originally planned. We believe the project is close to being ready, but the retailer will determine the exact launch date and we are actively working to make that happen as soon as possible. In terms of an SEC 8-K disclosure about the retailer, we did not consider the agreement to be material to our immediate revenue at the time of execution.

      Why does this round of financing seem so severe in terms of share price? The price per share was doing so great, and then the CEO comments about CD's being converted into common stock. Also, what are the restrictions on the conversions to prevent the stock from being over diluted? RESPONSE: The convertible note structures are complicated and simple answers are not always possible, which is why our financial statements are the best source for specifics. We believe part of the recent heavy selling by the convertible note holders was probably related to the SEC reducing stock holding periods from one and two years to 6 months. In terms of selling restrictions, note holders can convert up to $80,000 per month and are restricted in how much stock they can own at any one time – in most cases they cannot own more than 4.99% of our outstanding shares. We are actively pursuing a structure that would permit us to make cash payments against the notes rather than using stock.

      Why did the company use convertible note financing? RESPONSE: Simply because we require funding to keep the business moving forward. As our business progresses, we believe there will be ways in which the convertible notes can be restructure as mentioned above. Obviously time is of the essence.

      Why did the company increase its authorized shares? RESPONSE: We were contractually obligated to do so under our agreement with holders of the convertible notes.

      Does TitleMatch have its service in any retail stores right now? RESPONSE: Our previous retail deployment was a software-only system in CompUSA. With CompUSA closing most of their stores, those systems are no longer in the field. Our new DVD On-Demand service will be in the field as soon as our retailer partner determines the final go-live date. Again, these projects are usually large and take time to launch. Active web retailers utilizing our enterprise solution include tigerdirect.com, overstock.com, rightstuf.com and some other smaller companies.

      Why are some people bashing the company’s stock? RESPONSE: It could be because they are unhappy with the recent decline in price. It could also be some potential competitors who are trying to take advantage of the recent selling volume to sour our shareholders. Based on the shareholders that we have heard from, the vast majority are sticking with us for the long-run. Thanks to all our loyal shareholders!


      Ich habe noch mehrfach nachgelegt und habe dabei so effektiv verbilligt dass ich mittlerweile fast im grünen Bereich angekommen bin ; dabei hat das Teil nichtmal ansatzweise angefangen zu laufen!!!
      Indikatoren haben gedreht, der Boden scheint erreicht worden zu sein, die Konversion scheint beendet zu sein und alles wartet auf die Bestätigung.
      Kursziele für diesen Fall kursieren viele, bis zu 0,65,-$ wird der Aktie zugetraut und bei 140 Mio O/S ist auch der Dollar nicht auszuschliessen, der Markt ist riesig und die Konkurrenz noch nicht so weit!!!
      Alles nur meine Meinung, jeder ist für sich selber verantwortlich!!!
