HTC Purenergy Inc. (doing business as HTC Extraction Systems) has entered into an asset sale agreement, pursuant to which it will sell its approximately 27,000-square-foot building situated at Lajord, Sask., conditional upon TSX Venture Exchange approval.
The sale of the building will be at fair market value, estimated at approximately $925,000, to a related party, KF Homestead Properties Inc., and is conditional upon a valuation performed by a Canadian chartered bank accredited independent appraiser. The purchase price will be settled by the cash payment of $500,000 as deposit and the balance in 12 equal monthly instalments, commencing upon the first month postclosing of the asset sale agreement. Homestead is a related party to HTC, due to the fact that it shares a mutual director and officer with HTC, which director indirectly also owns 48.5 per cent of Homestead. HTC will retain the exclusive option for 10 years to purchase the building back from Homestead at the purchase price, with an option to renew the option for a further 10 years, as well as a right of first refusal in the event that Homestead wishes to sell the building. HTC will lease the building back from Homestead for the initial term of five years at fair market rent to be determined by the appraiser and the independent board committee.

HTC Purenergy Inc., operating as HTC Extraction Systems, has entered into an asset sale and purchase agreement (APA) with Starling Brands Inc. pursuant to which Starling Brands will acquire certain assets used in HTC's California-based cannabidiol extraction business for an aggregate purchase price of $5-million.
The purchase price is payable by the payment of $5-million in cash or, at the option of HTC, the issuance of five million Class A common shares of Starling Brands at a deemed price of $1 per option share, provided that HTC shall exercise the option upon HTC delisting its common shares from the TSX Venture Exchange and transitioning to the Canadian Securities Exchange.
The company has submitted an initial application to the CSE to list the HTC shares, and expects to request that the TSX-V voluntarily delist the HTC shares upon the commencement of trading on the CSE. At this time, the CSE has not yet reviewed the listing statement of HTC in connection with its application for a listing on the CSE. It is expected that the listing of the HTC shares on the CSE will be completed in the first quarter of 2022.

Ich vermute, da sie die Immobilie leasen werden Sie weiterhin mit Hanf Biomasse handeln und a) an Starling Brands verkaufen (TOP!) und b) veredeln für die Nahrungsmittelindustrie, Bauindustrie, ect... Vertrieben wird das ganze dann über Purley Canada Tochter von Above Food oder eine neu zu gründende Firma. Oder Fusion mit DISCOVERY EARTH SCIENCES
Was wird aus dem Kurs? Entschiedet sich nicht hier sondern in Canada und den Nachrichten die kommen.
Übrigens, bis zum 10. Januar sollen die Deltaaktien an die HTC Aktionäre ausgeschüttet werden.
Langweilig wirds hier die nächsten 6 Monate nicht

Meine Prognose:
HTC wird sich vom Extractionsgeschäft mit Cannabis verabschieden. Gründe der Vermutung - Kase One exestiert nicht mehr - Homepage seit Wochen nicht aufrufbar. - Auch Starling Brands und Kase Manufacturing sind praktisch von der Bildfläche verwunden.
HTC wird sich nur noch auf die Lebensmittelindustrie konzentrieren als KF Hemp und KF Agro oder so in etwa.
HTC wird von oder schluckt Above Food oder Purely Canada Foods Corp.

Further to HTC Purenergy Inc.'s press release dated Aug. 6, 2021, the company will issue a special dividend in kind of 12 million common shares of Delta CleanTech Inc. held by HTC to its holders of record of common shares of HTC as of the close of business on Aug. 13, 2021.
The board of directors has determined, in the best interest of HTC shareholders and the corporation, to pay the dividend to the holders of HTC shares on or before Jan. 10, 2022.
The Delta shares distributed under the dividend are subject to a pooling arrangement restricting the trading of the Delta shares. It is anticipated that upon the dividend payment, 40 per cent of the Delta shares will be free trading, with the remaining Delta shares becoming free trading in 20-per-cent increments on Feb. 19, 2022, May 19, 2022, and Aug. 19, 2022, respectively.
