a binding term sheet (the “Term Sheet”) with a uranium company (the “Partner”) which provides
that the parties will work to negotiate a definitive option agreement that, if entered into by March
15th, 2017, would provide the Partner an option to acquire up to a 70% working interest in a
portion of the Preston Uranium Project (the “Preston Segment”). In consideration for the 70%
interest, the Partner would be required to spend up to CAD $8 million consisting of cash
payments to Clean Commodities and Skyharbour and accelerating exploration programs.

SKYHARBOUR EXECUTES OPTION AGREEMENT WITH AREVA RESOURCES CANADA TO OPTION UP TO 70% OF A PORTION OF THE PRESTON URANIUM PROJECT FOR $8 MILLION IN PROJECT CONSIDERATION

Skyharbour Resources Ltd., in conjunction with Preston uranium project partner Clean Commodities Corp., have executed an option agreement with AREVA Resources Canada Inc. which provides AREVA an earn-in option to acquire up to a 70-per-cent working interest in a portion of the Preston uranium project (see also news release dated Dec. 15, 2016).

Under the Agreement, AREVA will contribute cash and exploration program consideration totaling up to CAD $8,000,000 in exchange for up to 70% of the applicable project area over six (6) years with a first option where AREVA may acquire an initial 51% working interest in the Preston Segment for a period of three (3) years by funding exploration expenditures in the total amount of $2,800,000 and making cash payments totaling $200,000 to Skyharbour and Clean Commodities

Highlights of the Option Agreement:

AREVA may earn up to a 70% interest in the Preston Segment totaling 49,635 hectares of the total 121,148 hectare Preston Project through $8,000,000 of total project consideration over six (6) years, including up to $7,300,000 of exploration work programs and $700,000 of cash payments.

If carried to completion, a tripartite joint venture would be formed being 70% as to AREVA and 30% as equally divided between Skyharbour and Clean Commodities.

Skyharbour and Clean Commodities will continue to retain 100% ownership of the balance of the Preston Uranium Project consisting of a further 71,513 hectares of minerals claims contiguous to the Preston Segment optioned to AREVA. AREVA shall hold a right of first refusal with respect to this tenure should Skyharbour or Clean Commodities elect to involve additional parties.

The Preston Uranium Project is one of the largest tenure positions in the Patterson Lake region and currently consists of 121,148 hectares strategically located near NexGen Energy Ltd.'s high grade Arrow deposit hosted on its Rook-1 property and Fission Uranium Corp.'s Triple R deposit located within their PLS Project area.

Clean Commodities Corp. has acquired the Ogilvie quarry zeolite project located in Nova Scotia, Canada. It has also announced its subsequent zeolite acquisition strategy.

About the Ogilvie quarry zeolite project

The Ogilvie quarry zeolite project consists of four contiguous mineral claims containing 16 historic drill holes by C2C Mining Corp. The project area was originally identified by Ian Booth in the 1990s, prior to emergence of potential new agricultural markets. Historic exploration identified a high cation exchange capacity (CEC) zeolite prospect. Zeolite-infilled amygdule volumes were reported by the past operator.

dabei wird man zwangsläufig auch über ein HOCH- spannendes COBOLT- proj. stolpern, welches
man gemeinsam mit partner CIN in q3 weiterentwickeln möchte. grad unter dem aspekt, daß
auch dieser sektor massiv vom wandel hin zu industrie 4.0 profitieren dürfte, sollte für weitere

Clean Commodities Corp., as operator, has commenced a work exploration program at the Manitou cobalt project, under option from Canadian International Minerals Inc.

The helicopter-supported, multicrew exploration program commenced on July 23 and is focused on field sampling and prospecting numerous targets and showings already identified within the project. In addition, exploration crews will be field confirming a number of prospective drilling locations to be further evaluated upon receipt of assay results from field samples, which are expected to be processed on an expedited basis.

"We are excited to have crews on the ground actively exploring the Manitou cobalt project, which is an advanced exploration project that has attracted considerable technical interest within our industry. On behalf of our shareholders, we are pleased to be moving this high-impact, cobalt-nickel-PGM [platinum group metal] exploration project forward both this summer and beyond," stated Ryan Kalt, chief executive officer of Clean Commodities.

Three-fold increase to exploration program budget

Following additional technical review of the Manitou cobalt project, the parties determined that a larger exploration budget would more effectively evaluate the significant number of targets and showings within the project area. Consequently, but subject to a back-in right, Clean Commodities and Canadian International have agreed to modify the option agreement such that Clean Commodities will hold 75 per cent of the Manitou cobalt program in exchange for a three-fold increase of the initial exploration earn-in budget originally announced by the parties on Feb. 20, 2017. Clean Commodities has fully financed this new, increased exploration budget. Canadian International has the right to back in to the expanded exploration program and retain a 50-per-cent portion of the Manitou cobalt project by financing one-half of the increased budget amount within 30 days of the commencement of the exploration program.

CLEAN COMMODITIES CORP. ANNOUNCES THE DISCOVERY OF A DISTINCT LITHIUM-RICH BOULDER FIELD ASSAYING UP TO 1.65% LI2O; ACQUIRES 2,594 HA OF ADDITIONAL TENURE IN JULIET LITHIUM PROJECT EXPANSION

Clean Commodities Corp. has successfully completed its inaugural field program at its Juliet lithium project, located adjacent to Critical Element Corp.'s Rose lithium project in Quebec, Canada. The recently completed field program identified a prospective mineralized boulder field with assays up to 1.65 per cent Li2O (lithium oxide). The corporation believes the boulders to be sourced in close proximity and from within tenure held by the company given the abundance, characteristics and metre-scale size of the boulders.

The discovery at Juliet includes six mineralized pegmatite boulders, ranging in size from approximately 15 cubic centimetres to 20 cubic centimetres up to approximately one metre by one metre by 0.5 metre, with lithium mineralization ranging from 0.36 per cent to 1.65 per cent Li2O. Tantalum assays are pending. The presence of a well-mineralized (1.27 per cent Li2O) metre-scale boulder within the larger well-mineralized boulder field indicates a proximal source.

The discovery is located less than five kilometres to the northeast of Critical Rare Earth Elements' Rose lithium-tantalum deposit and proximal to other known and recently discovered lithium-tantalum pegmatites.

As such, the corporation has successfully acquired, through map staking, the most prospective ground in the up-ice direction of the boulder field discovery and is now engaged in a review of prospective follow-on exploration programs at the Juliet lithium project for the ensuing field season. Further details concerning the expansion of the Juliet lithium project are provided herein.

The summer 2017 field program was completed on behalf of Clean Commodities by Dahrouge Geological Consulting Ltd.

Management cautions that past results or discoveries on adjacent properties (Rose) may not necessarily be indicative to the presence of mineralization on the corporation's properties (Juliet).

Juliet lithium project expansion

Clean Commodities is also pleased to announce that it has increased the size of the Juliet lithium project through the acquisition of 49 new mineral claims totalling approximately 2,594 hectares (approximately 6,407 acres) in size. The new project ground represents an approximate 8.5-kilometre expansion of the Juliet lithium project in an up-ice direction to the discovery detailed in this news release.

An updated map of the corporation's Juliet lithium project may be found on the company's website.

The Juliet lithium project now stands at approximately 12,140 hectares (approximately 30,000 acres).

Clean Commodities and Skyharbour Resources Ltd. entered into an option agreement with AREVA Resources whereby AREVA Resources has an option to acquire up to a 70-per-cent working interest in the Preston Lake uranium project (see news release dated March 9, 2017). Under the agreement, AREVA Resources will contribute cash and exploration program consideration totaling up to $8-million in exchange for up to 70 per cent of the project area over six years with a first option where AREVA Resources may acquire an initial 51 per cent working interest in Preston for a period of three years by financing exploration expenditures in the total amount of $2.8-million and making cash payments totalling $200,000 to Skyharbour and Clean Commodities.

Clean Commodities Corp. intends to conduct a non-brokered private placement to raise gross proceeds of up to $1.2-million by way of the issuance of up to 20 million common share units at a price of six cents per unit.

Each unit under the financing will consist of one common share and one-half of a common share purchase warrant. Each whole warrant will entitle the holder to purchase one additional common share of the corporation at a price of 12 cents per common share for a two-year period from the closing date.

Net proceeds of the financing will be used to advance the corporation's exploration projects in Canada and for general working capital purposes.

Shares issued pursuant to the financing will be subject to a four-month hold period pursuant to applicable securities laws of Canada.

The corporation may pay cash finders' fees on subscriptions under the financing equal to 7 per cent and issue finder warrants equal to 7 per cent on subscriptions under the financing exercisable at a price of 12 cents for a two-year period following closing.

jooo, auch ICH bleibe hier optimistisch - das proj.- portfolio einfach SUPER.........IMO
und verdient durchaus eine höhere MK als die akt. von grad mal cad-mios 12,-


erinnere nur mal an die int. JVs........ua. mit AREVA im HOCH- spann. PRESTON- uran- proj.
über cad- mios 8,- in 6 jahren ( siehe beitrag-nr. 8)

angesichts des preis- ausbruchs bei cobalt wäre es nur nachvollziehbar, wenn sie nunmehr
dieses proj. mit HOCH- druck weiter anschieben - cad-mios 1,5 aus laufendem PP wären da
bestens angelegt.

bin mal gespannt, was DU uns darüber hinaus noch von deinem dialog mit CLE zu

Das Lithiumprojekt Phoenix besteht aus sechs Mineralkonzessionen mit einer Fläche von 4.584 ha. Der Lithiumpegmatit Big Bird wurde über eine Streichlänge von 1.200 m kartiert und hat eine Mächtigkeit von bis zu 80 m.

Yesterday, the Corporation announced the closing of the first tranche of the aforementioned Financing, being 17,870,000 units for gross proceeds of $1,340,250.00 (the "First Tranche") (see news release dated December 13, 2017, Clean Commodities Corp. Closes First Tranche of Financing).

The Corporation confirms that the First Tranche and Second Tranche, closed yesterday and today, respectively, totaled the previously announced 20,000,000 units in the Financing for aggregate gross proceeds of $1,500,000.00.

Investor demand for the Financing significantly exceeded the number of units available under the Financing and the Corporation wishes to extend its appreciation to all parties who expressed interest.

The units issued in the Second Tranche were issued pursuant the terms announced and are subject to a four month hold period per applicable Canadian securities laws.

The Corporation paid cash finder's fees on certain subscriptions within the Second Tranche equal to 7% and issued finder's fee warrants equal to 7% on certain subscriptions within the Second Tranche exercisable at a price of $0.10 for a two year period following closing.

("Cameo Resources") of their 2018 exploration plans at the Dumont and Spodumene Lake Lithium Projects under option to Cameo Resources.

The planned work advised by Cameo Resources is to consist of traverses, mapping and sampling designed to identify potential lithium-bearing pegmatites and is expected to commence in mid-2018 once ground conditions permit (see also news release by Cameo Resources dated same).

"Clean Commodities is pleased to have partnered with Cameo Resources on our Whabouchi Regional Lithium project located near the advanced lithium deposit being moved forward by Nemaska Lithium. ("AREVA Resources") will be commencing a planned 4,500 metre diamond drill program at the Preston Uranium Project. The project is located in the western Athabasca Basin near NexGen Energy Ltd.'s high-grade Arrow deposit hosted on its Rook-1 property and Fission Uranium Corp.'s Triple R deposit located within their PLS Project area.

Clean Commodities and Skyharbour Resources Ltd. ("Skyharbour") entered into an Option Agreement (the "Agreement") with AREVA Resources whereby AREVA Resources has an option to acquire up to a 70% working interest in the Preston Uranium Project (see news release, 'Clean Commodities Corp. Executes Option Agreement with AREVA Resources Canada to Option up to 70% of a Portion of the Preston Uranium Project for $8 Million in Project Consideration' dated March 9, 2017). Highlights of AREVA Resources' Exploration Programs at Preston Uranium Project:

AREVA Resources planning to carry out CDN $2,000,000 in exploration and diamond drilling programs over the next year.
Recently completed geophysical programs included Moving Loop Transient Electromagnetic (ML-TEM) surveys on two grids located on the western part of the project, east of Highway 955.
A diamond drilling program consisting of 15 to 20 drill holes for a total of approximately 4,500 metres to commence shortly.
AREVA Resources may earn up to a 70% interest in the 49,635-hectare Preston project through $8,000,000 of total project consideration over six (6) years, including up to $7,300,000 of exploration work programs and $700,000 of cash payments.
If carried to completion, a tripartite joint venture would be formed being 70% as to AREVA Resources and 30% as equally divided between Clean Commodities and Skyharbour.
Preston Uranium Project Winter 2018 Diamond Drilling Program:

AREVA Resources will be commencing a diamond drilling program shortly consisting of 15 to 20 drill holes at the Preston Uranium Project for a total of approximately 4,500 metres which is scheduled to take approximately two and half months to complete. Drilling will focus on areas of interest defined by ground EM surveys within the western part of the project, east of Highway 955 and the 'FS area' of the project.

CAMEO RESOURCES CORP. RECEIVES TSX VENTURE EXCHANGE APPROVAL FOR WRL PROJECT AND ANNOUNCES FINANCING

Cameo Resources Corp. has received TSX Venture Exchange approval for its option agreement with Clean Commodities Corp. to earn an 80-per-cent interest in the WRL project in Northern Quebec over a four-year period, subject to certain terms and conditions. Under the terms of the option agreement, now that TSX Venture Exchange approval has been received, the company has issued 500,000 common shares to Clean Commodities.

The company also announced that it has filed an updated National Instrument 43-101 technical report for the WRL project. The technical report was prepared in accordance with the requirements of National Instrument 43-101 -- Standards of Disclosure for Mineral Projects. Darren Smith, PGeol, a qualified person by the standards of National Instrument 43-101, authored the technical report. He is independent of both the company and Clean Commodities. A copy of the technical report is available under the company's profile on SEDAR, as well as on the company's website. The technical report supports the disclosure respecting the WRL project made by the company in its news releases dated Nov. 30, 2017, Dec. 18, 2017, and Jan. 3, 2018, and there are no material differences between that disclosure and the technical report.

Qualified person

The technical information in the technical report and this news release has been prepared in accordance with the Canadian regulatory requirements set out in National Instrument 43-101 and was reviewed and approved by Darren Smith, a qualified person and independent of Cameo Resources.

Financing

The company also announced that it intends to conduct a non-brokered private placement to raise gross proceeds of up to $500,000 by way of issuance of up to 666,667 units at a price of 75 cents per unit. The project is located near NexGen Energy Ltd.'s high-grade Arrow deposit hosted on the Rook-1 property and Fission Uranium Corp.'s Triple R deposit located within the PLS property. Numerous high-quality drill targets have been generated from the 50 line km surveys and detailed interpretation work is underway to generate targets for future drill testing incorporating the gravity survey results.

Clean Commodities and Skyharbour Resources Ltd. ("Skyharbour") entered into an Option Agreement (the "Agreement") with Azincourt whereby Azincourt has an earn-in option to acquire a 70% working interest in a portion of the Preston Uranium Project known as the East Preston Property.

AZINCOURT ENERGY ENTERS YEAR TWO OF OPTION AGREEMENT AT THE EAST PRESTON URANIUM PROJECT, ATHABASCA BASIN

Due to the positive outcome of its recent exploration program at the East Preston project, Athabasca basin, Saskatchewan, Azincourt Energy Corp. has paid the required $150,000 to enter year two of its current joint venture agreement with Skyharbour Resources Ltd. and Clean Commodities Corp.

Numerous, high-quality drill targets were generated upon completion of the Company's recent HLEM and Gravity geophysical surveys at East Preston. Detailed interpretation work is currently underway to delineate priority targets for future drill testing.

The East Preston geophysical program consisted of 51.45 km of grid preparation, 46.05 km of horizontal loop electromagnetic (HLEM), and 40.6 km of gravity. The HLEM data was collected using a 200 m transmitter-receiver separation, and 50 m station intervals. The survey was designed to accurately identify the location of multiple conductive systems in this shallow depth to basement environment. Uranium deposits are often associated close to basement conductive trends and represent a first order criterion for discovery.

Figure 1 displays the gridded 7040 Hz in-phase HLEM data, which is considered to be representative of the entire data set. The most prospective trends, based solely on conductivity, are labelled as C1 and C2. However, there are zones of mineralization within the Athabasca Basin that are not directly related to graphite content; therefore, the weaker trends should not be dismissed. Lineaments interpreted from the airborne magnetic data are also displayed, which appear to offset the HLEM conductive trends.

The gravity survey recorded measurements at 50 m station intervals. Subtle gravity low anomalies can highlight areas of alteration and structural disruption. Gravity highs may represent basement topography, which are also associated with uranium deposits. This initial ground geophysical program has confirmed the interpretation of the airborne data and has yielded drill targets within previously untested corridors.

"The Main Grid shows multiple long linear conductors with flexural changes in orientation and offset breaks in the vicinity of interpreted fault lineaments {A –} classic targets for basement-hosted unconformity uranium deposits," said Ted O'Connor, P.Geo. "These are not just simple basement conductors, they are clearly upgraded/enhanced prospectivity targets because of the structural complexity. There is no shortage of drill targets for year two testing," continued Mr. O'Connor.

CLEAN COMMODITIES CORP. TO CHANGE NAME TO DIXIE GOLD INC.

Clean Commodities Corp. intends to undertake a corporate name change to Dixie Gold Inc.

The name change was approved by the corporation's board of directors on Sept. 30, 2019, subsequent to which the corporation filed a Form 5H (Name Change Without Consolidation or Split Filing Form) with the TSX Venture Exchange on Oct. 1, 2019.

In conjunction with the name change, the corporation has applied to the TSX-V for a new trading symbol. Separately, the corporation has also applied for a new ISIN/CUSIP number. Further information with respect to these items and any other items associated with the corporation's name change submission to the TSX-V will be provided to shareholders in due course.

The corporation is currently planning gold exploration activities at its Isko gold project located in Quebec, Canada. Acquired in 2017, the corporation subsequently performed a soil sampling program at the project as detailed in the corporation's financial reports available on SEDAR.

As a mining issuer, the corporation regularly reviews potential mineral property acquisitions and dispositions as part of its ordinary course of operations.

The corporation believes that the strong trading price of gold (as expressed in Canadian dollars) warrants increased capital allocation by the corporation to this commodity.

The corporation holds a diversified mineral exploration portfolio situated across Canada, including, among other interests, mineral exploration projects involving gold (Isko), lithium (Phoenix/Torp), uranium (Preston) and cobalt (Manitou).

(“Azincourt” or the “Company”) (TSX.V: AAZ, OTC: AZURF), is pleased to provide an update on plans for the 2020 winter diamond drilling program at the 25,000+ hectare East Preston Uranium Project, located 50km southeast of Patterson Lake, in the Western Athabasca Basin, northern Saskatchewan, Canada.

Drill target prioritization has now been completed, based on the compilation of results from the 2019 winter drill program, the 2018 and 2019 ground-based EM and gravity surveys, and property-wide helicopter-borne Versatile Time-Domain Electromagnetic (VTEM™ Max) and magnetic surveys.

The upcoming approximately $1.2M drill program will focus on prospective targets in the Five Island Lakes area with 2000-2500m (up to 15 holes) of diamond drilling at 8-to-10 pad locations.

The majority of proposed holes will test multiple subparallel EM conductors (A-zone and B-zone conductor corridors), in an area of marked structural disruption. Portions of the A-zone were drilled during the 2019 winter campaign verifying that the conductor hosts significant graphite in strongly deformed (sheared) host rocks that offer both fluid pathways and a reducing host rock conducive to uranium deposition.

Initial drilling is also proposed for the Swoosh zone, a 7+ km long east-west structural lineament with strongly anomalous, spatially consistent geochemical anomalies (lake sediments, radon, soil) and coincident magnetic and gravity geophysical anomalies. Two holes are proposed for this area near the upstream terminus of the geochemical anomalies. This zone is located along strike - approximately 5km southwest of the A-zone.

“East Preston is a large and highly prospective uranium exploration project with a comprehensive inventory of compelling drill targets, and we’re eager to begin testing the target zones,” said President & CEO, Alex Klenman. “Earlier this year a number of factors prevented us from drilling as much as we had planned. VANCOUVER, Dec. 10, 2019 /CNW/ - Dixie Gold Inc. (TSX VENTURE: DG) ("Dixie Gold" or the "Corporation" or the "Issuer") provides the following update with respect to Western Hemp Corp. (see news release, Clean Commodities Corp. Announces Intent to Spin-Out Licensed Hemp Producer to Shareholders, dated September 23, 2019).

The Corporation (previously Clean Commodities Corp.) has been subject to a restrictive undertaking imposed by the Corporation's listed exchange (being for factual clarity, the TSX Venture Exchange) since September 24, 2019 (the "Regulatory Restriction"), the subject matter of which relates to Western Hemp Corp. ("WHC").

The Regulatory Restriction prohibits the Issuer, as a shareholder of WHC in its current form, from: 1) making further investment in or on behalf of WHC beyond a nominal prescribed amount (expended); and 2) imposes a prohibition against the commencement of commercial operations by WHC.

Despite best efforts by the Corporation, the imposed regulatory constraints are, in the view of the Corporation, terminal to the Issuer's ability to reasonably advance its shareholding in WHC as said constraints amount, in the Corporation's opinion, to a regulatory prohibition against funding and operating WHC in a commercially-viable near-term manner.

Ongoing capital market deterioration with respect to domestic entities licensed under the Cannabis Act (Canada) has further challenged the situation with respect to the Corporation being able to assist in regards to the potential sourcing of external third-party capital, especially given that the present-day commercial operations of WHC are currently under an operating prohibition as required by the TSX Venture Exchange.

As a result of the foregoing, the Corporation advises that it is not reasonably able to advance its investment in WHC and therefore will be discontinuing further involvement with respect to WHC, including, but not limited to, discontinuing plans to create a publicly traded company thereof.

The Corporation expects to incur a non-material impairment related to its investment in WHC.
