Boston Private Announces Inducement Awards Granted Under Nasdaq Listing Rule 5635(c)(4)

Boston Private Financial Holdings, Inc. (NASDAQ: BPFH) (“Boston Private” or the “Company”), a leading provider of integrated wealth management, trust and banking services, today announced that the Company previously granted equity awards, representing an aggregate of 84,682 shares of its common stock, to 13 employees between February 2015 and August 2017 in order to induce such individuals to commence employment with Boston Private. The awards were made under the Boston Private Financial Holdings, Inc. 2010 Inducement Stock Plan, as amended, and are subject to the terms and conditions of this plan.

The equity awards consisted of 60,113 restricted stock awards with vesting at the end of a three-year period, 8,240 restricted stock units with vesting at the end of a three-year period, and 16,329 restricted stock units with vesting in three equal annual installments. All of the equity awards were subject to such employees’ continued service with the Company through the respective vesting dates, and approved by the compensation committee of Boston Private’s Board of Directors.
