Voltabox Successfully Completes Capital Increase from Authorized Capital and Confirms Forecast
Paderborn, November 28, 2022 – Voltabox AG ["Voltabox" or the "Company"; ISIN DE000A2E4LE9] has successfully completed the capital increase from authorized capital that was resolved on Friday. A total of 1,740,749 new shares were issued at a price of € 1.10 per new share (the "Placement Price"). Based on the dutiful assessment of the Management Board, the Placement Price is therefore not significantly lower than the stock market price pursuant to Section 186 (3) sentence 4 of the German Stock Corporation Act (AktG). As a result of the issue of 1,740,749 new bearer shares with no par value, the Company's share capital has now increased to € 19,148,249. Admission of the New Shares to trading on the regulated market of the Frankfurt Stock Exchange with simultaneous admission to the sub-segment of the regulated market with additional post-admission obligations (Prime Standard) is expected shortly. The New Shares will carry full dividend rights from January 1, 2022.
The Company will receive gross issue proceeds of around € 1,914,800 from the capital increase. "We are considerably strengthening our equity base with this successful transaction. The ratio thus increases to currently over 50 %. We will also use the funds to finance the development of existing and new business segments as part of our growth strategy 2023," explains Patrick Zabel, CEO of Voltabox AG. The placement of the New Shares was accompanied by Quirin Privatbank AG.
In parallel with the publication of the Group's interim statement for the third quarter of 2022, Voltabox CEO Patrick Zabel has reaffirmed the forecast for the 2022 fiscal year. Production on four product lines was successfully resumed in the fall of this year after significant challenges in the current year due to extended material delivery times. Voltabox AG has been supplying major customers with its high-performance battery systems since then. The positive corporate development is also being driven by the new subsidiary GreenCluster. In the field of infrastructural energy production and corresponding utilization models, the company is already generating notable revenues and contributing to the overall result with positive earnings effects. "Our business has been gaining momentum week by week since the beginning of the second half of the year. With the recent successes, we have laid the foundation to be able to realize ambitious, sustainable and especially profit-oriented growth in the coming fiscal year," clarifies Patrick Zabel.
