EQS-Ad-hoc: Nagarro SE / Key word(s): Annual Report Munich, April 25, 2025 – Nagarro SE has decided to postpone the publication of the 2024 full-year results and annual report as follows: |
- April 29, 2025: publication of preliminary 2024 results
- May 15, 2025: publication of the audited 2024 financial statements and 2024 annual report
This additional time is needed to complete the preparation and the audit process for the financial statements and management report, together with the new auditor. This especially relates to complex matters of revenue recognition with respect to the periodical allocation of revenues, meaning these matters relate only to the timing of the recognition of revenues.
This slight delay in publication of the audited annual report will probably lead to the temporary exclusion of Nagarro SE shares from the TecDAX and SDAX indices of Deutsche Boerse AG.
On the basis of the use of a rectified approach for the purchase price allocations of acquisitions and the treatment of earn-out liabilities, there will be a reduction in goodwill, an increase in other intangibles, and a reduction in liabilities. This will have an impact on the 2023 profit and loss statement, but will not change the 2023 Adjusted EBITDA.
Nagarro is not aware of any additional findings impacting the balance sheet and profit and loss statement for 2024. Nagarro confirms again that it expects to meet the financial targets for 2024. Nagarro also confirms its intention to distribute a dividend to shareholders between 10% and 20% of EBIT, which is finally subject to approval by the Annual General Meeting rescheduled for June 30, 2025.
