According to the lawsuit, on February 9, 2026, Kyndryl announced that it was unable to timely file its Quarterly Report on Form 10-Q for the quarter ended December 31, 2025, that the Securities and Exchange Commission was investigating the Company's cash management practices and disclosures, that the Audit Committee of the Board of Directors was reviewing those issues internally, that the Company anticipated reporting material weaknesses in internal controls with respect to information and communication, as well as tone at the top.

The complaint alleges that when these issues were revealed, Kyndryl shares fell $12.90 per share, or 55%, to a closing price of $10.59 per share on February 9, 2026.
