(“NEXGEL” or the “Company”) (NASDAQ: “NXGL”), a leading provider of healthcare, beauty, and over-the-counter (OTC) products including ultra-gentle, high-water-content hydrogel products for healthcare and consumer applications, today announced the rescheduling of its shareholder update conference call to April 23, 2026, at 4:30 P.M. ET.

While there is no assurance that the Celularity transaction will close, the Company will not be financing the transaction under its previously announced Securities Purchase Agreement with a certain institutional investor. The Company is in the process of negotiating a new agreement with a different group of investors under a new financing structure. The Company anticipates providing additional details regarding this proposed transaction with Celularity Inc. on April 23^rd.
