Leverkusen, 27 May 2015 - The board of directors of Biofrontera AG has resolved on 23 April 2015, to increase the registered capital of the company from currently EUR 22,196,570.00 by up to EUR 2,173,913.00 to an amount of up to EUR 24,370,483.00 by way of a capital increase against cash contribution by issuing up to 2,173,913 new registered no-par shares with an amount of the share capital attributable to each share of EUR 1.00 ("New Shares") (see Ad-hoc-release of 23 April 2015). The shareholders were offered to subscribe to the New Shares and make offers for additional subscriptions. New Shares which were neither acquired under the execution of subscription rights nor under additional subscription were be offered to select investors for acquisition in the context of a private placement. As of today's assessment 1,377,272 New Shares were placed. The proceeds of the issue amount to approx. EUR 3.1 Million (net).

The proceeds will be used to cover the "PDUFA Fee" of US$ 2.335 mln that Biofrontera will have to pay to the FDA prior to submitting the dossier for its medicament Ameluz. While this fee is normally waived for the first submissions of small companies, the FDA does not yet have a process installed for granting the waiver in the current year. Following approval of the waiver, the money should be returned to Biofrontera. The remaining sum will flow into Biofrontera's general operational costs.
