After having reviewed the business of the last three months, the Management
and Supervisory Boards have decided to restructure the NEXT AUDIENCE
business and its cost structure geared towards an independent development
of the business, in particular, by reducing personnel capacity. For the
remaining reduced business, SinnerSchrader AG will investigate options
including a sale or a formation of a joint venture with a partner.

Sales of the NEXT AUDIENCE platform fell well short of expectations. In
addition, due to a merger integration process, a substantial client is
obliged to switch to a different solution by the end of September 2015.

The NEXT AUDIENCE platform is an integrated technology solution for
Programmatic Media in accordance to German data protection regulations,
consisting of an ad server and a Data Management (DMP) component. Core of
the platform is a proprietary in-memory database technology that uses all
digital user interactions including CRM data for real-time optimisation of
personalised display advertising. Since its completion in August 2014, the
technology has proven itself with various advertisers. The intelligent use
of website and CRM data by the NEXT AUDIENCE platform, helped to improve
the efficiency of select online campaigns by more than 50 per cent.

At the same time the Supervisory Board approved the acquisition of Swipe
GmbH, Hamburg, which will be completed in the coming days. As a specialist
in mobile content, Swipe GmbH - founded by Jürgen Alker and Sven Schmiede -
strengthens the mobile services offering of SinnerSchrader. The acquisition
reflects the growing importance of mobile marketing solutions in the
context of digital transformation.

Swipe GmbH generated revenues of EUR 1.45 million in 2014 with an operating
profit of almost EUR 0.19 million. The compensation consists of cash and
SinnerSchrader treasury stock under lock-up in the equivalent just under
EUR 1 million in total.

Revenue and earnings of the SinnerSchrader Group for fiscal 2014/2015 are
expected to move in line with guidance from April 2015 - subject to one-off
charges resulting from possible adjustments at NEXT AUDIENCE. Detailed
information about the business performance in the third quarter of
2014/2015, which ended on 31 May 2015, and the outlook for the entire
fiscal year will be announced in the quarterly reporting on 15 July 2015.
