Ad hoc Announcement according to § 15 WpHG

Proposals for distribution of dividends, nominations for the Supervisory
Board and proposals for remuneration of Supervisory Board members

Cuxhaven, 13 September 2015 - The Management Board and the Supervisory
Board of PNE WIND AG resolved today, inter alia, to submit to the General
Shareholders' Meeting, to be held on 23 October 2015, the payment of a
dividend of EUR 0.04 per share entitled to profits, using the balance sheet
profit from fiscal year 2014. Subject to approval by the General
Shareholders' Meeting, a total of appr. EUR 3.06 million will be
distributed to shareholders. The payment is then expected to be made on 26
October 2015.

The Supervisory Board also resolved to propose the following candidates for
election to the Supervisory Board consisting of six members to be
reconstituted:

- Dr. Andreas Beyer, München,

- Alexis Fries, Zürich,

- Christoph Groß, Mainz,

- Per Hornung Pedersen, Hamburg,

- Andreas M. Rohardt, Hermannsburg, and

- Wilken von Hodenberg, Hamburg.

Alexis Fries is designated to become chairman of the Supervisory Board,
subject to such appointment by the new members of the Supervisory Board to
be elected by the Annual Shareholders' Meeting.

The Boards further propose to amend the remuneration for the members of the
Supervisory Board to provide for a fixed remuneration in lieu of the
performance-related compensation. In the future, the fixed remuneration
shall amount to EUR 60,000 per member per year (two times for the chairman
on one and a half times for the deputy chairman).

In addition, the Supervisory Board has initiated the search for a new CEO
of PNE WIND AG.
