First annual shareholders' meeting of EDAG Engineering Group AG


Arbon, June 1st 2016. The first annual shareholders' meeting of EDAG
Engineering Group AG took place on May 31st 2016 in Zurich. Chairman of the
Board Thomas Eichelmann led the event and the Group Executive Management
presented the development of the financial year 2015.

With group core revenues increased by 13.7 percent year on year to EUR 722
million and an adjusted core EBIT of EUR 72,9 million over the same period,
the financial year 2015 was extraordinary successful. For the current year,
the company expects an increase in revenues in a range of 7- 10% and a
moderate growth of the adjusted EBIT compared to 2015.

The shareholders' meeting approved the group financial statements for 2015
and positively decided on the payment of a dividend of EUR 0,75 per share
via transfer from the capital reserve. The dividend will be paid out from
June 1st 2016.

The members of the Board of Directors as well as the Group Executive
Management have been exonerated. Moreover the Board of Directors and Mr.
Thomas Eichelmann as Chairman of the Board of Directors have been re-
elected for a further year.

As in the previous year, PricewaterhouseCoopers AG, Zurich, have been
elected as auditor for the financial year 2016.
