Ad-hoc: Rocket Internet SE contributes its Shareholding in foodpanda into
Delivery Hero against Newly Issued Shares in Delivery Hero

Berlin, Germany, 9 December, 2016 - Rocket Internet SE ("Rocket Internet"
or the "Company") (ISIN DE000A12UKK6) has, together with the other
shareholders in Emerging Markets Online Food Delivery Holding S.à r.l.
("foodpanda"), agreed to contribute its shares in foodpanda into Delivery
Hero Holding GmbH ("Delivery Hero") in exchange for newly issued shares in
Delivery Hero. Rocket Internet's stake in Delivery Hero will be c. 37.7 %
(on a fully diluted basis) post transaction. The transaction is subject to
customary closing conditions and is expected to close prior to December 31,
2016.
