1. Approve the non arm's-length transactions between Sberbank of Russia and
Krasnaya Polyana OJSC on participation of Sberbank of Russia (Participant
in the Shared Construction, Interest Holder) in the shared construction of
the Hotel Complex included in the Gornaya Carousel Sport and Tourism
Center. Shared Construction Unit: non-residential (non-production) premises
designed to accommodate Yugo-Zapadny Bank, an internal structural unit of
Sberbank of Russia. Contract price: USD 2.5 million. All settlements are
made in rubles at the official exchange rate of the Bank of Russia as of
the date of payment. Beneficiary: none.

Voting results: adopted unanimously.

2. Approve the non arm's-length transactions between Sberbank of Russia
and Krasnaya Polyana OJSC on participation of Sberbank of Russia
(Participant in the Shared Construction, Interest Holder) in the shared
