EU Commission confirms MBA MVNO Agreement between Drillisch and Telefónica
Deutschland and gives Telefónica green light for acquisition of E-Plus

Maintal, Germany. The European Commission today confirmed that the
previously announced MBA MVNO Agreement concluded between Drillisch and
Telefónica Deutschland regarding the subsidiary MS Mobile Services GmbH
meets the requirements for approval. Moreover, Drillisch was attested to be
suitable to carry out the implementation. With that, the EU also gave final
approval for the acquisition of E-Plus group by Telefónica Deutschland.

"The final approval by the European Commission ensures us as only
competitor on the German market a significant share in Telefónica's high
speed network created by the merger. It also grants us exclusive, secure
and unlimited access to all present and future technologies for a very long
time," says Vlasios Choulidis, Member of the Management Board of Drillisch
AG.

In the course of the approval process by the cartel authorities, Telefónica
Deutschland has undertaken to sell at least 20% of its future capacities in
the mobile phone network via Mobile Bitstream Access ("MBA") to Drillisch
before concluding the transaction. Furthermore, Drillisch has the
opportunity to acquire up to 10% of additional network capacity.
Drillisch's wholly-owned subsidiary MS Mobile Services GmbH and Telefónica
Deutschland have already signed the respective agreements. The EU
Commission has now confirmed that (i) these agreements include the measures
which had to be taken before conclusion of the transaction to get the
approval, and (ii) Drillisch is suitable to implement the remedial action
offered by Telefónica - the so called "Upfront MBA MVNO Remedies".

Drillisch is confident that Telefónica Deutschland will complete the
acquisition during the third quarter of 2014 and that the MBA MVNO
Agreement will then finally become effective.
