Frankfurt (pta026/08.06.2015/19:00) - June 8th, 2015 The company Horizon Ressources GmbH has delivered to us the following counter-motions tot he agenda items oft he General Meeting of June 12th, 2015. The complete motions including justifications will be published on our homepage tomorrow.

Agenda Item 1. Horizon Resources GmbH will submit the following counter-motion: Warth & Klein Grant Thornton AG Wirtschaftsprüfungsgesellschaft with their registered seat in Dusseldorf shall be appointed as auditors for PEARL GOLD AG for the business year 2014.

Agenda Item 2 Horizon Resources GmbH proposes that 1. Mr. Roy Darius Maybud, Rechtsanwalt, resident in Zurich (Switzerland), 2. Mr. Chris Simon Ainsworth, Consultant Geologist, resident in Middelburg (South Africa) and 3. Mr. Alireza Mahdavi, entrepreneur, resident in Dubai (United Arab Emirates) be elected to the Supervisory Board of the company. The elected members shall hold office until the end of the General Meeting, which resolves upon the granting of discharge to the members of the Supervisory Board for the financial year 2018.

Agenda Item 4 Horizon Resources GmbH proposes to elect 1. Mr. Robert Francis Goninon, Geologist, resident in Abu Dhabi (United Arab Emirates), 2. Mr. Konstantin von Klitzing, Banker, resident in Paris (France) and 3. Mr. Pierre Roux, Security Manager, resident in Saint Didier (France) as members of the Supervisory Board. The elected members shall hold office until the end of the General Meeting, which resolves upon the granting of discharge to the members of the Supervisory Board for the financial year 2018.
