WCM commences private placement - subscription ratio of 67.9 percent within
the subscription period
Frankfurt, 6 July 2015 - Just before the subscription period for its cash
capital increase with subscription rights comes to an end this evening, WCM
Beteiligungs- und Grundbesitz-AG (WCM AG, ISIN: DE000A1X3X33) is reporting
a provisional subscription ratio of around 67.9 percent. So far, 22,930,304
subscription rights have been exercised, entitling the holders to subscribe
for a total of 51,593,184 shares of WCM AG at a price of EUR 2.05 per
share. This figure includes 9,205,750 shares which existing shareholders
had made a binding commitment to acquire in advance of the transaction. Up
to 76,010,706 shares in total are expected to be issued in the course of
the cash capital increase. This would raise the company's share capital to
up to EUR 109,793,244.
The underwriters coordinating the transaction, Joh. Berenberg, Gossler &
Co. KG ("Berenberg", acting as sole global coordinator and sole bookrunner)
and ODDO SEYDLER BANK AG (joint lead manager), will offer the unsubscribed
shares to institutional investors in a private placement (rump placement)
today.
The proceeds from the cash capital increase are to be used for financing
the expansion of the portfolio property that was contractually secured in
recent months, for the redemption of loans and for the further development
of WCM AG.
