Cologne, 6 October 2015
On 3 September 2015 Gothaer Allgemeine Versicherung AG resolved to invite
the holders of the EUR 250,000,000 Subordinated Fixed to Floating Rate
Bonds due 2026 issued by Gothaer Allgemeine Versicherung AG, ISIN
XS0269270566, to tender to it for purchase for cash their notes at a
purchase price of 104.50 per cent. (the "Invitation").

Gothaer Allgemeine Versicherung AG has decided to terminate the Invitation.
The Invitation has been conditional upon the successful completion of the
issue of new EUR-denominated subordinated fixed to floating rate notes by
Gothaer Allgemeine Versicherung AG (the "New Notes"). Due to the currently
volatile market environment, Gothaer Allgemeine Versicherung AG has decided
to wait with the issue of the New Notes and as a consequence to terminate
the Invitation.

As a consequence Gothaer Allgemeine Versicherung AG will not accept any
notes tendered for purchase under the Invitation. Any notes in respect of
which instructions have been submitted will be released again in the
relevant clearing system. A new issue of notes and/or an invitation to
tender the notes may be launched in the future, subject to favourable
market conditions.

The invitation referenced herein is not being made, directly or indirectly,
in or into the United States by use of the mails or by any means or
instrumentality (including, without limitation, e-mail, facsimile
transmission, telephone and the internet) of interstate or foreign
commerce, or of any facility of a national securities exchange of the
United States and the Invitation cannot be accepted by any such use, means,
instrumentality or facility or from within the United States.
