For the Closing of the sale of RWE Dea AG several consents from third
parties are outstanding. The parties to the agreement have agreed, inter
alia, that there should be a comfort letter by the Department of Energy and
Climate Change of the United Kingdom. Currently, it is uncertain whether
the Comfort Letter will be issued. The parties to the transaction continue
to work towards a closing of the transaction.
