RAG Foundation to acquire RÖDER Zeltsysteme und Service AG from
Zurmont Madison Private Equity

Zurich/Essen/Büdingen - 21 November 2014: RÖDER Zeltsysteme und Service AG
("RÖDER"), located in Büdingen/Germany and majority-owned by Zurmont
Madison Private Equity ("Zurmont Madison"), will be 100% acquired by the
RAG Foundation at the end of 2014. The parties have agreed to not disclose
the purchase price.

Zurmont Madison acquired a majority holding in RÖDER in 2007, a move that
allowed RÖDER to finance various steps on the company's growth path. With a
targeted strategy RÖDER has been able to grow at an above-average rate in
recent years and become a leading provider in its industry. RÖDER
Zeltsysteme und Service AG is one of the world's largest providers of
mobile space solutions. In 2013 the company generated sales of about EUR 80
million and had more than 500 employees. By selling its RÖDER interest to
the RAG Foundation, Zurmont Madison has laid the foundation for the
medium-sized German company to grow going forward. The current management
of the RÖDER Group will continue to run the company, with the RAG
Foundation Beteiligungsgesellschaft serving as a mentor and advisor. Once
the deal closes, the RAG Foundation will be the sole owner of RÖDER. The
acquisition of the RÖDER Group by the RAG Foundation further enhances the
diversification of its investment portfolio.
