Extraordinary general meeting of UMS AG resolves on sale of UMS USA

Hamburg, 25 September 2014 - Today, the extraordinary general meeting of
UMS United Medical Systems International AG (UMS/ ISIN DE0005493654) has
approved with the required majority the sale of its entire stock of United
Medical Systems (DE), Inc., Massachusetts, USA (UMS USA). The approval rate
was 85,3 per cent of the share capital represented in the meeting. Some
shareholders registered objections with the notary protocolling the
meeting. Within a period of one month, such shareholders have the right to
file shareholder actions against the resolutions adopted today. In case of
any shareholder actions, the company will thoroughly assess, together with
its legal counsel, whether the respective shareholder actions are
inadmissible and/or without merit. On the basis of such legal assessment,
the management board will decide whether or not to close the transaction.
