Man kann mMn diese angestrebte Übernahme mMn nicht als Votum gegen das Loma Larga Project in Ecuador werten, muss es aber nicht.

Aber so kann DPM im Hintergrund immer mitschwingen lassen: "Seht her, wir haben zwei Braten im Ofen."

Man kann es aber auch mMn so sehen: lieber jetzt günstig einkaufen als später noch teurer.

The Transaction adds Osino’s high-quality, long-life Twin Hills open pit gold project as well as an extensive exploration portfolio in Namibia to DPM’s existing portfolio of assets.

As a result of the Transaction, DPM will acquire a 100% interest1 in Osino’s advanced stage, multi-million ounce Twin Hills gold project (“Twin Hills”) located in Namibia, a mining-friendly jurisdiction where DPM has successfully operated since 2010. A June 2023 feasibility study (“FS”) completed by Osino outlined an open-pit project with a 13-year mine life and average annual production of 175,000 ounces of gold over the first five years, with first production targeted in the second half of 2026.2

Pursuant to the terms of the Arrangement Agreement, DPM will acquire all of the issued and outstanding common shares of Osino (“Osino Shares”) for a consideration consisting of C$0.775 in cash per Osino Share and 0.0801 of a DPM common share per Osino Share (the “Consideration”).

The Consideration implies a value of C$1.553 per Osino Share and a total equity value of C$287 million on a fully-diluted in-the-money basis. This Consideration represents a premium of 37.2% and 44.3% based on the closing price and 30-day volume weighted average price (“VWAP”) of Osino Shares as of December 15, 2023, on the TSX Venture Exchange, respectively.

Upon completion of the Transaction, DPM will issue 13,766,364 shares to Osino shareholders and existing Osino shareholders will own approximately 7% of the combined company.

(TSX: DPM) (“DPM” or “the Company”) is pleased to announce a maiden Mineral Resource Estimate of 1.78 million ounces for its 100% owned Čoka Rakita gold project in eastern Serbia, where DPM announced a high-grade discovery in January 2023.

Highlights

Strong maiden Mineral Resource estimate: Inferred Mineral Resource estimate (“MRE”) of 9.79 million tonnes (“Mt”) at a grade of 5.67 grams per tonne (“g/t”) for 1.78 million ounces of gold. The maiden MRE was completed after only one full year of drilling on the project and is based on approximately 80,723 metres of drilling in 173 holes.

Higher-grade core of mineralization: The MRE contains a significant portion of gold ounces within a continuous high-grade core of mineralization that amounts to 2.81 Mt at a grade of 10.12 g/t Au for 0.914 million ounces of gold. Once sufficient drilling has been completed to upgrade the Mineral Resource confidence, this higher-grade core has the potential to drive strong economics by accessing higher than average grades during the early years of a mine plan.

Upside exploration potential: DPM is continuing its drilling program focused on extending the limits of Čoka Rakita, which remains open to the northeast and to southwest, and is also aggressively pursuing additional skarn targets on the Čoka Rakita licence as well as on three additional licences to the north and the south.

Based on the Company’s preliminary analysis, the decision reaffirmed DPM’s mining concessions for the Loma Larga project, and clarified that free, prior and informed consultation of certain local indigenous populations must be carried out by the state, which the Company had already planned as part of its development of the project. The decision also held that environmental consultation with communities in the project’s area of influence and certain additional reports on the impact of the project on water resources and the Quimsacocha National Recreation Area would need to be provided by the MAATE to the Court prior to advancing the project to the exploitation phase.

2023 Exploration Plans

Based on the 2022 drilling results, additional drilling is planned to further delineate the shape, size and extents of the Aparecida and La Tuna vein systems. Furthermore, DPM plans follow-up scout drilling for the un-tested portions of the veins and soil-geochemistry anomalies. Approximately 3,000 metres of drilling is planned and expected to commence during the second half of 2023.

Near-term efforts will be focused on integration and technical analysis of the results from drilling, surface geochemistry, field mapping and geophysics to identify vectors towards new exploration targets. Detailed surface mapping in conjunction with soil and rock chip-channel sampling will continue, to determine the footprint and identify additional targets.

The change in status of the Tierras Coloradas project from early to advanced stage exploration is in progress, and all regulations and authorizations required from the different Ecuadorian authorities are expected to be received by early 2024.

Following the acquisition of the Loma Larga gold project in July 2021, the Company has focused on integration activities, stakeholder engagement and a review of technical studies and permitting schedule for the project.

DPM is targeting completion of a revised feasibility study (“FS”) in 2022 and has commenced scoping for the FS optimization work.

A drilling program of 15,800 metres including hydrogeological, geotechnical, metallurgical, condemnation and extension drilling commenced in the first quarter of 2022 and is expected to be completed in the third quarter of 2022. The Company is also progressing discussions for the execution of an investor protection agreement with the government of Ecuador prior to making any significant capital commitments.

Based on the revised permitting schedule, DPM is targeting to receive the major environmental permits towards the end of 2022, followed by finalization of the exploitation agreement and construction permits.
