LDK Solar Co., Ltd. ("LDK Solar") (NYSE:LDK), a leading manufacturer of multicrystalline solar wafers, high purity polysilicon and PV products, and Solar Power, Inc. (“SPI”) (OTCBB:SOPW), announced today that LDK Solar agreed to acquire a 70% interest in SPI for approximately $33 million. LDK Solar’s investment provides strategic benefits to both parties. The transaction significantly strengthens SPI’s balance sheet, which will enable the acceleration of the development of its project pipeline, which primarily consists of utility-scale power plants and commercial/industrial distributed generation systems. SPI’s growing development portfolio and pipeline, in turn, should provide LDK Solar with enhanced downstream benefit to its vertical integration model through module supply for large scale projects.

In addition, LDK Solar will purchase certain components of SPI’s manufacturing equipment and assume total manufacturing control of SPI’s former module manufacturing facility in Shenzhen, China. SPI will maintain a separate logistical team in Shenzhen to enhance project development, design and related project management functions at a new location in Shenzhen. The transition in manufacturing is strategic; allowing SPI to focus on development and construction of large scale and utility scale U.S. solar projects, while maintaining product quality and enhancing its competitive position. As a vertically integrated manufacturer and supplier of photovoltaic (PV) products, LDK Solar has more than 20,000 employees worldwide.

“We are very pleased with this new strategic relationship,” said Xiaofeng Peng, Chairman and CEO of LDK Solar. “We have known the SPI team for several years and have been very impressed with the quality of their work and the caliber of the customers they serve. We look forward to working closely with the team that is responsible for outstanding solar projects such as the Staples Center and the Aerojet solar farm,” Chairman Peng stated. “This transaction also expands our downstream vertical integration opportunities and provides LDK Solar and SPI the opportunity to jointly explore opening manufacturing operations in the U.S. to further enhance SPI’s competitive advantage in North America.”

“This investment in SPI clearly places our company among the most elite photovoltaic solar developers today,” said Steve Kircher Chairman and CEO of Solar Power, Inc. “We are honored that LDK Solar has placed value in our legacy projects and in our pipeline. Projects such as the Aerojet solar farm, a 6MW ground mount, single-axis tracking solar system, and the Staples Center, our first installation of Skymount, SPI’s proprietary rooftop system, reflect the quality of our team,” Mr. Kircher added. “LDK Solar’s commitment to project development through capital from their direct stock purchase clearly enhances our position in the market. The strength of our newly combined vertical platform should provide us significant competitive advantages going forward,” Mr. Kircher concluded.

The terms of the investment are detailed in the Form 8-K filed by SPI, which outlines the timing of the proposed investment and closings.

SPI Solar secures $64 Million in Project Financing
Initial tranche includes $44 million from China Development Bank to fund construction of large-scale projects in New Jersey
Roseville, CA, January 5, 2012— SPI Solar (“SPI”) (OTCBB: SOPW) a leading vertically integrated photovoltaic (“PV”) solar developer, today announced that it has secured construction finance facilities totaling $44 million from China Development Bank (“CDB”) to fund construction of solar energy facility (“SEF”) projects it is working on jointly with KDC Solar in New Jersey. Separately, LDK Solar (“LDK”) secured financing facilities of $20 million for two projects it is developing through Engineering, Construction and Procurement contracts with SPI in California. The LDK finance facilities will be used to fund construction costs of the California SEFs.
In June 2011, the Company and LDK, a significant shareholder in SPI, announced that they had agreed to provide construction financing and facilitate long-term financing, supported by LDK, of up to $750 million for SEF projects as part of their Preferred Provider Agreement with KDC Solar. LDK’s relationship with the CDB has enabled SPI to significantly enhance its SEF project financing capabilities resulting in this initial tranche of construction finance funds. Additionally, as SPI continues to add to its pipeline of large-scale solar projects, the company is queuing up more projects domestically and internationally with CDB for proposed additional financing arrangements.

SPI Solar to Develop 2 Megawatt Utility-Scale Solar Energy Facility in Evros, Greece
SPI Solar (“SPI”) (OTCBB: SOPW), a leading vertically integrated photovoltaic (“PV”) solar developer and engineering, procurement and construction (“EPC”) services provider, announced today that it has successfully completed the acquisition of the necessary contracts and permits to serve as developer of a 2 megawatt fixed-ground-mount solar energy facility (SEF) which will be located in Evros, a North Eastern region of Greece. This is SPI’s second major solar development in Greece. The first project, announced in August, was a 4.4 megawatt SEF also located in the Evros region.

SPI acquired a limited liability corporation to gain interest in the Evros development to become the developer of record for the project, which was fully permitted and ready to be built. The SEF will be a fixed-tilt ground-mount utility-scale facility. The electricity generated by the SEF will be purchased by the Greek Public Power Corporation (“PPC”) through a 20-year Power Purchase Agreement (PPA). Construction is scheduled to begin in the first quarter of 2012. It is SPI’s intention to sell the project during the construction phase or upon commissioning.

SPI worked with Global Energy Services Ltd. (“GESL”) to identify the build-ready project and to perform on-site technical due diligence in order to qualify the project for development. GESL will work closely with SPI to also provide project oversight during the construction of the SEF. Once completed, SPI intends to perform operations and maintenance of the facility over the term of the PPA. The SEF will use LDK’s high-performance solar modules.

“This is our second major project in Evros in less than a year and we are very pleased with the direction our efforts are taking us in Greece,” said Stephen Kircher, CEO of SPI. “The projects we are executing and pursuing in Greece are perfectly suited to our experience and skill set,” Mr. Kircher stated. “It’s a real plus to be able to make a positive economic contribution through the jobs we will be creating and the low-cost, sustainable electricity our facilities will be producing. We look forward to more projects in Greece and elsewhere in Europe,” Mr. Kircher concluded.

The center, currently under construction by an affiliate of BLT Enterprises, is a 63,500 square-foot facility which will be one of the automobile industry’s most advanced emissions testing and power train development facilities. The center will be used by various brands within the Volkswagen Group which includes Volkswagen, Audi, Lamborghini, Bentley and Bugatti.

The SEF being designed by SPI will utilize a mix of rooftop and carport structures to host the onsite solar array. It is the second large-scale system SPI has produced for BLT. In January, 2011 SPI announced completion of a 398 kW system at BLT’s Fremont, California state-of-the-art waste-recovery operation facility. “We are fortunate to enjoy a long-term working relationship with BLT Enterprises,” said Steve Kircher, CEO for SPI Solar. “BLT is an innovative commercial development company and this will be the second large-scale distributed generation SEF we have designed and built for them. We look forward to having our systems integrated into more of their buildings in the future.”

“As traditionally sourced energy costs rise, it is becoming increasingly more important to offset them with thoughtful and sustainable energy platforms that can be deployed onsite and reduce long-term operation costs,” said Rob Solomon, Chief Development and Legal Officer for BLT Enterprises. “It is also fundamental to Volkswagen’s mission to operate the center in a manner that is consistent with its environmental mission. This solar energy facility helps to fulfill a major part of that mission.”

SPI expects to begin construction of the SEF in the first quarter of 2012.

SPI Solar to Develop 1 Megawatt Utility-Scale Solar Energy Facility in Rhodope, Greece
SPI Solar (“SPI”) (OTCBB: SOPW), a leading vertically integrated photovoltaic (“PV”) solar developer and engineering, procurement and construction (“EPC”) services provider, announced today that it has successfully completed the acquisition of the necessary contracts and permits to serve as developer of a 1 megawatt fixed-ground-mount solar energy facility (SEF) which will be located in Rhodope Prefecture, a North Eastern region of Greece. This is SPI’s third major solar development in Greece. In January 2012, SPI announced the second project, a 2 megawatt SEF which is also located in the Evros region. The first project, announced in August, was a 4.4 megawatt SEF located in the Evros region.

The Rhodope SEF will be a fixed-tilt ground-mount utility-scale facility, and the electricity generated by the Rhodope SEF will be purchased by the Greek Public Power Corporation (“PPC”) through a 20-year Power Purchase Agreement (PPA). SPI acquired a limited liability corporation to gain interest in, and become the developer of record for the Rodpoi project.

SPI worked with its local partners SDL Solar (“SDL”) and Global Energy Services Ltd. (“GESL”) to identify the build-ready project, perform on-site technical due diligence and also to provide project oversight during the construction of the SEF. Once completed, SPI intends to perform operations and maintenance of the facility over the term of the PPA. The SEF will use LDK’s high-performance solar modules.

“This project brings a total of 7.4 megawatts under development by SPI in Greece in less than a year,” said Stephen Kircher, CEO of SPI. “Greece provides a very rewarding environment for us to do business in. This project will produce a net economic gain on many levels. It will be owned and operated by private investors within Greece, and as with all of the SEF developments we engage in, local jobs will be created during the construction of the facility. And once completed, the facility will be producing low-cost, sustainable electricity for decades to come,” Mr. Kircher concluded.
