In the presentation, Western Resources disclosed that Tairui Innovation Capital was the majority shareholder with 51% of the outstanding shares. China Blue held 10.1% of the shares, and Procon Resources held 4.7% of the shares.
The presentation also advertised that the Milestone Pilot Project "will inject (CAD) $307 million into the economy!"
The "MANAGEMENT’S DISCUSSION AND ANALYSIS For the Three Months Ended DECEMBER 31, 2018" explains:
"the Company believes that its current cash position is sufficient to fund mine development costs and general and administrative expenses for the next year"
"a Chinese bank issued a Letter of Intent to the Company indicating that the Chinese bank will consider providing financing for the Milestone Phase I project . . ."
"in the three months ended December 31, 2018, to increase the return on cash assets before cash assets are used to advance Phase I of the Milestone Project, the Company invested excess funds in real estate development "
Western Resources has not disclosed any subsequent rejection by this Chinese bank of financing for this Milestone Project, yet Western Resources announced on March 7, 2019 a rights offering just as the share price hit an all-time low. The only need that Western Resources has disclosed for this rights offering is $11 million for the Milestone Project. But as I showed above, $11 million does not come close to the $307 million necessary for the Milestone Project, and, as far as the minority shareholders know, the Chinese bank is still available to loan this $307 million. Moreover, Western Resources disclosed tying up "excess funds" into real estate development "before cash assets are used to advance Phase I of the Milestone Project, . . ."
The Western Resouces disclosures indicate a high motivation for Tairui, China Blue, and Procon Resources to collude to crash the share price just as it hit an all-time low in order to acquire all of Western Resources for next to nothing from the minority shareholders. I expect that these actions indicate market manipulation by these three large shareholders and possibly others to defraud all the other shareholders by short-form merger.

Why is the share price low?
We are very aware that the share price is causing some concerns (most of us are shareholders too!). The whole team is focused on delivering value to the shareholders, and we are working hard to make it happen. Right now, it is a difficult time in the whole commodity cycle, including potash. However, the fundamentals of potash business remain strong, and therefore we believe in the long-term strength of potash industry. A recovery will take time. This is the main reason why we refocused from a large conventional potash solution mine, to the Phase I selective horizontal solution mine with a much lower CAPEX per tonne and competitive OPEX to demonstrate innovative technology.
It is also quite typical for a company transitioning from exploration to production to experience a low in the share price just before it goes into operation. This low is known as the “mining share price life cycle curve”. We believe we are in a much better position than most other peer companies as we have a very strong cash reserve, which we are leveraging to move into the next phase. The management team is also working diligently to control any discretionary expenses and diversify the company business to spread the risk of owning one world-class potash project, and provide some other income streams. It may take a bit more time for the market to truly appreciate the value and potentials of Western Resources. We have no doubt that there is a large upside in the market capitalization based on our cash reserve and world-class potash project.

Wenn die kanadische Aufsicht das nicht einsammelt, kann man sich eigentlich jedewedes Investment in kanadische Aktien klemmen. Wobei man immer wieder erstaunt ist, was bei private placements an interessierte Kreise ohne Beteiligung der Aktionäre so alles geht. Aber hier klar nur inländische Aktionäre mit Bezugsrechten zu versorgen bei eindeutigen Mehrheitsverhältnissen ist bisher einzigartig.
Wie dem auch sei. Das Vertrauen in das Management kann man knicken. Bei der nächstbesten Gelegenheit ziehen die das nächste Ding durch. Mit potentiell auskömmlichen Dividendenzahlungen nach einer theoretischen Projektrealisierung ist wohl eher nicht zu rechnen.

Laut Stockhouse-Forum "stinkt" das eingeschränkte Neuaktienangebot nur für Kanada nach chinesischer Abzocke.

sry, ich beschäftige mit nicht mit anleihen, optionen oder sonstigen konstrukten. daher würde ich einfach aktien hier nachkaufen (wenn ich genug geld hätte ^^) :o

Ein Kanadier oder ein Chinese der so tut als sei er Kanadier kauft ebenfalls für 0,20 can$ bekommt aber mindestens noch ein Bezugsrecht für 0,12 can$.
Hältst Du das für ein gutes Geschäft unabhängig davon wie tief Du im Minus bist?

Aber es wird zugegriffen, was die 12cent Theorie etwas anknabbert...abwarten ob die Kaufkurse nicht noch kommen.
