Eastern Platinum Limited announces completion of Special Committee investigation

Eastern Platinum Limited (“Eastplats” or the “Company“) announces that the special committee (the “Committee”) formed by two independent directors of the Board of Directors (the “Board”) of the Company to conduct an investigation, review and analysis of unproven whistleblower allegations, including allegations of undisclosed related party transactions pertaining to the sale of chrome concentrate at discounted prices (the “Allegations”) has completed its investigation.
With assistance from independent counsel engaged and a third-party e-discovery specialist to assist with the investigation, the Committee found the Allegations advanced by the whistleblowers to be unsubstantiated.
The Committee did not find evidence to establish that the Company entered into any related party transaction pertaining to the sale of chrome concentrate and further concluded that the prices of the contracts in respect of the sale of chrome concentrate described in the Allegations were within a reasonable range of market price, particularly in the challenging circumstances the Company faced in the latter half of 2022 and taking into account delivery terms and the grade of chrome concentrate.

Eastern Platinum Limited (“Eastplats” or the “Company”) announces that its South African subsidiary, Barplats Mines Proprietary Limited (“Barplats”) received a combined summons (the “Summons”) from ABT Toda Proprietary Limited (“ABT Toda”) which is related to the matter in respect of which Barplats is in arbitration with Advanced Beneficiation Technologies (Pty) Ltd (“ABT”) regarding the Agreement (as defined below) (see the Company’s Amended Management’s Discussion and Analysis for the Three Months ended March 31, 2023 and News Release dated January 26, 2022). The Summons was filed with the High Court of South Africa (North West Division, Mahikeng) by ABT Toda.
Barplats is currently engaged in a confidential arbitration process with ABT to resolve a dispute between the parties regarding the termination of the project framework agreement (the “Agreement”) for the development and construction of a modular plant to process platinum group metals (“PGMs”) from the tailings re-deposited from the retreatment project at a designated area of the Zandfontein tailings dam situated at the Crocodile River Mine (the “Circuit H Project”). There were several milestones required under the Agreement to complete and establish the Circuit H Project, including a joint venture agreement between Barplats and ABT (the “Joint Venture”), financing agreements and off-take agreements for the project. None of these agreements were concluded prior to the termination of the Agreement. The Company understands that ABT Toda is ABT’s intended nominee to hold its interest in the Joint Venture.
The Company will seek advice and make a recommendation on the appropriate action.

Eastern Platinum Limited (“Eastplats” or the “Company”) today announced the completion of the previously announced rights offering to its shareholders (the “Rights Offering”) (see news release of March 24, 2023), subject to final approval of the Toronto Stock Exchange (the “TSX”) and Johannesburg Stock Exchange (the “JSE”).
On Friday, May 12, 2023 (the “Issue Date”) Eastplats will issue an aggregate of 64,080,653 common shares of the Company (each a “Common Share”) at a price of CDN$0.11 per Common Share issued in respect of the exercise of rights trading on the TSX and ZAR1.4564 (145.64 South African cents) per Common Share issued in respect of the exercise of rights trading on the JSE. The Company is very pleased to have raised total gross proceeds of approximately CDN$7,043,721 (TSX–CDN$6,900,317 and JSE–ZAR1,966,862) in terms of the Rights Offering.
The aggregate number of 64,080,653 Common Shares is comprised of 52,313,551 Common Shares, which will be issued in respect of the rights exercised under the basic subscription privilege, and an additional 11,767,102 Common Shares, which will be issued in respect of applications to subscribe for additional Common Shares received by the Company under the additional subscription privilege (on the basis that all applications for additional Common Shares have been allocated in full). As of the Issue Date, 201,901,426 Common Shares of Eastplats will be issued and outstanding. No Common Shares will be issued under a stand-by commitment and no fees or commissions will be paid in connection with the distribution.
To the knowledge of the Company, after reasonable inquiry, no person that was not an insider of Eastplats became an insider as a result of the issue of Common Shares under the Rights Offering.
Further to the rights offering circular of the Company dated March 24, 2023, the Company confirms that Ka An Development Co. Limited (“Ka An”), an insider by virtue of beneficial ownership of, or control or direction over, directly or indirectly, securities of the Company carrying more than 10% of the voting rights attached to all the Company’s outstanding voting securities, has exercised its basic subscription privilege to acquire 45,000,000 Common Shares and its additional subscription privilege to acquire 10,767,000 Common Shares, for a total of 55,767,000 Common Shares, bringing Ka An’s holdings after the Rights Offering to 100,767,000 Common Shares of the Company, representing 49.9% of the total issued and outstanding Common Shares of the Company.
The Company intends to use the net proceeds from the Rights Offering to commence and/or complete various projects as described in the rights offering circular to expand and grow Eastplats’ revenue potential. Eastplats will provide a more detailed and definitive update in regards to the specific projects and priorities in due course.

That could generate as much as 400,000 ounces of additional demand in the next year if automakers aggressively accelerate substitution in light of the war, according to Trevor Raymond, director of research at WPIC. Russia produces 40% of freshly mined palladium, and Western companies are increasingly shunning its exports.
While palladium is preferred by automakers for use in catalytic converters that curb pollution in gasoline cars, it’s increasingly being substituted by cheaper sister metal platinum. Palladium surged to a record on Monday, making it almost triple the price of platinum. WPIC already sees 340,000 ounces of palladium being replaced in 2022, a 70% increase on last year.
“Small changes in substitution can make a huge difference to platinum demand,” Raymond said in an interview. “It just depends on the attitude of the automakers.”
The rise in substitution may partly explain a boom in Chinese platinum imports last year, which far outstripped identifiable demand for the metal and entirely absorbed its surplus, according to WPIC. Higher loadings in heavy-duty vehicles and a build up of stock by speculators and manufacturers may also have contributed, it said.

As previously announced on July 22, 2020, the Agreement was entered into for the development and construction of a new modular plant with a capacity to process the platinum group metals ("PGMs") from the tailings re-deposited from the retreatment project at a designated area of the Zandfontein tailings dam situated at the Crocodile River Mine in South Africa at an expected rate of 50,000 tons per month (the "Circuit H Project").

Eastern Platinum Limited (TSX: ELR) (JSE: EPS) today reported a 43% growth in revenue for the year ended December 31, 2020 of $56.1 million compared to $39.2 million in the prior year. The growth in revenue is due to the strong operating results from the retreatment project in South Africa.
Net loss to equity shareholders was $8.0 million (loss of $0.08 per share) for the year ended December 31, 2020 compared to earnings to equity shareholders of $0.1 million (earnings of $0.00 per share) for the prior year, resulting from an increase in non-cash finance costs, foreign exchange losses and the legal settlement with AlphaGlobal.
Eastplats reported 987,003 tons of chrome concentrate production, a 68% increase from 2019 production.
During 2020, the company completed the refurbishment of the small-scale PGM circuit and began operating during Q3 2020. The company generated approximately 134 tons of pressed filter cake PGM concentrate and delivered approximately 32.18 tons during 2020.
