Bin seit 08/98 in Russland.
Trade the best, fuck for the rest.

SIBNEFT and TNK will likely be the main contenders at the auction of
a 19.68% stake in Russian-Belarus state-owned oil company,
Slavneft, expected by the end of this year. Recent vacuuming of
shares in the Slavneft operating company, Megionneftegaz, on the
open market has been attributed to TNK (Megion shares have grown
500% in price since October and traders estimate that 20% of shares
in the company changed hands over the last month). Meanwhile,
several Sibneft managers have moved to Slavneft, suggesting an
attempt by Sibnet to gain influence over the state company, and
Slavneft exports will be handled by the Sibneft shareholder,
Runicom, as from the second quarter of this year. There is clear
disagreement between the Fuel Ministry and the State Property
Ministry over sale of Slavneft and the other main state oil company,
Rosneft. The state property minister, Farit Gazizullin, announced
this week that the Slavneft sale and sale of 25% of Rosneft at an
investment auction will happen in the third and fourth quarters of
this year. However, the Fuel Ministry is still campaigning for
creation of a state oil holding, based on Rosneft, Slavneft and
Onako.

Hi!
Locker bleiben !!!

also, papiere hinlegen und cool bleiben.

Hi nochmal,

SIBNEFT has promised to invest $220m in field development this year, three times more than in 1999
SIBNEFT showed first quarter 2000 sales up 3.1 times from the same period of 1999. However, costs of generating sales rose 3.5 times. Pre-tax profit for the quarter was R77.7m ($2.73m) compared with a loss of R2.67bn ($114m) in the same period of 1999. Sibneft shares were priced at $1.1 on May 11, up 21% for the week.

SIBNEFT main subsidiaries, Sibneft-Omsk Refinery (Sibneft ONPZ) and Sibneft Omsknefteprodukt will not pay dividends for 1999 according to decisions of their AGMs on 21 and 22 June.
SIBNEFT shareholders at the company AGM on June 28 voted not to pay dividends for 1999. The new board of directors consists of six management representatives, including Sibneft president Yevgeny Shvidler, and three independent directors. Michael Hunter, who represented the interests of Kenneth Dart (Russia`s best-known speculative foreign investor), was not reelected to the board. Net profit for 1999 under GAAP was $315.1m, up by nearly 9 times from 1998. EBITDA (earnings before tax, interest and depreciation) grew by 159%, from $211.4m to $547.1m. In 2000 the company aims to boost investment in production by 3 times.
SIBNEFT may delay its launch of Level-3 ADRs, expected this year,
because existing shareholders cannot be persuaded to sell a 10%
stake for conversion to ADRs at current market prices, according to
the Sibneft CEO, Yevgeny Shvidler.

SIBNEFT may pay out interim dividends of $50m for 2000 subject to
ratification by the board, according to a source in the company
management. Sibneft also plans to turn its subsidiaries from open
joint-stock companies into closed joint-stock companies once it
has accumulated close to 100% control, according to a Russian
press report. The company says it will do this to facilitate
reorganization of the companies` asset structure, including

Sibneft sees improvements in upstream
Daily crude output rose from 46,620 tonnes in June to
47,500 tonnes by the end of July, representing a 1.8%
growth over two months. The growth is mainly due to
launch of 125 new oil wells so far this year. New technolo-gies
for increasing production efficiency also had impact on
production growth. Two upstream service companies,
Schlumberger and BJ, carried out a total 138 hydro-fracturing
operation at Sibneft fields over six months. In ad-dition,
207 idle wells were degreased and brought back into
operation. Sibneft`s only upstream subsidiary Noy-abrskneftegaz
has seen a steady decline in production over
the last 10 years. This year`s output growth was made pos-sible
by additional financial injections to exploration and de-velopment
drilling.
Sibneft settles $150m bond
Sibneft has fully paid off a $150m Eurobond, which matured
on July 18, 2000. Sibneft was the first Russian oil company
to issue a Eurobond. The three-year paper was launched in
August 1997 and carried a coupon 4% above Libor, payable
on a quarterly basis. Sibneft president Yevgeny Shvidler
commented: "Sibneft broke new ground when it issued the
first Russian corporate Eurobond three years ago. We have
received a strong vote of confidence from investors in re-sponse
to a series of pioneering initiatives in the fields of
corporate governance and transparency. We remain com-mitted
to introducing global best practice across the whole
range of our operations, from the way we manage our
wells to the way we manage our finances."

Habe gerade bei rufo was rausgeholt.

Sibneft to pay interim dividends
Sibneft will pay interim dividends of R0.3 per share, accord-ing
to the decision of the company`s board of directors,
held on October 10. This is the first dividend payment in
the company`s history. The payout will total R1.422 bn
($50.7m), and will begin on November 1 based on a record
date of September 30. Although the dividends are called
"interim" they are to be paid from net profit of $350m
earned last year. Sibneft president Eugene Shvidler noted
that the company plans to pay dividends on an annual basis
in future. "We want our shareholders to enjoy a first-class
return on their investment, through a combination of capi-tal
gains and dividend payments," he said.

Geige spielen
beste Wünsche für das Neue Jahr,

Sibneft shows 5.4% output growth
Sibneft reported a 5.4% hike in output to 17.2 million ton-nes
in 2000 from 16.32 million tonnes in 1999. Production
growth came on the back of a tripling in upstream invest-ment.
The surge in production was fueled by a rapid accel-eration
in drilling, which doubled to 740,000 meters from
340,000 meters in 1999. Sibneft last year launched a $1 bil-lion
oilfield development program, commencing production
from four new fields and opening new reservoirs at another
two fields. In 2001 the company expects further production
growth of 11% to 19 million tonnes, backed by a tripling in
upstream capital expenditure to $595m. Sibneft’s refinery
throughput edged up slightly to 12.6 million tonnes from
12.5 million tonnes in 1999. The company’s Omsk refinery
continued its shift away from heavy products in favor of
higher octane, higher value output, and the depth of refining
rose to 82.4% from 80.6%. The share of light products in
the refinery’s output slate went up to 70.3% from 68.8% in
the previous year. Production of gasoline surged by 11% to
3.5 million tonnes from 3.2 million tonnes the previous
year, while fuel oil output was down 9% to 1.8 million ton-nes
from 1.9 million tonnes in 1999. Diesel production
stayed on an even keel at 4.3 million tonnes (4.3 million
tonnes in 1999), while jet fuel production slipped slightly to
628,000 tonnes from 690,000 tonnes.

Sibneft HOLD To obtain 33% in Onako $0.30
TNK and Sibneft signed an agreement yesterday under which Sibneft will acquire a 33% stake in Onaco in exchange for its 40% stake in Orenburgneft after TNK completes the share consolidation process at Onaco. TNK will hold 67% of the consolidated company. No specifics on the share conversion procedure or the exchange ratios have yet been disclosed.
Comment: The agreement implies that Orenburgneft accounts for 83% of Onaco`s aggregate value, which is in line with the findings released in our October report on Onaco. Sibneft will likely use its stake as leverage to increase crude oil deliveries to its Omsk refinery.

Sibneft $0.34 — HOLD
To receive a $175mn loan from ING Bank, Société Générale
Sibneft said yesterday that it would receive a two-year $175mn syndicated loan arranged by ING Bank and Société Générale to finance an ambitious $700mn investment program in 2001. The loan is secured by oil export revenues and will carry an interest rate of 9.5%.
We estimate that, including the new loan, Sibneft`s gross debt will rise 70% to $425mn, or 11% of its estimated 2000 year-end equity of $3.9bn. We find debt levels of $400mn - $600mn perfectly acceptable for a company of Sibneft`s size. At the moment, debt is clearly a smart capital raising choice for Sibneft, as it is inexpensive relative to equity and thus helps to reduce the weighted average cost of capital.
Sibneft also expects to report US GAAP financial statements for 2000 in April-May 2001.

Was meint ihr?

Sibneft $0.403 - Buy
Shares rally 6.5% to 16-month high
Sibneft shares rose 6.5% yesterday to a 16-month high of $0.4025, in a move which may well turn out to be only the beginning of a substantial rerating of this stock.
The company reported yesterday that it has begun production at the Krapivinskoye oil field in the Omsk region, marking a first foray outside its core West Siberian production area. However, even the peak projected output of the Omsk area (20,000bpd in 2003) represents a very small percentage of Sibneft`s production. Thus, we do not believe that this news could have been the trigger for yesterday`s rally. Rather, the strong price advance probably represents a more general growing appreciation of Sibneft`s attractive fundamentals.
Two key Sibneft strengths are its very positive production growth outlook and its exposure to the domestic market. In January-April 2001, the company`s crude oil production increased 17% to 374,600bpd, double the industry`s average rate of growth. This volume growth was driven by a powerful combination of young reserves, continued deployment of the latest extraction technologies and a tripling of capital expenditures. At the same time, Sibneft derives 50% of its revenues from the domestic market, compared with 30%-35% at other Russian majors. Considering our forecast for strong domestic prices in 2001, Sibneft appears better insulated than its peers from a possible decline in global crude oil prices.
We recently upgraded our recommendation on Sibneft to Buy and believe that the stock has not yet exhausted its appreciation potential. Our fair value estimate for Sibneft is $1-$1.20 a share.

Sibneft $0.434 — BUY
Proven oil reserves up 1% y-o-y
Sibneft proven reserves went up 1% to 4.644bn bbl, according to Miller and Lents`s audit report. In absolute terms, proven reserves increased by 45mn bbl. The boost came from increased drilling and utilization of enhanced recovery methods. In 2000, the company drilled 740,000 meters, up from 340,000 meters in 1999. Sibneft drilled 249 new wells, which represents a twofold increase from the previous year. In 2001, the company plans to increase drilling to 1.025mn meters and put into operation 361 new wells. At the same time, Sibneft`s total crude reserves fell 11% to 8.276bn bbl. According to the company, a decrease in probable and possible reserves resulted from a number of old wells, which became inefficient due to increased costs. As of 1 January 2001, the company had proven gas reserves of 43bn cubic meters, down from 64.7bn cubic meters as of 1 January 2000. The figures do not include reserves attributable to Sibneft through Sibneft-Yugra joint venture with Sibur Energy. Given the 2000 production figure, reserves life of Sibneft is around 37 years based on proven reserves, which is significantly above the average of 11.9 years for major international oil companies. We therefore reiterate our Buy recommendation on Sibneft.

Staatsanwaltschaft nimmt Sibneft ins Visier
Moskau (rUFO/kp).

New tax initiatives will raise overall burden, offer some concessions
The new law on taxing mineral resources, which the Duma budget committee recommended for approval and which is scheduled for its first reading on 6 June, envisions significant changes in the way the government taxes the oil sector and could lower the sector`s overall investment risk.
Under the new law, two key taxes - mineral restoration tax (MRT) and royalty - will be combined into a single tax. Royalty rates, which currently range from 6% to 16%, will be based on production economics of each particular field, lowering the tax burden on companies that develop highly depleted reserves, such as Tatneft and TNK. Mineral restoration tax will also be reduced from its current 10% to 5%, allowing companies to retain more cash for investment.
The new integrated tax will also seek to eliminate transfer pricing in the oil sector. Although the tax will generally be charged as percent of revenues, for oil producers it will be initially set at a flat rate of R425/tonne ($2/bbl), but will change going forward based on the global oil prices. It was unclear, though, how the flat tax rate would incorporate the idea of different royalty rates.
We note that at R425 ($14.65 at today`s exchange rate), the new tax will amount to approximately 16% of the current net domestic price of R2, 600/tonne ($12.3/bbl). At present, most companies pay a combined MRT and royalty rate of effectively 7%-8%, since they use "intracorporate" price of $4.5-$5.5 per barrel for tax purposes. The elimination of transfer pricing would have the most impact on Yukos, TNK, Sibneft and Lukoil, which appear to be most aggressive in minimizing taxes. Surgutneftegaz and Tatneft will not be as affected, since they already use the actual oil prices for tax payment purposes.
In related developments, the government decided to raise export duty on crude oil from ˆ22/tonne to ˆ30.5/tonne, reflecting strong export prices in the last two months, and suggested raising the excise tax on crude oil, gasoline and diesel by 12%.
To summarize, the tax burden in the oil sector is likely to increase in 2002, which is in line with our industry forecast presented in a recent report. We estimate that on an after-tax basis, total tax burden may increase by $1.5bn, equal to 15% of total sector cash flows in 2002, with Yukos, Sibneft and TNK being most affected.
Nevertheless, we find it extremely encouraging that an overwhelming part of the overall tax burden (the new production tax and export duty) will now be self-adjustable, based on global oil prices. Such a taxation mechanism will surely result in a greater stability and predictability of earnings and cash flows, thus lowering the overall investment risk for the sector.

Jan-May oil output up 6.6% y-o-y; Yukos, Sibneft lead
Oil production figures for January-May were released yesterday, showing a 6.6% increase y-o-y in to 6.727mn bpd. During this period, Russian oil companies produced 1.009bn bbl of crude, up 55.94mn bbl from the same period last year. On average, Russian companies exported 44% of produced oil. Most oil majors managed to increase the share of exported oil by 1% - 4%.
Yukos has maintained its leading position among domestic oil companies, posting a 17.5% increase in daily production, which is purely organic growth.
We were particularly impressed by the production results of Sibneft. The company`s daily oil output went up 16.8% y-o-y, largely due to wider use of enhanced recovery methods, as well as the launching of production at new fields. Sibneft`s upstream business plan for 2001 assumes oil output growth of about 16% to 144mn bbl. While this projection looks somewhat extravagant given last year`s growth of only 5%, the reported production figures for the first five months make this target more feasible. In our view, production growth will be the main driver of Sibneft`s value in the coming years. We also welcome the increase in the share of exported crude oil to 36% from 34% last year.
Lukoil`s daily production was up 2.2% to 1.278mn bpd in the first five months. The company sticks to its strategy of slow production growth due to the existing gap between production and refining capacity. We expect Lukoil to report an increase of about 3% in daily production for the whole year, which, however, will be generated by asset acquisitions.
Surgutneftegaz reported a slowdown in daily production to 7.7% in January-May from the 8.9% growth in 1Q01, as the positive impact of the extensive drilling in West Siberian oil fields has started to wear out.
Over the same period, TNK`s oil output rose 45.4% y-o-y. However, this growth was largely attributable to the acquisition of two production subsidiaries of Sidanco. We estimate TNK`s organic growth in daily production at below 1%.
Tatneft reported a 0.4% increase in daily production to 496.59mn bpd. Although well below the industry average, this growth is still an impressive achievement due to the high depletion of Tatneft`s reserve base and the resulting low well flow. The 5.8% y-o-y growth for January-May reported by the company Wednesday was misleading, as Tatneft did not include the output of its several service companies and joint ventures into the 2000 figure used for comparison, while adding them to this year`s numbers.
An impressive 21.6% increase in the daily production of Slavneft is also attributable to the acquisition of Varieganneft, whose production results were included in the 2001 figure.
While the January-May production growth figures are above our full year forecast of 5.2%, we maintain our projection, as we expect a slowdown in daily production growth in the second half of 2001. We expect the rising production this year to partially compensate oil companies for falling crude oil price at the revenue and net profit level.

Sibneft Common $0.425 — Buy
Will present 2000 US GAAP financials on 26 June
Sibneft officials said Tuesday the company would hold a presentation of its 2000 US GAAP financials on 26 June, three days prior to the AGM. We expect Sibneft to report a 69% increase in revenue to $2.95bn and a 90% rise in EBITDA to $1.04bn. We also expect Sibneft`s net profit to reach $551mn, up 92% y-o-y.
Last year was an extremely successful one for Sibneft. The company managed to reverse its multiyear downtrend in oil production through the utilization of enhanced recovery methods and the launching of production at new fields. In 2000, Sibneft`s production was 338,775bpd, up 5% y-o-y. We expect Sibneft shares to perform well on the announcement of strong US GAAP financials. Buy.

Sibneft $0.438 — BUY
Buys back 27% of its stock ( ), releases 2000 US GAAP financials
Sibneft announced Tuesday that it bought back 27% of its stock from unspecified controlling shareholders, which came as a surprise for investors. Sibneft paid a total of $541mn ($0.42 per share) for the stake.
The price represents a 35% premium to the average 2000 RTS price. However, we believe that the premium and the transaction as a whole were justified. First, we estimate that due to replacing equity with debt, Sibneft`s cost of capital declined by approximately 3.4% to 20.1%. Second, Sibneft plans either to use these shares for issuing a convertible bond or to sell them outright. In both cases, free float and trading liquidity are likely to improve.
However, two concerns prevent us from wholeheartedly approving the transaction. First, Sibneft has not extended its buy-back offer to minority shareholders. Although this was not required under the Russian law, one could expect such a move from a company, which has a good track record of promoting the principles of solid corporate governance, often way ahead of the competition. Second, we think that the key motivation for the transaction was the desire of controlling shareholders to raise funds.
On a separate note, Sibneft`s 2000 US GAAP numbers reported Tuesday slightly exceeded our expectations. EBITDA of $1bn was fully in line with our estimate, while net income of $675mn was 22% above our forecast due to lower-than-expected tax rate. We believe that the figures represent a very reliable snapshot of the company, because Sibneft reports under US GAAP in US dollars, and not in rubles of constant purchasing power, like Yukos and Tatneft.
Sibneft management also recommended its BoD Tuesday to adopt a formal dividend policy, which envisions distributing 15% of net income in dividends over the long-term earnings cycle. If the BoD gives its consent, Sibneft will become the first domestic oil/gas company to adopt a formal dividend policy. Also, as reported earlier, representatives of minority shareholders are likely to win two seats on Sibneft`s board at the upcoming June 29 AGM, the highest minority representation on the company`s BoD ever.
In our view, Sibneft now represents the best defensive option in the sector due to its rapid production growth (up 17% in Jan-May 2000) and large exposure to the domestic market, where prices have remained firm, despite the decline in export prices. As a result, we expect Sibneft to be the only Russian oil company to post EBITDA growth in 2001.
We recognize that the stock may come under pressure near-term as some investors negatively react to the share repurchase news. However, we find the share buyback reasonable from the financial standpoint and are willing to give the management the benefit of the doubt, believing that the treasury shares will be used appropriately. We maintain our 2001-2002 estimates and a Buy recommendation on the stock.

AGM delivers good news to shareholders
Sibneft`s AGM held last Friday brought several positive surprises for minority shareholders. The company canceled 12.23bn authorized shares, which previously could have been issued at the discretion of the board. The number of authorized shares was almost three times of outstanding ordinary shares, and represented significant dilution risk for investors.
Also, Sibneft became the second Russian oil company after Yukos with minority representation on its board. The new nine-member board includes the head of NAUFOR Brokers Association Ivan Tyryshkin and the chairman of a domestic investment fund Yamal, Yevgeny Sklyarov. Sibneft`s executives make up the rest of the board.
Sibneft
Konstantin Potapov: Chairman of the board of director
Yevgeni Shvidler: President
Valery Oif: VP
Yevgeni Poltorak: VP
Tatyana Breeva: VP
Vladimir Novikov: Head of corporate management department
Minorities
Ivan Tyryshkin: The head of Naufor brokers association
Yevgeni Sklyarov: Investment Fund Yamal, the chairman
Natalia Yatskevich: A partner of ALM law company
Sibneft also made several charter changes aimed at improving protection of minorities, including an introduction of a cumulative procedure for the election of board members.
The AGM did not make any decisions on dividends for 2000. Company officials said Sibneft would pay dividends for 2000 in the form of interim dividends, as was the case last year. The reason for such a complicated payment method remains unclear.
The news of improved corporate government practices was well received by the market. Sibneft share price rose 4.5% on Friday in RTS trading. Although the true control of Sibneft still lies with a group of major shareholders, AGM decisions represent another step towards introduction of world-class corporate governance practices at the company.

Russia`s Sibneft signs 30 mln euro drilling deal
MOSCOW, July 4 (Reuters) - Russia`s Sibneft said on Wednesday it had signed a 30 million euro ($25.42 million) deal with Germany`s Deutag, part of Preussag AG (quote from Yahoo! UK & Ireland: PRSG.F), to drill 10 horizontal wells in one of its oil fields in its core west Siberian base.
Russia`s sixth-largest oil company said in a statement that the first well was due to be spudded in the summer of next year, with the remainder to be drilled over a two-year period. The drilling will take place in the Romanovskoye field, part of the core Noyabrsk base.
The company said the deal came after a $60 million contract earlier this year with Pride Forasol, part of Pride International (NYSE:PDE - news). Sibneft said it had a wide-ranging horizontal drilling programme, which includes 24 wells.

Klasse.
@gholzbauer

Sibneft $0.448 — BUY
To consolidate two of its major trading companies
Sibneft said Friday it would acquire full control of two of its trading companies, Olivesta and Wester. Both companies, registered in the Kalmykia offshore zone, exist for tax optimization purposes and are not consolidated on Sibneft`s books.
The acquisition will be done in the form of a share swap. Both companies will be acquired in exchange for just 4,000 shares of Sibneft ($1,800 at current share price), which the company will buy on the market through an open tender. The deal will not involve the issue of new shares.
We view the acquisition as a very positive development, which will improve corporate transparency at Sibneft and possibly lead to an improvement in the bottom line as well. We recommend that investors vote for the proposal.

Was ist Deine Meinung dazu?

Sibneft $0.420 — Buy
Rumors of purchase by Surgutneftegaz may not be unfounded
Sibneft rallied 14.6% yesterday after being up as much as 31% in midday trading on an Internet newswire report that Surgutneftegaz bought the company for $3bn. Surgut also closed 5% higher. The news was reported by APN.ru, a small Internet news agency connected to the Kremlin, and cited an unidentified presidential administration officialas a source. Later in the day, both companies vehemently denied the news, and share prices of both Surgutneftegaz and Sibneft retreated.
Strategically, the deal makes sense for Surgutneftegaz, as Sibneft boasts high quality young oil reserves in Western Siberia, which offer growth potential above Surgut`s, as well as the best refinery in Russia and an excellent distribution network. Yet, the merger would be extremely hard to implement as the companies have distinctly different corporate cultures.
Sibneft is a modern, Western-type company, which bases operating decisions on profitability, reports results under US GAAP accounts, and steadily improves transparency. In contrast, Surgutneftegaz`s key operating metrics are meters drilled and volumes produced. The company consistently ignores minority investor`s pleas for better corporate governance and higher transparency and is now the only Russian oil major without IAS or US GAAP accounts.
Yet, all business considerations would be sidestepped if the deal were done at the request of the powers that be. It has long been rumored that the presidential administration would favor such a transaction, and the fact that the leak supposedly came from a source in the administration indirectly supports this theory.
The buyback of 27% of its shares from unspecified "major shareholders" and the upcoming consolidation of oil trading operations under Sibneft`s corporate umbrella are indicative of the improving corporate governance practices, but may also imply that Sibneft`s owners are consolidating assets in preparation for a sale.
We believe that no deal has yet taken place. At the same time, we think that Sibneft and Surgutneftegaz have already discussed the transaction and may be involved in further negotiations at present. We also think that out of all publicly traded Russian oil majors, Sibneft remains the most likely candidate for a takeover and the buyers` list is not limited to Surgutneftegaz. We reiterate our Buy recommendation on both stocks.

So weit Troika.

Russia Sibneft passes stage 1 of Kuwait oil tender
MOSCOW, July 18 (Reuters) - Russia`s sixth-largest oil company, Sibneft , on Wednesday said it had passed the first qualifying stage of a tender to develop Kuwait`s northern oilfields.
A company spokesman told Reuters Sibneft had passed the first stage of the process together with 17 firms seeking equity partnership in the project as well as nine oil majors which have pre-qualified for operator status.
``Sibneft is negotiating with the other companies with the aim of securing a role in one of the consortia to be formed,`` the spokesman said.
The project which calls for a possible investment of $7 billion, would allow foreign oil companies to operate the fields to double their output to 900,000 barrels per day (bpd). The area has estimated crude reserves of 10 billion barrels.
The nine majors include Royal Dutch Shell (quote from Yahoo! UK & Ireland: SHEL.L) Conoco, Texaco (NYSE:TX - news), BP (quote from Yahoo! UK & Ireland: BP.L) ExxonMobil (Montreal:XOM.M - news), TotalFinaElf , Chevron (NYSE:CHV - news), Eni and Phillips Petroleum (NYSE:P - news).
Sibneft is the only Russian firm in the tender.
Russian oil companies, flush with cash from high oil prices and keen to expand their reserve base, have been increasingly active in expanding their overseas operations. But Sibneft has so far lagged its peers and this is its first foray abroad.
``This venture fits in with our strategy of diversifying our asset base without diluting our returns to shareholders,`` the spokesman said.
Sibneft said earlier this week it was launching a $250 million three year eurobond in October this year to finance its investment programme.

Sibneft $0.423 — BUY
Sees 2001-2002 production growth at industry-record rates
Last week, Sibneft invited analysts and commercial bankers to visit its upstream operation in Noyabrsk ahead of the planned Eurobond issue scheduled for October. The company unveiled its production plans for 2001 and 2002, implying record-high growth rates in the domestic oil and gas industry. Sibneft plans to raise output by 19.5% this year, producing 404,945bpd (20.5mn tonnes) of crude, while in 2002 its production would grow 24.4% y-o-y to 503,712bpd (25.5mn tonnes). By 2006, Sibneft intends to increase crude oil production to 592,603bpd (30.0mn tonnes).
We take the latest management forecast as realistic, based on 20.1% y-o-y output growth reported in 1H01, analysis of company`s reserve base, and planned upstream capital expenditures. Sibneft`s reserves are among the youngest in Russia, with the share of residual reserves above 74%. Around 50% of Sibneft`s oil fields by volume of proven reserves have depletion rate of less then 10%. Development of these fields represents a perfect opportunity to grow output from 2000`s level, the first year when the company managed to reverse a downtrend in production.
Poor production results in 1990-1999 were mainly due to under-investment in upstream operations. With upstream capex of $220mn in 2000, the company was able to grow its production to 338,807bpd (17.2mn tonnes). This year, Sibneft plans to invest $595mn in upstream operations to bring the company`s new fields on stream. Sibneft plans to drill 340 and 380 new wells in 2001 and 2002, respectively, including 34 high-well-flow horizontal wells in 2001 and 50 horizontal wells in 2002.
The efficiency of Sibneft`s capex is demonstrated by 1H01 production figures, which show a steady month-on-month increase in output. Production growth will remain the major value driver of Sibneft in the coming years, given falling oil prices. High production growth rates, large exposure to domestic market, and consolidation of offshore trading companies are set to make Sibneft the only Russian oil company to increase its EBITDA and net profit this year. The meeting with Sibneft officials reinforced our positive view on Sibneft, which we rate as a Buy.

Russia`s Sibneft shares jump on div payout news
MOSCOW, Aug 17 (Reuters) - Shares in Russia`s sixth largest oil producer Sibneft shot up on Friday on news of a big dividend payout, even though the ex-dividend date passed two weeks ago and traders were puzzled by the buying spurt. Sibneft shares were up 4.5 percent at $0.4300 by 1015 GMT, off an earlier peak when they climbed by nearly 15 percent. A western trader said the sharp rises reflected some western buying and short covering after the company announced a $0.13 interim dividend and a total payout of $612 million -- even though the dividend date was August 3. "Intuitively the stock should move downward. Shares decline after passing the ex-dividend date, but in the case of Sibneft it appears the improved corporate governance perceptions have offset the fact that the dividend date has passed," he said. Sibneft intends to pay 15 percent of its international standard net profit in dividends over the long-term earnings cycle. The company said the high payout would hedge it against a future earnings drop and enable it to stick to its policy. The trader said the stock had been heavily discounted to peers because of corporate governance concerns. He said the dividend policy erased an element of governance risk. "Don`t underestimate the positive impact of a major corporate governance move," he said. Aton oil and gas analyst Steven Dashevsky said it was a rare sign that participants could profit from holding on to a share on Russia`s highly speculative market. "This reflects not the decision to pay the dividend, but that people for the first time are getting something for what they are holding, not by handing it off to the next person," Dashevsky said. Sibneft $0.415 — Buy
To pay record high 2000 dividend
Sibneft announced Friday that it would pay $612mn in interim dividends, the largest dividend ever paid by a Russian company. Per share dividend will be $0.13, implying a dividend yield of 32%. The dividend will be payable on 17 September to shareholders of record on 3 August. Although it has been called interim, in fact this represents the dividend for 2000.
Sibneft shares rallied by 15% in response to the news Friday, but gave back nearly all of their gains by the end of the day, closing just 1% higher. We believe, however, that the dividend should not have had any impact on the share price both because the record date has already passed and because the dividend was clearly extraordinary in nature.
We view the dividend payment as a major long-term positive development for the stock. In our view, it indicates that, in the future, majority shareholders may continue to seek maximum returns from their investment in Sibneft via large dividend payments, which will benefit all investors alike. Sibneft has a formal dividend policy of paying at least 15% of net income as dividends, but company executives indicated during the conference call yesterday that dividend payout ratio might be closer to 50%-60% over long-term earnings cycle.
We continue to favor Sibneft as perhaps the most attractive investment in the sector and maintain our Buy recommendation. We will discuss Sibneft`s dividend payment in more detail in a desknote to be issued later today.

Sibneft Majority Shareholders Getting Ready To Sell
Their Shares
RosBusinessConsulting
. Monday, Aug. 20, 2001, 4:14 PM Moscow Time
The payment of high dividends to Sibneft shareholders can be considered as a
proof to the opinion that majority shareholders of this oil company are going
to sell their shares in it, a bank analyst noted in an interview with RBC. He
noted that almost all net profits of the company (more than $600 million) were
used for paying dividends and this testifies that Sibneft shareholders are not
going to reinvest this profit in the company. Experts expect that information on
the sale of Sibneft to Surgutneftegaz may emerge in the near future. Thus,
analysts recommend to buy shares of Surgutneftegaz due to their possible rise.
Sibneft representatives refused to comment on this information.
--------------------------

Sibneft $0.462 — Buy
Gets $250mn loan; dividend record date on ADRs changed to 27 August
Sibneft said yesterday it has obtained a $250mn loan from ABN Amro Bank, primarily in order to repay maturing obligations. Last year, Sibneft attracted approximately $250mn-$300mn in short-term debt, a large portion of which is maturing in 3Q01. The loan is due in three years and will carry an interest rate of LIBOR + 3.75%, or approximately 8% at current LIBOR levels.
Replacing expensive short-term obligations with less pricey long-term debt is an example of sound financial decision-making by Sibneft. We were also pleased to see that Sibneft managed to attract long-term financing below a 10% interest rate, in line with its earlier projections. We believe that, given a spread of approximately 10 percentage points between returns Sibneft generates from its investments and its cost of debt, increasing leverage in a reasonable manner clearly makes sense.
Separately, Vedomosti reported that the Bank of New York, which administers Sibneft`s ADR program, announced that the record date for the upcoming dividend payment would be 27 August instead of 3 August, as originally reported by the company. As a result, ADR investors who sold their shares between 3 August and now will not be entitled to dividends. Dividends on local shares, however, will be paid to shareholders of record on 3 August, as earlier announced. It is still unclear how BoNY will address this situation.

Was sagt Deine Bank dazu?

Was bedeutet "dividend record date"?????????????

Kurs in Moskau heute 14:00 MESZ 0,5025$ = 5.52E pro ADR (USD/EUR 0.9110), 2.7 Mio. $ Umsatz, in Dtl. 1.1 Mio.

Letzter Kurs in Moskau SIBN 0.5720$ = 6.33E/ADR
http://www.rts.ru/engl/rts/lasthour.htm

So long,

Frage u.a. an Charttechniker: Wann kann man Sibneft wieder kaufen.

Sibneft $0.531 — Buy
May bid for Norsi Oil refinery
Sibneft has asked the Antimonopoly Ministry for permission to bid for at least 25% of Norsi Oil refinery due to be auctioned in mid-October. The Russian government is seeking a total of $22mn, plus assumption of up to $300mn in tax debts, for two stakes of 40% and 45.36%.
The strategic motive for Sibneft`s acquisition of Norsi Oil is unclear. Sibneft`s own Omsk refinery is operating at only 76% of capacity, although next year capacity utilization may rise to 91%. Yet, Norsi Oil with 22mn tons (440mbpd) of available capacity appears to exceed by far Sibneft`s potential needs.
Sibneft`s interest in Norsi may be that of a purely financial investor, seeking to generate good return on excess cash. Also, Sibneft may seek to acquire Norsi Oil as a part of a bigger future transaction, involving acquisition of upstream assets or an asset swap with another Russian oil company.
At any rate, Sibneft`s contest with Lukoil over Norsi promises to be very interesting. The Russian government will stop taking bids on 16 October, with results to be announced on 19 October.

Sibneft $0.523 — Buy
Reneges on its promise to release 1H01 GAAP accounts
Sibneft management said at a meeting with analysts yesterday that the company would not publish its 1H01 GAAP results, contrary to its previous plans. Earlier, Sibneft said it could release first half GAAP accounts at the end of October or in early November. Sibneft now intends to make public only its 2001 GAAP accounts next spring.
In separate news, company management announced acquisition of a trading company called Terra, for a token amount of $800. Earlier this year, Sibneft bought two other trading companies, Vester and Olivesta, in a move to increase its transparency by consolidating companies already de facto controlled by Sibneft into its books.
Speaking on company plans to bid for 85.36% in Norsi-Oil refinery, management said the acquisition was planned as an attempt to stave off possible lack of oil processing capacity in the near future, which could be experienced as Sibneft ramps up production. For the time being, the company plans to buy oil from third parties to ensure full load for the refinery, if it wins the current tender.
We hope it doesn`t. Even despite the high rate of production growth, it will take years before Sibneft is actually able to load both Norsi-Oil and its Omsk refinery, which now works at just two thirds of capacity.

Sibneft $0.671 — Buy
Sells 27% treasury stake to controlling shareholders
Sibneft announced yesterday that it sold 27% of its shares, held in treasury by Sibneft`s subsidiaries, to a group of controlling shareholders in 3Q01. The terms of the transaction were not disclosed, except for the notice that shares were paid for in a mix of cash payments and equity stakes in various companies, reportedly using "average August market prices" as a base for calculation. We believe that the news will have a negative impact on the stock.
While full evaluation of the sale is impossible without greater disclosure, the lack of transparency alone is bad news for investors. In our June report on Sibneft`s repurchase of treasury shares, we identified transfer of these shares for inadequate consideration as one of the main risks for minority investors. Considering that last year Sibneft paid $541mn in cash to acquire 27% of its shares, it is imperative for minority shareholders to have greater disclosure about the deal, such as what was the cash portion of the payment, what assets were received in lieu of payment and how they were valued. In the absence of such disclosure, investors would be right to assume the worst.
Our fundamental Buy recommendation remains unchanged at this time due to Sibneft`s excellent growth outlook, good revenue mix and very attractive valuation even in light of the increase in shares outstanding. We may review the recommendation, however, as more information on the transaction becomes available.

1H01 US GAAP results beat our forecasts
In separate news, Sibneft`s 1H01 US GAAP results reported yesterday were substantially above our forecasts and comparable to the full year 2000 results mostly due to consolidation of several trading companies. Sibneft reported 1H01 EBITDA of $871mn and net income of $613mn on revenues of $1.6bn and estimated full year 2001 EBITDA and net income at $1.6bn and $1.1bn, respectively. We expected the company to post net income of approximately $800mn and EBITDA of $1.2bn for the full year 2001.

New entity to manage 88% stake in the company...
Core shareholders of Sibneft announced yesterday that they would entrust management of an 88% stake in the company, along with a 50% stake in Russian Aluminum and various other interests, to a new entity called Millhouse Capital Asset Management. In a press release, Sibneft said that the new entity will be just a management company and that there will be no pooling of assets or cross-subsidizing between various business interests.
At the moment, we do not see any particular risk from the formation of the new management company, other than the risk of Sibneft losing some management talent. Indeed, once the dust clears, it may turn out that no particular damage has been done, even with regard to the 27% Sibneft block that has apparently been traded back and forth between key insider interests.
For instance, much of what has been happening has the hallmarks of an impending sale to a strategic investor, which recent rumors name as Surgutneftegaz:
- buying out of particular stakeholders who may not be interested in the strategic sale
- the folding-in of trading subsidiaries
- taking large amounts of cash out of the company
- distancing ownership from direct management
- finding jobs for key executives
Depending on the terms, such a sale could be extremely positive for holders of both Sibneft and Surgutneftegaz. In the meantime, however, the company has become yet more unpredictable for minority shareholders and its recent transparency campaign has suffered a lasting setback.
Aeroflot $0.275 — Buy
..and a 26% interest of Sibneft shareholders in Aeroflot
In yesterday`s press release, Sibneft also referred rather vaguely to its interest in an unspecified airline, which would also be placed in trust with Millhouse. Later in the day, a source at Millhouse was quoted as saying that the company will manage Sibneft`s 26% stake in Aeroflot. This is exactly the stake that, according to our estimates, a new Aeroflot shareholder (reportedly linked to Sibneft core shareholder Roman Abramovich) acquired earlier this year (see our Morning Focus of 7 September 2001).
We do not possess sufficient information at the moment to discuss a possible impact of this transaction on Aeroflot. We might, however, see some positive developments at Aeroflot, such as improvements in transparency or the speeding up of the ADR issue. We would also like to reiterate that a 26% stake and two BoD seats out of nine enable the new shareholder to exert only limited influence on the way the company is run.

Bin erstmal wieder raus.

Sibneft $0.652 — Buy
Provides more details on treasury share sale; may pay another dividend
Sibneft provided yesterday more details on the recent sale of a 27% treasury stake to a group of controlling shareholders. According to Sibneft, the shares were sold in a series of transactions on 4 July and 11 July at an average price of $0.44 for a total consideration of $568mn, which gave Sibneft a $26mn profit.
By offering more details on the transaction, the company has demonstrated its sensitivity to investor concerns. Yet critical details, such as the cash portion of the transaction and the value of equity stakes tendered in lieu of payment, were not disclosed, leaving investors in the dark.
We estimate that, at best, 50% of the purchase was paid for in cash. While this appears detrimental to minority shareholders, we reserve our final judgment until full details are published in the FY2001 US GAAP accounts next year. One thing that still prevents us from downgrading Sibneft is the fact that, over the past several years, the company has spent significant amounts of time and money on improving its corporate image and rebuilding relations with investment community. Furthermore, in August, Sibneft paid $72mn in dividends to outside minority shareholders, which is a very large amount in both absolute and relative terms. Considering that Sibneft probably received some cash payment for the treasury shares, it may choose to distribute part or all of the proceeds to shareholders in the near future.
