DRAGON MINING NL TO ACQUIRE THE PRECIOUS METALS ASSETS OF OUTOKUMPU MINING OY
Dragon Mining NL ("Dragon") and Outokumpu Mining Oy ("Outokumpu") today signed a
Heads of Agreement relating to the acquisition by Dragon of the precious metals
assets of Outokumpu.
The acquisition properties consist of a number of advanced gold properties with
drilled resources, the Vammala mill and flotation plant, the Orivesi mine and
an extensive portfolio of gold and base metal exploration properties, primarily
in Finland. Further detail is contained in the attached Appendix.
For Dragon this represents a major acquisition that has clear synergy with its
current operations in Scandinavia (the Svartliden Gold Project), and offers the
prospect of continued strong growth of shareholder value.
The broad terms of the Heads of Agreement allow for a 30-day `exclusive` due
diligence period that would culminate in the signing of a Sale and Purchase
Agreement ("Agreement"), with a closing date set at 30 days after the signing
of the Agreement.
The Heads of Agreement outlines the following consideration structure:
- Dragon to pay Outokumpu EUR5.5 million in cash. Dragon is discussing the
financing of this with Macquarie Bank Limited, financiers of Dragon`s
Svartliden Project in Sweden;
- Outokumpu to be issued with 30 million new ordinary Dragon shares;
- Outokumpu to receive up to 10 million new ordinary Dragon shares within 6
months of the closing date.; and
- Outokumpu to receive up to a further EUR1.5million cash in deferred and
contingent payments relating to the financial and operating performance of
the acquisition properties.
Dr James Searle (Dragon CEO and Executive Director) sees this major acquisition
as, "a unique opportunity for Dragon to become a substantial European focussed
gold producer within a much shorter time scale than was previously envisaged.
Dragon is looking forward to continuing exploration and development on these
properties with the objective of bringing new mines into production as soon
possible in concert with the development of its Svartliden Gold Mine in Sweden,
which recently gained environmental approval."
The Investment Banking Group of Macquarie Bank Limited has acted as Dragon`s
financial adviser for this acquisition.
Appendix 1: Synopsis of Major Properties to be Acquired.
As countenanced in the Heads of Agreement between Outokumpu and Dragon Mining a
formal due diligence will be undertaken on all technical, legal and commercial
aspects of the transaction. Summary information on the properties listed below
is subject to that due diligence process, including the formal verification of
resources data and categories of resources by independent consultants. Dragon
Mining will issue a formal resource statement once the due diligence process is
complete.
The properties to be acquired are as follows:
Pampalo Gold Project (Finland)
An advanced gold project in the Archaean Karelian Domain of the Fennoscandian
Shield, with indicated and inferred resources of 0.9 million tonnes at 6.8g/t
Au containing 205,000 ounces. The lodes systems have been accessed by a
production capable decline to a depth of 272 metres below surface, and the
mineralisation has not been closed out at depth and other lode positions along
strike remain to be tested. Comparisons have been made between the structural
setting of the known Pampalo mineralisation and the well-known gold deposits at
Kalgoorlie in Western Australia and Timmins in Canada. Environmental
permitting for a mine, flotation concentrator plant and related infrastructure
(tailings dam, stockpiles etc) has been secured. The lode systems remain open

Orivesi Gold Mine and Vammala Mill (Finland)
The Vammala mill is located 80 kilometres south west of the Orivesi mine in
southern Finland. The mill consists of a 3 stage crushing circuit, a rod and
ball mill and flotation circuit, with a nominal capacity of 600,000 tonnes per
annum. Vammala is currently operational, processing the last ore from the main
lode system in the Orivesi mine. Positive cash flows from the sale of
concentrates will continue for several months after the transaction date and
will accrue to Dragon.
The Orivesi mine is located 80 kilometres north east of the Vammala mill. The
mine has been operating since 1994 and has produced 375,000 ounces from 1.5
million tonne of ore at a grade of 9.5 g/t Au. Production has been from a lode
system that has been exploited from a decline extending down to 720 metres
below surface. The lode system between the surface and the 720 metre level is
now essentially exhausted and the mine will be reverting to a care and
maintenance status. Underground drilling off an exploration drive at the 525
metre level has intersected what appears to be an analogous lode system 400
metres away. Encouraging high-grade intercepts have been obtained recently but
drilling needs to continue to define resources sufficient to warrant re-
activation of the mine.
Jokisivu Gold Project (Finland)
The Jokisivu Gold Project is located in southern Finland in the Proterozoic
Svecofennian Domain of the Fennoscandian Shield. It is also located 40
kilometres south of the Vammala mill. Recent drilling on the property has been
aimed at defining a resource of 200,000 to 300,000 ounces down to around 200
metres. The latest drilling program concluded at the end of August and final
results have yet to be received and collated. A small high grade open cut
resource of 150,000 tonnes at 7.8g/t Au containing 37,700 ounces down to depth
of 60 metres has been previously calculated on one of the mineralised lenses.
The scale and distribution of high-grade intercepts in multiple lodes indicates
the Jokisivu system has the potential to host gold mineralisation that may
ultimately be shown to exceed 500,000 ounces.
Kuusamo Gold-Cobalt (Finland)
The Kuusamo project is located 400 kilometres north of Pampalo in the
Proterozoic portion of the Fennoscandian Shield. The project area contains over
20 known gold and gold-cobalt occurrences. The most significant of these are
the Juomasuo deposit and the nearby Hangaslampi and Pohjasvaara deposits.
Drilling has tested the mineralised structures to shallow depths only, and the
current resource includes material down to depths of 60 to 120 metres from
surface. Inferred resources defined to date are calculated to be 1.4 million
tonnes at 4.1g/t Au containing 179,000 ounces. Further drilling of the known
deposits and other targets on the property is expected to increase the Kuusamo
resource base substantially.
Kylylahti Base Metal Project (Finland)
The Kylylahti Base Metal Project is located 24 kilometres from the town of
Outokumpu in Eastern Finland. An inferred resource has been calculated by
Outokumpu as follows:
- Semi-Massive Sulphide Zones
1.95 Mt @ 2.63% Cu; 0.39% Co; 0.76% Zn; 0.9% Ni; 0.9 g/t Au;
and 20.6% S;
- Disseminated Zone
1.40 Mt @ 0.61% Cu; 0.18% Co; 0.39% Zn; 0.33% Ni; 0.9 g/t Au;
and 8.9% S;
Kuhmo-Suomussalmi Gold Exploration (Finland)
The Kuhmo-Suomussalmi Archaean greenstone belt is one of the largest in the
Baltic Shield, being over 200 kilometres long and 2 to 12 kilometres wide.
Dragon will be acquiring a significant package of key claims covering a series
of promising targets identified by preliminary exploration.
Central Lapland Gold Exploration (Finland)
Exploration on a series of claims and claim reservations in the Central Lapland
area near the border with Sweden has identified a target area with analogous
features to the nearby, >2 million ounce Suurikuusikko gold deposit. The region
also has the potential for iron oxide copper gold style mineralisation
Lugo JV (Spain)
Outokumpu hold tenements, which cover an 18 kilometre long mineralised belt in
northern Spain. Rio Narcea Goldmines Limited ("RNG"), a Toronto Stock Exchange
listed company, is earning eventually up to 70% equity in the project through a
three stage joint venture. A cash payment of 750,000 Euros is required if RNG
wishes to proceed to stage 2 of the joint venture.

Outokumpu exiting precious metals mining
Outokumpu has signed a Heads of Agreement with Dragon Mining NL of Australia. Under the agreement Outokumpu would sell its fully owned precious metals mining assets, including the Orivesi gold mine and the Vammala concentrator, as well as certain exploration assets, mainly in Finland, for a total consideration of some EUR 11 million.
The parties are aiming to sign a final Sale and Purchase Agreement within a month. Dragon Mining and Macquarie Bank of Australia will perform a legal due diligence during this time and Outokumpu will at the same time assess the implications of the intended transaction on personnel.
Of the total consideration of some EUR 11 million, Outokumpu will receive EUR 5.5 million in cash and the balance either in Dragon Mining shares or cash.
Mr. Tapani Järvinen, Executive Vice President of Outokumpu comments: "This transaction is part of our program to release capital from the mining business. I trust that the precious metals business now being sold will have a prosperous future under Dragon Mining."
Dragon Mining is an Australian precious and base metals explorer and developer. It is currently focused on advancing the Svartliden gold project in Sweden. Dragon Mining shares are listed on the Australia Stock Exchange under the symbol DRA.AX.

Aber bei der aktuellen Marktkapitalisierung von 34 Mill sollten alleine die 50.000 pro Jahr aus dem Projekt mit gut 150 Usd (konserv.) pro Unze in den Büchern bleiben.
Das wären 50.000 * 150 USD = 7,5 Mill USD! Das in AUD ergibt 11,3 Mill AUD!!!
Also ist das nun ein Kauf?

Aufmerksam wurde ich durch meine Schwester aus Australien, die dort in einer Bank arbeitet und mir erzählte das die dort als absolutes Zukunftsinvest gehandelt wird!
Dann würde ich sagen das die Optionen bei einem solch positiven Newsflow nicht so stark ins Gewicht fallen.

Dragon Mining has signed the final Sale & Purchase Agreement with Outokumpu for
the acquisition of Outokumpu`s precious metals mining assets located mainly in
Finland. The acquisition will be subject to Dragon Mining shareholder approval
and a meeting will be held on 5 November 2003 for this purpose.
The total consideration including conditional performance based payments will be
some EUR 11 million, comprising EUR 5.5 million in cash and the balance in
Dragon Mining shares or cash.
The assets being acquired include the Pampalo Gold Project, the Jokisivu Gold
Project, the Vammala Plant and the nearby Orivesi Gold Mine and 13 other
advanced to grass roots gold, platinum, and nickel exploration projects.
The Pampalo advanced gold project is in the Archaean Karelian Domain of the
Fennoscandian Shield, has indicated and inferred resources of 0.9 million tonnes
at 6.8g/t Au containing 205,000 ounces #1. The lode systems have been accessed
by a production capable decline to a depth of 272 metres below surface, and the
mineralisation has not been closed out at depth and other lode positions along
strike remain to be tested. Environmental Permits are in place for development
of the project.
The Jokisivu Gold Project is located in southern Finland in the Proterozoic
Svecofennian Domain of the Fennoscandian Shield. It is also located 40
kilometres south of the Vammala Mill. Recent drilling on the property has been
aimed at defining a resource of 200,000 to 300,000 ounces down to around 200
metres. The latest drilling program concluded at the end of August and final
results have yet to be received and collated. A small high grade open cut
resource of 150,000 tonnes at 7.8g/t Au containing 37,700 ounces down to depth
of 60 metres has been previously calculated on one of the mineralised lenses.
Environmental permits have been applied for development of the existing open cut
resource. The scale and distribution of deeper high-grade intercepts in
multiple lodes indicates the Jokisivu system has excellent potential to host a
substantial gold resource.
The Vammala Plant consists of a 3 stage crushing circuit, a rod and ball mill
and flotation circuit, with a nominal capacity of 600,000 tonnes per annum.
Vammala is currently operational, processing the last ore from the main lode
system in the Orivesi Mine. Positive cash flows from the sale of concentrates
will continue for several months after the transaction date and will accrue to
Dragon. The Orivesi Mine has been in production since 1994 and produced 375,000
ounces. Mining is nearing completion on the main lode system after which it
will be placed on care and maintenance pending further underground exploration
on a second high-grade lode system potentially accessible from the existing
decline.
The other 13 projects are mainly located in highly prospective portions of the
Fennoscandian Shield and most have identified mineralisation and in some cases
potentially ore grade drill hole intercepts.
Dragon sees considerable synergy between the Polar acquisition and the
Svartliden Gold Mine that it is developing in Sweden and scheduled to commence
production in mid 2004 at an initial rate of 70,000 ounces per annum. The
company sees the potential to become a significant European based gold mining
company with 2 to 3 operating mines within 18 months and other projects
advancing rapidly.

Gewinnmitnahmen machen nicht ärmer!! Jedoch sollte man Gewinne laufen lassen. Meiner Meinung nach war der ganze Ausstieg ein Fehler. Trotzdem viel Spaß mit dem Gewinn.
