FALCON OIL & GAS LTD. FILES (FINAL) SHORT FORM PROSPECTUS
Falcon Oil & Gas Ltd. has received notice from MGI Securities Inc., on behalf of an international syndicate of agents led by MGI Securities Inc. and Knight Capital Markets LLC, and including Dundee Securities Corporation, Bridgewell Securities Limited, Mirabaud Securities Limited and Sanders Morris Harris Inc., that the agents will exercise the overallotment option previously granted to them by the company in connection with the previously announced public offering of common shares in the capital of the company in full. Pursuant to the overallotment option, the company intends to sell an additional 7.7 million common shares at a price of $1.30 per common share for additional gross proceeds of $10.01-million, resulting in anticipated total gross proceeds of the offering of $100.1-million. It is anticipated that the offering will close on Tuesday, March 14, 2006.

Falcon Oil & Gas Ltd. (TSXV: FO) announced today that it has entered into a non-binding letter of intent for a US$250,000,000 credit facility with Macquarie Bank Limited (" Macquarie" ).
Under the letter of intent, the parties will undertake a six weeks due diligence period and also will need to agree upon specific terms and conditions, and to obtain final approval of Falcon`s Board of Directors and of Macquarie Bank`s Board of Directors, in order to enter into a definitive agreement.
