Vena faces $2.34-million (U.S.) arbitration settlement
2014-05-26 08:13 ET - News Release
Mr. Juan Vegarra reports
VENA PROVIDES UPDATE ON AZULCOCHA WEST POLYMETALLIC PROJECT
After four years of an arbitration process in Peru Vena Resources Inc. will be able to restart exploration activities of the promising Azulcocha West polymetallic property located only six kilometres west of the existing Azulcocha mine and milling operation. The Azulcocha West claims are strategically important to the long-term economics of Vena given its close proximity to the Azulcocha mine processing facilities owned by Azulcochamining S.A. (now owned by Trafigura Beheer B.V.)
Azulcocha West property
The 2,583.2-hectare Azulcocha West project is located immediately west of the Azulcocha mine/mill concessions. The property was staked by Vena in 2006 to cover 30 known polymetallic showings including skarn, manto and vein deposits in the area. In 2006, Vena signed a letter agreement with Empresa Minera Los Quenuales S.A. (LQ), a company owned by Glencore of Switzerland, to explore the property. The program consisted of detailed mapping, geophysics, trenching, rock sampling and diamond drilling.
Both the Jurassic limestones of the hangingwall and the Cretaceous sandstones of the footwall of the Conchas-Gran Bretana fault have been intruded by Neogene Granodioritic calc-alkaline laccoliths. The largest of these is the granodioritic Chuquipite intrusive that is approximately four kilometres in diameter and is in contact with the Condorsinga limestone. The smaller San Pablo intrusive, classified as dacite porphyry, is approximately 700 metres by 200 metres in size and intrudes the northern limb of the limestone. The two intrusive bodies are approximately 1.5 kilometres from each other.
The juxtaposition of the two metal-rich intrusions with reactive limestone wall rocks in the presence of the western extension of the Conchas-Gran Bretana fault (a major regional ore host) has been responsible for the proliferation of mineralization. Drilling indicates that the two most important structures are the 2.5-kilometre-long northern contact of the Chuquipite intrusive (Maria Fe and Valeria skarn/replacement showings) and the approximately 500-metre-long Recuperada vein. There is a marked contrast between the mineralogy of the two structures: the Maria Fe is zinc rich and metasomatic with abundant skarn minerals in the gangue, whereas the Recuperada is silver rich with a silica gangue that appears to be epithermal. There is also a contrast in depth of oxidation with the Recuperada sulphides having been much less affected by supergene processes. Due to the differences in strike and dip of the two structures there is a convergence of the two mineralized systems near the eastern end of the Maria Fe showing.
The best drill intersection at Maria Fe is 23.9 metres of 11.46 per cent zinc in the transition zone (mixed oxide/sulphide) at a vertical depth of about 140 metres. The trenching and drilling at the Recuperada structure indicate that there are two approximately 140-metre-long zones of mineralized vein: the northeast zone -- width 0.48 metre at 279.8 grams per tonne silver, 1.2 per cent lead and 0.79 per cent zinc; and the southwest zone -- width 1.40 metres at 73 grams per tonne silver, 0.51 per cent lead, 0.76 per cent zinc. A total of 3,800 metres of drilling was completed, over 100 trenches were excavated and 1,100 channel samples were taken. Given the magnitude and grades along the contact zone and based on all the previous geological work performed, a multimillion-ton resource can be visualized.
Vena will work on delivering a National Instrument 43-101 report as soon as possible.
Azulcocha west arbitration
Under the original agreement in 2006 with LQ and extended three times thereafter, LQ agreed to invest $2.75-million (U.S.) in exploration expenditures, provide a satisfactory feasibility study for Vena and pay Vena $1-million (U.S.) to acquire a 51-per-cent interest in the Azulcocha West project. None of those requirements were met. In April, 2010, Vena and LQ signed a letter of intent to be followed by a binding agreement, including all new terms.
As previously disclosed in Vena's financial disclosure documents, the main issues of the arbitration were the following: (i) LQ argued that the LOI effectively extended the term of LA therefore it was not necessary to sign a further binding contract and LQ sued Vena for $13-million (U.S.) in damages for loss of profits; and (ii) Vena countersued LQ for $9.13-million (U.S.) in damages based on the fact that the LOI did not extend the LA's term and further that LQ acted in bad faith preventing the signing of the future contract (LQ's lawyer had sent a draft of the future contract which contained the new terms).
During the arbitration proceedings it was discovered that LQ drilled six additional holes but did not disclose the technical results to Vena. And further, LQ performed this drilling without all the required authorizations and permits. Recently, Vena reassayed those drill holes and found significant intersects that at the time could have substantially improved the understanding of the Azulcocha regional geology. Vena made several decisions over the last few years regarding Azulcocha that might have been significantly different if all of the technical data had been available to the company. Possibly this would have involved an alternative decision with respect to the sale of the mine/mill as part of the regional investment strategy.
The arbitration panel, in a controversial decision, with two votes in favour and one against, has determined that Vena Peru and Azulcochamining jointly and severally pay LQ an audited sum of $2,342,092.51 (U.S.) for damages despite the fact that LQ did not comply with a single term in the original option agreement even after Vena granted three extensions. In its opposing statement, the dissenting arbitration panel member dismissed in every respect LQ's claims and in contrast to the decision determined that LQ should pay Vena $4.97-million (U.S.) for loss of profits.
Juan Vegarra, Vena's chairman and chief executive officer, stated: "We are pleased Azulcocha West can be advanced shortly. The property's significant mining potential and proximity to an existing milling operation adds tremendous value to our current holdings. As the company just received notification of the arbitration decision, Vena's legal team is analyzing the arguments and scope of the extensive arbitration documents and will respond accordingly in due course."
This press release has been reviewed and approved by David Bent, PGeo, Vena's qualified person as defined by National Instrument 43-101.

Vena Resources Signs Letter of Intent to Amalgamate With Forrester Resources

27.06.2014 | 17:09 Uhr | IRW-PRESS

Vena Resources Amends Forrester Resources Acquisition Terms Nachrichtenquelle: Marketwired | 28.08.2014, 08:00
TORONTO, ONTARIO--(Marketwired - Aug. 28, 2014) - Vena Resources Inc. (the "Company" or "Vena") (TSX:VEM)(LMA:VEM)(FRANKFURT:V1R)(OTCBB:VNARF) announces that pursuant to the non-binding letter of intent (the "LOI") that was announced June 26, 2014, Vena and Forrester Resources Corp. ("Forrester"), a private company that holds the option to acquire up to 85% of the mining concessions known as the "Las Princesas/La Reyna Properties" located in the District of Quiruvilca, Province of Santiago de Chuco, Region of La Libertad, in northern Peru, have agreed to amend the acquisition terms as stated in the LOI (the "Acquisition").
Under the amended terms, Vena will issue an aggregate of 13,786,674 common shares ("Vena Shares") in the capital Vena in exchange for all of the issued and outstanding common shares of Forrester (excluding shares in Forrester held by Vena). Based on the number of securities of Vena and Forrester currently outstanding, immediately following the closing of the Acquisition, it is anticipated that there will be approximately 82,509,793 Vena Shares outstanding on a non-diluted basis, of which former shareholders of Forrester will own approximately 13,786,674 of such common shares, representing approximately 16.7% of the outstanding Vena Shares and the current shareholders of Vena will own approximately 68,723,119 Vena Shares, representing approximately 83.3% of the outstanding Vena Shares. Further, Vena will issue up to 3,387,517 common share purchase warrants (each a "Warrant") to replace the Forrester warrants outstanding prior to completion of the Acquisition, with each Warrant exercisable at $0.13 for a period of two years. The terms of the Warrants provide that if the closing price of the common shares of the Company is greater than $0.26 for 20 or more consecutive trading days, the Company may give notice to the holders of the Warrants that the expiry date for exercise of the Warrants has been accelerated and the Warrants will expire on the 20th business day following the date of such notice. In addition, all Forrester options outstanding will be cancelled prior to completion of the Acquisition.
The closing of the Acquisition is subject to a number of conditions including that Forrester have a minimum of $435,000 in net working capital, consisting of at least $435,000 in available cash on hand.
On closing, Forrester will become a wholly-owned subsidiary of Vena. The board of directors of Vena post-Acquisition will be comprised of six directors, consisting of Martin Walter, the current Chief Executive Officer of Forrester, and the existing five Vena directors, namely Juan Vegarra, John Clarke, Andre Gauthier, Miguel Grau and Jose Roberto de Romaña Letts. Juan Vegarra, Vena's current Chairman and Chief Executive Officer will remain as the Executive Chairman of the board of directors of Vena and Martin Walter will assume the role as President of Vena. Further, Dennis Gibson will become the new Chief Financial Officer of the Corporation to replace Silvia Dedios, who was appointed interim Chief Financial Officer effective August 1, 2014.
The Toronto Stock Exchange has provided conditional approval for the Acquisition. Closing of the Acquisition is contemplated to occur the week of September 8, 2014 and is subject to a number of conditions, including the negotiation and settlement of definitive terms for the Acquisition and the entering into of a definitive agreement among the parties, final receipt of approval of the Toronto Stock Exchange, and the receipt of certain other customary consents.
Juan Vegarra, Chairman and CEO of Vena stated: "We are pleased to have come to an agreement to finalize this important acquisition which will bring additional talent to the Vena team and will provide the funding towards advancing our Esquilache project."

Mauricio - thanks for your comments. Vena is an exploration company and have reviewed a slew of properties in Peru and frankly we kept going back to Las Princesas.
The geophysical target is outstanding and we will be drilling it at some point for sure.
The amalgamation brings three important components to the company. (1) Strong technical management that is based in Toronto. (2) An outstanding target at Las Princesas and (3) money and marketing skills
We are very pleased with the overall structure of the deal and it appears the rest of the market agrees
A lot more still to do, one step at a time....
Mal sehen ob der Kurs sich hält.

Mauricio Gamboa So let me understand this transaction: in 2011 Vena options Las Princesas to Forrester, a company with no other assets, now Vena is diluting itself to adquire Forrester, a company that its only asset is an option from Vena itself? Am I getting this wrong? If my interpretation is correct, then what is the gain for Vena in this operation?...can Forrester, now a 100% Vena subsidiary, still loose the option if it doesn't come with the money, and end being just a shell?..this comment is in good faith, just having a hard time trying to understand this transaction and how it creates value to current Vena shareholders...saludos a Juan

Jetzt darf man gespannt sein, was CAN tatsächlich gleich macht

Toronto, Ontario – Vena Resources Inc. (the “Company” or “Vena”) (TSX: VEM, Peru: VEM, Germany: V1RA, USA: VNARF) provides a positive development for the Company on the arbitration process in Peru related to the Azulcocha West Polymetallic Project. As announced by Vena on May 26, 2014, the arbitration process in Peru returned the promising Azulcocha West polymetallic property to the Company and awarded Empresa Minera Los Quenuales S.A. (“LQ”), a company owned by Glencore plc of Switzerland, US$2,342,092.51 for damages (the “Arbitral Reward”) despite the fact that LQ did not comply with the original option agreement. In July, the Company filed a lawsuit for the Annulment of the Arbitral Award (the “Lawsuit”) with the Superior Court of Lima on the basis that the Arbitral Award lacked grounds and was based on further contradictory and insufficient reasons that infringe the basic rules of the due process under the arbitration process. After review of the Lawsuit, the Superior Court of Lima has admitted the Lawsuit. Under Peruvian Law, the Superior Court of Lima will review whether the Arbitral Award was issued in compliance with the essential formalities that must exist in any judicial judgment or arbitral award.
Juan Vegarra, Vena’s Chairman and CEO stated: “We are very pleased with the ruling of the Superior Court of Lima to accept our lawsuit for the Annulment of the Arbitral Award. Vena believes that the Arbitral Award was egregious given LQ did not meet the terms and further that it breached the terms of the option agreement by performing drilling without the required authorizations and permits and by not disclosing the technical results to Vena. A final decision on the Lawsuit could take up to a year.”
In other news and further to the Company’s press release of September 19th, Vena now holds 2,525,252 Azincourt Uranium Inc. (TSXV : AAZ) and 3,318,655 common shares of Macusani Yellowcake Inc. (“Macusani”) (TSXV : YEL) pursuant to Macusani’s acquisition of Azincourt’s Peruvian uranium assets.

Vena to Drill Major Veins at the Esquilache Polymetallic Property

Toronto, Ontario – Vena Resources Inc. (“Vena” or the “Company”) (TSX: VEM, Peru: VEM, Germany: V1RA, USA: VNARF) is pleased to announce the initiation of drilling at the 100% owned silver rich polymetallic Esquilache project located in Puno Department approximately 850 kilometres southwest of Lima, Peru. The Company has recently received the necessary permits for a 20 platform drill program and Ingetrol Peru SAC is mobilizing a portable rig to the property that will commence drilling this week. Community agreements, access roads, drill platforms, camp site and all required infrastructure requirements have been finalized.
Juan Vegarra, Chairman and CEO of Vena states: “With funding in place, we plan to advance the promising Esquilache project with a fourth drill program, and, if successful, an additional drill program in the first quarter 2015. Esquilache will remain the investment focus of the Company and we expect to release first set of drill results in December.”
The 1,000 hectare Esquilache property covers the mineralized core of a five kilometre diameter volcanic caldera that has been mined for silver/lead since the early Colonial period. The exposed structures on the property are characterized as part of a system of polymetallic, low to intermediate sulfidation, epithermal to mesothermal veins containing silver-lead-zinc-copper and significant values of gold. This first phase of the drill program will consist of a minimum of 1,000 metres of drilling designed to confirm the surface sampling results from the Sepulveda and Creston veins as well as the high grade drill intersection from the Mamacocha vein. The results will be the initial stage in calculating near surface mineral resources on the property, leading to an updated NI 43-101 technical report in the first quarter 2015. The Company has the objective of fast tracking a mining plan to exploit high grade reserves that can be mined by a combination of open pit and the extension of existing underground infrastructure. The specific targets are:
◾Sepulveda Vein – Located at the northern crest of Cerro Creston. Quartz breccia in a matrix of silica-barite. The structure strikes approximately N 50° E and dips 55° SE with widths up to 15 metres and is exposed over a strike length of 450 metres. Mineralization is predominantly silver with significant lead in sulfides with channel sample values ranging up to 17 ounces per ton silver. The initial phase will consist of drilling six short holes (inclined at – 30° and - 60° NW) from three platforms sited immediately southeast of the structure. An additional four platforms are being constructed further to the southeast of the structure for follow up deeper drilling (200 metre holes) if warranted by the initial results.
◾Creston Vein – Located in the central portion of Cerro Creston. Breccia vein composed of quartz/calcite fragments in a matrix of iron/manganese oxides. The vein is emplaced within the Creston fault that strikes N 80° E and dips 60° SE. Widths are highly variable due to the sigmoidal nature of the structure with significant secondary veins in the hanging and foot walls. Channel sample values ranged to a maximum of 11 ounces per ton silver with significant gold values. Two platforms have been constructed and four holes will be drilled (inclined at -30° and -50° NW) as an initial test of the mineralization.
◾Mamacocha Vein – located on the northeastern flank of Cerro Mamacocha. Breccia vein composed of a central quartz breccia core flanked by quartz veining that carry very high silver values. The structure is up to 12 metres wide and strikes N 40° E with a dip of about 55° SE. Hole ESH-31-2011 intersected 5.85 metres of 506 g/t Ag and 0.16 g/t Au at a vertical depth of about 50 metres. The plan is to follow up the discovery hole with a parallel hole sited 50 metres to the southwest and another that would intersect the vein about 50 metres down dip.
This press release has been reviewed and approved by David Bent, P. Geo., Vena’s Technical Advisor and Qualified Person as defined by NI 43-101. Vena’s exploration and development programs are being supervised by Mr. Bent. All core samples will be prepared and analyzed by Certimin S.A., an ISO certified laboratory in Lima, Peru. The program is designed to include a comprehensive analytical quality control routine comprising the systematic use of standards, blanks and field duplicate samples. A secondary laboratory will be used for check assaying.

Vena Resources Inc. Guten Morgen,

Guten Morgen allerseits
Keiner will was anfassen in diesem Sektor.
Daher passiert wohl erst wieder was wenn frisches Geld in den ganzen Sektor kommt.
Also weiter abwarten.

Also alles sehr suspekt,

http://finance.yahoo.com/news/vena-resources-provides-corpor…TORONTO , Aug. 13, 2015 /CNW/ - Vena Resources Inc. (the "Company" or "Vena") (TSX: VEM, Peru : VEM, Germany : V1RA, USA : VNARF) would like to provide a corporate update including the announcement of Juan Vegarra's resignation as Chief Executive Officer and the appointment of Nick Appleyard as interim Chief Executive Officer and other matters related to the outstanding legal matters between Vena and Empresa Minera Los Quenuales S.A. ("LQ"), a Peruvian subsidiary of the Glencore group. The Company is also providing an update related to the US$2.2 million owing from Catalina Huanca Sociedad Minera S.A.C. (a subsidiary of Trafigura Beheer B.V.) to the Company related to the sale by Vena of its 70% interest in Azulcocha Mining S.A. ("Azulcocha Transaction"), (the "Trafigura Receivable").
Management Update
The Company announces that the board of directors has accepted the resignation of Mr. Juan Vegarra as Vena's Chief Executive Officer, to pursue other ventures. Mr. Vegarra will continue to be Chairman of the board for the Company. Mr. Nick Appleyard has been appointed Interim Chief Executive Officer and Director. Mr. Appleyard has served on the Company's Board of Directors since November 2014 providing technical and strategic skills and significant expertise in Peru. Mr. Appleyard was most recently the Chief Executive Officer of Chaparral Gold Corp. since its formation until it was sold in February 2015 to a subsidiary of Waterton Global Resource Management, Inc. Prior to Chaparral, Nick was the Vice President of Corporate Development for International Minerals Corporation ("IMZ"), where he was responsible for the technical management of all IMZ's exploration and development projects in Ecuador , Peru and Nevada including the oversight and development of the Pallancata silver/gold mine in southern Peru . Mr. Martin Walter will continue his role as President and as a director and the Company has commenced a search to fill the Chief Executive Officer position.
Juan Vegarra , Chairman and former CEO stated, "My resignation as CEO forms part of the management transition that commenced with the Company's amalgamation with Forrester Resources Corporation in September 2014. As the founder of Vena, I am pleased to remain involved as Chairman of the Company and having worked with Nick Appleyard on the Board, I have full confidence in his ability to lead Vena on an interim basis whilst a new permanent CEO is sought. As we near the conclusion of the legal issues that have been ongoing for a number of years, a renewed team will be a positive step to move forward."
Trafigura Receivable
Under the Azulcocha Transaction, completed in November 2012 , Catalina Huanca Sociedad Minera S.A.C. agreed to pay US$2.5 million in monthly installments (of which three $100,000 installments were paid in 2013) but payments were suspended until certain registrations with the Peruvian Public Registry and administrative matters were completed by Vena. The Company is working prudently to satisfy requirements that are necessary to allow for payments to resume.
Outstanding Legal Matters
As previously reported, the Company commenced an annulment application in the Peruvian courts, seeking to set aside the Arbitral Award to pay US$2.34 million (the "Vena Application") related to the ongoing contract dispute between LQ and Vena in connection with a joint venture agreement on the Azulcocha West Polymetallic Project. It is anticipated that a decision will be delivered shortly (see press release dated February 6, 2015 for further details).
As reported on July 31, 2015 , LQ applied to enforce the Arbitral Award against Vena in Ontario in December 2014 . In July 2015 , Justice Hood , of the Ontario Superior Court of Justice, adjourned (postponed) the enforcement application (the "Adjournment") pending the outcome of the Vena Application. As a condition of the Adjournment, the Company was ordered to pay C$250,000 by August 7, 2015 as security to be held in trust. The Company reports that it did not pay the C$250,000 security at this time. Vena is actively pursuing a number of discussions on these outstanding legal matters and further updates will be provided.

Gruß an alle Investierten.

Keiner will hier ein Risiko eingehen.
Mal sehen was das nächste Jahr bringt.
Hannes
Keiner will hier ein Risiko eingehen.

Was meint ihr?

http://web.tmxmoney.com/article.php?newsid=4883092774381616&…
TORONTO, July 19, 2016 /CNW/ - Vena Resources Inc. (the "Company" or "Vena") (NEX: VEM.H) is pleased to announce the signing of binding Letters of Intent (LOI) with two privately held Peruvian companies to acquire and to jointly consolidate 100% ownership of two zinc projects - the Bongará Zinc Mine and the Charlotte Bongará Zinc Project. These two high grade zinc-oxide assets are located in the Amazonas Department of north-central Peru. Consolidation of both properties provides a unique opportunity for Vena to re-activate an open-pit zinc-oxide mine in the near-term as well as re-initiate exploration across a total of 11,115 hectares where past drilling has encountered high grade zinc-oxide mineralization.
Martin Walter, President and CEO of Vena commented, "The acquisition of Bongará fits nicely with Vena's current portfolio of high-grade silver and zinc projects and also provides Vena with immediate exposure to a past producing mine." He also noted, "This is the first time both these projects, the mine and the additional exploration areas, have been consolidated within one company." In closing, he stated, "Near-term work programs at the Bongará Zinc Mine will focus on widespread shallow exploration drilling and trenching programs followed by metallurgical extraction processes applicable to the Bongará high grade zinc-oxide ores."
The terms of the Binding Letters of Agreement for the acquisitions provide for cash and share payments totaling US$835,000 (US$65,000 has been paid) and US$595,000 (US$10,000 has been paid) over a three-year period for the Bongará Zinc Mine and the adjoining Charlotte Bongará high grade, zinc-oxide exploration project, respectively. Both properties are subjected to modest advance royalty payments once the acquisitions are complete, and a 2% net smelter return royalty on production.
Property and Exploration History
The Bongará Zinc Mine zinc-oxide mineralization was discovered in 1974 and since then various companies have completed exploration programs across the area. The mineralization is concentrated along and proximal to a NW-trending anticlinal axis over approximately 2.5 kilometres. From the southeast edge of the project, the Mina Grande, Mina Chica, and Bongarita mine areas were subject to sampling from pits and trenches as well as shallow drilling stretching over a distance of approximately 1.2 kilometres. This zinc-oxide mineralization appears to continue to the northwest into an additional exploration area known as Campo Cielo, where pits and trenches have also exposed additional high grade, zinc-oxide mineralization in historical pits and trenches in certain areas as shown on the attached map.
In 2006, Cementos Pacasmayo S.A.A. (NYSE: CPAC) ("CP") contracted Minconsult SRL of Lima, Peru, which estimated resources, regarded as historical, at Bongará based on 69 diamond drill holes for 1,975 metres and 476 pits in the Bongará area (see table below), applying inverse-distance to the fifth power to 10 metre x 10 metre x 4 metre blocks in Mine Site; a specific gravity of 1.6 gram/cc was used. The Qualified Person has not completed sufficient work to verify this historical estimate as a current resource estimate and is not treating the historical estimate as a current resource estimate. Additional surface samples, trench samples, and drill hole samples will be required to comply with National Instrument ("NI") 43-101 guidelines in order to provide a current resource estimate.

Minconsult SRL also prepared a mine plan in Mine Site based on an estimated reserve, regarded as historical, of 741,028t at 25.6% Zn (189,696t Zn) using a cutoff grade of 12% Zn, which was based on a US$1,150/t Zn price; other input parameters included a mining cost of approximately US$8.74/t ore, mine site administration cost of US$1.80/t ore, 4-metre bench heights with an overall slope of 36o, 90% Zn recovery utilizing a Waelz kiln, and estimated treatment and refining costs.
The Qualified Person has not completed sufficient work to verify this historical estimate as a current reserve estimate and is not treating the historical estimate as a current reserve estimate. Additional surface samples, trench samples, and drill hole samples, as well as current cost information, will be required to comply with NI 43-101 guidelines in order to provide a current reserve estimate,, which would be included in a future prefeasibility or feasibility study that would support a current reserve estimate.
CP commenced mining operations in March 2007 and over 17 months sent 106,701t at 24.1% Zn for processing in a Waelz kiln, and at the end of 2008, had a stockpile of 31,713t at 20.0% Zn (CP Annual Reports 2007 and 2008). CP is currently remediating the areas affected by previous mining efforts.
The adjacent Charlotte Bongará Zinc project was explored in 1994 by Solitario Resources (TSX: SLR) and Cominco Ltd. later completed five drill holes for 592 metres within the property, two of which encountered near-surface, high grade zinc-oxide mineralization. Between 2007 and 2011, Rio Cristal Zinc (TSXV: RCZ) optioned the project and eventually drilled 95 drill holes for a total of 7,722 metres on the Cristal and Charlita prospects. In a press release dated October 15, 2008, Rio Cristal Zinc announced impressive near-surface drill intercepts of zinc oxides that included 29.5% Zn across 15.5 metres, 26.1% Zn across 12.5 metres, 29.7% Zn across 11.5 metres (the cited intervals are drill-intercept widths and t true widths are unknown).
Neither the Company nor the Qualified Person verified the data herein with samples.
The technical data included in this press release have been reviewed by Bill Williams, PhD, CPG, who is a Qualified Person as defined by NI 43-101 and is currently independent of the Company.

Wohlan!

Toronto, Ontario – Vena Resources Inc. (the “Company” or “Vena”) (NEX: VEM.H) announces that the Company’s agreement with OMAY S.A., a private group of Peruvian investors ("OMAY") to advance the exploration and development of the Compin property (the “Property”). The Property consists of the 1,000 hectare OMAY 200 mining concession located in the Alto Chicama region of La Libertad Department in northern Peru, approximately 65 kilometres northeast of Trujillo (the "Property").
The original agreement with OMAY signed in October 2012 (the “Original Agreement”), had a five year term and included a cash payment to Vena of US$100,000 on signing followed by further annual payments of US$100,000 to a total of US$1,000,000 for OMAY to earn a 100% interest subject to a scalable net smelter return ("NSR") royalty as described below. During the initial four years of the Original Agreement it was agreed that OMAY would spend a minimum of US$800,000 on exploration and development and publish a report of indicated reserves and should the indicated reserves be in excess of 500,000 tonnes at 5+ g/t gold equivalent that OMAY would begin construction of a processing plant with a minimum capacity of 250 tonnes per day in the fifth year. The royalty provision covered all commercial minerals produced from the Property from the date of signing the Original Agreement and was scale-based on the price per ounce of gold as follows: <US$999, a 1% NSR is payable; US$1,000 to US$1,499, a 2.75% NSR is payable; US$1,500 to US$1,999, a 3% NSR is payable; US$2,000 to US$2,499, a 3.25% NSR is payable; and >US$2,500, a 3.5% NSR is payable. In addition to the royalty provision, a 1.5% NSR was payable to Vena for any third party ore processed at a plant built on the Property. OMAY had the right to purchase all or part of the two royalties for US$3,000,000.
In February 2015, an addendum to the Original Agreement was organized which provided for US$800,000 to be paid as to US$150,000 in September 2015 (paid), US$200,000 in September 2016, US$250,000 in September 2017 and US$200,000 on March 19 2018, the expiry date of the 37 month option term. The option agreement also provided for US$600,000 in exploration expenditures, US$300,000 in year one and US$300,000 in year two with a commitment in year three, if results warrant, for OMAY to commence construction of an ore processing plant to process a minimum of 50 tons per day. The NSR terms as set out in the Original Agreement were not amended from the Original Agreement.
The further recent amendment, amended the payment terms to US$50,000 in August 2016 (paid), US$250,000 in September 2017 and US$350,000 in March 2018. None of the other terms of the Amended Agreement were amended.
In other news, Vena has granted, pursuant to its stock option plan, to directors, management and consultants of the Company an aggregate of 4,150,000 stock options. Each such stock option entitles the holder to purchase one common share of the Company at a price of $0.08 until August 10, 2019.

ZITAT:
Under the terms of the Agreement, each shareholder of Forrester will receive 1 common share of Zinc One ("Zinc One Share") for every 5.5 common shares of Forrester ("Forrester Shares")
hier das ganze:
https://finance.yahoo.com/news/zinc-one-acquire-forrester-me…

Sehr geehrter Herr XXXXXXXX,
