PRESS RELEASE - Popular Science Names Desktop Metal Production System "2017 Best of What's New" in Engineering
OCT 17 2017—BURLINGTON, Mass. –
Highlighting its speed and inkjet technology, Popular Science recognized the Desktop Metal Production System™ with its “2017 Best of What’s New” award in the Engineering category. The Production System is the first metal 3D printing system for mass production of complex metal parts that is up to 100 times faster than current laser systems. Arriving in 2018, the Production System delivers the speed, quality, and cost-per-part needed to compete with traditional manufacturing processes.
Created by the inventors of ground-breaking technologies in both 3D and 2D printing – binder jetting by Ely Sachs and single pass inkjet by Paul Hoisington – the Production System builds metal parts in a matter of minutes instead of hours. Leveraging low-cost Metal Injection Molding (MIM) powder, it is designed to deliver high throughput and per-part costs that are competitive with traditional manufacturing processes—up to 20x lower than today’s laser-based additive manufacturing systems.
"The Best of What's New awards honor the innovations that shape the future," says Joe Brown, Editor in Chief, Popular Science. "From life-saving technology to incredible space engineering to gadgets that are just breathtakingly cool, this is the best of what's new."

BASF and Belgian company Materialise strengthen cooperation
Chemical company invests US$25 million in supplier of 3D printing technologies
LUDWIGSHAFEN, Germany & LEUVEN, Belgium--(BUSINESS WIRE)--Jul. 18, 2018--
BASF is expanding its cooperation with Materialise, a leading supplier of 3D printing technologies. At the same time, BASF has agreed to invest US$25 million in the Belgian company, which is headquartered in Leuven. The two partners are working together within the framework of an open business model to continuously improve materials and software for various 3D printing technologies and bring them more rapidly to the market. The companies are focusing on applications in the consumer goods sector and in the automotive and aviation industries. The agreement allows for systematic, wider scale testing and further optimization by BASF of its materials on the machines and within the infrastructure of Materialise.
“Our two companies’ business areas complement each other very well and our cooperation will put us in an even better position to find and develop new business opportunities,” says Volker Hammes, Managing Director of BASF 3D Printing Solutions GmbH. The partners intend to accelerate the development of innovative applications and new materials. “With its 3D printing facilities in Leuven and innovative software solutions, Materialise has an outstanding infrastructure. Together, we can exploit our strengths even better to advance the 3D printing sector through the development of new products and technologies together with our partners and our customers,” adds Hammes.
“To increase the adoption of 3D printing as a complementary manufacturing technology for final products, our industrial customers increasingly demand more control, more choice and ultimately lower cost,” says Fried Vancraen, Materialise CEO. “We are confident that this collaboration with a leading manufacturer of materials will help to accelerate the adoption of 3D printing in existing vertical markets and create significant business opportunities in new markets.“
3D printing is a transformational technology that holds the potential to revolutionize entire industries by making it possible and cost-effective to mass manufacture entirely individualized products. It also allows for design optimizations and functional improvements, such as lighter designs, that are impossible to create with standard manufacturing technologies. As a result, more and more industries, including the aerospace, automotive, footwear and the eyewear industry, are adopting 3D printing to solve specific manufacturing challenges.

At the request of Ailanthus NV (a company fully owned by Wilfried Vancraen and Hilde Ingelaere, hereafter “Ailanthus”), of Wilfried Vancraen and of Hilde Ingelaere, the board of directors of Materialise NV (“Materialise” or the “Company”) has filed with the court registrar in Belgium a proposal to merge Ailanthus into Materialise. The merger proposal was reviewed by the audit committee and approved by the board of directors of Materialise, with Hilde Ingelaere, Wilfried Vancraen and Sander Vancraen not participating in the deliberations. The closing of the merger is subject to the Belgian tax authorities providing a positive ruling on the tax neutrality of the transaction, which is expected to be received before year end 2020. The merger is also subject to approval by an extraordinary shareholders’ meeting of Materialise, which is expected to take place in the last week of December 2020.
At the time of the merger, Ailanthus will have no assets or liabilities other than 13,428,688 ordinary shares of Materialise. Upon consummation of the merger, Wilfried Vancraen and Hilde Ingelaere will receive, in their capacity of shareholders of Ailanthus, 13,428,688 new ordinary shares of Materialise (with the same rights and obligations as the other outstanding shares of Materialise). Immediately following the merger, Materialise will annul the 13,428,688 Materialise shares that it will have acquired in the merger. As a result, the same amount of Materialise shares will be outstanding after the merger as before the transaction. Also, no other changes will be made to the organizational documents of Materialise in connection with the merger and all existing ordinary shares of Materialise (other than the shares formerly held by Ailanthus that will be annulled by Materialise) will remain outstanding with the same rights that currently apply.
This transaction constitutes part of the restructuring of the family assets held by the family Vancraen-Ingelaere. Wilfried Vancraen and Hilde Ingelaere have issued explicit directions that the proposed transaction should be neutral for Materialise and its shareholders, and have agreed to compensate the Company for any adverse effects (including reimbursement of all expenses incurred in connection with the transaction).
Later this month, at the time of the convocation of the extraordinary shareholders’ meeting to approve the transaction, the board of directors will provide more detailed information about the proposed merger.
Attached as Exhibit 2.1 hereto is an unofficial English translation of the proposal for the merger that was filed with the court registrar in Belgium.
