      Enough Savings to Power all of the Homes in Alaska and Hawaii

      ARLINGTON, Va.--(BUSINESS WIRE)-- Opower (NYSE: OPWR), the global leader in cloud-based software for the utility industry, today announced that it has achieved a major company milestone: Opower’s technology platform has saved families and businesses six terawatt-hours (TWh) of energy across more than 95 utility deployments worldwide. Saving six TWh is equivalent to taking all the homes in Alaska and Hawaii — states with a combined total of 2.1 million people — off the grid for a full year.

      The milestone represents more than just energy savings and reducing harmful emissions; Opower’s utility programs have also put money back in the pockets of consumers. To date, utilities working with Opower have reduced their customers’ energy bills by over $700 million.

      More than 95 utilities use Opower’s platform to help their customers reduce energy consumption and save money on their bills. As part of the six TWh milestone, many have experienced great success in their energy savings programs, including:

      Connecticut Light & Power, serving over 1.2 million people, has saved 50.8 GWh, the amount of electricity generated by nine wind turbines annually;
      NIPSCO, which serves Northern Indiana, has saved 67.5 GWh and 1.8 million therms, the equivalent of switching 1.4 million incandescent lamps to CFLs;
      New Jersey Natural Gas has saved 1.6 million therms, enough to offset carbon emissions from burning over 9 million pounds of coal; and
      Pepco Holdings has saved 35.1 GWh, enough to power all of the homes in Washington, D.C. for 4.5 days.

Ellis, Chief Operating Officer of New Jersey Natural Gas. "Through innovative technology, like the Opower program, we are able to give our customers an enriched customer experience that helps them save energy and money."

      Opower has continued to invest significantly in its technology platform to drive greater savings and engagement for utility customers. By saving six TWh of energy, Opower and its utility partners have abated 9 billion pounds of CO2 emissions to date. The cumulative impact of these reduced emissions is equivalent to:

      Removing nearly 900,000 cars from the road for a year;
      Preserving 32,000 acres of American forests; or
      Saving 10 times as much energy as the world's largest solar photovoltaic power plant generates in a year.

      hatte letztes Jahr schon mal einen straddle gemacht,
      der mit Ausübung meines short-put geendet hat;

      den daraus erhaltenen Bestand habe ich heute neu per Aug 2016 veroptioniert mit strike 10$ zu 1,25 und
      als Gegenposi dazu einen gespiegelten short-put zum gleichen strike für 1,40 verkauft

      bei aktuellem Kurs von $9,85 ergibt sich also ein eingesetztes Kapital pro Kontrakt von

      985+1.000-140-125 = 1.720 $

      best case:
      Aktie über 10$ => 2.000$ cash => +16,3% in 8 Monaten

      worst case:
      Aktie unter 10$ => habe 200 Stück für durchschnittlich 8,60 im Bestand => 12,7% discount auf aktuellen Kurs


      das Gute ist, dass ich während der Laufzeit jetzt nicht mehr dauernd gucken muss

      Oracle (ORCL) to Acquire Opower (OPWR) in ~$532M Cash Deal

      Oracle (NYSE: ORCL) announced that it has entered into a definitive agreement to acquire Opower (NYSE: OPWR), the leading provider of customer engagement and energy efficiency cloud services to utilities, for $10.30 per share in cash. The transaction is valued at approximately $532 million, net of Opower's cash.

      Opower's solutions enable over 100 global utilities, such as PG&E, Exelon and National Grid, to deliver a modern digital customer experience. Opower's big data platform stores and analyzes over 600 billion meter reads from 60 million utility end customers, enabling utilities to proactively meet regulatory requirements, decrease the cost to serve, and improve customer satisfaction.

      "Utilities want modern technology solutions that work together to meet their evolving customer, operational and compliance needs," said Rodger Smith, Senior Vice President and General Manager, Oracle Utilities Global Business Unit. "Together, Oracle Utilities and Opower will be the largest provider of mission-critical cloud services to utilities."

      "The combination will provide the industry with the most modern, complete cloud applications for the entire utility value chain, from meter to grid to end-customers," said Dan Yates, Chief Executive Officer and Co-Founder, Opower. "We are excited to join Oracle and to bring even more value to our customers as part of the Oracle Utilities Industry Cloud Platform."

      The Board of Directors of Opower has unanimously approved the transaction. The transaction is expected to close in 2016, subject to Opower's stockholders tendering a majority of Opower's outstanding shares and derivative securities exercised prior to the closing of the tender offer, certain regulatory approvals and other customary closing conditions.

      gleichzeitig der Prozess als noch laufend bezeichnet wird;

      “The Offer and withdrawal rights expired as scheduled at 12:00 midnight, New York City time, at the end of the day on June 13, 2016 (such date and time, the “Expiration Time”), without being extended.

      The Depositary has advised that, as of the Expiration Time, 47,425,747 Shares had been validly tendered and not properly withdrawn pursuant to the Offer, representing approximately 87.8% of the aggregate number of then issued and outstanding Shares. Accordingly, the Minimum Condition has been satisfied. As a result of the satisfaction of the Minimum Condition and each of the other conditions to the Offer, Purchaser has accepted for payment all Shares that were validly tendered and not properly withdrawn pursuant to the Offer. In addition, the Depositary has advised that, as of the Expiration Time, 488,265 Shares have been tendered by Notice of Guaranteed Delivery, representing approximately 0.9% of the aggregate number of then issued and outstanding Shares.

      As a result of its acceptance of the Shares tendered pursuant to the Offer and in accordance with Section 251(h) of the DGCL, Purchaser owns at least the percentage of Shares that would be required to adopt the Merger Agreement by a vote of the stockholders of the Company. Pursuant to Section 251(h) of the DGCL, subject to the satisfaction of the remaining conditions set forth in the Merger Agreement, Oracle, Parent and Purchaser intend to complete the acquisition of the Company through the Merger as promptly as practicable without a meeting of stockholders of the Company.

      At the effective time of, and as a result of, the Merger, each Share issued and outstanding immediately prior to the effective time of the Merger will be converted into the right to receive the Offer Price, in cash, without interest thereon and subject to any required tax withholding, other than (i) Shares held by the Company as treasury stock, by any subsidiary of the Company or by Oracle, Parent, Purchaser or any of their respective subsidiaries or (ii) Shares held by stockholders who properly exercise appraisal rights under the DGCL.
