ich mache so ein look-up Agreement das erste Mal. hat das Vorteile, wenn ich dem nicht zustimme?

TC Prognosen
Hab mal die Präsi für die Kreditoren durchgeschaut. Plan ist dass ab 2026 es wieder einen positiven FreeCashflow gibt.
EBITDA sich von 2024 bis 2028 verdoppelt
Net Leverage soll dann 2028 4,4x sein

und um meine theorie zu untermauern, dommi's aussagen aus dem Q2-call:

given its current leverage and EBITDA trajectory. I mean, are you willing to
be diluted as the current sort of 40% economic interest something that you
want -- you're very keen to retain? Are you open-minded on all outcomes for
Tele Columbus? Could you give us an idea, just your broad thinking on the
stake and how you look at it to grow? Thank you.

Well, I think, we're at the very beginning of this process. The facts aren't
yet on the table. What a financing scheme could look like, whether additional
capital will be necessary or not, how much capital will be needed because
over the next few years we will migrate from cable to fiber optic requiring a
lot of investment, we have to take a closer look at that. We haven't taken
the decision yet.
In principle, the idea was that when we -- to go over Tele Columbus, we spoke
of a corridor somewhere between 25% and 49% that we would -- we wanted to
acquire because that has something to do with the voting rights and I don't
think there's any change in that corridor. We're at 40% now. It depends a bit
on the conditions whether we stay at 40%, whether we go beyond that, whether
we sell 30% will be enough as well? We'll have to see. But we will remain
somewhere between these 25% and 49%. We certainly don't want to take over the
company because then we also would have to consolidate the debt. We certainly
don't want to do that. So certainly, the upper limit is 49.9%. We only -- we
don't want to drop below 25.1% because that would limit our rights in terms
of governance. So, in between that or inside that corridor, we will have to
see what is optimal for us.

Alles Spekulation. Brauchen schon mehr Details zu den Vereinbarungen. Ich kann mir z.B. ne normale Kapitalerhöhung nicht so richtig vorstellen. Zudem würde ich brennend gerne genau wissen, wer das alte FK hält? Der Aktienkurs macht zumindest erstmal das, was ich befürchtet habe. Nämlich garnichts. Er wird wohl auch weiter abbröckeln. Wobei natürlich noch nicht aller Tage Abend ist...Ich werde das interessiert weiter beobachten von der Seitenlinie.

kleiner fehler meinerseits, es gibt schon 293 mio aktien und es gibt nur mehr genehmigte aktien von 114 mio., ändert aber nix an der grundaussage...
hmmm. dommi zieht nicht mit, es gibt aber UI aussagen, unter die sperrminorität gehen sie nicht. da würde ich dann sagen, was bringen dem dommi 40% wenn dann MS die sahne via preferred equity oder was auch immer abschöpft. also lässt das eher den schluss zu, es kommt einfach wirklich nur junge aktien, die nur von MS gezeichnet werden. ich würde es auch recht befremdlich finden, dass die bondholder auf laufenden zinszahlungen verzichten, zinsen aber an MS bezahlt werden (wenn ebenso PIK, dann kann ich gleich equity machen).
nun, gehen wir also davon aus, dass die 300 mio in Form von jungen Aktien kommen. den freefloat klammere ich hier mal aus, ist ja nur eine überschlagsrechnung, also
aktuell 273 mio aktien, MS 60%, UI 40%, werden die genehmigten 140 Mio. Aktien jetzt ausschließlich vom MS gezeichnet, würden sich die anteilsverhältnisse ziemlich genau in Richtung UI sperrminorität verschieben...
