      Voce Capital Partners Likes Arris International

      The main company profiled in Voce’s third quarter letter is Arris International, a leading provider of broadband equipment and converged networking platforms to many of the largest cable, telco, satellite and content companies on the planet. The company generates almost $7 billion in revenues from two main business units: Customer Premise Equipment, which includes items such as set-top boxes where Arris holds 50% of the global market (2/3 revenue), and Networking And Cloud, which is comprised of broadband networking, video infrastructure and transport layer elements.

      Voce Capital writes that Arris’ portfolio of products “is leveraged to just about every important Internet trend, such as the insatiable appetite for bandwidth, the explosion in video consumption and the emerging virtual/augmented reality space”. Comcast, Liberty Global, and Cox are already significant Arris customers.

      As well as the attractive video market trends, Arris is led by a seasoned team of managers who have worked together for many years, and frequently buy the company’s shares with their own capital. With insiders owning a stake in the business, it shouldn’t come as a surprise that the firm is an astute capital allocator. Arris has a balanced program of internal investments, M&A and capital return to shareholders. Thus, it has a 20% return on equity. Voce downplays concerns that the company is too acquisitive, stating “deals have been logical and highly strategic, gaining scale and/or scope while leveraging its core customer and technology competencies.”

      But despite Arris’ strong position in the market and active management, the company currently trades at a 10% free cash flow yield and less than ten times next year’s expected earnings. Well run the businesses such as Arris rarely trade at such attractive valuations. An opportunity that’s too hard to pass up maybe?

      Combination poised for next stage of growth in networking

      ARRIS International plc (NASDAQ: ARRS) has completed its acquisition of the Ruckus Wireless® and ICX® Switch business from Broadcom Limited (NASDAQ: AVGO). With this acquisition, ARRIS® builds on a leadership position in networking and entertainment for service providers while expanding into new enterprise and vertical markets.

      The deal strategically positions ARRIS for a new phase of growth by leveraging the companies' combined technology assets to enable next-generation wireless and wired networks. The Ruckus target vertical markets span hospitality, education, government, service providers, multi-dwelling / tenant units, sports / entertainment venues, and transportation centers. Additionally, Ruckus' trailblazing leadership in the small-cell CBRS LTE market represents an opportunity to deploy converged Wi-Fi and LTE using common cloud-based control and management capabilities.

      Dan Rabinovitsj—previously COO of Ruckus Wireless—will lead a new ARRIS Enterprise Networks business segment. Ruckus Networks, an ARRIS company, will operate as a dedicated business under Enterprise Networks. The business will focus on the delivery of innovative, high-performance wireless and wired network infrastructure, with a robust channel-led sales strategy.

      CommScope (NASDAQ: COMM), a global leader in infrastructure solutions for communications networks, has agreed to acquire ARRIS International plc (NASDAQ: ARRS), a global leader in entertainment and communications solutions, in an all-cash transaction for $31.75 per share, or a total purchase price of approximately $7.4 billion, including the repayment of debt.


      The combination of CommScope and ARRIS, on a pro forma basis, would create a company with approximately $11.3 billion in revenue and adjusted EBITDA (earnings before interest, taxes, depreciation and amortization) of approximately $1.8 billion, based on results for the two companies for the 12 months ended September 30, 2018.

      In addition, The Carlyle Group, a global alternative asset manager, has reestablished an ownership position in CommScope through a $1 billion minority equity investment as part of CommScope’s financing of the transaction.

      The combined company is expected to drive profitable growth in new markets, shape the future of wired and wireless communications, and position the new company to benefit from key industry trends, including network convergence, fiber and mobility everywhere, 5G, Internet of Things and rapidly changing network and technology architectures.

      ARRIS, an innovator in broadband, video and wireless technology, combines hardware, software and services to enable advanced video experiences and constant connectivity across a variety of environments – for service providers, commercial verticals, small enterprises and the people they serve. ARRIS has strong leadership positions in the three segments in which it operates:

      * Customer Premises Equipment (CPE), featuring access devices such as broadband modems, gateways and routers and video set-tops and gateways;

      * Network & Cloud (N&C), combining broadband and video infrastructure with cloud-based software solutions; and

      * Enterprise Networks, incorporating the recently acquired Ruckus Wireless® and ICX Switch® businesses, and focusing on wireless and wired connectivity, including Citizens Broadband Radio Service solutions.

      For the 12 months ended September 30, 2018, ARRIS generated revenues of approximately $6.7 billion, consisting of $3.9 billion from CPE, $2.2 billion from N&C and $568 million from Enterprise Networks (reflecting only a partial year of Ruckus since its acquisition in December 2017).
