The Guardian(TM) Door combines USGA`s kinetic energy absorbers, lightweight G-Lam(TM) anti-ballistic material and a proprietary passive vent system to provide access security and ballistic and decompression protection to the flight crew while eliminating the need for costly and time consuming airframe structural enhancements common on alternative cockpit security solutions.

      "Other doors on the market take over 200 labor hours and more than four days to install. Taking an aircraft out of service for such an extended period could potentially cost an aircraft operator millions of dollars in lost revenue. Our Guardian(TM) Door is not only secure and robust; we believe it also presents the most expedient and cost-effective cockpit fortification solution available," said John Robinson, CEO of USGA. "The light weight of our door, less than 50 pounds compared to 85 to 120 pounds for others, results in additional fuel savings over the long-term. In addition, the Guardian(TM) Door design has only 14 parts, which equates to lower potential component failure rates than competitive designs, which have in excess of 80 different parts."

      The FAA grants a Supplemental Type Certificate (STC) when an applicant has received FAA approval to modify an aircraft from its original design. USGA`s Guardian(TM) Door was developed specifically to comply with FAA regulations promulgated after September 11, 2002 requiring that all U.S.-registered commercial transport airlines and all foreign air carriers operating within the United States install a reinforced cockpit door to prevent unauthorized access to the cockpit. International counterparts to the FAA are also requiring the installation of secure cockpit doors in the worlds` fleets by November 2003.

      USGA has also made significant progress in developing commercial construction wall panels that integrate the anti-ballistic qualities of USGA`s proprietary G-Lam(TM) material with blast mitigation and fire suppression technologies. These lightweight panels are designed to be compatible with current construction techniques and easily retrofitted to existing facilities.       war das gestern in den USA ein sell on

      wenn diese Si-Türen nun mal Pflicht werden
      und die ersten Aufträger eintrudeln müßte
      sich bei dieser Klitsche auch im Kurs was tun?:)
      Andere OTC-Buden verdienen weniger auch fast gar
      nichts ( Caly; LAM; usw.) und die dümpeln auch nur
      so vor sich hin.
      Hier reden wir aber von einem erteilten Auftrag
      über x-Türen mit der Option auf mehr.:confused:

      Kann mir hier einer das mal erklären???

US Global`s Nanofilters(TM) are designed to capture viruses as small as those responsible for Severe Acute Respiratory Syndrome (SARS) and airborne pathogens such as Anthrax.       Na, das war wohl heute und gestern der Auftakt zu einer neuen Rallye bei USGA !

      Nachdem die Cockpit-Türe in der Zulassungskommission hängen geblieben ist und daher nicht ausreichend zum Zuge kam (obwohl die Technologie wohl überlegen gegenüber der "großen" Konkurrenz ist), hat USGA jetzt wohl ein tolles As aus dem Ärmel gezogen mit dem Nanofilter für Klimaanlagen in Flugzeugen und Gebäuden. Exklusiv-Rechte für die Flugzeuge ! Da müsste nach SARS einiges an Umsatz zu erwarten sein !

      Habe mit meinem Makler gesprochen. Es sollen immer größere Orders direkt bei Marktbeginn drin sein. Woher will er noch eroieren, es scheinen aber nicht nur Trader am Markt zu sein. Meine Vermutung geht noch in eine andere Richtung. Es könnten noch größere Stückzahlen in der südlichen Schweiz liegen, die jetzt zu Geld gemacht werden sollen. Habe leider nicht die nötige Zeit, um alles zu recherchieren, kann mir aber einen weiteren Hype, sogar über 1 Dollar und mehr vorstellen. Aber bitte liebe Mitleser, dass soll keine Aufforderung zum Kauf sein, denn wer denn Finger nicht direkt am Abzug hat, kann sich gehörig die Finger verbrennen. Denke immer noch, dass der Altaktionär seine Finger im Spiel hat und eine Mail von mir bisher nicht beantwortet wurde. Denke weiterhin das die Company immer noch im Sandkasten spielt und vom Grücht eines NASDAQ-Gangs halte ich nichts. Spannende Story, die noch dazu Geld bringt, bisher jedenfalls;)

      It entered the final phase of that certification process when it installed one of the doors on a Ryan International Airlines passenger jet in Denver in early March.
      But an April 9 deadline for new cockpit security doors, imposed more than a year ago by the FAA in response to the Sept. 11 jetliner hijackings, came and went without U.S. Global receiving its certification.

      It is still pending, company officials said last week.
      The FAA extended the deadline to July for installation of new cockpit doors on some planes that land in the United States, including some international aircraft, a few domestic airlines and most cargo planes.

      Robinson said the FAA oversight process made development time and the approval process more complex than what the company encountered as it developed cockpit doors for military aircraft.

      But he noted that El Al Airlines - the Israeli airline considered the most security conscious in the world - agreed to install the door on its 747 fleet last month on the recommendation of Israeli government officials.

      "With the recent acceptance (of the door) by the Israeli Secret Services, El Al has agreed to install the Guardian doors in advance of FAA approval," Robinson said. "El Al has long been recognized as the leader in aircraft security, and the tests that were conducted on our door (by the Israelis) were far in excess of what is currently required by the FAA."

      Die Israelis haben also eigene, weit aufwändigere Tests mit den USGA-Türen gemacht als die FAA und sich daher für diese Tür entschieden !

      The company had been hoping for approval of its door in early April - ahead of the deadline imposed by the FAA for all domestic passenger jets to have bulletproof doors in place.
      But the high-tech security door installed on a Ryan International jet two months ago - as part of U.S. Global`s certification process - had to be replaced by another model to meet the FAA`s deadline.

      Die im RYAN-Air-Jet zwecks Überprüfung und Zulassung eingebaute Tür wurde jedoch sogar wieder gegen eine andere ausgetauscht, damit der Jet zur Deadline eine zugelassene Tür hatte !!

      "We chose Ryan Air as a partner because of their long-term concerns regarding aircraft security, and because the Denver facility was well-suited to our purposes," Robinson said.
      But Steve Arden, a spokesman for Wichita-based Ryan, said the company had to reinstall an Airbus cockpit security door on the aircraft in light of the April 9 deadline.
      FAA officials could not be reached for comment.

      Wieso nimmt die FAA dazu keine Stellung ? Das riecht doch nach Protektion der Konkurrenz !!

      The FAA said last month that more than 10,000 commercial aircraft operating within the United States had installed more secure cockpit doors in advance of last month`s deadline. The deadline was imposed in January 2002, after the federal agency reviewed aircraft security following the terrorist attacks.
      The FAA had ordered temporary devices installed to improve cockpit security until new, more secure cockpit doors could be installed. Congress was asked to authorize money for the airlines to compensate them for the cost of new doors.
      U.S. Global Aerospace has always focused on international markets. But company officials said the door they have developed still has domestic potential because of special features incorporated into its design.

      Robinson said U.S. Global`s Guardian door differs from new doors developed by aircraft manufacturers and other contractors since the FAA mandated changes.
      "A proprietary, patent-pending passive vent system is incorporated in every Guardian door," he said. "This vent system allows for rapid equalization of pressures between the cockpit and cabin in the event of a rapid or explosive decompression event, such as a bird-strike-induced decompression event."
      Competitors, he said, use a latching system that allows for the entire door, or large panels, to open within the door to equalize pressure.
      "These types of features not only totally expose the flight deck and crew to any would-be terrorists during a decompression event," Robinson said, "they have also proven to be unreliable and frequently disengage during normal flight operations."

      Einer der Vorteile der Guardian-Door ist also das patentierte Ventilationssystem, das eine bessere Druckausgleichslösung (bei Explosion an Bord) und dennoch Separation von Cockpit und Passagierbereich hat als die Konkurrenz

      Pilots for major airlines have expressed concern over cockpit door security requirements recently, saying that doors are routinely opened for the flight crew to access other parts of the aircraft during flight. Pilots have been authorized by Congress to carry firearms on board during flights to protect passengers.
      Robinson said the Guardian door also was designed to protect the locking and hinge supports and allow them to "dissipate kinetic energy in the event of a hostile intrusion attempt."
      The door installed on the Ryan International jetliner was completed in one eight-hour shift, company officials said.
      Global said its secure cockpit door costs from $39,000 to $180,000, depending on aircraft models and the complexity of the installation.

      Mein Gesamteindruck:
      Eine kleine und aufstrebende Firma mit spezialisiertem Knowhow wurde von den großen Konkurrenten (Boeing/Lockheed) mit allen Mitteln aus dem rennen geworfen, obwohl sie die bessere Technologie hat.
      Die FAA hat also bildlich gesprochen das Fiat seicento-Angebot dem Porsche 911 vorgezogen
      Ein bisschen Hoffnung kann man noch haben, da wohl einige Airlines die eigene Entscheidung und die der FAA noch bereuen und verändern könnten.
      Ansonsten bleibt vor allem die Hoffnung auf den Markt ausserhalb der USA, wo die Entscheidung der ELAL sicher großes Gewicht hat.
      Aber auch die Firma scheint die Guardian-Tür nicht mehr zum wichtigsten Teil ihres Angebots zu zählen. Mit den Exlusivrechten für den Nanofilter ist sie auch sicher noch gerade schnell genug auf einen anderen öffentlichkeitswirksamen Zug (SARS, Anthrax, Legionellen) aufgesprungen, der sehr, sehr viel Umsatz bringen KÖNNTE.
      Aber auch da gibt es große Konkurrenz (Carrier, Honeywell) !!
      Im Raging Bull-Board geht es ziemlich wild hin und her, wobei die Optimisten noch deutlich in der Mehrheit sind !

      Er hinterlässt wohl doch einige offene fragen, aber auch einige positive aussichten. Die cockpit-tür ist wohl eher ein auslaufmodell (air lingus hat bestellung gecancelt, elal ist in der schwebe seit privatisierung). Der nanofilter für klimaanlagen wird relativ großspurig angekündigt, da können wohl erst einkommende aufträge das image der firma aufpolieren. Die anti-ballistischen geräte scheinen wohl am ehesten einnahmen zu generieren.
      Den letzten upmove der aktie (immerhin 400%!!) kann dieser bericht jedenfalls nicht ganz rechtfertigen, da wird also vielleicht noch mehr in der hinterhand sein und noch kommen, denn der markt hat immer recht (oder?).
      Ich bleibe jedenfalls investiert (mit bisher 100% gewinn).

      Nanofilter (TM) Airborne Pathogen Air Filter Purification Systems The core of this filter technology was initially developed for NASA for use during extended crewed space flight applications that lasted for more than 120 days to provide ultra-fine particulate matter air filtration and purification.       The company is currently negotiating with a major U.S. air carrier for the installation of US Global Nanofilters for its aircraft fleet. Similar negotiations are underway with both foreign and domestic air carriers, and Asian based medical health facilities.

      G-Lam Antiballistic Nanomaterial

      G-Lam technology is seamless and easily shaped, and is being enhanced and combined with new materials in order to address supersonic ballistic threats. Currently many high threat level ballistic solutions are satisfied with ceramics which tend to be costly, fragile, and very difficult to shape. The company is also evaluating advanced polymers for cross-linking to aerogels, conversion to nanofibers, and/or optimizing for high volume, low cost process ability. As a result the company has developed a next generation polymer based, nanofiber-reinforced armor material that will not only be 25% lighter, but also substantially more durable, easily processed, and less costly than current armor materials. Many of the projects the company supplies test materials for are classified because of security requirements, however the results of the Armed Forces Journal Blackwater shootout in May, 2003 - where G-Lam defeated multiple .50 impacts, was repaired in the field in under two hours and defeated additional hits - will be published in August.

      Radomes

      The company is already supplying Agusta helicopters in Italy with Radomes and will soon release a new anti-ballistic radome family that can be customized for any aircraft or helicopter. The Company used G-Lam to produce a line of direct replacement aircraft radomes that will be substantially more durable than products currently offered, with the ultimate goal of providing a replacement radome with a lifetime warranty which is of vast interest to many aerospace companies and aircraft operators.

      Bio-Degradable Chem/Bio Decontaminant foam

      The company is concluding a patent/license agreement that will grant them exclusive rights for the production, distribution, and sale of a state-of-the- art biodegradable chem/bio decontaminant foam suitable for a broad range of applications.       Armor Vests/Personal Ballistic Protection

      The company currently has four prototype models of bullet proof vests completing certification at the U.S. Government Laboratories which upon completion will provide NIJ Level 2, 3, 3A & 4 protection. Several governments have expressed interest in the finished products with the Israeli Government moving ahead with the company to fulfill their new requirements for personal armor.       S.A.G Ballistic Turret Armor & Belly Plates

      The company has completed design and prototypes of a ballistic resistant, lightweight, gunners turret for military vehicles. The U.S. Government is currently allocating a National Stock Number (NSN) to the turret so unit procurement can commence by the various Armed Forces to reduce turret personnel losses. In addition the company is working on completing a blast mitigation belly plate for the protection of vehicles against land mines. This is expected to be ready for market before the last quarter.

      Guardian Replacement Cockpit Security Door

      The Company`s original end-user G-Lam derived product was the Guardian(TM) cockpit security door, developed to comply with Federal Aviation Administration regulations. While the Guardian Door was the only cockpit security door to pass rigorous tests implemented by the Israeli Secret Service, the Guardian Door did not receive FAA certification in time to be available to the bulk of US air carriers as they were required by the FAA to carry out a lengthy STC process which the major aircraft manufacturers were exempt from. However, US Global will focus on obtaining FAA approvals for specific markets with custom doors for special aircraft, including military. The company will continue to monitor the performance of competitors doors worldwide, as the opportunity to supply the Guardian Door on a mass basis may reappear if performance of other doors continue to fail.       On July 10, 2003 the FAA mandated replacement of the latches on all our competitors installed cockpit replacement doors due to numerous door latch failures and flight crew injuries. This is due to an inherent flaw in their door design - the lack of passive venting and/or equalization, which results in excessive pressure on their latch mechanisms. The Guardian Door features a proprietary passive vent system that provides access security and ballistic and decompression protection to the flight crew while eliminating the need for costly and time-consuming airframe structural enhancements

      US Global received orders for the Guardian door in April 2003 from El Al Israel Airlines and Aer Lingus. El Al at the time was under the control of the government of Israel. Since then, the airline has been privatized and although the airline has indicated that they will honor their commitment to buy the Guardian doors, US Global is unsure whether the change in ownership will have any effect on the purchase of the doors due to El Al management changes. In regard to Aer Lingus, shortly after it was announced that they executed a purchase order with US Global, they notified the Company of their intent to award the contract for the cockpit doors to Airbus. Even given the superiority of the Guardian solution, the resources, influence and incentives offered by some of the major airframe manufacturers have made it difficult for US Global to compete in the mass market. As a result, the company will supply Guardian doors that have been custom crafted, for specific aircraft models and/or unique operational requirements, and is currently in negotiation with three countries.

      Ballistics for Aviation and Space Vehicles

      Sowhat, mein Problem mit dir ist dass du von dem finalen hype und pump redest, von Altaktionären die du sowenig kennst wie die Eigentumsverhältnisse und dein Ziel von einem Dollar. Dass dich das filing nicht interessiert, gibt dem ganzen die Würze. USGA wird zum story-stock, was das bedeuted wirst du schmerzlich feststellen wenn du deinen Dollar enkassiert hast.       Na ja, ich weiß ja nicht was du gelesen hast aber ohne Hintergrund ist das alles etwas zu simpel. Passt aber.
      Sollte es USGA betreffen, hättest du immerhin einiges lernen können. Übrigens, wenn morgen oder spätestens Donnerstag kein Update zu den Filtern rauskommt, genauer über deren Einsatz-Möglichkeiten in HVAC-Systemen, kannst du mich hier gerne hinrichten. Mein Einsatz steht.

      Hallo, die PR kommt nicht. Zumindest kein update zu den Filtern zum jetzigen Zeitpunkt. USGA sieht wegen dem Interesse
      keinen Bedarf. Was als nächstes kommen wird ist eine PR u.a zu den gestrigen Besichtigungen der Fabrikationen in Texas. Es waren die Israelis, die ein starkes Interesse an allem zu haben scheinen. Ich weiß das von einem privaten Kontakt der bisher immer richtig lag, also kein Grund daran zu zweifeln.
      Die aktuelle Anzahl der ausstehenden Aktien ist etwas über 79 Mio., nahezu unverändert, was ein sehr gutes Zeichen für Finanzierung über normale Bankenkanäle ist.
      Die Auskunft kam gestern vom Transfer Agent. Sieht gut aus hier, viel Glück für alle.

      PLAN OF OPERATION
      We are a development stage company with expertise in the emerging field of nanotechnology. We specialize in identifying, developing, and commercializing advanced products the core technologies of which are primarily nanoscience derived. These products include complex polymer materials, polymer nanofiber materials, nanofiber filter materials, biological and chemical decontaminants, blast mitigation materials and nano and micro sound generating devices for breach barriers and non-lethal weapon applications. We are currently focusing our efforts on developing a broad range of defense and law enforcement applications for the materials we create, including products suitable for homeland security and force protection applications. Currently, most of our products are developed for use by the military and homeland security.

      Our capital requirements, particularly as they relate to product research and development, have been and will continue to be significant. Our future cash requirements and the adequacy of available funds will depend on many factors, including the pace at which we are able to launch our products, whether or not a market develops for our products and, if a market develops, the pace at which it develops, and the pace at which the technology involved in making our products changes.

      To date, we have funded our operations through loans in the amount of $1,650,000 from a bank and loans in the amount of $1,580,099 from unrelated third parties, directors and a shareholder. We have applied for grants from various government agencies that, if approved, will provide funding for the development of new products and for the enhancement of our current products. We are also negotiating with various government agencies and private companies for the




      sale of our products. We cannot guarantee that we will be awarded any grants or that a market for our products will develop. During the next 12 months, if we fail to earn revenues in an amount sufficient to fund our operations, we intend to raise capital through an offering of our securities or from additional loans. We have no commitments for financing for our future needs and we cannot guarantee that financing will be available to us, on acceptable terms or at all. If we do not earn revenues sufficient to support our business and we fail to obtain other financing, either through an offering of our securities or by obtaining additional loans, we may be unable to maintain our operations.


      RESULTS OF OPERATIONS



      QUARTER ENDED SEPTEMBER 30, 2003 COMPARED TO THE QUARTER ENDED SEPTEMBER 30,


      Our revenues from operations for the quarter ended September 30, 2003 were $72,505 as compared to revenues of $0 for the quarter ended September 30, 2002. Our cost of revenues from operations for the quarter ended September 30, 2003 were $19,918 as compared to cost of revenues of $0 from the quarter ended September 30, 2002. This increase in revenues and cost of revenues was due to sales of our products to Lockheed-Martin Corp. and Agusta Aerospace Company.

      During the quarter ended September 30, 2003 we spent $325,328 on research and development as compared to $460,368 for research and development during the quarter ended September 30, 2002. Our research and development costs declined because the development of many of our products is complete. We are currently beginning to market these products.

      During the quarter ended September 30, 2003 we incurred $882,853 in expense related to non-cash compensation as compared to $995,750 in expense related to non-cash compensation during the quarter ended September 30, 2002. Of this amount, $821,653 is non-cash general and administrative expense for deferred compensation and services related to the issuance of 7,308,215 shares of common stock pursuant to consulting agreements we entered into during the prior year. We will continue to recognize such non-cash expense, having a total value of $6,676,943, over a two-year period. The remaining $61,200 relates to the issuance of common stock in exchange for services and employee wages. We paid for these services and wages by issuing 2,091,914 shares of our common stock. We pay our consultants and certain of our employees with our common stock in order to conserve cash. We used, and will continue to use as necessary, consultants for the development and marketing of our products.

      During the quarter ended September 30, 2003 other operating expense totaled $221,277 as compared to other operating expense of $924,746 for the quarter ended September 30, 2002, a decrease of approximately 76%. This decrease reflects the implementation of cost cutting measures during the period as well as a reduction in development expenses for products that are completed.

      We had an operating loss of $1,376,871 for the quarter ended September 30, 2003 as compared to an operating loss of $2,380,864 for the quarter ended September 30, 2002 and a net loss of $1,449,070 for the quarter ended September 30, 2003 as compared to a net loss of $2,380,855 for the quarter ended September 30, 2002. The decrease in operating and net loss is attributable to the fact that many of our products are fully developed, therefore our research and development costs have declined significantly. Also attributed to this decrease is the decrease in amortization of deferred compensation and services related to the consulting agreements described above.




      Interest expense for the quarter ended September 30, 2003 totaled $72,199. We had no interest expense for the quarter ended September 30, 2002. Interest expense increased because our borrowing increased.


      SIX MONTHS ENDED SEPTEMBER 30, 2003 AS COMPARED TO SIX MONTHS ENDED SEPTEMBER
      30, 2002

      Our revenues from operations for the six month period ended September 30, 2003 were $125,679 as compared to revenues of $0 for the six month period ended September 30, 2002. Our cost of revenues from operations for the six month period ended September 30, 2003 were $27,761 as compared to cost of revenues of $0 from the quarter ended September 30, 2002. This increase in revenues and costs of revenues was due to sales of our products.

      Research and development costs were $499,796 for the six month period ended September 30, 2003 as compared to research and development costs of $981,251 for the six month period ended September 30, 2002, a decrease of approximately 49%. Our research and development costs declined because the development of many of our products is complete. We are currently beginning to market these products.

      Expense related to non-cash compensation was $1,781,873 for the six month period ended September 30, 2003 as compared to $1,378,133 in expense related to non-cash compensation for the six month period ended September 30, 2002. Of this amount, $1,675,152 is non-cash general and administrative expense for deferred compensation and services related to the issuance of 7,308,215 shares of common stock pursuant to consulting agreements we entered into during the prior year. We will continue to recognize such non-cash expense, having a total value of $6,676,943, over a two-year period. The remaining $106,721 relates to the issuance of common stock in exchange for services and employee wages. We paid for these services and wages by issuing 2,091,914 shares of our common stock. We pay our consultants and certain of our employees with our common stock in order to conserve cash. We used, and will continue to use as necessary, consultants for the development and marketing of our products.

      Other operating expense totaled $762,381 for the six month period ended September 30, 2003 as compared to other operating expense of $1,511,597 for the six month period ended September 30, 2002, a decrease of approximately 50%. This decrease reflects the implementation of cost cutting measures during the period as well as a reduction in development expenses for products that are completed.

      We had an operating loss of $2,946,132 for the six month period ended September 30, 2003 as compared to an operating loss of $3,870,961 for the six month period ended September 30, 2002, and a net loss of $ 3,126,081 for the six month period ended September 30, 2003 as compared to a net loss of $3,871,707 for the six month period ended September 30, 2002. The decrease in operating and net loss is attributable to the fact that many of our products are fully developed, therefore our research and development costs have declined significantly. Also attributed to this decrease is the decrease in amortization of deferred compensation and services related to the consulting agreements described above.

      Interest expense for the six month period ended September 30, 2003 totaled $179,949 as compared to interest expense of $746 for the six month period ended September 30, 2002. Interest expense increased because our borrowing increased.

      During the next 12 months we will continue upgrading our current products and developing new products and methods using our lightweight, anti-ballistic material, G-Lam. We



      anticipate that expenses relating to upgrading our products will continue to be significant.


      LIQUIDITY AND CAPITAL RESOURCES


      At September 30, 2003 we had cash on hand of $1,595. Our primary source of cash during the six months ended September 30, 2003 was loans totaling $300,099 and revenues totaling $125,679. Net cash used in operating activities was $301,743 during the six months ended September 30, 2003. The primary uses of cash for the quarter ended September 30, 2003 consisted of general operating costs and product research and development expenses. At this time, to conserve cash, we outsource the manufacture of our products and our sales and marketing functions. In addition, our officers and certain employees have deferred their salaries. We have applied for grants from various government agencies that, if approved, will provide funding for the development of new products and for the enhancement of our current products. We are also negotiating with various government agencies and private companies in the areas of defense, homeland security, law enforcement and aerospace for the sale of our products. We cannot be certain, however, that we will be awarded any funds through grants or that sales of our products will ever generate enough cash to fund our business. During the next 12 months, if we cannot generate sufficient funds to operate our business from grants and product sales, we will be required to seek financing from our largest stockholder, who has provided financing and a loan guarantee for us in the past, although he is under no obligation to loan any money to us. We may also consider selling debt or equity securities. We cannot be certain that we will be successful in obtaining financing if we need it. If we cannot obtain financing when we need it, we may be unable to maintain our operations.

      We had no investing activities that generated cash during the six months ended September 30, 2003 as compared to $2,946 of cash from investing activities that was acquired in conjunction with the share exchange we entered into on May 17, 2002 with USDR Global Aerospace, Ltd., a Delaware corporation, and its stockholders.

      Cash flows from financing activities for the six months ended September 30, 2003 included loan proceeds in the amount of $300,099. Cash flows from financing activities for the six months ended September 30, 2002 consisted of loan proceeds in the amount of $1,280,000. The loans were from a shareholder and other third parties.

      During the six months ended September 30, 2003, in order to conserve cash, we issued our common stock to satisfy accounts payable totaling $327,965 and wages totaling $826,225.



      RECENTLY ISSUED ACCOUNTING STANDARDS


      In January 2003, the FASB issued FASB Interpretation 46 (FIN 46), Consolidation of Variable Interest Entities. FIN 46 clarifies the application of Accounting Research Bulletin 51, Consolidated Financial Statements, for certain entities that do not have sufficient equity at risk for the entity to finance its activities without additional subordinated financial support from other parties or in which equity investors do not have the characteristics of a controlling financial interest ("variable interest entities"). Variable interest entities within the scope of FIN 46 will be required to be consolidated by their primary beneficiary. The primary beneficiary of a variable interest entity is determined to be the party that absorbs a majority of the entity`s expected losses, receives a majority of its expected returns, or both. FIN 46 applies immediately to variable interest entities created after January 31, 2003, and to variable interest entities in which an enterprise obtains an interest after that date. It applies in the first fiscal year or interim period beginning after June 15,



      2003, to variable interest entities in which an enterprise holds a variable interest that it acquired before February 1, 2003. We are in the process of determining what impact, if any, the adoption of the provisions of FIN 46 will have upon its financial condition or results of operations.

      In May 2003, FASB issued Statement 150, Accounting for Certain Financial Instruments with Characteristics of both Liabilities and Equity. Statement 150 requires that certain financial instruments, which under previous guidance were accounted for as equity, must now be accounted for as liabilities. Statement 150 is effective for all financial instruments entered into or modified after May 31, 2003. We have adopted Statement 150 on June 1, 2003. The adoption of Statement 150 did not have any effect on our financial position, results of operations, or cash flows.

      So, das Vertrauen in USGN/USGA ist nach vielem Gebashe wieder gestiegen, es wird zu rapide steigenden Kursen bei überdurchschnittlichen Umsätzen weiter gekauft. Schlusskurs heute 1,14 $ (+ 29,55%!!)

      (Ich habs noch nicht begriffen wie man einen Chart so verlinkt, dass er sich nicht ständig aktualisiert, aber bei USGA ists wurscht, weil die eben stetig steigen !)

      Bis zu einem neuen Jahreshoch (bisher 1,39 US-$)ist für die restlichen 2 1/2 Handelstage noch genug Zeit !

      Au backe, da haben die Basherbanden von Our-street.com (manch einer wird sie noch von cypt kennen !) heute aber ein regelrechtes Schlachtfest ausgelöst (-26% auf 1,75 $) !
      Die Gegen-PR von USGA kam etwas spät und etwas uneindeutig, so dass sich der Kurs nicht richtig erholen konnte.
      Die Aussichten sind aber weiterhin erfolgversprechend, ich denke, wir haben auch morgen noch gute Nachkaufgelegenheiten !

      Guten Morgen,

      hab gestern meine Erstinvestition erstmal wieder rausgezogen, sprich verkauft. Der rest bleib drin, kostet kein Geld und wir werden sehen, wie sich das weiterentwickelt. Bei YPNT haben die Shorties auch so einen Versuch gestartet. Die sind aber direkt in die Offensive gegangen. Kurs ist fast wieder da, wo er vor der Aktion war. Den Shorties gehts sowieso wohl bald an den Kragen, siehe Thread: Es gibt nicht nur pump and dump !

      tja, mag ja ein netter versuch der bashergemeinde gewesen sein...aber gewisse zweifel sind tatsächlich angebracht!!
      wer kann mir eine marketcap. von rund einer 1/4 Milliarde USD (bei ~3USD) für eine Firma rechtfertigen, die bis anhin beinahe 0 Umsatz aufweist??!! Es wurden gewisse Auslieferungen und Abnahmeverträge publiziert; haben diese bis jetzt nur einen müden USD eingespühlt??
      Ich glaube Misstrauen ist durchaus angebracht, habe schwer das Gefühl dass uns hier sehr viel Honig ums Maul geschmiert wird!!
      Bin kein Shortie, aber es stinkt tatsächlich bis zum Himmel!

      All-Clear and EPA Regulation

      US Global Nanospace recently provided a "tech-brief" to the Technology Support Working Group (TSWG), a group that supports technology for use by the military in the fight against various forms of terrorism. Providing tools to mitigate the threat of chemical and biological warfare (CBW) agents is one of the TSWG`s goals. The TSWG had posted our tech brief at www.tswg.gov, but removed the brief after a couple of days. The TSWG removed the tech brief pending our response to its request that we provide a clearer description of the capability of All-Clear and that we provide language that explains how the Environmental Protection Agency (EPA) regulates biocides under the Federal Insecticide Fungicide and Rodenticide Act (FIFRA). The EPA enforces FIRFA by classifying biocides and reviewing related company claims and instructions for product use. In order to register a biocide for sale and use within the U.S., the EPA requires that these products be proven as a sterilant via the AOAC Sporicidal Test. The EPA then determines whether the biocide should be granted emergency exemptions to remediate potentially contaminated areas. The EPA believes this to be the best way to ensure efficacy based on company claims and address biological weapons threats. It must be kept in mind that CBW agents are a relatively new threat to U.S. soil, and that the excessive toxicity and hazardous nature of previously used CBW decontamination solutions used by the military present ecological and corrosive challenges that the EPA must consider in balance with other U.S. regulations. We provided a revised tech brief to the TSWG for re-posting on its website and it is reviewing final language to comply with the EPA`s request for labeling and suggested use of our All-Clear product.

      It is important to further explain the specifics of the AOAC Sporicidal Test and how this test relates to testing All-Clear against anthrax. All-Clear has been tested at IIT Research Institue (IITRI), a biosafety level 3 laboratory (BSL 3) in Chicago, Illinois. As a BSL 3 lab, IITRI is approved to accomplish validation testing of products against actual strains of anthrax as well as actual chemical weapons agents. The testing at IITRI has shown that within sixty minutes, All-Clear is extremely effective in killing bacillus anthracis and in destroying G-type nerve agent. However, as stated above, the EPA standard for registration of a biocide as a sterilant is the AOAC Sporocidal Test, using two surrogates to bacillus anthracis -- bacillus subtilis and clostridium sporogenes. This provides the EPA with a means to test solutions against similar, but less hazardous spore forming organisms like bacillus anthracis in a safer environment. A lab following EPA-recognized protocol will be utilizing the AOAC Sporicidal Test on our All-Clear product, which will take approximately six weeks from this date to complete.

      Thus, the TSWG`s request for additional language in our tech brief should not be regarded as an indication that All-Clear is not effective against Anthrax. The IITRI testing has shown that it is. However, until the EPA develops a testing protocol that specifically uses strains of bacillus anthracis, they will rely on the historically used benchmark provided by the AOAC test. For this reason, we believe that the IITRI testing that shows effectiveness of All-Clear against the real threat is the most important point of this discussion. That said, the AOAC protocol is part of the effort to fully register All-Clear, and we continue to work with the EPA so that this can be accomplished.

      As an aside, and reminder, All-Clear is not only a biocide in the specific remediation of Anthrax, but also is a chemical weapons remediation tool as supported by the IITRI testing. If there were to be an attack (and hopefully before such), we remain confident that All-Clear can be deployed as an effective chemical weapon clean up tool, which would be outside of EPA regulation under FIFRA, but would comply with ecological concerns, as the components of All-Clear were, from the start, chosen to be non-toxic and environmentally friendly.


      All-Clear and Mitigation of Mad Cow Disease

      Our detractors have mocked the use of our All-Clear product for BSE, or "mad cow disease". We recognize BSE is a serious disease in its link to vCJD (variant Cruetzfeldt-Jakob Disease), which is lethal in humans, and its large potential to damage the beef industries in the U.S. and abroad. We would like to reiterate that we do believe that "All-Clear" can be expanded to include remediation of agro-terrorism or pesticide threats and to mitigate other livestock or agricultural risk from diseases such as Mad Cow (BSE), hoof and mouth or bacterial wilt. Until an effective preventative solution for this and other such threats to our society are effectively developed we will continue to strive for solutions to minimize ongoing environmental contamination.

      The following excerpts (with links provided) state that the infectious nature of transmissible spongiform encephalopathies (TSE), including Mad Cow Disease, is still under debate. If a viral agent is indeed part of the not-yet-fully-understood reproduction of prions, which are recognized as the key causal agent of TSE`s, it is possible that All-Clear can be of use in the mitigation of threats from Mad Cow disease. Despite the irreverent way the third party has referred to the use of All-Clear in mitigating BSE, the point is made that it is not reasonable that All-Clear is ready to be used as an internal medicine to treat TSE. Obviously, such use would be quite a length of time away (probably years), and would need extensive FDA study and review. On the other hand, processing and disposal of BSE infected meat remains an issue, and the Food Safety and Inspection Service department of the USDA wants less corrosive, less toxic sanitation methods (see reference below). So, we think it is indeed wise and fair to offer that All-Clear deserves review if expansion of the formula can help mitigate a threat that so far isn`t completely understood. This is not only true in that All-Clear can be an effective virucide, but also in that the chemical weapons remediation component of All-Clear may have significant promise in disrupting prion activity. As stated, the testing and proof of this would depend in part on the determination of the severity of the threat that BSE places on our economy and health, and the immediacy of placing safeguards within the system.

      Sheep scrapie has been known for at least 200 years and was described as a transmissible disease over 100 years ago. Since then, three groups of transmissible spongiform encephalopathies or TSE diseases have been identified in humans including familial, infectious and sporadic types. The discovery of the prion protein (PrP) in the 1980s greatly accelerated knowledge of the biology and pathogenesis of TSE diseases as this protein was found to play a critical role in disease susceptibility and the TSE species-barrier and may also be a component of the infectious agent itself. Nevertheless, the nature of the TSE agents remains an enigma. Proof of the protein-only hypothesis may require generation of biologically active transmissible agent in a cell-free environment where a virus cannot replicate. Conversely, proof of a viral aetiology will require identification and isolation of a candidate virus. Further understanding of the structure of the disease-associated protease-resistant PrP should help elucidate the mechanism of PrP conversion from the normal to the abnormal form.       Key questions remain, however. "The most important bit of information has yet to come forward: What triggers the normal cell protein to transform into the [disease-causing] isotype of the protein?" says Clarence Gibbs, a virologist at the National Institute of Neurological Disorders and Stroke and a longtime colleague of Gajdusek.       FSIS believes that it would be prudent to develop methods that could prevent the CWD [Chronic Wasting Disease] agent from contaminating equipment used to slaughter livestock subject to mandatory Federal inspection. The agents that cause BSE, CWD, and other TSE`s are highly resistant to heat, ultra violet light, ionizing radiation, and common disinfectants and FSIS is not aware of any practical methods that could be used to sanitize equipment that has been contaminated with a TSE agent. Certain sanitation measures, such as treatment with sodium hypochlorite (20,000 ppm of available chlorine) and treatment with hot 2N sodium hydroxide solution for one hour, appear to be effective. But these sanitation methods are harsh on equipment and can be hazardous. FSIS is interested in receiving any scientifically based information on this subject.

      The Guardian Cockpit Security Door

      US Global Nanospace`s Guardian Door was in our opinion a technological success, although for the reasons we will summarize below, it has not been a commercial success for the company. For those of you who are uncertain of the facts regarding our Guardian Door, we would like to reiterate that this enhanced cockpit security door contained unique technological features that provided, in the opinion of the Israeli Services Protection and Security Division, a superior level of security to the cockpit and its crew. In fact, it was the only door to pass their tests, which actually include a real blast test, not one simulated by a shot from a 9mm like that of the FAA. We initially teamed with Raytheon, which later became L-3 via acquisition. Raytheon/L-3 was an ideal partner at the time because in addition to having a large work force (approximately 500 at that time) available for the project, they were also an FAA Designated Alteration Station (DAS), which gave them the authority to issue a Supplemental Type Certificate (STC). Many of the quotes that have been made in reference to our development schedule and projections were based on the working partnership with Raytheon/L3.

      However, due to the high profile nature of this project for the Federal Aviation Administration (FAA), and the fact that FAA understanding of the security issue and design criteria changed frequently, the FAA decided that no DAS would be allowed to issue an STC for cockpit doors. Consequently, final approval authority for all modifications would remain within the FAA offices and only the products of Original Equipment Manufactures (OEM`s) would be eligible for STC certification.

      These events led the company to focus on the air cargo carriers, which represented a significant niche market that was not being vigorously pursued by the OEM`s. In an April 2003 Memorandum the FAA granted regulatory relief to the all-cargo transport category airplanes (document # FAA-2001-10770) effectively exempting them from the enhanced security cockpit door requirement. At this turn of events, the company reluctantly accepted this fate and recognized that in the process of developing the Guardian Door we had created several innovations that on their own have been the foundation of new products with very large market potential.
