PHILADELPHIA, Aug 29 (Reuters) - Bankrupt telephone company MCI on Friday named five new members to its board of directors, including distressed debt investor David Matlin, as it works to strengthen its corporate governance and put to rest its $11 billion accounting scandal.

The appointments, which will expand the board to nine members, will become effective on the day MCI (Other OTC:MCWEQ.PK - News; Other OTC:WCOEQ.PK - News) formally emerges from Chapter 11 protection. The board`s first move will be to elect a non-executive chairman among its independent directors, the company said.

Matlin, through his company MatlinPatterson Global Advisers LLC, went on an aggressive shopping spree to buy MCI debt, even enlisting former New York Mayor Rudy Giuliani to help raise money for the purchases.

Industry watchers have estimated that MatlinPatterson owns about 20 percent of MCI`s $30 billion in distressed debt, making it one of the largest stakeholders and giving it a loud voice in the running of the company.

Other new board members included Eric Holder, a former U.S. deputy attorney general; W. Grant Gregory, former chairman of accounting firm Touche Ross and chairman of merchant banking firm Gregory & Hoenemeyer; Judith Haberkorn, a retired executive of local telephone company Bell Atlantic; and Laurence Harris, a partner with the law firm Patton Boggs.

The new board members are part of efforts by MCI, whose legal name is WorldCom Inc., to strengthen internal controls and management oversight. The Oklahoma attorney general on Wednesday slammed the company with a criminal complaint, charging MCI and six former executives with violating state securities laws.

Earlier this week, Richard Breeden, a court-appointed monitor for MCI and a former chairman of the U.S. Securities and Exchange Commission (News - Websites), outlined 78 directives the company must implement to improve its business practices.

Breeden issued mandates that ranged from separating the roles of chairman and chief executive officer to instituting an electronic "town hall" that will allow shareholders to communicate with the board.

The company also faces investigations by the U.S. Attorney General in New York and communications regulators to determine whether it improperly routed telephone calls to avoid paying expensive connection charges. The company has denied wrongdoing.

CAPELLAS TO RELINQUISH CHAIRMAN TITLE

Once a non-executive chairman is elected, Michael Capellas, who currently serves as MCI`s chairman and CEO, will relinquish the chairman title but remain CEO.

MCI has made other changes to clean house. It overhauled its management team, instituted an ethics policy and fired employees involved in the accounting fraud or who failed to report abuses.

The Ashburn, Virginia-based company said it expects to name as many as three more board members prior to its emergence from bankruptcy.

The new board members join Capellas and other previously existing members, including former Financial Accounting Standards Board (News - Websites) Chairman Dennis Beresford, former U.S. Attorney General and Undersecretary of State Nicholas Katzenbach, and former Equifax Chairman and CEO C.B. "Jack" Rogers.

Vornweg,ich bin kein MCI Kenner-wenn ich vor Monaten die Meldung des Unternehmens richtig gelesen habe,ließen sie verlautbaren, daß Worldcomaktien nichts bzw.fast nichts mehr wert seien werden.Sollte das so richtig seien,liegt gerade in dieser Aussage eine gewisse Spekulation-was heißt fast nichts mehr?0,05$ 0,001$,0,10$,0,40$?Korregiert mich wenn ich die Melung falsch verstanden habe.

@maddent - Mit Endzock meine ich, dass heute in einer Woche das Gericht über den Restrukturierungsplan entscheidet und bis dahin ist eben noch viel Phantasie, denn es weiss noch niemand wie das Gericht entscheiden wird.

Worldcom wird als MCI weitermachen, was mit den Worldcom Aktien passiert ist immer noch nicht ganz geklärt. Die SEC hat über eine Strafzahlung zugunsten der Aktionäre bereits entschieden und Worldcom selbst hat Optionen zur Umwandlung in Aussicht gestellt. Dies alles wird am 8.9. bei Gericht erörtert und entschieden.

To determine WorldCom`s current market value, senior business writer Robert Schoenberger examined the firm`s earnings over the past seven months. After removing one-time items such as severance payments and contract termination fees, the company`s earnings appeared to be about $2 billion per year.

The simplest way to determine a company`s market value is to compare its value to its earnings. Companies in the same industry tend to have very similar price-to-earnings ratios. AT&T`s price is about 9 times its earnings while Sprint trades at about 11 times its earnings. Based on its performance, WorldCom would likely trade in the middle of that pack on the open market, giving it a price-to-earnings multiple of 10. With $2 billion in earnings, that creates a $20 billion market value.

Harlan Platt, a finance professor and bankruptcy expert at Northeastern University in Boston, used a pricing model based on the amount of cash WorldCom has been able to accrue during its bankruptcy process. That analysis generated a value estimate between $17 billion and $20 billion.

is schon gut kleiner. ich hab dich extra nicht mehr angesprochen, damit ich mich nicht immer mit deinem hahnebüchenen unsinn befassen muß. anscheinend ist außer dir und dem prof der ganzen wallstreet nicht aufgefallen, daß man worldcom gerade statt mit 5 dollar mit 5 cent handelt...
dem prof muß man immerhin zugute halten, daß seine analyse doch eigentlich was ganz anderes aussagt, als das, was du uns hier weiß machen willst.
für betrug gibt es sowohl in D als auch in USA eine strafrechtliche verfolgung. das hat erstmal gar nix mit einem bankrott zu tun. als folge der größe des betrugs und der daraus resultierenden zahlungsverpflichtungen wurde worldcom zahlungsunfähig, man konnte so z.b. die anleihen nicht mehr bedienen bzw. die geforderten kreditlinien zurückzahlen. eine perfekte insolvenz.
diese verpflichtungen bestehen immer noch, nur soll durch ch11 erhebliches FK in EK umgewandelt werden. genau diese summen sind in der rechnung des profs nicht mehr enthalten, da worldcom diese ja nicht mehr bedient, diese also gar nicht cashwirksam sind, ansonsten gäbe es wohl ein fettes minus.
was der gute man da berechnet hat, ist also worldcom ohne einen großteil der schulden a.k.a. die ungefähre MCap nach der reorganisation. also die neue mci nicht die alte worldcom.

leider hast du nur worldcomaktien... aber keine angst, die neuen MCIs darfst du dir auch bald kaufen

WorldCom, now known as MCI, had been making great strides in its journey out of Chapter 11 bankruptcy, as a report this week by Richard Breeden, a former regulator, acknowledges. But the state of Oklahoma has filed charges against it, and other states may follow suit, possibly jeopardising the settlement with federal regulators

UNTIL this week it appeared as if WorldCom, now known as MCI, was making good progress in its journey out of Chapter 11 bankruptcy, which it had been forced to enter after racking up America`s biggest-ever accounting fraud under the flamboyant Bernie Ebbers. A report into the telecoms operator issued this week by Richard Breeden, a former chairman of the Securities and Exchange Commission (SEC) who was appointed by the bankruptcy court, acknowledged the strides made by the company, which has a completely new management. Mr Breeden`s report came up with a series of corporate-governance recommendations designed to ensure that the fraud could never be repeated at MCI. Mr Breeden also hopes his report will be used as a model of good practice across corporate America. However, there are still several obstacles in the way of MCI`s emergence from bankruptcy, which is scheduled for next month. Chief among them is a new set of criminal charges filed this week by the state of Oklahoma, which looks set to be followed by other states. It is unclear, as yet, if the charges will delay the hearings in the bankruptcy court. Ironically, they may jeopardise any criminal trials of former WorldCom executives, including Mr Ebbers, that federal regulators may be planning to bring.

Oklahoma is claiming that the company and six individuals, including Mr Ebbers, wilfully presented investors with false information, based on which it sold shares in the company. If found guilty, the individuals could spend ten years in jail and/or be fined $10,000 on each of 15 counts. The company could incur a maximum fine of $150,000. The indictment is unusual on two counts. First, federal authorities have already charged several people over the $11 billion fraud at WorldCom. (And MCI has agreed to pay $500m in cash and $250m in stock to settle SEC fraud charges.) Federal authorities prefer to conduct such investigations themselves, without state involvement, in order that any settlement apply nationwide. SEC officials were irritated when Eliot Spitzer, the New York attorney-general, took the lead in the investigation into conflicts of interest between analysts and bankers on Wall Street.

It is also unusual that Oklahoma is seeking to charge the company, as well as the individuals. Federal regulators have refrained from suing WorldCom for fear of the collateral damage it would inflict on the group’s creditors, its more than 50,000 employees, thousands of business customers and 20m retail customers. Moreover, the company, and four of the individuals charged by Oklahoma, have co-operated with the authorities. To reward that by suing the company might discourage other mismanaged companies, or guilty low-level employees, from co-operating in future.

Federal regulators may try to stymie action by Oklahoma—and other states—by refusing to hand over the evidence they have gathered. The SEC and the Justice Department both released statements saying they were “disappointed” by Oklahoma`s lack of co-operation. James Comey, the attorney in New York who is leading the criminal investigation, warned that “competing interests can impede and delay the administration of justice”.

Federal regulators had also launched an investigation into whether MCI avoided paying access fees to American local telecoms carriers a few weeks ago. MCI’s rivals—AT&T, SBC Communications and Verizon—allege that the company wriggled out of paying local-access charges from as far back as 1992 by improperly re-routing calls through Canada. The company denies the charges. But a group of creditors, who stand to lose if the action further damages MCI, say that the rivals are engaged in a deliberate smear campaign designed to drive customers away from MCI. There are other, longer-standing actions. One group of creditors claims that the then WorldCom avoided hundreds of millions of dollars in state taxes by using a special tax shelter. These allegations could be the subject of civil lawsuits in the states of West Virginia, Alabama and Arkansas.

MCI has agreed to implement all 78 of the recommendations in Mr Breeden’s report. These go much further than the corporate reforms devised by the New York Stock Exchange and by Congress, in the form of the Sarbanes-Oxley bill, which was drawn up in response to the frauds at WorldCom and Enron, an energy trader. In particular, Mr Breeden recommends that all directors but the chief executive be independent; that the positions of chairman and chief executive be split (this is fairly common in Britain but still rare in America); that pay be limited to $15m a year per executive, unless the shareholders agree otherwise; that no stock options be granted for five years, and that future options be written off as expenses immediately. Mr Breeden has also recommended further powers for shareholders—to elect directors, or to veto their election, and to participate in electronic “town hall” meetings. Moreover, Mr Breeden has said that the new code should be written into the company’s articles of incorporation, ensuring that it can be changed only by shareholder vote.

It was inevitable that MCI would accept Mr Breeden’s recommendations—doing so is an essential part of securing approval to move out of bankruptcy. However, Mr Breeden’s hopes that they will become a blueprint for corporate America may prove unfounded. There are already signs of resistance to further regulation, if not a backlash. William Donaldson, the current SEC chairman, and Alan Greenspan, chairman of the Federal Reserve, have both publicly expressed concern that too much regulation could be hampering confidence and entrepreneurship.

Big businesses, too, seem to be emerging from a period of self-flagellation. R.J. Reynolds, a tobacco company, is defiantly keeping information about its legal costs from the SEC. And LaBranche, a marketmaker on the New York Stock Exchange, is withholding some 8,000 e-mails from the exchange in a row over how an investigation into trading practices is being conducted. The Conference Board, a business group, is milder than Mr Breeden in its recommendations on governance, suggesting merely that companies “carefully consider” splitting the roles of chairman and chief executive. After all, it could argue that Mr Ebbers was chief executive only, but that did not stop him bringing WorldCom to its knees.

MÜNCHEN (COMPUTERWOCHE) - Trotz der neuen Betrugsvorwürfe gegen MCI (ehemals Worldcom) geht der gerichtlich bestellte Verwalter Richard Breeden davon aus, dass noch in diesem Herbst das laufende Insolvenzverfahren abgeschlossen werden kann. Zuvor müsse der US-Carrier jedoch noch eine Reihe von Auflagen erfüllen.

US-Medienberichten zufolge lobte Breeden in seinem Bericht die bisherigen Maßnahmen des Managements, MCI nach dem Bilanzskandal im vergangenen Jahr wieder auf Kurs zu bringen. Damit sei es aber noch nicht getan: Um künftiges Fehlverhalten der Führungsspitze zu vermeiden, schlug Breeden insgesamt 78 Maßnahmen für den TK-Konzern vor. Dazu zählt unter anderem, dass MCI die Bezüge auf Vorstandsebene einschränkt, bestimmte Standards für Bilanzierung und Unternehmensethik erfüllt und den Aktionären mehr Mitbestimmung gewährt.

Ex-WorldCom CEO Arrives for Arraignment

OKLAHOMA CITY (Reuters) - Bernard Ebbers, the former chief executive of bankrupt telephone company WorldCom, arrived at an Oklahoma court on Wednesday to face criminal charges, including fraud, that could bring up to 10 years in jail.
Dressed in a dark blazer and a white shirt with no tie, Ebbers arrived early on Wednesday to register with the Oklahoma County court. He did not speak to reporters as he walked through the public corridors.

Ebbers is scheduled for arraignment at 1:30 p.m. CDT (1830 GMT).

Oklahoma Attorney General W.A. Drew Edmondson last week filed charges against Ebbers, five other former executives and WorldCom, which has since changed its name to MCI. Charges include violating state securities laws by using deceptive measures to defraud investors, lying about the company`s financial health and running a business that operated as a fraud.

The 15-count complaint marked the first criminal charges filed against Ebbers and the No. 2 U.S. long-distance telephone company. It filed the largest bankruptcy in history last year amid an accounting scandal that has ballooned to $11 billion.

Among the lawyers with Ebbers on Wednesday was Pat Ryan, who was a prosecutor in the Timothy McVeigh Oklahoma City bombing trial and is now in private practice in Oklahoma City. He and other lawyers with Ebbers declined to comment.

Reid Weingarten, another lawyer for Ebbers, had previously said the Oklahoma complaint contained no specific evidence of wrongdoing by the former CEO. He said he expects Ebbers to be fully exonerated.

MCI, whose legal name is still WorldCom Inc. (Other OTC:MCWEQ.PK - News; Other OTC:WCOEQ.PK - News), said it would cooperate fully with the Oklahoma attorney general. It said it does not believe the Oklahoma charges will affect its planned emergence from bankruptcy later this year.

A hearing to weigh its reorganization plan is scheduled for Monday.

SAO PAULO -(Dow Jones)- Looking to offset declining revenue on its home turf, Embratel Participacoes SA (EMT) Wednesday unveiled an ambitious plan to branch across the region and buy bankrupt AT&T Latin America Corp. (ATTL) for an undisclosed sum.

The deal would give the MCI unit access to Argentina, Chile, Colombia and Peru, and increase its presence in Brazil at a time when arch rivals like Telefonica SA (TEF) are trying to reduce the Brazilian company`s share of the long-distance market.

The proposed acquisition also marks what could be the first of many to come in Latin America, and follows hot on the heels of Embratel`s buy of Qualcomm Inc`s (QCOM) local fixed-wireless provider Vesper SA in August.

While the aggressive moves indicate a sharp turnaround in Embratel`s fortunes over the past year, market participants remain worried about a company that`s saddled with 3.4 billion reals ($1=BRL2.95) in debt and doesn`t have the firepower to put together a coherent strategy in a region where competition is fierce.

"I have my doubts about this deal as I am not sure this is the right strategy for Embratel," said Alexandre Constantini of Bear Stearns in Brazil. "I can`t deny that Argentina and Chile aren`t interesting markets but there`s much competition. I would prefer it if Embratel focused on Brazil," he added.

AT&T Latin America, which is a unit of AT&T Corp. (T) and provides data, internet and voice services in five countries, was forced to file voluntary bankruptcy in April when one of its secured creditors put together an involuntary Chapter 11 bankruptcy petition.

By July, AT&T Latin America said it had received more than 20 offers for its business. In August, that number was whittled down to a small list that included Telefonica, Atrium Telecom and Comsat International Holdings.

Now, Embratel says the purchase could take a couple of months to close and is subject to factors including U.S. Bankruptcy Court Approval.

But there are doubts about how the MCI unit hopes to build a regional presence with AT&T Latin America - a company that generated just $39 million in revenue during the first quarter of this year. There`s also much concern about the impact of the purchase on Embratel`s debt profile.

For now, financial data on AT&T Latin America is sketchy. According to the last fully disclosed earnings release, the company`s debt totaled $849.1 million as of Sept. 30, 2002. If it`s anywhere near that size today, or larger, it could nearly double Embratel`s existing debt. AT&T Latin America declined to comment.

This doesn`t help Embratel as it`s still trying to convince skeptics about the potential of its Vesper acquisition. Vesper, which enjoyed revenue of BRL388 million last year, has failed to have any real impact on the bigger competitors in its operating areas.

"I think the investor is going to act cautiously at a time like this because of the lack of information about this deal," said Constantini.

By 1830 GMT, Embratel`s preferred shares were down 2.1% on the Sao Paulo Stock Exchange, while Brazil`s main stocks index was up 1.2%. Embratel declined to comment on the transaction.

NEW YORK (Reuters) - Bankrupt telephone company MCI (Other OTC:WCOEQ.PK - News; Other OTC:MCWEQ.PK - News) on Tuesday reached settlements with two groups of creditors whose objections had threatened to stall its reorganization plan.
The deals eliminate opposition from a small group of creditors who could have mired MCI`s reorganization hearing in legal battles for weeks.

The support of the trade creditors and the subordinated MCI creditors will allow the hearing to proceed more quickly, likely reducing the length of the proceedings to several days from several weeks, a lawyer for the company said.

"The settlement remains subject to approval by the official creditors committee," said Marcia Goldstein, the company`s bankruptcy lawyer. "We`re confident approval will be obtained."

Under the settlement, trade creditors will get about 53 cents on the dollar, up from 36 cents previously. Holders of certain subordinated MCI debt, which were previously slated to get nothing, will receive about 44 cents on the dollar, or a total of some $334 million in cash and notes, lawyers said.

MCI bonds were bid at 31.25 cents on the dollar on Tuesday morning, up about 1.5 cents on the day, traders said.

A judge on Monday adjourned the first day of MCI`s reorganization hearing to allow the company, whose legal name is WorldCom, and the creditors to finalize a settlement.

MCI filed for bankruptcy protection amid an accounting scandal that has ballooned to $11 billion. Several former MCI executives are under indictment on criminal charges.

The deals with trade creditors and subordinated MCI creditors will likely shorten MCI`s (Other OTC:MCWEQ.PK - News; Other OTC:WCOEQ.PK - News) reorganization hearing in bankruptcy court to several days from several weeks, said Marcia Goldstein, a lawyer for the company.

Some MCI rivals fear a new round of price wars if MCI emerges from bankruptcy with a much lighter debt load.

"With today`s proposed settlement among the various creditor groups, MCI has cleared one of the last major hurdles along its path toward emergence from Chapter 11," MCI Chief Executive Michael Capellas said in a statement.

The settlement was revealed to Judge Arthur Gonzales in bankruptcy court in New York. On Monday, Gonzales adjourned the first day of the MCI hearing to allow the creditors and the company, whose legal name is WorldCom Inc., to finalize the deal.

The dissenting creditors originally objected to MCI`s reorganization plan, demanding a better deal on their investment in the No. 2 U.S. long-distance telephone and data-services company.

The subordinated MCI creditors also had balked at MCI`s proposal for putting the assets and liabilities of the company`s many units into a single pot to pay all creditors.

Any remaining objections to MCI`s reorganization plan are expected to be less of a stumbling block than the disputes settled today, MCI spokesman Brad Burns said.

MCI filed for bankruptcy protection in 2002 amid an accounting scandal that has ballooned to $11 billion. Several former MCI executives are under indictment on criminal charges.

SETTLEMENT TERMS

Under Tuesday`s settlement, trade creditors will get about 53 cents on the dollar, up from 36 cents previously. Holders of certain subordinated MCI debt, which were previously slated to get nothing, will receive about 44 cents on the dollar, or a total of some $334 million in cash and notes, lawyers said.

MCI`s creditors committee was examining the deals Tuesday afternoon and the company said it hoped for a committee vote later in the day.

MCI bonds were bid at 31.5 cents on the dollar on Tuesday afternoon, up about 1.75 cents on the day, traders said.

MCI plans to present an amended reorganization plan on Thursday that includes the new settlements. The bankruptcy court process may last until mid-October, and a formal emergence from bankruptcy would take up to 120 additional days.

COMPETITIVE CONCERNS

MCI`s original goal of emerging from Chapter 11 with debts of just $4.5 billion -- a fraction of its former $41 billion of debt -- has rankled its rivals, who believe a lighter debt load would give the company the flexibility to slash prices.

Rivals such as AT&T Corp. (NYSE:T - News), the No. 1 U.S. long-distance company, and Verizon Communications (NYSE:VZ - News), the No. 1 U.S. local operator, have been hurt in recent years by price wars and an industry wide slump, and have fought the MCI reorganization.

"As much as competitors fought it, they knew what was coming," said independent analyst Jeff Kagan. "This pretty much clears the way for MCI to emerge from bankruptcy sooner rather than later."

Analyst Todd Rosenbluth at rating agency Standard & Poor`s told Reuters the prospect of price cuts by MCI was one of the reasons he rates the telecommunications sector as "underweight." (Additional reporting by Jessica Hall in Philadelphia and John Russell in New York)

Dafür, dass es an der OTC keine Regeln geben soll, verläuft der Kurs aber ganz schon standardmäßig. Klar, dass in den letzten Stunden viele "Investoren" in USA ihre Gewinne gesichert haben, jedoch waren die Abgaben geringer als die Käufe vorher. Ganz am Ende traten wieder mehr Käufer auf.

In den letzten 10 Minuten etablierte sich aus dem Seitwärtstrend wieder eine Aufwärtsbewegung an der OTC.

Verglichen mit dem, was hier am Neuen Markt abgelaufen ist, finde ich OTC-Aktien ziemlich behäbig, zumindest wenn es um solche Moloche wie Worldcom geht.

Morgen Vormittag wissen wir mehr, oder glaubt hier jemand, dass die 13.639.130 Aktien, die heute in Frankfurt gehandelt wurden, ausschließlich in europäischer Hand lagen?

Die Geschichte ist noch nicht zu Ende, dafür geht sie schon viel zu lange.

The trade creditors had claims on about $237 million while the other group had claims for $750 million in debt.

MCI`s creditors committee said on Tuesday afternoon that it had unanimously approved the settlement.

MCI, which says it will pay the extra money from its existing estate which includes about $4.6 billion in cash, plans to present an amended reorganization plan on Thursday that includes the new settlements.

The bankruptcy court process may last until mid-October, and a formal exit from bankruptcy could take up to 120 additional days but one lawyer said MCI could emerge as early as 60-90 days from now.

MCI bonds were bid at 31.5 cents on the dollar on Tuesday afternoon, up about 1.75 cents on the day, traders said.

WASHINGTON -- Federal Communications Commission Chairman Michael Powell said the nation`s telephone network could suffer the same fate as the electricity grid if regulatory policies continue to discourage investment.
In a speech before the Republican Main Street Partnership, a group representing Republican moderates, Mr. Powell said last month`s power blackout occurred in part because no one had invested in the distribution network. The same thing could happen to the telecommunications network "if we don`t find ways of significantly investing in the infrastructure."
Mr. Powell`s comments come as his regulatory initiatives have been battered, including a plan to quickly deregulate telephone-competition rules that was upset by a three-member majority of the FCC. Mr. Powell`s comments appeared aimed at the plan adopted by the majority, which would put network deregulation in the hands of the states and slow the process.
Likewise, Mr. Powell commented on attacks on his deregulation of media- ownership rules -- criticism that has gained traction in Congress and the courts. What critics fail to realize, he said, is that the rules need to change to allow free, over-the-air television to compete with cable, satellite, the Internet and video games.
Creating a "hostile and heavy" regulatory environment will kill free television, said Mr. Powell.
He added networks must struggle to keep the attention of channel-surfing young viewers. "Today`s kids own a pistol and they shoot the TV," said Mr. Powell, using the dark metaphor to refer to a television remote.
In an equally dark assessment, he said the telecom recession remains "deep and foreboding."
A lack of capital investment, noted Mr. Powell, threatens the "crown jewels" of the industry -- research companies like Lucent Technologies Inc.(NYSE (LU). He added producers of equipment and fiber optics "find themselves in dire straits, in part because of misguided telecommunications policies throughout the nation."
That reference was to the state regulatory commissions, which got the upper hand in telephone deregulation and have also set low wholesale prices for the Baby Bell networks for use by the local arms of AT&T Corp. (T) and MCI, formerly WorldCom Inc. (WCOEQ). The FCC is slated to begin a proceeding Wednesday that could ultimately overturn some of the pricing decisions by the states.
If the nation loses equipment makers and manufacturers of fiber optics to bankruptcy or offshore competitors, Mr. Powell said, "We will have a deep problem on our hands."
He also criticized efforts by state regulators in California and elsewhere to impose new service-quality and other rules on the wireless industry.
Mr. Powell`s comments came as the wireless industry`s trade association, the Cellular Telecommunications and Internet Association, unveiled a voluntary " consumer code" for the industry in an effort to head off regulation. In a separate appearance at a press conference by the association, the FCC`s Chief of the Consumer and Governmental Affairs Bureau, Dane Snowden, commended the association`s effort.
Sen. Charles Schumer (D., N.Y.), who has introduced a bill that would create a mandatory "bill of rights" for wireless customers, issued a statement calling the association`s plan a "public-relations gambit."
In response to a question, Mr. Powell said Congress was wise to leave regulation of the wireless industry in the hands of the federal government. State boundaries in some ways are "arbitrary legal boundaries" when it comes to services like wireless that cross border lines.
"We could have a mess on our hands" if state regulators try to step in, he added.
Nonetheless, Mr. Powell said court challenges are inevitable when interpreting a complicated law like the 750,000-word Telecommunications Act of 1996, but indicated the legal fights are hurting the industry.
"The opposite of regulation is not deregulation," he said. Instead, Mr. Powell said chaos is the opposite of regulation because investors don`t know what to do if the rules aren`t clear.

To determine WorldCom`s current market value, senior business writer Robert Schoenberger examined the firm`s earnings over the past seven months. After removing one-time items such as severance payments and contract termination fees, the company`s earnings appeared to be about $2 billion per year.

The simplest way to determine a company`s market value is to compare its value to its earnings. Companies in the same industry tend to have very similar price-to-earnings ratios. AT&T`s price is about 9 times its earnings while Sprint trades at about 11 times its earnings. Based on its performance, WorldCom would likely trade in the middle of that pack on the open market, giving it a price-to-earnings multiple of 10. With $2 billion in earnings, that creates a $20 billion market value.

Harlan Platt, a finance professor and bankruptcy expert at Northeastern University in Boston, used a pricing model based on the amount of cash WorldCom has been able to accrue during its bankruptcy process. That analysis generated a value estimate between $17 billion and $20 billion.

MCI erzielt Einigung mit Kreditgebern


Der US-Telekommunikationskonzern MCI, ehemals WorldCom, hat in der Nacht zum Dienstag bei Gesprächen mit seinen Kreditgebern offenbar einen Durchbruch erzielt. Alle noch offenstehenden Fragen zum Abschluss des Insolvenzverfahrens seien geklärt worden. Das berichtet das `Wall Street Journal` in seiner heutigen Ausgabe unter Berufung auf informierte Kreise. In dem im Jahr 2003 eingeleiteten größten Insolvenzfall der US-Geschichte bildet ein Bilanzbetrug in Höhe von 11 Milliarden Dollar den Hintergrund, der dem Konzern einen Schuldenberg in Höhe von 41 Milliarden Dollar bescherte.

"Wir haben ihnen den Wind aus den Segeln genommen", so ein MCI-Manager über den Verlauf der Verhandlungen zu noch strittigen Fragen. Noch für den heutigen Tag wird die Bekanntgabe der Einigung erwartet. Richter Arthur Gonzalez hatten den Verhandlungspartnern eine Frist bis Dienstag 12:01 Uhr Ortszeit gegeben. MCI könnte im Falle einer Einigung binnen einer Frist von 60 bis 90 Tagen aus dem laufenden Insolvenzverfahren entlassen werden.

Das zuständige Konkursgericht hat einem Vergleich zwischen MCI und der Börsenaufsicht SEC bereits Anfang August zugestimmt. Man hatte sich auf die Zahlung von insgesamt 750 Millionen Dollar an die geschädigten Aktionäre und Anleihebesitzer verständigt. Die Aktionäre hatten bei dem Unternehmenszusammenbruch rund 200 Milliarden Dollar verloren.

Nach Informationen der Zeitung sollen alle Gläubiger, die der Worldcom mehr als 750 Millionen Dollar Kredit gewährt haben, 36 Cent pro geliehenem Dollar zurückerstattet bekommen. Bei Schulden zwischen 200 Millionen und 750 Millionen Dollar kann dagegen nicht mit einer Rückzahlung gerechnet werden. NEW YORK (Reuters) - Telephone company MCI on Tuesday moved closer to emerging from bankruptcy, overcoming one of its biggest obstacles by offering a sweeter deal to clinch support from two groups of creditors.
The deals with trade creditors and subordinated MCI creditors will likely shorten MCI`s (Other OTC:MCWEQ.PK - News; Other OTC:WCOEQ.PK - News) reorganization hearing in bankruptcy court to several days from several weeks, said Marcia Goldstein, a company lawyer.

Some MCI rivals fear a new round of price wars if MCI emerges from bankruptcy with a much lighter debt load.

"With today`s proposed settlement among the various creditor groups, MCI has cleared one of the last major hurdles along its path toward emergence from Chapter 11," MCI Chief Executive Michael Capellas said.

The settlement was revealed to Judge Arthur Gonzales in bankruptcy court in New York. On Monday, Gonzales adjourned the first day of the MCI hearing to allow the creditors and the company, whose legal name is WorldCom Inc., to finalize the deal.

The dissenting creditors originally objected to MCI`s reorganization plan, demanding a better deal on their investment in the No. 2 U.S. long-distance telephone and data-services company.

The subordinated MCI creditors also had balked at MCI`s proposal for putting the assets and liabilities of the company`s many units into a single pot to pay all creditors.

Any remaining objections to MCI`s reorganization plan are expected to be less of a stumbling block than the disputes settled today, MCI spokesman Brad Burns said.

MCI filed for bankruptcy protection in 2002 amid an accounting scandal that has ballooned to $11 billion. Several former MCI executives are under indictment on criminal charges.

After the settlement was revealed its bonds were bid at 31.5 cents on the dollar on Tuesday afternoon, about 1.75 cents higher than Monday, traders said.

SETTLEMENT TERMS

Under Tuesday`s settlement, trade creditors will get about 53 cents on the dollar, up from 36 cents previously agreed. Holders of certain subordinated MCI debt, which were previously slated to get nothing, will receive about 44 cents on the dollar or $334 million in cash and notes lawyers said.

The trade creditors had claims on about $237 million while the other group had claims for $750 million in debt.

MCI`s creditors committee said on Tuesday afternoon that it had unanimously approved the settlement.

MCI, which says it will pay the extra money from its existing estate which includes about $4.6 billion in cash, plans to present an amended reorganization plan on Thursday that includes the new settlements.

The bankruptcy court process may last until mid-October, and a formal exit from bankruptcy could take up to 120 additional days but one lawyer said MCI could emerge as early as 60-90 days from now.

MCI bonds were bid at 31.5 cents on the dollar on Tuesday afternoon, up about 1.75 cents on the day, traders said.

COMPETITIVE CONCERNS

The company still hopes to emerge from Chapter 11 with debts of just $4.5 billion -- a fraction of its former $41 billion of debt, a plan which has rankled its rivals, who say a lighter debts would give MCI the flexibility to slash prices.

Rivals such as AT&T Corp. (NYSE:T - News), the No. 1 U.S. long-distance company, and Verizon Communications (NYSE:VZ - News), the No. 1 U.S. local operator, have been hurt in recent years by price wars and an industry wide slump, and have fought the MCI reorganization.

"As much as competitors fought it, they knew what was coming," said independent analyst Jeff Kagan. "This pretty much clears the way for MCI to emerge from bankruptcy sooner rather than later."

Analyst Todd Rosenbluth at rating agency Standard & Poor`s told Reuters Television the prospect of price cuts by MCI was one of the reasons he rates the telecommunications sector as "underweight."

Der US-Carrier MCI http://www.mci.com , vormals WorldCom, hat die vermutlich letzte Hürde auf dem Weg aus dem Insolvenzverfahren genommen. Wie das Wall Street Journal heute, Mittwoch, berichtet, hat sich der Konzern mit den wichtigsten Gläubigervertretern geeinigt: Demnach erhalten die meisten Gläubiger 36 Cent je Dollar ihrer ausstehenden Forderungen. Nach dieser Einigung erwarten Beobachter einen verschärften Preiskampf am US-Telekommunikationsmarkt.

Die kleinen Gruppen der Gläubiger, die sich der Einigung widersetzten, werden mit Beträgen zwischen 45 und 53 Cent je Dollar abgefunden. Gegen die nunmehr erzielte Einigung haben in der letzten Zeit vor allem MCIs frühere und künftige Konkurrenten wie Verizon und AT&T angekämpft. Diese befürchten vor allem, dass ein von der Schuldenlast der Vergangenheit befreites Unternehmen künftig eine neue Runde im Preiskampf einläuten könnte.

Nach deutschem Recht würde der Wert der alten Aktien durch die Emission und Ausgabe neuer Aktien an die Gläubiger zwar erheblich verwässert, aber die alten Aktien bleiben bestehen und gehen nicht unter.

Wie sieht das nach Chapter 11 aus?

Die Gewinnerwartungen wurden ebenfalls deutlich zurück geschraubt. Der Kurs der Worldcom-Aktie brach daraufhin um 20 Prozent auf 19 $ ein.



Tracking-Aktien


Es werden sowohl für Worldcom als auch für MCI so genannte "Tracking"-Aktien herausgegeben. Sie sind eine amerikanische Besonderheit. Besitzer dieser Papiere werden am Gewinn des Geschäfts beteiligt, aber nicht an den Vermögenswerten. Worldcom bleibt somit Besitzer aller Vermögenswerte der beiden Einzelsparten. Bei mir gab es danach keine Daten mehr.

Für heute in Deutschland sieht es kritisch aus. Laut Schlusskurs in USA müßte der Schlusskurs von uns halten (0.81)

Dieser Kurs befindet sich aber am unteren Ende einer kleinen Unterstüzung. Die nächste liegt zwischen 0,77 und 0,79. Ich gehe davon aus, dass die 0,77 nachher erscheint.

Genaueres kann ich erst während des Börsenverlaufs sagen. Niemand weiß, wie in USA heute aufgrund des Gedenkens und der zwischenzeitlichen Handelsunterbrechungen (jeweils 4 Minuten zum Zeitpunkt der Flugzeugeinschläge und zum Zusammenbrechen des WTC) die Kauflaune gelagert ist.

Aber an der Börse wo sie gehandelt wird wird nicht einmal das Symbol gefunden.

After plea, telecom firm`s lawyer criticizes state officials for filing charges against company.

NEW YORK (CNN) - WorldCom Thursday pleaded not guilty to 15 criminal counts of violating Oklahoma state securities laws and then launched an attack on the prosecutor who brought the charges.

After entering the plea in Oklahoma County court, the company`s Deputy General Counsel criticized Oklahoma Attorney General Drew Edmondson.

"It is extremely disheartening that Mr. Edmondson has brought charges against the company, given the dramatic steps MCI has taken to put its house in order," said WorldCom Deputy General Counsel Carol Petran.

"We understand the desire to see justice done, and the former executives accused of committing fraud are rightly being investigated as individuals," Petran said. "We have cooperated with those investigations. It`s important to remember, however, that MCI is made up of 55,000 people, including 2,000 in Oklahoma. This action against MCI as a company only hurts innocent employees who have already suffered greatly."

WorldCom, which has been operating under the name of its long-distance phone division MCI, is hoping to gain the approval of a federal bankruptcy court judge to emerge from Chapter 11 bankruptcy protection. A hearing on the matter started this week in New York. In Chapter 11, a company is protected from creditors while it seeks to reorganize.

Five former executives have been charged with 15 counts of securities fraud in Oklahoma. Former WorldCom Chief Financial Officer Scott Sullivan is scheduled to appear in Oklahoma court next Wednesday to enter his plea in the case. Because he is also fighting federal fraud charges, it is widely expected he will plea not guilty.

Last week, former Chief Executive Bernard Ebbers pleaded not guilty.

Four other WorldCom officials charged in Oklahoma have yet to schedule appearances. They had pleaded guilty to federal charges and are cooperating with the Justice Department`s investigation.

U.S. Attorney for the Southern District of New York James Comey criticized Edmondson for filing state charges before federal prosecutors finished their investigation.

A spokesman for Edmondson said Oklahoma`s First Assistant Attorney General Tom Gruber has been discussing the matter with an assistant U.S. attorney in New York, but said Edmondson and Comey have not spoken to each other.

WorldCom, das unter dem Namen seiner Ferntelefonteilung MCI bedient hat, hofft, das Einverständnis eines Bundesbankrottgerichtsrichters zu gewinnen, aus Kapitel 11 Bankrottschutz aufzutauchen. Eine Anhörung über die Angelegenheit begann diese Woche in New York. In Kapitel 11 ist eine Gesellschaft vor Gläubigern geschützt, während es sucht, sich zu reorganisieren.

OKLAHOMA CITY -- Worldcom Inc. (WCOEQ) ehemaliger Finanzleiter plädierte Unschuldig zu den Aufladungen, die er Oklahoma Sicherheiten Gesetze in einem Skandal der Buchhaltung $11 Milliarde verletzte, der zu den größten Bankrott in der VEREINIGTE STAATEN Geschichte führte.

Wenn alles fortfährt, glatt zu gehen, könnte MCI vom größten Antrag auf Eröffnung des Konkursverfahrens in der VEREINIGTE STAATEN Geschichte bis zum year-end oder früh 2004 auftauchen.

MCI : Mehr Umsatz und Gewinn im Juli gegenüber Juni - `Ermutigt`

ASHBURN (dpa-AFX) - Der unter Gläubigerschutz arbeitende amerikanische Telekomkonzern MCI(ehemals WorldCom) hat im Juli Umsatz und Gewinn gegenüber dem Vormonat gesteigert. Die Ergebnisse hätten unter anderem wegen vermehrter Ferngespräche und eines zusätzlichen Werktags zugelegt, teilte MCI am Montag nachbörslich in Ashburn mit.

MCI erlöste im Juli 2,116 Milliarden Dollar nach 2,075 Milliarden Dollar im Juni. Operativ wuchs der Gewinn von 146 auf 197 Millionen Dollar. Unter dem Strich blieben MCI im Juli 207 Millionen Dollar - im Juni waren es noch 84 Millionen Dollar gewesen. In dieses Ergebnis flossen auch einmalige Gewinne ein.

Die ehemalige WorldCom steckt nach Bilanzbetrügereien von bis zu elf Milliarden Dollar im größten Insolvenzverfahren der US-Wirtschaftsgeschichte. Die zweitgrößte US-Ferngesprächsgesellschaft und einer der weltgrößten Internet-Netzwerkbetreiber führt die Geschäfte inzwischen unter dem Namen MCI weiter.

Im August hatte sich MCI mit der US-Börsenaufsicht SEC auf die Zahlung von insgesamt 750 Millionen Dollar an geschädigte Aktionäre und Anleihebesitzer verständigt. Aktionäre hatten bei dem WorldCom-Kollaps rund 200 Milliarden Dollar verloren. Ihre Aktien sind inzwischen wertlos. Ende Juli hatte die US-Regierung angekündigt, den angeschlagenen Telefonkonzern MCI von allenöffentlichen Aufträgen auszuschließen./sbi
