      Wie gesagt, ich warte hier mal mit einem Nachkauf, bis der Abverkauf gestoppt ist.

      Denn mich schockiert, dass trotz freundlichem TSX-V und positivem Goldpreis der Wert weiter fällt.
      Charttechnisch müsste man nämlich mal mit einer Gegenreaktion rechnen können.

      Rein vom Kursverlauf und gemessen an der Underperformance ggü. TSX-V und Goldpreis würde ich sagen, dass was faul ist.

      Andererseits wird Hr. Inwentash ja nicht in einen "sterbenden Wert" investieren (hoffe ich).
      Und zudem kam es schon öfter vor, dass Werte ungerechtfertigterweise massiv abgestürtzt sind.

      Alles verwirrend, aber ich hoffe doch, dass positive News kommen und der Kurs zeitnah einen Rebound auf ein Niveau von 1-1.20CAD erleben wird.

      Wobei positiv ist, dass man nicht auf dem Tagestief geschlossen hat.
      Dennoch denke ich, dass man einen weiteren Rücksetzer bis auf 0.75CAD auf dem Schirm haben muss.
      Lassen wir uns überraschen.

      Werde auf jedenfall weiter halten und mir derweil eben die Karten legen, wann ich wieviel nachlege.

In den letzten 4 Monaten von CAD 2 fast ohne Lebenszeichen runter auf 80 cts...da sind auch 60 cts vorstellbar. Aber wer weiss...? vielleicht, hoffentlich sehen wir heute bereits die Wende.

      Im Explorerbusiness sollte man nicht wegen ein paar cent warten, wenn man von einem Wert fundamental überzeugt ist. Oftmals geht es nach so einem langen downtrend sprunghaft nach oben, 30 % sind da keine Seltenheit. Das selbe hatten wir vor einem halben Jahr bei Probe Mines:)

      Mitlerweile (aufgrund meines Durchschnittskurses) liegt mein vorläufiger Zielkurs bei 1,5 CAD.

      Bei 5,1 mio oz wären wir dann bei knapp 40 CAD/oz. Aktuell wird die oz mit 21 CAD bewertet. Richtig, ein solcher Ansatz zur Bewertung ist nicht so wirklcih geeignet:9

      Wie sehr hätte man sich solche Kurse vor ein paar Monaten noch gewünscht. Daher mMn zugreifen.

      Laut NY Präsentation hat GCU 10,4 mio cash on hand. Darüber hinaus plant man die Monetarisierung des knapp 1/3 Anteil des Malawi projects noch in diesem Jahr, mit dem Ziel, die dilution so gering wie möglich zu halten bzw. dieses Jahr ohne auszukommen und das key asset "Springpole" weiter Richtung production zu treiben.

      Daher gehe ich derzeit von keinem PP aus. Auf diesem Kursniveau sicherlich nicht sinnvoll. Sollte doch cash via PP benötigt werden, wird man sich wohl nur ein wenig gönnen:)

      Aber wer seriöse Beiträge mit "Fakten" schreibt, sollte immer die dazugehörigen Quellen angeben. Sonst ist es einfach nur "gelaber".
      Dann überlegen wir mal, wo man dich einordnen sollte;)
      Und ja, gern geschehen. Haben wir wieder was gelernt;)

      Anyway, Aktienkurs gibt heute wieder gut nach, werde mal wieder ein paar Stück dazukaufen. Da freut man sich ja richtig über solche Kurse:)

      Meister, selbst wochenlang zu faul sein, die Hausaufgaben zu erledigen (die Sache hat schon einen Bart), aber dann andere anpflaumen, weil sie das Essen nicht auch noch vorkauen?

      Wo ich herkomme, da bedankt man sich, wenn man auf Fehler hingewiesen wird und davon in Zukunft profitieren kann...

      Anyway, Aktienkurs gibt heute wieder gut nach, werde mal wieder ein paar Stück dazukaufen. Da freut man sich ja richtig über solche Kurse:)

      Habe heute auch gekauft. Bin jetzt also froh, daß es gestern nicht geklappt hat.

      Bin gespannt, wie es bei den Minen weitergeht. Vorerst hält die DMA200 bei Gold.
      Silber ist souverän drüber, ditto Dr. Kupfer, WTI und der CCI. Schaut ein wenig nach Inflationsszenario aus, weshalb Silber Gold ausperformt.
      Der HUI hat heute aber die mustergültige Bodenbildung verlassen und schaut übel zugerichtet aus der Wäsche.

      hab mir nochmal Gedanken gemacht, was aktuell los sein könnte.
      Und ich sehe es immer noch so, dass GCU dieses Jahr definitiv Geld brauchen wird. Fantomas sieht dies ja auch so.

      Denn außer Geld würde mir nur einfallen, dass es Probleme hinsichtlich der Ressource selbst gibt.
      Und eigentlich wollte man ja auch ein Bohrprogramm im Janaur starten!
      Dazu kam auch noch nichts.

      Oder wie seht ihr das?

      Hier nochmal ein Überblick, welche Kosten in 2013 anfallen werden.

      Canyon’s four drill barges during spring, summer and fall.
      In addition to drilling in and around
      the Portage zone, an additional 5,000 m of drilling should be allocated to testing new exploration
      targets, especially ones proximal to the existing deposits.

      SRK anticipates that the combined work program will cost approximately $11.7 million.



      glaubt man den Insider-Daten, so scheinen die Herren guter Dinge zu sein:



      Ende August hatte man noch 11M$ Cash.
      MK aktuell 152M$.

      Man wird also wohl nochmal Geld brauchen, um das alles durchzuziehen.

      @ Kongo-Otto: Fierro hatte ja von aktuell 10,4 mio cash gesprochen, er wird sich wohl auf den letzten Quartalsbericht beziehen, was wiederum auch schon ein wenig her ist. Daher dürften die 10,4 mio nicht ganz aktuell sein.
      Anderseits sprach er davon, die cash burn rate sei niedriger als vergangenes Jahr. Die beste Option wäre natürlich das non key asset zu monetarisieren.
      Falls es doch zu einem PP kommt, werden hoffentlich nciht gleich 10 mio cad generiert.

      Time will tell.

      Das Risiko sinkt ja hier von Tag zu Tag:) ( nur noch 68 cent):))

      Der gesamte Explorermarkt ist derzeit relativ bearish eingestellt, daher die vermeintlichen "qualitativ hochwertigen" Werte akkumlieren und ein wenig abwarten. Dafür laufen die blue chips bestens:). Eins nach dem anderen:)


      Anbei noch ein interessanter Artikel bzgl. des in den letzten Wochen schwach performenden CAD.

      Aber ich habe noch einen Funken Hoffnung, dass so Tage wie gestern von den Shorties genutzt werden um ihre Positionen glatt zu stellen, so dass die Minen bald den Blue Chips folgen.
      Lassen wir uns überraschen.

      (Allerdings kann ich auf solch ein Schlachtfest im Depot wie gestern gut und gerne verzichten)

      Ich hatte auch vor 10 tagen mal einen Email ans Management geschrieben ob sie sich nicht langsam mal zu den ganzen Spekulationen außern wollen. Das haben wahrscheinlich mehrere gemacht und heute die Meldung. Mal sehen ob es dem Kurs wieder auf die Sprünge hilft da ja jetzt jede Negative Spekulation die Luft genommen wurde.

(TSX VENTURE:GCU)(PINKSHEETS:GDCRF) ("Gold Canyon" or "the Company") wishes to comment on the Company's recent share price weakness and higher than normal trading volume, which over the past several months has raised concerns amongst its investors. Volatile stock market conditions, particularly for junior mining issuers, and continued concern for the global economy have no doubt contributed to the decline. However, Gold Canyon management is unaware of any specific reason, other than these continuing general market conditions and market trading influences unrelated to Gold Canyon's business discussed below, for the recent weakness in Gold Canyon's common share price as there have been no particular events or material changes in the affairs of the Company to support the decline.

Gold Canyon has cash reserves of more than (Cdn)$10 million, considered to be sufficient to fund current operations through the short to medium term without the immediate need to raise more capital. In the circumstances, management believes that Gold Canyon's current share price significantly undervalues the Company, and with the support of Gold Canyon's board of directors, is currently examining various initiatives and strategic options to remedy this situation.

      Management has recently engaged in significant consultation with Gold Canyon shareholders, investment brokers, analysts, institutional traders and investment bankers regarding potential contributing factors to the Company's share price weakness and large trading volumes and believes the following may be attributed, at least in part, to the recent downward pressure and larger trading volumes in the market for Gold Canyon shares:



      -- Market participants have indicated that, due to investor fatigue with
      the mining sector, both retail and institutional, and prolonged mining
      sector weakness, resource money managers are experiencing higher than
      normal redemption challenges in their funds and managed accounts,
      causing them to sell shares to raise the cash needed to make redemption
      payments. With respect to Gold Canyon's shares in particular, the
      continued recent demand has resulted in bids to buy at reasonable
      valuation levels, providing the sellers with better liquidity than is
      the case with many other mining issuers, and indeed than had
      historically been the case with Gold Canyon until very recently.
      -- Gold Canyon had historically issued a large number of "flow-through"
      common shares which, because of the associated tax treatment in Canada
      for qualified flow-through mining expenditures undertaken by the
      Company, carry a much lower cost base than regular shares. The lower
      cost base allows resource money managers to sell these shares at prices
      that, despite declining market prices generally, are still profitable,
      providing more attractive optics than selling at a loss.
      Gold Canyon management believes there is reason for optimism. Redemptions are typically a late cycle phenomenon and should start to moderate as the market attempts to develop a bottom, removing one of the primary selling catalysts while higher volumes may indicate that "smart money" buyers are stepping in to take advantage of these current attractive valuations in Gold Canyon shares. Also, the holdings of "spent flow-through" shares is now somewhat reduced, which could eliminate the benefit to investors of selling low cost base shares that are still in a profit position.

      More generally, market analysts have suggested there have been hints at a potential turnaround in mid to late 2013. Notwithstanding potential improvements in the outlook for the global economy generally, and potential related benefits to the mining sector in particular, Gold Canyon continues to pursue various initiatives with a view to enhancing shareholder value including:



      -- The announcement of an updated resource estimate for the Springpole Gold
      Project, effective September 19, 2012 (see the Company's news releases
      dated October 17, 2012), which included an updated indicated mineral
      resource of 128.2 million metric tonnes at an average grade of 1.07
      grams gold and 5.7 grams silver per tonne for 4.41 million ounces of
      gold and 23.8 million ounces of silver and an updated inferred mineral
      resource of 25.7 million metric tonnes at an average grade of 0.83 grams
      gold and 3.2 grams silver per tonne for 0.69 million ounces of gold and
      2.7 million ounces of silver (see the independent technical report dated
      November 30, 2012 available through the Canadian System for Electronic
      Document Analysis and Retrieval (SEDAR) at www.sedar.com).
      -- Anticipated completion of a Preliminary Economic Study of the Springpole
      Gold Project by SRK Consultants (Vancouver) in or about the first or
      second quarter of 2013, which Gold Canyon management believes to be a
      major milestone that will allow investors to better assess the true
      value of the Company's assets and be a catalyst for unlocking
      shareholder value.
      -- Continued advancement of the Company's Springpole Gold Project through
      the first or second quarter of 2013 including geotechnical drilling;
      continued efforts with respect to advancing environmental assessments,
      facilitating an access road and securing a connection to the Hydro One
      grid; and ongoing consultation with First Nation communities of Cat
      Lake, Slate Falls, Lac Seul and Wabauskang, as well as the Metis Nation

      Wahnsinn, derzeit wird die unze Gold mit knapp über 10 Dollar bewertet.

      Habe gerade zu 0,48 nachgelegt. Zumindest ist das downside risk jetzt auf 48 cent Begrenzt. Falls die Geschichte jedoch doch erfolgreich werden sollte, dann sind hier Kurse von 1-1,5 CAD durchaus möglich.

      Die PDAC wird kein Vergnügen für das Management:)

      MR: Gold Canyon Resources Inc. (GCU:TSX.V) is also one of the companies we feel is misunderstood by the market. The company recently came out with a 5-million-ounce resource at grades that were well above its peer group.

      The exploration potential beyond the current resource is very large. However, the stigma behind this name is that the deposit itself is under a lake. The Street has discounted the name thinking that the capital expenditure (capex) will be too high or that the deposit will never be permitted.

      "We believe the current market conditions are providing an opportunity to invest in 'best of breed' projects at undervalued levels."

      The company is aiming to have a preliminary economic assessment (PEA) released this spring, which could bring a lot of clarity to the possible positive economic nature of this deposit. It will also probably address the lake permitting timeline and capex.

      TGR: This has been done before in Ontario. Mines under lakes have been successful in the past, such as at Red Lake. Why doesn't the market believe that this can be done?

      MR: The scenario here is an open-pit bulk tonnage mine, so it would have to dam and drain the lake rather than go underneath the lake.

      TGR: That definitely is a distinguishing point.

      MR: There are definitely two camps on The Street: One being this can get done and one being this can't. We think the PEA is going to clear that up. There is a fear that the capex will be billions of dollars, but we're not of that opinion.

      Auch das Management sieht den lake nicht als "big issue".

      Hab mal nachgerechnet, wo der durchschnittskurs von Pinetree Capital liegt.
      Seit Mai 2010 wurden rund 11,3 mio Aktien im Schnitt zu 0,94 CAD gekauft.
      Über die restlichen 6,2 mio shares gibt es keine Daten. Schaut man sich den Kursverlauf vor Mai 2010 an, lagen die höchstkurse um die 0,4 CAD und die tiefsten Kurse um die ,05 CAD. Gehen wir von einem durchschnittlichen Kurs von ,15 aus, liegt der akutelle durchsch. Kaufkurs bei 0,66 CAD.

      Wie dem stockhouse board zu entnehmen war, sind wohl noch ca. 8,5 mio an cash vorhanden , wobei derzeit von einer cbr von ca. 800k / Monat ausgegangen wird. Somit sollten wir Ende des Jahres spätestens neues cash benötigen. Laut dem user ist das Management jedoch sehr bedacht, andere Finanzierungsquellen als equity financing zu nutzen (REE asset, silver stream, gold royality).

      Der Kurs sollte langsam wieder drehen, viel mehr nachkaufen geht nicht mehr:) Sieht jedoch heute recht gut aus.

      Absolut. Eine der wichtigesten Informationsquellen, wenn nicht die wichtigste.

      Gold Explorer erholen sich wie zu erwarten. Ob wir bei GCU nochmals Kurse unter0,5 sehen werden, bezweifel ich. Vielmehr nachkaufen wäre auch schwierig geworden:)

      PEA innerhalb der nächsten 3 Wochen.

      Die PEA ist ansich gut.

      Recovery rates von 80% sind natürlich nicht besonders gut. Auch die Kosten pro abgebaute Tonne sind recht hoch. Positiv ist natürlich die capex, auch der Lake stellt kein Problem dar (oder spiegeln sich hier die hohen Abbaukosten pro Tonne wieder?).

      1 Dollar sollten wir in Zukunft erreichen können. Immerhin ist die Mine auch noch bei einem Goldpreisrückgang von 25 % rentabel.

      Interessant wird sein, ob es nun zu Insiderkäufen kommt, nachdem die blackout period zu Ende sein dürfte.

      Anyway, morgen ist noch ein conference call, sehr interessant.

      LOL. Naja, es ist schon richtig, das der Gesamtmarkt der Minen sehr schlecht läuft.
      Aber es jedoch einen großen Unterschied, ob ein Wert seit Anfang des Jahres um 20% oder um 60% gefallen ist.

      Ziemlich gut gehalten bei dem heutigen Marktumfeld.
      Ist der Boden hier bereits gefunden? Ein EV von ca. 36 Mio CAD in Relation zu einem NPV von 277 mio CAD (Goldpreis 1100 USD) ist zumindest nicht überteuert:)

      Muss man aber langsam auch nicht mehr verstehen warum viele Gold Aktien trotz Erholung des Goldpreises weiter fallen oder vor sich hin dümpeln. Bestes bsp. Gold Canyon heute mal wieder erst knapp 6% im Plus nun wieder - 7%. Wissen da die Banken schon wieder mehr das eventuell eine neue Attacke auf Gold ansteht!!!?
      Ja und News kommen vom Management auch nicht wirklich,aber das wundert mich bei dem Umfeld auch nicht wirklich.

      Right, verrückte Zeiten.

      Was mich ein wenig irritiert ist, dass zu aktuellen "günstigen" Preisen keine Insidertrades getätigt werden. Wenn selbst die Insider zumindest nicht an eine baldige Erholung glauben.....Viel Neuigkeiten kann man wohl in naher Zukunft nicht erwarten, immerhin wird die cash burn rate "relativ" gering gehalten, sodass das Geld noch ein paar Monate reichen sollte und anschließend hoffentlich alternative Finanzierungsmöglichkeiten realisiert werden können. Ein silver stream beispielsweise würde neben der non dilutive Finanzierung auch das Vertrauen hinsichtlich einerProduktionsentscheidung stärken.

      Strange days, die ich jedoch zu selektiven Zukäufen nutze, jedoch derzeit kein GCU:)

      TGR: Gold Canyon Resources Inc. (GCU:TSX.V) has a similarly sized resource.

      KC: There's a difference between the companies, however. Gold Canyon is a little more remote. It's able to leverage a high-grade core that should allow it to be one of the richest open pits in Canada, considering the tonnage it wants to move.

      Some of the grade has gone down slightly in subsequent resource estimates, but a high-grade core still accounts for almost 1.5 Moz of the resource. At 200–300 Koz production per year, for five to eight years of production, at anywhere from 1.5–2 gram/ton material—for Canada, that's stellar. There's really nothing that compares to it in Canada.

      The problem with Gold Canyon's asset is that a lake overlaps part of the resource. It may delay permitting, but shouldn't choke or kill the project. Similarly, there are metallurgical issues that Gold Canyon is working through; management has alluded that there might be controlled lithological issues, but we're still waiting for confirmation.

      TGR: Less than a year ago, this stock was trading at around $4/share. Now it's trading at about $0.33/share. Is it strictly the lake issue that's been the drag on the share price?

      KC: I would be surprised if it were the lake because the lake issue has been known since the late 1980s. Investors moved into the story for that high grade. When the global resource grade decreased last year, a lot of people thought that it wasn't going to be able to leverage high-grade material.

      What happened was that Gold Canyon added new regions that were lower grade, but the original portions with high-grade shoots and bulk tonnage material haven't disappeared. That's getting muddled and lost in this story.

      TGR: Gold Canyon recently released its PEA. What did you take away from that?

      KC: I was actually surprised that the capital costs were below what I had expected, especially on removing and dewatering part of this lake. I was pleased to see that. The PEA again highlights the advantage of the high-grade potential over the first few years. That's how this story should be repackaged: if the grades in the higher-grade portion remain constant, then it could be looking at a payback ratio that's substantially lower than its peers.

      TGR: The management team has a number of people who have been with companies that have been taken over. Director Richard Hall was with Grayd Resource Corp. when Agnico-Eagle Mines Ltd. (AEM:TSX; AEM:NYSE) acquired it. CEO Troy Fierro was also with Grayd and FronteerGold Inc., which was acquired by Newmont Mining Corp. (NEM:NYSE). Chairman Conrad Pinette was with Northgate Minerals when it was acquired by AuRico Gold Inc. (AUQ:TSX; AUQ:NYSE). Does that increase the likelihood of it happening again?

      KC: It's a hard thing to predict. These executives have a good idea of what is attractive to larger gold companies out there. They definitely want to have their project acquired. However, whether they can do it is impossible to tell.

Anderseits wird der Markt wohl auch sehr eng sein und demzufolge nicht allzuviele shares zu diesen Preisen erhältlich sein.

      In der aktuellen Präsentation werden grob die kurz- bis mittelfristigen Ziele definiert. Es wird wohl in der nächsten Zeit nicht viel passieren. Das ist auch einer der Schwachpunkte bei dieser Aktie, wenig Überraschungspotential vorhanden.
      Was soll den Kurs treiben? Allgemeine Sektorverbesserung? Buyout?(würde ich bevorzugen, selbst bei einem brachenüblichen Aufschlag von 60% zum aktuellen Kurs, dass ich zumindest null auf null rauskomme:))
      Time will tell. Evtl. kauf ich auch noch nach, es gibt jedoch sehr viele interessante Aktien:)

      Interessant ist aber auch, dass sich die Zahl der Aktien im GLDX vom 08.07.2013 (ohne Nachweis) bis zum 09.08.2013 um knapp 500.000 Stücke erhöht hat. Der aktuelle Bestand läßt sich jeweils unter diesem link abrufen:

      Fully diluted ~150 Millionen Shares, was Stand gestern eine MK von ~47M$ entspricht.
      Dazu 8M$ Cash und keine Schulden.

      Die Milchmädchenrechnung dazu:
      Indicated hat man 4.41MOz Gold.

      (47M$-8M$)/4.41MOz = 8.84$/Oz

      ;)

      auch wenn sie die Ressource nicht selbst entwickeln werdne, so vermute ich, dass den Markt, neben dem See, die initial CAPEX von 438M$ stört.
      (Zudem ist die PEA auf einem Goldpreis von 1600$/Oz erstellt).

      Gold Canyon Announces Annual and Extraordinary General Meeting, Record Date and Adopts Advance Notice Policy

      VANCOUVER, BRITISH COLUMBIA--(Marketwired - Feb. 20, 2014) - Gold Canyon Resources Inc. (TSX VENTURE:GCU)(PINKSHEETS:GDCRF) ("Gold Canyon" or "the Company") announces that it will hold an annual and extraordinary general meeting of shareholders (the "Meeting") on Tuesday, April 15, 2014. The record date for the shareholders entitled to vote at the Meeting has been set as shareholders of record as at the close of business on March 5, 2014.

      The Company also announces that the board of directors of the Company approved an advance notice policy (the "Advance Notice Policy") effective February 19, 2014 for the purpose of providing shareholders, directors and management of Gold Canyon with a clear framework for nominating directors. The Advance Notice Policy is meant to: (i) facilitate an orderly and efficient annual general or, where the need arises, extraordinary meeting process; (ii) ensure all shareholders receive adequate notice of the director nominations and sufficient information with respect to all nominees; and (iii) allow shareholders to register an informed vote having been afforded reasonable time for appropriate deliberation.

      The Advance Notice Policy includes, among other things, a provision that requires advance notice be given to the Company in circumstances where nominations of persons for election to the board of directors of the Company are made by shareholders of the Company other than pursuant to: (i) a requisition of a meeting made pursuant to the provisions of the Business Corporations Act (British Columbia) (the "BCBCA"); or (ii) a shareholder proposal made pursuant to the provisions of the BCBCA.

      Additionally, the Advance Notice Policy sets a deadline by which holders of record of common shares of the Company must submit director nominations to the Company prior to any annual general or extraordinary meeting of shareholders, sets forth the information that a shareholder must include in the notice to the Company, and establishes the form in which the shareholder must submit the notice for that notice to be in proper written form.

      In the case of an annual general meeting of shareholders, notice to the Company must be made not less than 30 days nor more than 65 days prior to the date of the annual general meeting. However, in the event that the annual general meeting is to be held on a date that is less than 40 days after the date on which the first public announcement of the date of the annual general meeting was made, notice may be made not later than the close of business on the tenth (10th) day following such public announcement.

      In the case of an extraordinary meeting of shareholders (which is not also an annual general meeting) notice to the Company must be made not later than the close of business on the fifteenth (15th) day following the day on which the first public announcement of the date of the extraordinary meeting was made.

      The Advance Notice Policy is in full force and effect as of the date it was approved and adopted by the board of directors of the Company. In accordance with the terms of the Advance Notice Policy, the Advance Notice Policy will be put to shareholders of the Company for approval at the Meeting, and if the Advance Notice Policy is not confirmed at the Meeting by ordinary resolution of shareholders, the Advance Notice Policy will terminate and be of no further force and effect following the termination of the Meeting.

      For purposes of the Meeting, in accordance with the terms of the Advance Notice Policy, the Board has determined that notice of nominations of persons for election to the Board at the Meeting must be made by March 14, 2014. Such notice must be in the form, and given in the manner, prescribed by the Advance Notice Policy, the full text of which is available under the Company's profile on SEDAR at www.sedar.com.

These surveys have uncovered no prohibitive issues. Initial discussions have been held with the Department of Fisheries and Oceans Canada (DFO) to review the findings of these surveys and discuss next steps towards a fisheries offset agreement, a key item necessary to move the Springpole Project forward. Using guidance from the DFO, the Company is currently working to identify opportunities in the region around Springpole to create and/or improve aquatic habitat to offset habitat displaced by any potential future mine plan. Once all opportunities have been identified, they will be reviewed and assessed during further discussions with the DFO. Some potential offset initiatives may be suitable for working with local First Nations communities, an opportunity Gold Canyon would welcome. The Company plans to continue to collect additional data on fish habitat to augment its already robust dataset.

      Gold Canyon Announces Expansion of Joint Exploration Agreement With Japan Oil, Gas and Metals National Corporation for Rare Earth Elements in Tanzania

      VANCOUVER, BRITISH COLUMBIA--(Marketwired - Nov. 12, 2014) - Gold Canyon Resources Inc. (TSX VENTURE:GCU)(PINKSHEETS:GDCRF) ("Gold Canyon" or "the Company") is pleased to announce commencement of a rare earth elements (REE) exploration program in Tanzania, Africa through its Joint Exploration Agreement (JEA) between the Company and its joint venture participant, Japan Oil, Gas and Metals National Corporation (JOGMEC). This joint venture was established in January 2009 with the goal of targeting strategic REE projects which can be brought into production within a reasonable time frame and capital requirements. A wholly owned joint venture subsidiary, named Spring Take Limited, a Tanzania Corporation, has been established to carry out REE exploration in Tanzania. Under the JEA, the participating interest and contributions of each of the joint venture partners is 90% JOGMEC and 10% Gold Canyon for this Tanzania project. However, Gold Canyon can increase its participating interest up to 33% with the reimbursement to JOGMEC of the exploration costs incurred on the project.

      An approximately 117 square kilometer Prospecting License has been granted to the joint venture in the Masasi District in Tanzania by the Tanzania Ministry of Energy and Minerals. A US$400,000 exploration budget has been approved by the joint venture partners for the Phase One Exploration Program, which is currently underway. Mitsui Mineral Development Engineering Co., Ltd (MINDECO) in Japan has been contracted as the operator of the program.

      perspective, it’s evident to us that one or several institutional buyers have been (and still are)
      buying shares in the open market. In this article we will try to shed some light to that thesis
      and what they might find so attractive that the retail investors have missed.
      Institutional Buying
      We have been following the day-to-day trading of GCU very intensely for a while now and
      when we were buying shares around 16.5-17 cents, we noticed that someone was iceberging
      (see below) their order at 16.5 cents. This is a typical strategy for deep pocket institutional
      buyers and we think they weren’t very successful at that level. They probably picked up
      400,000-500,000 shares before GCU started to move higher.
      We are simplifying a bit here, but close to 70% of the company’s outstanding shares has
      traded in the last three months and although some of those shares are traded several times, a
      large huge chunk of that was Sprott and Pinetree dumping (as we explained here) their
      holdings. We are making a guess here that someone has been accumulating between 20-40
      million shares at the very least in Gold Canyon lately and what we can say with a 100%
      certainty, those shares have not been bought by retail investors. Someone is still out there
      buying and the only conclusion we can make from that is that institutional buying is strong in
      GCU at the moment.

      Frage mich nur, wieso jetzt plötzlich diese Ungeduld. Der bisherige Akkumulierer hat mit Gelassenheit agiert und gesammelt was angeboten wurde. Schaut mir ein wenig nach einem anderen Käufer aus.

      FIRST MINING ANNOUNCES BUSINESS COMBINATION WITH GOLD CANYON RESOURCES INC. AND PC GOLD INC.

      First Mining Finance Corp., Gold Canyon Resources Inc. and PC Gold Inc. have entered into definitive agreements, pursuant to which First Mining has agreed to acquire all of the issued and outstanding common shares of both Gold Canyon and PC Gold. Under the Agreements, shareholders of Gold Canyon will receive one common share of First Mining for each Gold Canyon share held in addition to shares in a newly formed Spin-out company ("New Gold Canyon") which will hold certain non-gold exploration assets currently held by Gold Canyon; and PC Gold shareholders will receive 0.2571 common shares of First Mining for each PC Gold share. Upon completion of the proposed transactions, the former shareholders of Gold Canyon will hold approximately 55.4% of the shares of the resulting company, former shareholders of PC Gold will hold approximately 9.6% of the shares of the resulting company and the current shareholders of First Mining will hold approximately 35.0% of the shares of the resulting company. The transactions imply a value of C$0.35 per Gold Canyon share and C$0.09 per PC Gold share based on the closing prices of each company's common shares on the TSX Venture Exchange ("TSXV") on August 31, 2015. Based on the 30 day volume-weighted average price ("VWAP") of each of the companies on the TSXV for the period ending August 31, 2015, the offer represents a premium of approximately 204% to Gold Canyon's VWAP and 255% to PC Gold's VWAP. The transactions will be implemented by way of separate plans of arrangement (the "Arrangements") under the Business Corporations Act (British Columbia) (in the case of Gold Canyon) and under the Business Corporations Act (Ontario)(in the case of PC Gold). The two transactions are not conditional upon each other and if one transaction does not complete for any reason it will not impact the closing of the other transaction.

      BENEFITS OF TRANSACTIONS -- Creates a leading exploration company with a robust portfolio of assets located in the Americas focusing on gold with an experienced management team and a track record of building successful mining companies; -- Provides Gold Canyon and PC Gold shareholders with a highly attractive premium to current market price in addition to giving both shareholder groups shares of the combined company; -- Diversification from the risks associated with single asset companies such as Gold Canyon and PC Gold whose shareholders will gain access to the resulting company's broad portfolio of assets; and -- Enhances capital markets presence with a pro forma market capitalization in excess of C$100 million based on current share prices which is expected to result in increased analyst coverage and trading liquidity allowing for broader access to capital markets including institutional support.

      Keith Neumeyer, Chairman of First Mining, stated: "We believe that the current market climate for junior exploration companies remains very challenging and thus requires consolidation and that only companies with attractive assets and supportive shareholder bases will survive this market cycle which still may last for years. We believe this transaction provides an excellent opportunity for the shareholders of all three companies to be part of a leading exploration and development company with a dedicated, focused and experienced management team."

      Akiko Levinson, President and CEO of Gold Canyon, stated: "This transaction puts our Springpole gold deposit in the position of forming the foundation for this new, consolidated gold company and we are pleased this transaction reflects this value. Our shareholders receive significant exposure to this new mining company which is run by a proven mining team with a track record of building high valued mining companies."

      Peter Hooper, President and CEO of PC Gold, stated: "We have been exploring a number of strategic options for PC Gold and the Pickle Crow project for some time given ongoing market conditions. We believe this transaction will be beneficial to PC Gold shareholders by enabling them to obtain a premium to current market price while continuing on with their interest in the Pickle Crow project but in a larger, more diversified company with sound management and other promising projects that will be better positioned for these challenging conditions."

      SUMMARY OF GOLD CANYON TRANSACTION

      Under the terms of the definitive arrangement agreement (the "Gold Canyon Agreement") between First Mining and Gold Canyon, on closing each Gold Canyon shareholder will receive one common share of First Mining for each Gold Canyon common share held under a court-approved plan of arrangement (the "Gold Canyon Transaction"). First Mining will issue a total of approximately 160,629,993 common shares (assuming no exercise of existing warrants or options) to the former Gold Canyon shareholders, valuing Gold Canyon's equity at approximately C$56.2 million. Following the completion of the transaction, the current shareholders of Gold Canyon will hold approximately 55.4% of the issued and outstanding shares of First Mining (assuming that the PC Gold transaction is also completed). The Gold Canyon Transaction will require the approval of at least 66 2/3% of the votes cast by the shareholders and warrantholders of Gold Canyon, voting together as a single class at a special meeting of securityholders expected to take place in early November 2015.

      The Gold Canyon Transaction will also provide for the issuance by First Mining of an aggregate of approximately 11,880,454 replacement warrants to holders of unexercised Gold Canyon warrants and approximately 6,032,500 replacement stock options to holders of unexercised Gold Canyon options (the "Replacement Options") (assuming no exercise of existing warrants or options). All other terms and conditions of the Replacement Warrants and Replacement Options will be the same as the warrant or option for which they were exchanged. Replacement Options will be governed by the terms of First Mining's stock option plan, except that the terms and conditions of the First Mining stock option plan relating to accelerated expiry of options on account of early termination after ceasing to hold office or ceasing to be an employee or consultant will not apply to the Replacement Options and such Replacement Options will instead expire on the earlier of the expiry date of the Gold Canyon options for which they were exchanged and the date 12 months after closing.

      As part of the Arrangement, Gold Canyon will transfer its early stage non-gold exploration properties together with C$500,000 in cash and certain other assets currently owned by Gold Canyon to New Gold Canyon. Akiko Levinson, President and CEO will continue in the same roles at New Gold Canyon along with some members of Gold Canyon's board and management team. Under the Arrangement, each Gold Canyon shareholder will also receive 0.03333 common shares of New Gold Canyon for each Gold Canyon common share held and the holders of Gold Canyon warrants will receive, for each outstanding warrant of Gold Canyon, one warrant of New Gold Canyon entitling the holder to purchase 0.03333 common shares of New Gold Canyon, with the exercise prices of the newly issued warrants being equal to an adjusted exercise price based on the New Gold Canyon exchange ratio.

      The Gold Canyon Arrangement is subject to applicable securityholder, court and stock exchange approvals and the satisfaction of certain other closing conditions customary in transactions of this nature.

      The Gold Canyon Agreement includes customary provisions, including reciprocal covenants relating to non-solicitation of alternative transactions (including, in the case of First Mining, a right to match superior proposals for Gold Canyon) and fiduciary-out provisions. In addition, Gold Canyon and First Mining have each agreed to pay a termination fee to the other of C$3,935,435 upon the occurrence of certain events.

      The Board of Directors of Gold Canyon has unanimously approved the Gold Canyon Transaction and will provide a written recommendation that Gold Canyon securityholders vote in favour of the Gold Canyon Transaction which will be included in the information circular to be mailed to shareholders and warrantholders in connection with the Gold Canyon Transaction. Each of the directors and senior officers of Gold Canyon, who hold in the aggregate approximately 4.0% of the issued and outstanding Gold Canyon shares (assuming no exercise of existing Gold Canyon warrants or stock options) have entered into a voting agreement with First Mining and have agreed to vote in favour of the Gold Canyon Transaction at the special meeting of Gold Canyon shareholders and warrantholders to be held to consider the Gold Canyon Transaction.

      Full details of the Gold Canyon Transaction will be included in a Management Information Circular to be mailed to Gold Canyon shareholders in accordance with applicable securities laws. Gold Canyon expects to mail the Information Circular in October 2015.

      SUMMARY OF PC GOLD TRANSACTION

      Under the terms of the definitive arrangement agreement (the "PC Gold Agreement") between First Mining and PC Gold, on closing each PC Gold shareholder will receive 0.2571 common shares of First Mining for each PC Gold common share held under a court-approved plan of arrangement (the "PC Gold Transaction"). First Mining will issue a total of approximately 27,804,508 common shares (assuming no exercise of existing warrants or options) to the former PC Gold shareholders, valuing PC Gold's equity at approximately C$9.7 million. Following the completion of the transaction, the current shareholders of PC Gold will hold approximately 9.6% of the issued and outstanding shares of First Mining (assuming that the Gold Canyon transaction is also completed). The PC Gold Transaction will require the approval of at least 66 2/3% of the votes cast by the shareholders of PC Gold voting on such resolution at a special meeting expected to take place in early November 2015.

      The PC Gold Transaction will also provide for the issuance by First Mining of an aggregate of approximately 5,729,730 replacement warrants (the "Replacement Warrants") to holders of unexercised PC Gold warrants and approximately 1,786,845 replacement stock options to holders of unexercised PC Gold options (the "Replacement Options") (assuming no exercise of existing warrants or options). All other terms and conditions of the Replacement Warrants and Replacement Options will be the same as the warrant or option for which they were exchanged. Replacement Options will be governed by the terms of First Mining's stock option plan, except that the terms and conditions of the First Mining stock option plan relating to accelerated expiry of options on account of early termination after ceasing to hold office or ceasing to be an employee or consultant will not apply to the Replacement Options and such Replacement Options will instead expire on the earlier of the expiry date of the PC Gold options for which they were exchanged and the date 12 months after closing.

      Haywood Securities Inc. ("Haywood") acted as exclusive financial advisor and McCullough O'Connor Irwin LLP acted as legal counsel to First Mining. Haywood has provided an opinion to the First Mining Board of Directors that, based upon and subject to the assumptions, limitations and qualifications in the opinion, the consideration being offered by First Mining to Gold Canyon and PC Gold pursuant to the transactions are fair, from a financial point of view, to First Mining.

      Maxit Capital LP ("Maxit") acted as exclusive financial advisor and Getz Prince Wells LLP acted as legal advisor to Gold Canyon.       Also ich finde das Angebot besch...
      Gold Canyon hat eines der wenigen vielverprechenderen Projekte (Umsetzung langfristig keineswegs utopisch, siehe auch Einschätzungen von Rick Rule und Brent Cook http://www.stockchase.com/company/view/4133/0/Gold-Canyon-Re…) und damit hätte die Aktie einen riesigen Hebel, wenn die Goldpreise mal wieder steigen. Die Bewertung ist ja absolut lächerlich. Cash ist auch genug da und wenn man die Kosten minimiert, könnte man damit noch jahrelang überleben.

      Neumeyer ist halt kein Depp und hat das erkannt. Dieser Name ist für mich das einzig Positive an dem Angebot. Er scheint eine Art zweite Silver Standard aufbauen zu wollen. Die Zeiten dafür sind natürlich im wahrsten Sinne des Wortes günstig.

      Wir dürfen auch nicht vergessen, daß bei der Bewertung von GCU, auch eine feindliche Übernahme möglich wäre. Vor einigen Monaten hat es ja einen oder zwei Käufer gegeben, die alles aufgesaugt haben. Was ist, wenn eine Barrick genug Aktien angelt und dann ein Übernahmeangebot macht - mit den üblichen Aufschlägen von 20-30% in der jetzigen Phase?
      Dann wäre Springpole ein Asset eines Produzenten mit noch viel geringerem Hebel und der Drops wäre gelutscht.

      Und das GCU Management ist nicht in der Lage, selbst daraus eine Mine zu machen. Es würde, wie vor dem Goldcrash ja schon geschehen, ein Team angeheuert werden müssen.
      Neumeyer und sein Team könnte das sogar selbst - auch wenn er das mit FF vielleicht jetzt noch gar nicht beabsichtigen sollte.

      Sicher, es wird mit frischgedruckten Aktien einer bis dato ziemlich wertlosen Firma bezahlt. Du hast Rick Rule erwähnt. Dann weißt Du wohl auch, wie er betont, wie wichtig das Management dabei ist. Man kann ja bei First Majestic sehen, was ein gutes Management aus mittelmäßigen Assets machen kann und auch sonst auf die Beine kriegt.

      Damit hat Springpole nun ein weltklasse Management "bekommen" und umgekehrt, das FF-Management ein SEHR gutes Asset! Ich finde das ist eine gute Kombination, bei dem die Summe der Teile deutlich mehr wert ist, als die Einzelteile bisher.

      Ich denke also, daß sich das GCU Management, WOHLWISSEND um den Hebel bei GCU, wenn der Goldpreis Richtung 1300+ gehen sollte, deshalb für FF entschieden hat, weil es kaum besser geeignete Leute gibt, um seinen Wert am Markt zu gegebener Zeit zur Geltung zur bringen.

      Vermutlich werden wir im Edelmetallbereich schon bald (also in spätestestens zwei bis drei Jahren) wieder eine Phase sehen, in der jeder Mist steigt, weil eben die Edelmetallpreise deutlich steigen. Und in so einer Phase wäre GCU meiner Meinung nach explodiert. Diese Firma hatte noch vor nicht allzu langer Zeit keine Probleme, bought deals in zweistelliger Millionenhöhe abzuschließen!!!

      Wie groß die Gefahr einer feindlichen Übernahme zu noch erbärmlicheren Konditionen ist, kann ich ehrlich gesagt nicht beurteilen. Es nervt aber, wenn man selbst gute Projekte günstig einkauft und diese dann verscherbelt werden. In dieser Hinsicht dürften auch Midas Gold und - erst Recht nach dem Erwerb von Newstrike - Timmins Gold gefährdet sein.

      Der Discount zu FM ist brutal-mind.40% zum heutigen Kurs-da stimmt doch was nicht bei dem Übernahmeangebot-entweder GCR massiv zu billig oder FM überteuert??

      Shareholder Approval of Arrangements Received
      VANCOUVER, BRITISH COLUMBIA--(Marketwired - Nov. 9, 2015) - First Mining Finance Corp. (TSX VENTURE:FF) ("First Mining"), Gold Canyon Resources Inc. (TSX VENTURE:GCU)(OTC PINK:GDCRF) ("Gold Canyon") and PC Gold Inc. (TSX VENTURE:PKL) ("PC Gold") are pleased to announce that both Gold Canyon and PC Gold received the overwhelming approval of their shareholders at their respective special meetings held on November 6, 2015 to consider the acquisition of each of Gold Canyon (the "Gold Canyon Arrangement") and PC Gold (the "PC Gold Arrangement" and, together with the Gold Canyon Arrangement, the "Arrangements") by First Mining by way of plans of arrangement under the Business Corporations Act (British Columbia) and the Business Corporations Act (Ontario), respectively.

      Of the votes cast by Gold Canyon shareholders at the Gold Canyon meeting, 99.2% were voted in favour of the special resolution approving the Gold Canyon Arrangement (99.17% after excluding the votes required to be excluded pursuant to Multilateral Instrument 61-101 - Protection of Minority Security Holders in Special Transactions for the purposes of determining minority approval for the Gold Canyon Arrangement). Of the votes cast by PC Gold shareholders at the PC Gold meeting, 99.77% were voted in favour of the special resolution approving the PC Gold Arrangement (no votes were required to be excluded pursuant to Multilateral Instrument 61-101 - Protection of Minority Security Holders in Special Transactions for the purposes of determining minority approval for the PC Gold Arrangement).

      Each of Gold Canyon and PC Gold will be seeking final court approval of their respective Arrangements on November 10, 2015 and, subject to the satisfaction of certain customary closing conditions, the Arrangements are anticipated to be completed on or about November 13, 2015. Full details of the Gold Canyon Arrangement and the PC Gold Arrangement and certain other matters are set out in the respective management information circulars of Gold Canyon and PC Gold each dated October 5, 2015 (the "Information Circulars").
