NEGATIVE PRESS = SHORT SELLERS
At Pre-Paid Legal Services Inc., the question is often asked, “Why are such
negative articles written about my company? Why are there people on the internet who
constantly “bash” my company, Pre-Paid Legal Services Inc?”
The question is how can they do this, and why would they do this? Pre-Paid sales
associates and home office staff often say, “I know we have a great company and a great
product and I can’t understand why others say differently, and say things that are mostly
untrue?”
The answer is, “its all about money.” It is largely a result of “short selling.” That
raises the question of what is “short selling?”
“Short selling” is a term used to define the selling of shares of a company you
don’t own, and hopefully buying them back and replacing them at a later date at a lower
price. The difference in what you sold them for and the price you bought them back for
is a profit. Example: You sold “short” 1,000,000 Pre-Paid shares at $40.00 per share, and
were able to buy them back later at $10.00 per share. That means you made a
$30,000,000.00 profit. Not bad pocket change for selling something you did not own.
Many people ask or state they can’t believe “short selling” is legal. As our own
Attorney General Drew Edmondson said in his letter written to the S.E.C. on behalf of
Pre-Paid Legal Services Inc., “If it’s not illegal, I think it should be.”
It is not illegal to sell a stock short and hope the price goes down. It is not ethical
to sell a stock short and then plant stories, negative articles, etc., in an attempt to drive the
price down.
This could be compared to two football teams and you bet on one to win. It
would be unethical and illegal to break the leg of the other team’s quarterback to help the
team you bet on to win.
Many unethical “shorts,” when millions of dollars are on the table, attempt to
“break the leg” of the company they are shorting. Anything to drive down the price of
the stock. Again it is all about money! The more negative stories, the more paid
“internet bashers,” the more money in the pocket of the shorts. This is an example of a
group that wins and can become incredibly rich by destroying, or lessening the credibility
of companies, and unfortunately, large amounts of money causes many to totally ignore
the truth or the facts. They don’t want to let the truth or facts get in the way of a good
negative story.
The majority of “short sellers” prefer to operate in anonymity or in the shadows.
Pre-Paid Legal Services Inc., as a publicly held company, must fully declare everything,
Pre-Paid Legal Services does not operate in the shadows but in the brightest of light. For
Pre-Paid to do anything different would be a violation of the law with severe penalties.
Short sellers have little regulation. Short selling in itself is not illegal, but trying
to manipulate the stock price is. Because of limited regulations on the “short” side it is
difficult to do much about it. The shorts are allowed to operate in anonymity and most
do.
Short sellers can profit by stimulating fear. Short sellers clutter internet message
boards. We believe the “shorts” are behind, and may be paying, some of the people who
post inaccurate accounts and misleading information on the message boards!
A reporter by the name of Melissa Davis wrote for The Daily Oklahoman for
sometime and her articles were normally very negative and in most cases inaccurate. She
would call Pre-Paid and ask questions and then ignore the answers she was given. She
went to work for TheStreet.com, a short seller publication.
After going to work for TheStreet.com, the short seller publication, her articles
became increasingly negative, inaccurate and in some cases outright lies. She and
TheStreet.com have been taken to task by some of their “sources,” including former
Mississippi AG Michael Moore. Moore wrote to TheStreet.com: “At best, this (Davis’s
statement) is inaccurate. At worst, which I believe is the case, the statement is not true
and could be construed as an obvious attempt by Davis and TheStreet.com to negatively
impact Pre-Paid Legal Services, Inc.’s stock price and its investors.”
All of this negative and inaccurate press is largely generated by the “shorts” and
because we are a public company. Their goal is to drive down the price of the stock.
Another method used by the “shorts” is to get a lawsuit filed and then make sure
the press covers it. TheStreet.com, the short seller publication, will publish the lawsuit
and then the internet bashers will run it on the internet. Lawsuits are rather easy to file
and do not have to have much merit or fact to get them filed. All types of allegations can
be made in the lawsuit and the “shorts” see the press picks those up as if they are fact.
Due to the freedom of the press, it is difficult to stop the negative stories and the
internet bashers.
However, none of the above affects the economics of Pre-Paid’s business. Pre-
Paid has a very sound business model that continues to stand the test of time, and Pre-
Paid Legal Services Inc., continues to get stronger. Cash flow remains strong. Pre-Paid
sales associates continue to add memberships, and everyone continues to hear the great
success stories and testimonials from Pre-Paid members. The membership works. We
count over 1.5 million families as members. Pre-Paid continues to have more and more
sales associates who are more and more successful. In spite of the shorts, Pre-Paid
continues to do well and Pre-Paid associates continue to grow and earn more money.
Again, it is just about money. If Pre-Paid weren’t a public company (N.Y.S.E.)
you would not see the negative press since there would be no economic incentives to the
“short sellers” to see Pre-Paid’s stock price drop.
It is the belief of those at Pre-Paid, that Pre-Paid Legal Services Inc., has more
employee benefit accounts, or groups, than all of our competitors combined. Pre-Paid
Legal Services Inc., is by far the largest and most successful company in its field. There
is only for one reason for this, Pre-Paid Legal Services Inc., offers a better product and
better service.
