HealthSonix Sells Operating Subsidiaries to Innovative Health Sciences

IRVINE, Calif.-- HealthSonix, Inc. (OTC: HSXI)(FWB:H7S) today announced that Innovative Health Sciences, Inc. [OTC: IHSI] has purchased two wholly owned subsidiaries of HealthSonix, Inc. in exchange for 35,356,000 IHSI common shares.

Was hat Ivezic gesagt ?

- er hat über die SEC Suspendierung gesprochen und wie das Management daraufhin gehandelt hat, zB. wurden alle Ausgaben sofort auf ein Minimum reduziert, Leute vorübergehend entlassen und der Start der neuen enSonix Gen2 Geräte auf Eis gelegt. Dies wurde nötig, um mit den vorhandenen liquiden Mitteln, die Handelssperre zu überstehen. Dazu sei nochmals gesagt, dass 99% aller Firmen, die von einer Suspendierung betroffen waren/sind, in der Folge bankrott gehen. HSXI ist die 2. der 26 suspendierten Firmen, die jetzt wieder gehandelt werden kann (nach Umtausch der Aktien). Die andere Firma ist die AMEX notierte PZG.

- er hat über ZingiberRX gesprochen, täglich gehen 500-1000 Anfragen nach Musterpackungen ein, die Creme verkauft sich sehr gut und es wird neue Varianten geben mit zusätzlichen Eigenschaften.

- er hat angedeutet, dass bis Monatsende eine PR bzgl. der Finanzspritze (er sagte "substantial" - erheblich, beträchtlich) von IHSI kommen wird.

- mit diesem frischen Kapital sollen alle gestoppten Aktivitäten wieder angeschoben werden, das neue enSonix Gen2 im 3./4. Quartal in den Verkauf kommen.

- es werden auch weiterhin Gespräche über JV's mit Pharmapartnern geführt (combination therapies).

- der Aktienumtausch von HSXI in IHSI wird 30-90 Tage dauern, da ist die letzte Entscheidung noch offen, es gibt mehrere Optionen, wie man dies erledigen kann, ist auch eine Kostenfrage.

- der IHSI CEO Winter hat nicht viel gesagt, nur das sein 13-jähriger Sohn ein langwieriges Knieproblem hatte und mit ZingiberRX nach 2 Tagen beschwerdefrei war . Na ja, allerdings hat die Creme bei meinem Golfarm auch sehr gut geholfen, dauerte aber ca. 2 Wochen. Davon abgesehen, gibt es viele Shareholder in USA, die erst nach positiven Erfahrungen mit ZinginberRX bzw. enSonix Geräten, sich Aktien kauften.


Mein Fazit:

Es ist seit langem (letztes Interview war am 24.09.07) wieder Mal ein öffentliches Auftreten von Ivezic. Er wirkt allerdings vorsichtiger in seinen Aussagen, nicht mehr so euphorisch wie noch in 2007, hat seine Lektion hoffentlich gelernt (erst Fakten schaffen, dann dazu eine PR !!).

Konkretes wird nicht gesagt, vor allem was die Finanzen angeht, wann zB. ein auditierter Report kommen soll. Allerdings stellt der Interviewer auch keine solchen Fragen.

Sollten jetzt wirklich die schone lange angekündigten Ansagen (enSonix Gen2 Produktionsstart/Infomercialstart/Verkaufsstart, etl. ein JV mit namhaftem Partner und Fortschritte in Bezug auf Finanzreport/AMEX-Listing) in die Tat umgesetzt werden, dann werden wir noch alle froh sein, so geduldig gewartet zu haben.

Ich hatte -ehrlich gesagt- mein Geld schon abgeschrieben.

Ginger is delicious in a stir fry, but can it also help arthritis? Ginger in concentrated form is sold as pills, massage oil and now a new cream to treat arthritis. Lab tests show ginger has strong anti-inflammatory properties, but doctors say there's scant proof that it eases arthritis.

Some 20 million adults in the U.S. suffer from osteoarthritis, a degenerative joint disease that commonly affects the knees and hands.

Arthritis, typically caused by a breakdown of cartilage, is often treated with anti-inflammatory medicines, but side effects such as ulcers and gastrointestinal bleeding can be an issue with some medicines.


Ginger is a remedy that can include capsules taken by mouth, a tincture taken under the tongue or a massage oil. Last year, Innovative Health Sciences Inc. of Palm Harbor, Fla., began selling a cream called ZingiberRx that the company says can be used topically to treat arthritis and muscle aches.

The company says it's planning clinical trials, but so far its evidence for efficacy is published animal and laboratory studies showing that ginger, in general, is a natural anti-inflammatory.

It's true that science has established ginger as an anti-inflammatory that works in a way similar to established medications, says Donald M. Marcus, professor of medicine at Baylor College of Medicine, Houston. However, there haven't been enough clinical trials on ginger to establish its safety and effectiveness in arthritis. "We don't know if it works, and if you get enough to have a therapeutic effect, [whether] you are going to expose yourself to the same problems" as with standard medical anti-inflammatories, Dr. Marcus says. Ginger hasn't been studied enough to determine if high doses can cause those issues, scientists say.

Concentration of ginger products on the market varies, and often it isn't disclosed exactly how much ginger is present. In one of the few large published clinical trials on oral ginger pills, some patients taking ginger experienced indigestion, burping and nausea, which study author Roy D. Altman, a professor of medicine at the University of California in Los Angeles, attributes to the strong taste. He says the ginger pills used were highly concentrated -- making the daily dose in the study equivalent to eating several bushels per patient.

That 247-patient multicenter study, published in the journal Arthritis and Rheumatism in 2001, found that a test group taking ginger pills for six weeks had a greater reduction in knee pain when standing than a test group taking a placebo pill. The study used a "visual analog scale" in which patients pointed to the point on a line that described their level of pain. However, Dr. Marcus says that study, funded by a manufacturer of ginger pills, was flawed because it didn't show a statistically significant effect on a more-complex arthritis-pain-rating scale recognized as a gold standard by most scientists. Dr. Altman stands by the study but agrees there still isn't enough evidence to recommend ginger for treating arthritis.

weiß einer von den hier verbliebenen, wie das mit dem umtausch von statten gehen wird? bekommt man da eine info von der bank?
hab in dieser sache noch keine erfahrungen.
steht denn das umtauschverhältnis 0,6 / 1 schon fest?

Das Umtauschverhältnis steht fest. Der Umtausch wird über deine Bank abgewickelt und du bekommst danach eine Nachricht dazu.

Das einzig Negative ist, dass der Umtausch deutscher Aktien einige tage länger dauern kann. Ich habe das bei einer OTC-Aktie erlebt, konnte nur zuschauen, als nach Umtausch in USA die Aktie in 2 Tagen ca. 140% stieg und dann wieder auf den Ausgangswert gefallen ist. Erst 1 Woche später wurde in Deutschland getauscht .

Hoffentlich läuft das mit IHSI besser für uns, wir werden es sehen. Eigentlich habe ich nicht vor zu verkaufen, erst wenn der Verkauf von ZingiberRX und dem neuen enSonix richtig Umsätze bringt und dann wird der Kurs auch steigen.

Lol, hab es bis heute gut verkraftet und mal geschaut, was im IHUB forum zu der Telefonkonferenz zu lesen ist. Da hat ein Poster (tato) das Wesentliche gut zusammengefasst, ich hebe durch Fettdruck hervor, was wohl alle auch in Englisch verstehen werden:


Here are the takeaways from today's call:

All HSXI shareholders will be gifted new shares of IHSI at the ratio of 0.6:1. Shareholders of HSXI will still own the old shares. No conversion, simply a gift from HSXI/IHSI to HSXI shareholders. The IHSI gift distribution will be electronic within 2-3 months. And Yes, they are restricted for 6-12 months.
The current share structure at IHSI is 49 million, 35 million of which will be given to HSXI shareholders via the distribution mentioned above.

Cash infusion will be a whopper $2 million with an additional 5-8 million in the next few months via a Secondary offering with a broker dealer. Once they qualify at senior exchange, they will be posting financials at Edgar.

GII will be available for shipment in the Q1 2009.

Infomercial within 30 days testing local and regional. However, they don’t have product inventory yet to cover the demand. But, once cash becomes available, they be rolling on all bearings.

The demand on the sample program has been quite impressive.

Clinical trials on going with a couple of pharmas, no names given. 100% joint Venture on going.

Sampling is going exceptionally well. The cream will have its share of active marketing with proper amount of dollars allocated for marketing.

Their target is to have the tube as the only product form to sell going forward. Once available jars are sold, they will no longer sell in jars.

Without affecting the efficacy of the cream, they will be few scents added by the end of the year.

Sales figures, in development stage…no $$$$ given.

Profit Margin 75-85 % very high for each product. Cost has been already incurred for R&D and from this point going forward, it is a free ride off R&D cost.

Chris’s view is to have IHSI as a Medical Holding company with more future acquisitions.

Analysts will follow the company. Head office in Tampa & Canada. They have a New York distribution center, Elpaso, and looking for a West Coast location.

No direct comments on the status of Abbott. However, they are positioning the company to benefit from the combo therapy solidly.

There are many specific questions which were not addressed.

Look for a PR within a week or so about the $2 million cash infusion.

Ich selber bin vorsichtig optimistisch, denn wenn jetzt weitere Termine für enSonix Gen2 verstreichen, dann wird es hart. Allerdings kann mit den genannten erheblichen finanziellen Mitteln, mittelfristig (bis Sommer nächstes Jahr) doch ein gewaltiger Umsatz realisiert werden, dann sind wir aus dem Schneider .

Einige Fragen bleiben -wie bisher- unbeantwortet. Aber was uns allen Mut machen sollte:

Es ging/geht nach der SEC-Misere weiter - und gerade das hatten so einige nicht geglaubt.

Just got a call back from Dieter (I left a message yesterday asking him to call me back), and here is what I was told:

1. The infusion of the $2 millions should take place sometime next week.

2. They are looking for a new transfer agent in Florida who is capable of doing electronic filing. The current one is not capable of doing that.

3. Five weeks after the share price gets up to the required level (and stays stable at that level) for a more senior exchange, they will apply for that exchange. He seems confident this may happen by the end of this calendar year.

4. The reason to lock the new shares for 6-12 months is that everyone won't be able to sell when the share price gets up, and other people calling in asking "What happens?" He also mentions that since old HSXI shareholders now constitute the majority holder, this is an SEC requirement.

5. In the future there will be a new direct placement, around $5 million, but this won't take place until the share price arises to a certain level, so as not to greatly dilute the existing shares.

6. The reason the website is down may be due to IT department taking it down bacause of a major virus floating around in the last few days seeking to do damage to the public.

7. Said call the 877 number if anyone wants to order something.

What makes me feel good is that I always get a phone call back from Dieter when I left a message asking him to call me.

Aktienhandel wird es vorerst nur sehr begrenzt geben, da die meisten Aktien doch gesperrt sind (siehe Punkt 4 oben). Die Aussagen von Doederlein sind -wie immer- sehr vielversprechend, allerdings sollte es jetzt bald Mal wieder offizielle PR's geben. Das Umfeld ist sehr schlecht momentan, das muss man auch bedenken, denn bei positiven PR's ist das Timing sehr wichtig.

Wir können weiter hoffen, zumindest hat HSXI das SEC-Desaster überlebt und das wurde auch zunächst versprochen und hat länger gedauert.

Ich schaue nur alle 2 Wochen nach, denn sonst wird mir nur die Laune verdorben, habe in den letzten 18 Monaten sehr bluten müssen .

sieht so aus, als ob die Firma nicht mehr existiert, man hört nichts mehr, alles ist eingeschlafen, keine Antwort auf mails. Da frage ich mich nur noch, warum man nicht schon nach der SEC-Suspendierung alles hingeschmissen hat, das ist komisch.

As long as you have a certificate of the old HSXI shares, you will indeed receive new IHSI shares once the SEC lifts the restriction [imposed because we 'old' shareholders, as a group, represent control in IHSI]. We shoiuld hear this summer.
Meantime, there will be more news out within the next 2 to 3 weeks.

soooo, hab nun noch mal die rückmeldung auf meine rückfrage wegen des zertifikats bekommen.
es sind die anteile, die bei jedem im depot liegen.

auch wenn jemand die rückfrage albern findet. ist mir egal und wollte damit "Sicherheit" das es sich umd die anteile handelt die man hat. auf der anderen seite hab ich auch schon pferde vor der apotheke kotzen sehen, nur weil man(n) sich nicht informiert hat.

dann lassen wir uns mal überraschen.
