ALERION: start of production of Pontenure solar plant
Alerion informs that the solar plant of Pontenure (Piacenza) has started production. The plant is installed
on the roof of the new logistic center of Upim and is one of the biggest solar plants on roof of South
Europe, with a consolidated power capacity of 2.8 MW and a total surface of approximately 60,000
square meters. The plant will have a production of approximately 3.1 GWh/year and will save
atmospheric emissions of approximately 1,800 tons of CO2 a year.
With Pontenure plant, the solar plants of the Group currently operating are four, with a consolidated
power capacity of 5.9 MW. Wind farms currently operating are six, with a consolidated power capacity of
123 MW. Total consolidated capacity of plants currently under construction is approximately 102.9 MW:
81 MW in wind sector, 16.9 MW in solar sector and 5 MW in biomass sector.

30th 2010, reflecting an increase of 5.7 MW compared to the first half 2009. During the first six months of

Alerion which at present has 146 MW of wind capacity plans to focus on wind power generation and is looking for financial investors to sell some of its photovoltaic plants with a total capacity of 23 MW.
The company which has received authorisation to build a 65 MW wind power plant in Romania aims to expand there as well as in Hungary, Bulgaria and Poland and is also looking to buy operating plants in Germany, France, Belgium and Britain.
In the biomass sector, Alerion has bought a 78-percent stake in the project to build a 5.5 MW plant near Milan and plans further investments in medium-size plants of 5-10 MW capacity.

Sale of 4 MW PV with an enterprise value of approximately EUR 23.2 million
Alerion has signed an agreement with Belenergia SA to sell its stake in a portfolio of
photovoltaic plants with an installed capacity of approximately 4 MW. Belenergia S.A. is an
international group active in the production of energy from renewable sources. In Italy
Belenergia owns of a portfolio of photovoltaic plants with an installed capacity of 21 MW.
This deal is part of a program of focusing Alerion Group's industrial activities in the wind sector,
which began in 2011 with the sale of a portfolio of photovoltaic plants with an installed capacity
of 18 MW, which generated a gross capital gain of about 15 million euro (see press release
dated March 24, 2011).
The equity value of the deal amounts to 3 million euro, to be paid by way of acquisition of
shares and repayment of shareholder loans, and which will be paid as to 2.25 million euro at
the closing and the rest through the subscription of a bond issued by Belenergia, with a
maturity of three years bearing a 5% interest per annum. The effectiveness of the sales
contract is subject to the consent of the lending banks which is expected in the third quarter of
2013.
The enterprise value of the transaction amounted to approximately 23.2 million euro. The
annual production of the plants sold was approximately 6.8 GWh, with an EBITDA of
approximately 2.5 million euro.
The execution of the sale will see the reduction of the net financial debt for approximately 20.2
million euro and a loss of approximately 1 million euro.
