Assif Shameen: Singapore’s richest man stalks Sino-Forest

FEW IN SINGAPORE actually know who the richest person in their midst is. If you guessed Kwek, Kuok, Kwee, Ng or Wee, you are probably close, but that is not the answer. The controlling shareholders of Hong Leong Group, Wilmar International, Pontiac Land, Far East Organization/Sino Land and United Overseas Bank group have spent decades cautiously building corporate empires with their innate business acumen and have certainly done well for themselves, but they are not the richest. That mantle belongs to New Zealand- born, Singapore permanent resident Richard Chandler, 53, who with a net worth of nearly $5 billion, is Singapore’s richest. If some of his recent savvy investments are anything to go by, he will probably widen his lead over other Singapore tycoons.
Many of you who have followed my columns on the long-running saga of Hong Kong- and Toronto-based Sino-Forest Corp might recall how the firm that called itself “the leading commercial forest plantation operator in China” managing approximately 788,700ha of plantation trees fell from grace very quickly after research outfit Muddy Waters Inc alleged on June 2 that it was “massively exaggerating its forestry assets”, citing “evidence” that the firm had overstated its Yunnan timber investments by approximately US$900 million ($1.08 billion). Carson Block, the conductor of Muddy Waters’ one-man orchestra, called Sino-Forest a “scam” and a “fraud”, allegations that the company vehemently denies.
In the aftermath of the attacks and counter attacks, Sino-Forest’s Toronto- listed stock tanked from a high of C$25.85 in late March to C$1.29 in mid-June. Hedge Fund manager John Paulson, who had painstakingly built his reputation as one of the world’s savviest hedge fund managers over the past decade while running a US$37 billion fund, lost money by the bucketloads in Sino-Forest. He actually offloaded all of his Sino-Forest holdings for a loss of nearly C$460 million ($586 million) in June.
Yet when stocks fall 90% or more, even the dud ones, someone, somewhere, sees a buying opportunity. Indeed, Paulson reportedly bought a ton of Lehman Brothers stock — at a few pennies a share — weeks after the venerable Wall Street investment bank went bust. Three years after its collapse, Paulson will soon be rewarded for his long and arduous wait for his “vulture” investments in Lehman to pay off.
Is it any wonder then that just when many are giving up on Chinese reverse merger stocks in North America, particularly the likes of Sino-Forest that were “targets” of attacks by short-sellers and niche research outfits, someone on the other side of the world is buying the stock that is being dumped long after it had been pumped and wasted. One of the firms that bought a lot of cheap Sino-Forest stocks was Wellington Management, which in early July revealed that it had accumulated an 11.5% stake at an average cost of just under C$3.20 a share during the heavy selling spree. The stock has more than doubled in value since. Two weeks ago, Singaporebased Richard Chandler Corp, through its Mandolin Fund, scooped up another 26.7 million Sino-Forest shares at an average cost of C$4.06 a share. On July 26, Sino-Forest shares closed up 11.9% at C$7.12. On July 27, the shares surged another 8.01% to C$ 7.69 on a day when Canadian stocks were hammered across the board.
Later that day, Chandler announced that Mandolin Fund had raised its stake in Sino-Forest to over 15% by buying an additional 5.33 million at an average cost of C$7.36 a share.
STELLAR REPUTATION
Clearly, there is a reason why the tree plantation stock that was beaten to a pulp and given up for dead by investors and the media has risen like a phoenix (up nearly sixfold from its lows in just five weeks.) It’s actually Chandler’s stellar reputation of buying into undervalued companies, shaking up their sleepy and often arrogant managements and forcing through much-needed changes that eventually lead to a re-rating of the stock and a big payday for longsuffering investors.

Born in Matangi, a rural town near Hamilton in New Zealand’s north island, the second of three brothers, Chandler has an accounting degree and Master’s degree in commercial studies from the University of Auckland. He reportedly caught the stocks bug early while in college and instead of going into his parents’ small department store business, he took an accounting job with the firm now known as KPMG. He later returned to New Zealand to expand the family’s retail business along with younger brother Christopher, opening more stores but later convincing his parents to sell the stores.
With US$10 million from the sale, the two brothers launched the secretive Monaco-based, long-only hedge fund Sovereign Global in 1986. Some of Sovereign’s early bets: Russia, Eastern Europe, Brazil and, later, beatendown Japanese bank stocks.
The Chandler brothers and Sovereign became famous about seven years ago when they accumulated a large stake in South Korea’s SK Group, the company at the apex of an oil refining, petrochemicals, plastics and telecommunications group. The two men pushed for the ouster of SK’s chairman and majority owner Chey Tae Won, who had previous convictions of business fraud. Though Chey held on to his job, SK quietly began transforming itself. By the time the Chandler brothers exited, their initial investment in SK had soared nearly fivefold, giving them over US$700 million in profits.
Three years ago, the brothers reportedly split up amicably and went their separate ways — each running his own long-only hedge fund. Chandler moved to Singapore where he runs his new company Richard Chandler Corp from UOB Plaza. The firm also has offices in Dubai and Chandler reportedly shuttles between Singapore and Dubai. Christopher heads Legatum, an investment firm and venture fund in Dubai.
Chandler, who calls himself “a contrarian investor”, is said to have picked Singapore as a base because he sees big opportunities in Asia over the next decade. His idols are Warren Buffett and Sir John Templeton, and like them, he would rather buy stocks that are trading at price-toearnings multiples of three or four than those trading at 15 times next year’s earnings. Though the struggle for SK was just one of many battles Sovereign had won, it dragged on for so long that it has come to define the two brothers. In the only interview he has ever given, Chandler told Institutional Investor three years ago: “We are value investors with a sense of responsibility, not activists.”
REAL VALUE HUNTERS
So, what exactly is Chandler’s game plan with Sino-Forest? What is he trying to do in Singapore? Will he move on some of the Singapore Exchangelisted laggards next? Will he go after some of the mind-boggling S-chips?
As the largest shareholder of Sino- Forest, he could move to dramatically improve corporate governance. There are clearly some serious issues on which the company needs to come clean and address the queries raised by analysts, investors and short-sellers. Next up, the management needs to be persuaded to make dramatic changes, including upending its basic business model that relies on dealing through an opaque wall of Authorised Intermediaries. Unlike at the SK Group where Chandler clearly didn’t have the numbers to oust chairman Chey, he may be holding the upper hand at Sino-Forest, and the management might be more willing to listen. Aside from Chandler, large institutions such as Wellington Management, Davis Selected Advisors, Ivy Management Income Fund, Capital Research Global and Hartford Investment own a combined 51.14% of the stock. Other long-suffering institutional shareholders such as BlackRock, Vanguard, Henderson Global, John Hancock Investments and IG Investment Management have another 7% or so of Sino-Forest’s stock.
If Chandler can convince them that Sino-Forest needs to reform itself fast, even if that means admitting that some of the former managers and directors were less than truthful about the ownership of tree plantations, the stock could rebound sharply from its current levels — even while there are clouds of uncertainty over how a company driven principally by institutional investors with no connections in China would continue to operate and grow in a sensitive business such as tree plantation and forestry. I contacted Richard Chandler Corp’s office in UOB Plaza and his media consultant Richard Barton at Kreab Gavin Anderson in Hong Kong, and was told he was not available for media interviews.
Chandler may be a low-key figure who won’t appear in the pages of glossy local society magazines, but I believe we may not have heard the last of him on Sino-Forest, or other undervalued stocks in Asia. If the market gets beaten down in the wake of more troubles in Europe, “no deal” debt-ceiling problems in Washington or some other crisis, real value hunters such as Chandler might just come out to play.

TORONTO, Aug. 5, 2011 /CNW/ - The Richard Chandler Corporation announced today that Mandolin Fund Pte Limited ("Mandolin") has, on 4 August 2011, acquired beneficial ownership of 2,700,000 common shares (the "Acquired Shares") of Sino-Forest Corporation (the "Company"), which represent approximately 1.10% of the issued and outstanding common shares of the Company. Together with the common shares owned by Mandolin prior to this acquisition, Mandolin's shareholding in the Company is an aggregate of 44,304,200 common shares, which represent approximately 18.00% of the issued and outstanding common shares of the Company. Aug 5 (Reuters) - A large Singapore-based fund has further increased its stake in Sino-Forest (TRE.TO) and it now owns 18 percent of the embattled Chinese forestry company's outstanding shares.
The Mandolin Fund, run by New Zealand-born billionaire Richard Chandler, disclosed on Friday that it bought another 2.7 million Sino-Forest shares on Aug. 4.
The fund has been gradually boosting its stake in the forest plantation operator that has been accused of fraud by influential short-seller Carson Block and his firm Muddy Waters.
Mandolin's Sino-Forest investment over the last two months has helped lift shares of the Toronto-listed company, which had plunged as low as C$1.29 in mid-June.

The Mandolin Fund, run by New Zealand-born billionaire Richard Chandler, disclosed on Friday that it bought another 2.7 million Sino-Forest shares on Aug. 4.
The fund has been gradually boosting its stake in the forest plantation operator that has been accused of fraud by influential short-seller Carson Block and his firm Muddy Waters.
