Shares of Calithera Biosciences Inc. plunged nearly 80% on Monday after the clinical-stage biopharmaceutical company unveiled plans to liquidate in a move will likely leave its common shareholders empty-handed.
Calithera said it is ending its clinical programs, and that it plans to dismiss most of its staff by the end of the first quarter.
The South San Francisco, Calif., company, which reported cash and equivalents of $34.1 million at the end of September, said it expects to incur about $8 million in first-quarter charges in connection with the job cuts.
The company also said it doesn't expect to make any liquidation payments to holders of its common stock, as it won't be able to satisfy the liquidation preference held by the holder of its Series A convertible preferred.
Calithera said it expended substantial time and effort in pursuing various alternatives to the liquidation, but was unable to complete a transaction that would allow it to continue the development of its clinical programs and enhance shareholder value.
The company said it plans to seek shareholder approval of the liquidation plan at a special meeting during the first quarter.
